Bizfile information preparation

ACRA Company Registration: Information Required for Bizfile

Map each registration field to the decision and evidence that supports it.

ACRA company registration through Bizfile needs more than identification documents: the filing must also state the company particulars, officer and shareholder roles, relevant control and nomination details, share allocation and constitution choice. Prepare these as a reconciled information set before entering the service. Missing business decisions cannot be solved by uploading additional scans.

The scope here is a local company limited by shares. Decide the company type and authorised filing route first, then verify that the proposed records agree. The largest avoidable risks are using the wrong address in a field, confusing legal shareholders with controllers, and entering capital that does not match the agreed allocation.

Key takeaways

  • Approve entity and governance decisions before asking a filer to complete the portal.
  • Residential, public contact and company office addresses have distinct requirements.
  • Controller and nominator information needs an assessment separate from the shareholder list.
  • Reconcile share quantities, consideration and paid-up amounts for each class.
  • Keep the official incorporation outcome, not just the submission and payment records.

Prepare a field register before opening Bizfile

For a local company limited by shares, prepare the approved name reference, company particulars, people and ownership data, register information, capital allocation and constitution. The Accounting and Corporate Regulatory Authority (ACRA) collects these through Bizfile. A collection of passports alone cannot supply the decisions about financial year end, shares or governance.

Information group Prepare before entry Cross-check against
Company particulars Approved name and entity type, FYE, email, office address and hours Name reservation and agreed operating instructions
People and shareholders Identity, roles, relevant addresses and contact particulars Current identification, corporate records and accepted appointments
Controllers and nominees Exemption assessment, controllers or applicable executive-control information, nominators Ownership/control assessment and nomination disclosures
Capital and constitution Currency, share class, quantities, paid/unpaid amounts and constitution choice Approved allocation and governance documents

This field register follows ACRA’s current registration sequence , checked November 4, 2026. Treat the table as a preparation aid: the live service and the company’s actual circumstances determine the fields and supporting requests. A corporate shareholder, nominee arrangement or customised share class adds information rather than replacing a basic identity check.

The entity decision comes first. The broader Singapore company registration requirements establish the local-company foundation; the Bizfile instruction should then reflect that chosen structure. Keep a single approved version so a correction to the name, shareholder or capital is carried through every affected field.

Are the registration decisions settled?

Identify missing fields before identity documents and signatures are circulated.

Keep office, residential and contact addresses distinct

The company needs a Singapore registered office and a stated public-access arrangement. ACRA’s filing guidance requires at least three public-access hours on each business day. The office can differ from the actual operating premises. Confirm the service arrangement rather than simply copying an address from a quotation.

An individual’s residential address and contact address serve different purposes. The public contact address must meet the current conditions, including being in the same country as the residential address, being usable for messages and not being a P.O. box. The position-holder address fields explain what Bizfile requires.

Ask each person to approve their own information and how it will be filed. An overseas director should not be assigned a Singapore contact address merely because the company uses a local registered office. The company’s office and an individual’s contact address are different fields. Keep proof of the current instruction with the filing record.

Also decide who controls the company email and can retrieve official messages. A founder’s temporary personal address may work technically but create a handover problem later. Access should survive a staff or adviser change without sharing an individual’s government login.

Collect role and ownership data without substituting one for another

List each officer and shareholder under the role actually held. Verify individual identity particulars and, for a corporate investor, its registration details and authority to act. A shareholder can be a company; the director appointment concerns an eligible individual. Avoid describing an overseas parent as the resident director.

The company must have at least one director satisfying local residency rules. The secretary is a separate required role, appointed within six months after incorporation, and the sole director cannot also be secretary. ACRA’s officer guidance provides the appointment boundaries. Record intended appointments accurately, including where the secretary will be appointed after incorporation.

Assess controllers separately from the registered shareholder list. For companies incorporated from June 16, 2025, the Central Register of Registrable Controllers information is filed through the incorporation process on the registration day, unless exempt. The Central RORC guidance also explains when executive-control information is required if controllers cannot be identified.

Nominee directors or shareholders introduce nominator information and the relevant ROND or RONS workstream. The central nominee-register rules distinguish this from controller reporting. A person can appear in more than one capacity, but the legal reason and information required for each capacity should still be recorded.

Use a small role map with one row per person or entity and separate columns for legal ownership, office held, control assessment and nomination. Do not infer an exemption from the fact that ownership looks simple. Where the assessment is unresolved, pause that instruction for review instead of forcing a “no” answer to make the application move.

Separate data streams meet at registration Company particulars, people, control information and capital/constitution decisions enter the registration record through different evidence streams. Company particulars People and shareholders Controllers and nominators Capital and constitution Review one consistent registration record
A person’s name can be reused across streams; the underlying role and evidence cannot be assumed.

Reconcile share quantities, payment and constitution

Capital entry has several dimensions: currency, share class, number of shares, consideration and paid-up amount. A percentage alone is insufficient. ACRA’s capital and share-type guidance distinguishes these terms, including cash and non-cash consideration. Tell the filer what is actually agreed and supported.

For an arithmetic illustration, allocating 700 ordinary shares to one founder and 300 to another gives a 70:30 split of 1,000 shares in that class. It does not establish what the shares cost, whether they are fully paid, or whether another share class carries different voting rights. Approve those separate facts before entry.

Check that the sum of allocations equals the proposed issued shares for every class and currency. Reconcile the declared paid-up amount with the approved subscription and actual payment position. Share capital is not a registration service fee. Nor does a minimal capital figure show that the business has enough cash to operate.

Bizfile permits a customised constitution or adoption of the model. The model can apply as in force at a point in time or as amended from time to time; those choices have different future effects. ACRA’s constitution guidance explains the distinction. Keep the selected version or adoption instruction with the company records.

Where governance rules differ from the model, choosing a model or customised constitution is part of the information decision. Do not upload a document containing one capital or rights structure while instructing the portal to record another.

Do the shares and documents reconcile?

Check the allocation, payment position and constitution before the application is declared accurate.

Identify who files, endorses and pays

For an eligible direct filing, ACRA says the person who reserved the name must register and must be appointed a director or secretary. A registered CSP can file on the company’s behalf. Foreign founders must use the applicable CSP route; possession of a document or an account credential is not itself proof of filing eligibility.

For non-CSP filings, other position holders endorse the registration within 60 days before the payment stage is completed. ACRA says this endorsement process is not required when a CSP files. The final-review and endorsement instructions should therefore be matched to the actual submission route, rather than imposed identically on every founder.

ACRA charges S$15 for the name application and S$300 for company registration, checked against the official company fee schedule on November 4, 2026. Professional verification, drafting or support fees are separate unless the provider expressly includes these government charges. Keep the receipt and transaction reference.

If payment fails or the session freezes, examine the transaction status and the current troubleshooting instruction before submitting again. If a query arrives, answer against the saved application version. Repeated new submissions can make it harder to establish which instruction is awaiting a decision.

Accept the Bizfile record only after checking the outcome

After payment, check the Bizfile inbox for the incorporation result. For approval, ACRA identifies the successful-incorporation notice, company UEN and Business Profile download link. The post-registration checklist explains the records and follow-on tasks. A receipt or an application draft is not the incorporation outcome.

Compare the resulting record with the approved instruction: entity name and type, office, officers, shareholder allocations and capital. Preserve the constitution and register information in a company-accessible location. Report a discrepancy promptly through the appropriate ACRA correction route; do not quietly alter the supporting instruction to conceal it.

A complete filing information set is one that can be traced from the accepted source records to the submitted fields and then to the official outcome. Hold the application when authority, ownership or capital cannot be reconciled. Finish registration with a verified record, then assign the separate bank, tax and licensing work.

Ready for a final registration-data check?

Bring the approved field register and supporting records so the filing instruction can be reconciled before submission.

Frequently asked questions

Is a Business Profile the same as the constitution?

No. The Business Profile records registered entity information; the constitution contains governance rules. Retain both and make sure the approved registration particulars are consistent with the constitution used.

Can the filing contact use a personal email address?

Choose an address the company can reliably monitor and manage. Consider continuity, authorised access and handover before using an individual’s temporary mailbox.

Does a public contact address hide all personal information from ACRA?

No. A contact-address arrangement affects the relevant public record; it does not remove the obligation to provide required residential and identity particulars to the authority.

Do percentages alone tell the filer how to enter the shares?

No. Specify share counts, classes, currency, consideration and paid/unpaid amounts. Percentages are a useful cross-check but do not replace those registration instructions.
