Dubai Company Formation & UAE Business Setup

Reviewed by Elara Vance, Global Business Compliance & Market Entry Advisor · Updated

Business setup in Dubai is open to UAE residents and overseas founders. Full foreign ownership is available for many mainland and free-zone activities, but the right answer still depends on what the business will do, where it will sell, whether it needs visas or premises, and whether a sector regulator must approve it.

A free-zone company often suits international services, online businesses and regional operations. A mainland company is usually stronger for direct UAE trade, a shop, a local service team or government work. An offshore vehicle is generally for holding or international structuring; it is not a substitute for an operating licence.

Our first recommendation: settle the activity, customer location, visa plan and banking story before paying for a licence. The cheapest package can become the expensive option if it cannot support the way you intend to operate.

Fit Before Filing

Is Dubai the right base for your business?

Dubai can work well when the legal entity supports a real commercial plan. It is less convincing when the only objective is a low headline tax rate or a bank account with no operating explanation.

✓

Dubai is often a good fit when

  • You will serve UAE, Gulf or international customers from a regional base.
  • You need an eligible residence route for founders or employees.
  • Your activity benefits from Dubai's logistics, finance, technology or professional-services ecosystem.
  • You can explain the business, funding and expected transactions to a bank.
!

Pause and review the plan when

  • You need a regulated activity but have not checked the external approval.
  • You expect a free-zone licence to permit every form of mainland trading.
  • You need several visas but have budgeted only for the licence.
  • Your home-country tax, management-and-control or permanent-establishment position is unresolved.

Dubai's official investment portal explains that setup choices and costs depend on the activity, licence and operating requirements. Review the current Invest in Dubai business setup guidance before filing.

Choose the Operating Route

Dubai mainland vs free zone vs offshore

Start with where the company will earn revenue and perform work. The legal label matters less than whether the licence, premises, visas, tax position and bank file all support the same business model.

Direct UAE operations

Dubai Mainland

Usually the clearest route for businesses selling or delivering services directly across the UAE, operating a shop or office, tendering for eligible government work, or requiring a broad local footprint.

  • Licensed in Dubai through the relevant mainland authority
  • Full foreign ownership available for many activities
  • Office and Ejari requirements depend on the setup
  • External regulator approval may apply

Check first: exact activity wording, ownership conditions, premises and approvals.

International or sector-focused

Dubai Free Zone

Often suitable for consulting, technology, media, logistics, commodities, e-commerce and regional headquarters where a specific zone's activity list, facilities and visa capacity fit the plan.

  • 100% foreign ownership
  • Packages may include a flexi-desk or office
  • Mainland access must be checked for the activity
  • 0% corporate tax is conditional, not automatic

Check first: customers, approved activities, facilities, visas and qualifying-income rules.

Holding and international structuring

Offshore / Holding Vehicle

Can be considered for holding shares or assets and certain international structures. It normally does not provide the same local operating rights, premises or residence-visa route as a mainland or free-zone operating company.

  • Designed around holding or international purposes
  • No assumption of UAE mainland trading rights
  • No standard employee visa allocation
  • Banking and tax residence require separate analysis

Check first: substance, bankability, home-country tax and the actual need for an offshore vehicle.

Existing overseas company? A Dubai branch or a locally incorporated subsidiary may be more appropriate than a founder-owned company. Compare liability, document attestation, control, tax and future investor entry before choosing.

For the official mainland sequence, see the UAE Ministry of Economy and Tourism's steps to establish a mainland company.

Match the Entity to the Activity

Which Dubai or UAE company type fits your business?

Your business activity is the first decision, not the company label. It determines the licence category, whether a regulator or specific premises are required, and which legal forms the chosen authority will accept. Only then should you compare liability, shareholders, visas, customer location and future investment.

Local trading and operations

Mainland Limited Liability Company (LLC)

Usually consider this when: the business will sell or deliver services across the UAE, sign local commercial contracts, import or distribute goods, lease a shop, office or warehouse, or build a UAE-based team.

  • Retail, restaurants and customer-facing premises
  • General or specialised trading and distribution
  • Construction, facilities and local B2B services
  • One or several shareholders, subject to the approved activity

Check before choosing it: the exact activity wording, foreign-ownership conditions, Ejari or premises rules, customs registration and any sector approval. An LLC licence does not replace a food, health, education, transport or other regulated permit.

International, digital or zone-based

Free-Zone Company: FZ-LLC, FZCO or FZE

Usually consider this when: the company provides international services, software, consulting, media or e-commerce, acts as a regional headquarters, or uses a free zone's logistics, commodities, finance or industry facilities.

  • Remote-first consulting, SaaS and digital services
  • International trade or re-export through zone facilities
  • Regional management, holding or group support functions
  • Single- or multi-shareholder formats where the zone permits them

Check before choosing it: each zone has its own entity names, activity list, facility rules and visa capacity. Confirm how the company may serve mainland customers and do not treat a free-zone licence as an automatic 0% corporate-tax result.

Existing overseas business

Branch of a Foreign Company

Usually consider this when: an established overseas company wants a direct UAE extension under the parent's ownership and control, and the proposed UAE activities can be aligned with the parent company's registered activities.

  • Contract delivery by an established international group
  • Regional sales, service or project execution
  • A parent that wants direct control rather than new shareholders
  • Mainland or free-zone branch routes, where available

Check before choosing it: a branch normally operates as an extension of the parent rather than a separate shareholder-owned subsidiary. Compare parent liability, document legalisation, permitted activities, tax and banking with a locally incorporated LLC.

Individual or partner-led practice

Sole Establishment or Civil Company

Usually consider these when: one qualified individual—or a group of practitioners—will provide an approved professional service and does not need a general trading structure. The available form depends on the activity and licensing authority.

  • Selected consultancy and specialist services
  • Professional practices led by the licence holders
  • A sole establishment for an eligible individual activity
  • A civil company where eligible professionals operate together

Check before choosing it: qualifications, professional approvals, ownership, manager or service-agent rules and personal-liability exposure. This is not the default structure for product trading, stockholding or a business planning outside investors.

Non-trading market presence

Representative Office

Usually consider this when: a foreign company needs a limited UAE presence for promotion, relationship management, market research or liaison, without using that office as a normal revenue-generating operating company.

  • Market testing before a full commercial launch
  • Brand promotion and group liaison
  • Coordination with customers, suppliers or partners
  • No assumption of unrestricted local invoicing or trading

Check before choosing it: the permitted scope is narrower than an operating company. If the Dubai presence must sign contracts, invoice customers, sell goods or deliver paid services, test a branch or subsidiary instead.

Ownership and structuring

Holding, SPV or Offshore Vehicle

Usually consider this when: the entity has a defined purpose such as holding shares, segregating an investment, owning certain assets or intellectual property, or supporting a documented group structure.

  • Shareholding in operating subsidiaries
  • Investment or asset segregation
  • Group ownership and succession planning
  • A specific financing or transaction purpose

Check before choosing it: it is not a shortcut to a residence visa, unrestricted UAE trading, tax residence or guaranteed banking. If revenue-generating work will occur in Dubai, an appropriately licensed operating company may still be required.

A practical starting point Local UAE sales, premises or staff: test a mainland LLC. International or digital services: compare suitable free zones. An existing foreign parent: compare a branch with a subsidiary. A personal professional practice: test an eligible professional form. Holding only: assess a holding or SPV separately from the operating company.

The UAE Ministry of Economy and Tourism states that the business activity determines the economic licence and that the legal structure should be based on the needs of the business. Its official guidance lists mainland legal forms and the common free-zone forms FZ LLC, FZ Co. and FZE. Names and eligibility still need to be confirmed with the selected Dubai authority before filing. Review the current UAE company establishment guidance.

From Plan to Licence

How to set up a company in Dubai

A clean UAE company registration file follows the operating logic of the business. Each step should make the next step easier, especially the licence, visa, tax and bank reviews.

01

Define the activity and transaction flow

Describe what the company sells, who pays it, where work is performed, which countries are involved and whether goods, staff or regulated services are part of the model.

02

Choose mainland, free zone or another route

Compare customer access, activity availability, ownership, premises, visas, tax treatment and likely banking questions. Do not choose on licence price alone.

03

Confirm legal form, shareholders and UBOs

Decide whether individuals or a foreign parent will own the company, who will manage and sign, and how the ownership chain and source of funds will be evidenced.

04

Reserve the name and obtain approvals

Submit suitable names, complete initial approval and obtain any sector or activity approval required before the final licence can be issued.

05

Complete documents, premises and licence

Sign the constitutional documents, complete the facility or lease requirement, pay the confirmed fees and collect the incorporation and trade-licence records.

06

Build the operating file

Set up tax records, UBO records, bookkeeping, immigration and payroll where needed, then prepare the bank application around the same ownership and business facts.

Plan for Dependencies

How long does Dubai company formation take?

A straightforward licence can be issued quickly after a complete submission, but “company formed” and “ready to receive customer payments” are different milestones. Immigration, premises, external approvals and banking often extend the launch schedule.

Dubai company formation timeline planning meeting
Typical planning: 1–5 working days

Scope, activity and document check

The timing depends on how clearly the business can be classified and whether shareholder, UBO and foreign corporate documents are ready.

Typical licensing: 3–10 working days

Approval, incorporation and licence

This range is for a standard complete case. Corporate shareholders, regulated activities, premises approvals or document attestation can take longer.

Typical immigration: 1–4+ weeks

Establishment file, residence and Emirates ID

Entry status, medical fitness, biometrics, Emirates ID and authority processing create a separate schedule from licence issuance.

Typical banking: 2–8+ weeks

Bank review and account decision

The bank controls approval and timing. Complex ownership, high-risk countries, limited business evidence or inconsistent forecasts can extend the review.

What the incorporation stage should produce

Exact names vary by authority and legal form, but the handover should clearly identify the documents received and the actions still open.

1
Company and licence records

Trade licence, certificate and constitutional records applicable to the entity.

2
Ownership and authority file

Shareholding, manager or signatory records and UBO support documents.

3
Open-actions register

Tax, immigration, banking, premises, payroll and renewal tasks with owners and dates.

Prepare the File

Dubai company registration requirements

The authority can request different documents for each activity, shareholder type and signing route. Prepare identity and ownership evidence first; add premises and sector material only where the chosen route requires it.

ID

Individual shareholder

  • Clear passport copy and contact details
  • Residential address evidence where requested
  • UAE visa and Emirates ID if already resident
  • Proposed names and precise activity description
  • UBO and source-of-funds information for compliance and banking
CO

Corporate shareholder

  • Certificate of incorporation and current registry evidence
  • Constitution or articles and director records
  • Board resolution and authorised signatory evidence
  • Ownership chart through to the ultimate beneficial owners
  • Notarisation, legalisation, attestation or translation where required
+

Activity, premises and regulator documents

Regulated or site-dependent work may require a business plan, professional qualification, manager approval, regulator no-objection, product or technical documents, lease, Ejari, layout or site inspection. Ask which approval is a condition of incorporation and which is a condition of trading.

For a stronger filing file: make the activity description, contracts, website, invoice plan and bank explanation consistent. Our trade licence guide explains how to separate company registration from operating permits.

UAE Tax Basics

Corporate tax and VAT after setup

A Dubai licence does not settle the tax analysis. The company must identify its taxable status, registration and filing dates, qualifying-income position, VAT exposure and record-keeping duties. Overseas owners should also review tax residence and management rules in their home country.

Standard UAE corporate tax
0% / 9%

Taxable income threshold: AED 375,000

For an ordinary taxable person, the rate is 0% on taxable income up to AED 375,000 and 9% on taxable income above that threshold. Taxable income is not the same as revenue or cash in the bank.

Registration and filing still matter

Low or nil tax does not remove every compliance duty. Corporate tax returns and payment are generally due within nine months after the end of the tax period.

Check the Federal Tax Authority guidance
Free-zone tax regime

0% applies only to Qualifying Income

A free-zone licence alone does not create a 0% tax result. A Qualifying Free Zone Person must meet the applicable conditions, which can include adequate substance, qualifying income, transfer-pricing compliance and audited financial statements.

  • ✓
Test each revenue stream, customer type and activity.
  • ✓
    Separate qualifying and non-qualifying income.
  • ✓
Keep evidence for substance and related-party pricing.

VAT is normally 5%

5%
Mandatory threshold for UAE-resident businessesAED 375,000
Voluntary thresholdAED 187,500

Non-resident rules and the place-of-supply analysis can differ. Do not assume exports or online services are automatically outside UAE VAT.

Current compliance note: standalone UAE Economic Substance Regulations filings ceased for financial years ending after 31 December 2022, as reflected in the official ADGM regulatory update. That does not remove substance questions under corporate tax, transfer pricing or bank KYC.

Independent Bank Decision

Corporate bank account preparation

A Dubai trade licence lets the company apply for an account; it does not oblige a bank to approve one. The best time to prepare the file is before incorporation, because the licence activity, ownership, website, premises and transaction story should agree.

✓ Ownership and UBO file
✓ Source of funds and wealth
✓ Contracts and counterparties
✓ Forecast transaction profile

What HSJGlobal can—and cannot—do

Can: review documents and risk gaps
Can: prepare a suitable bank shortlist
Can: organise the application and interview file
Cannot: guarantee approval, timing or account features

A payment gateway or merchant account is a separate approval. Its underwriting may consider products, refund terms, website disclosures, processing countries and chargeback risk.

After the Licence

What keeps a Dubai company operational?

The licence is the start of the operating calendar. Owners should know which obligations apply, who owns each deadline and what evidence must be retained.

↻

Licence and premises renewal

Track authority, lease or flexi-desk, establishment file and visa expiry dates.

CT

Corporate tax and records

Register when required, keep accounting records and file within the applicable period.

VAT

VAT monitoring

Monitor thresholds and supply treatment rather than waiting for year-end turnover.

UBO

Ownership and UBO changes

Keep beneficial-owner, manager, signatory and share-transfer records current.

HR

Employment and payroll

Coordinate contracts, work permits, payroll and insurance where employees are hired.

KYC

Bank information updates

Respond to periodic reviews and keep activity, address and transaction evidence consistent.

These are planning examples, not automatic recommendations. A small change in customer location, activity or visa requirement can change the result.

Overseas digital services

Consultant or SaaS founder

If most clients and delivery are outside the UAE, a suitable free-zone activity may offer a practical operating base. We would still test founder residence needs, qualifying-income rules, website and contract wording, and the evidence a bank will expect.

Trader or local service business

If the company imports goods, holds local stock, opens premises or delivers services across Dubai, a mainland route may be cleaner. We would test customs, product permits, warehouse or office requirements, staff visas and VAT before filing.

Foreign parent entering the UAE

A subsidiary may ring-fence liability and admit investors; a branch may preserve a direct link to the foreign parent. We would compare parent liability, attested documents, intercompany transactions, tax, management control and bank KYC.

Before You Pay

Do not compare Dubai setup quotes on Year 1 price alone

A low entry price may omit the items that make the company usable. Ask the provider to show the full route from licence to first invoice and the cost of keeping the structure in good standing.

01

Ask for a renewal schedule

Request Year 2 authority, licence, premises, establishment file, visa and professional-service estimates. Confirm which figures are fixed, indicative or outside the provider's control.

02

Ask what “bank support” means

It should describe document review, introductions, applications and follow-up—not a guaranteed approval. Also confirm whether tax registration, bookkeeping and VAT work are separate.
