Recurring obligations and renewal control

Annual Cost of Maintaining a Malaysian Company

Build an annual maintenance ledger around obligations, owners and changing activity.

For a private Malaysian company, the published SSM annual-return charge is MYR 150, while financial-statement lodgement is MYR 20 for a non-audited set or MYR 50 for an audited set. Those items give MYR 170 or MYR 200 in the specified filing charges when both apply, excluding preparation and all other maintenance. The complete annual budget also depends on appointments, records, tax work, audit status and business-specific renewals.

Key takeaways

  • A company maintenance budget includes more than the annual-return filing charge.
  • Anniversary reporting and financial statement reporting follow different clocks.
  • Choose an unaudited filing basis only after a valid exemption assessment.
  • Separate routine retainers, activity-driven work and unexpected remediation.

Identify the maintenance floor and its exclusions

The filing arithmetic comes from SSM’s prescribed company charges : MYR 150 + MYR 20 = MYR 170, or MYR 150 + MYR 50 = MYR 200 for the respective financial statement route. These are component totals for the named filings, checked on October 28, 2026. They are not annual service prices, a universal minimum operating budget or a promise that unaudited statements are available to every company.

Annual cost layer Budget basis Who supplies the price What changes the amount
Continuing appointments Secretary and address service terms Contracted provider Coverage, permissions and action allowances
Accounts and reporting Required statements and record work Accountant and relevant specialists Volume, quality and reporting complexity
Tax support Actual compliance and advisory scope Tax service engagement Transactions, registrations and specialist issues
Audit where required Applicable audit engagement Appointed auditor Eligibility, risk and financial complexity
Official lodgements Prescribed filing category SSM tariff Audited versus eligible non-audited route
Business renewals Actual licences and contracts Issuing authority or supplier Activity, premises and renewal terms

An inactive company should still receive an obligation-by-obligation review. Lack of sales is not sufficient evidence that the company has no records, appointments or submissions to maintain. The maintenance floor should be defined from the entity’s actual status, not an informal description such as “not using it yet.”

Put three clocks on the annual calendar

The first clock is the incorporation anniversary. The annual return updates the registered information on that timetable. The second is the financial reporting cycle, which follows the financial year end and the circulation and lodgement process. The third is the commercial contract or licence renewal date, which can fall anywhere in the year.

SSM’s annual submission page separates the annual return from financial statements and reports. Budget their preparation as different workstreams even if one coordinator handles both. A receipt for one submission should not be used to close the other task.

A useful renewal ledger has five fields in your own records: obligation, applicable period, responsible person, approved fee and completion evidence. Add the supplier’s notice period to contract entries. This makes it possible to compare renewal quotes before an automatic payment or an expiring appointment becomes urgent.

For each reporting task, also record who must provide information and who checks the finished output. A filing can be delayed because the company did not supply records even when the provider’s fee has already been paid. A paid retainer is not completion evidence. Completion requires the actual statement, accepted filing or renewed permission appropriate to that task.

Choose the correct audit cost route

Audit exemption can change the maintenance budget, but it requires an actual eligibility assessment. Use SSM’s audit-exemption framework and its current directive and FAQs. The framework phases its tests by the commencement of the financial period; the year a document is filed is not a safe substitute for that date.

Before removing audit from the budget, record the period, relevant criteria, required historical information, applicable exclusions and any other condition that affects the company. A small balance or a dormant label is not a complete assessment. The different non-audited lodgement charge does not establish exemption by itself.

Even where an exemption is validly adopted, accounts still need to be prepared and the company’s applicable reporting and tax work must be addressed. Price that preparation separately from the audit engagement. The audit eligibility and exemption evidence checks provide a focused next step when the assessment changes the annual plan.

The three clocks and the audit decision converge in the maintenance ledger, but they do not become one universal annual renewal.

Price the work at its real unit

Compare secretary and address fees by service term and permitted use; compare accounting by record volume and report cadence; compare tax and audit by the named work and complexity. A company with several payment channels or cross-border transactions can create substantial work even without employees or a large physical office.

Use the maintenance equation: fixed contracted appointments + agreed recurring professional work + applicable official lodgements + triggered projects and renewals. Keep company tax payments and operating expenditure in their own budget categories. They may require cash, but they are not professional revenue for the compliance provider.

  1. Carry forward each recurring service only if the new period and quantities are confirmed.
  2. Check whether annual return preparation, registers, beneficial-ownership work and financial statements overlap between proposals.
  3. Identify genuine exclusions and who will perform the omitted work.
  4. Obtain a written variation mechanism for increased volume or a changed company structure.

HSJGlobal maintenance prices require a company-specific approved quotation. The filing figures above cannot substitute for it. Request the actual SST treatment and reimbursed charges for the invoicing entity rather than applying a flat tax assumption to every line.

Check a changed annual cost scope

Review exemptions, record volume and overlapping service proposals.

Protect the budget when activity or providers change

A director change, share transaction, overdue record correction or provider transfer can create event-driven work beyond the routine annual retainer. Identify what information and original records the company must retain, whether a closing balance is agreed and who will file any pending submission during a transfer.

Price historical cleanup separately from the new recurring period. Combining both into an unexplained annual increase prevents a fair comparison with the following year. The opening condition of the records should be documented so the new supplier and the company agree what is being remediated.

The wider Malaysia company registration context is relevant when maintenance reveals an unresolved formation or appointment issue. Resolve that underlying issue on its own evidence. Do not buy a second generic incorporation package merely because an existing company’s handover records are incomplete.

Close the maintenance cycle with evidence

Close the year’s maintenance tasks when the company holds the required completed outputs and each next-cycle appointment or renewal has an owner. Keep the annual cost ledger alongside the filing and contract records so the next budget can be tested against actual work.

Escalate an unsupported exemption assumption, missing statutory records or an unidentified filing owner before treating the company as fully maintained. The final control is a demonstrable completed obligation, not a single payment labelled annual compliance.

Close the cycle and prepare renewal

Assign completion evidence and the next service period for each obligation.

Frequently asked questions

Is a private company’s annual return an AGM?

No. Treat the annual return as a distinct registered-information submission rather than assuming it is completed by a meeting.

Can I remove accounts preparation if audit is exempt?

Audit exemption and financial statement preparation are different questions. Confirm the reporting work that remains applicable.

Should a historical cleanup fee recur automatically?

Ask for the cleanup period and acceptance standard separately from continuing work, then price the new year on its own scope.

What should I retain after paying annual fees?

Keep the relevant accepted submission, financial outputs, appointments, renewal evidence and records needed for the next cycle.
