Annual General Meetings in Indonesia: Shareholder Decisions and Supporting Reports
Connect each annual approval to the right report, authority evidence and closing record.
Indonesia’s annual general meeting is a shareholder decision event supported by a directors’ annual report and commissioners’ review, with a six-month limit after the financial year-end. Readiness means the proposed approvals match final reports, any required audit and a valid voting route. For ordinary PT companies, including PT PMA companies, start by checking the financial year, the articles of association and the audit basis; public companies and regulated businesses need additional rules.
Key takeaways
- Build the timetable from the financial year-end, with reporting and notice preparation finished before the annual event.
- A signed annual report and an auditor’s report serve different functions; neither substitutes for the other.
- Separate annual approval, profit allocation and any special corporate matter so each decision has usable evidence.
- A circular decision requires every voting shareholder’s written approval and signature, not a normal majority.
- After approval, track the notarial deed and SABH delivery as a separate closing task.
Fix the annual calendar before choosing a meeting date
For an ordinary Indonesian limited liability company (PT), set the annual general meeting deadline from the financial year-end, then work backwards through reporting, audit and notice. Under Company Law Articles 66 and 78 , directors submit the annual report after review by the board of commissioners within six months after the financial year ends, and the annual general meeting (RUPS tahunan) must also be held within that six-month period. A PT PMA is a PT with foreign investment; overseas shareholders do not create a different annual deadline.
The annual deadline does not move when the accounts are late. Reserve time for the commissioners’ review and any mandatory audit before circulating final approval materials.
For a company whose financial year ends on 31 December 2026, the six-month limit falls on 30 June 2027. This is a calendar illustration, not a promised preparation time. An earlier internal meeting date creates room for questions, corrected statements and signing problems. Confirm the year-end in the articles of association rather than assuming every company uses December.
Use three separate diary entries: the annual report/meeting limit; the notice date for the chosen meeting; and, once the approval deed is signed, its separate SABH delivery deadline. Assign a named director to the first and third entries and a preparer to collect their evidence. A meeting invitation, signed report or notary appointment alone does not close all three.
Check the annual approval timetable
Bring the financial year-end, articles and intended meeting date to identify the preparation work that still needs an owner.
Assemble a report pack shareholders can approve
The directors prepare the annual report; the commissioners review it before submission to shareholders. The report is more than a profit-and-loss statement. Article 66 requires the financial statements, a report on company activities, implementation of social and environmental responsibility, problems affecting the business during the year, the commissioners’ supervisory report, the names of directors and commissioners, and the prescribed remuneration information for both boards.
- Include the comparative year-end balance sheet, the year’s profit-and-loss statement, cash flows, changes in equity and notes; the financial statements must follow applicable financial accounting standards.
- Identify the financial year and final version on every component. Reconcile the statements, activity narrative and profit proposal before circulation. This version control is an editorial preparation recommendation.
- Obtain signatures from all directors and commissioners who served in the financial year concerned. Under Article 67, obtain the person’s written reason or a separate directors’ explanation attached to the report if someone does not sign; absence of a written reason has the statutory deemed-approval consequence.
- Keep the signed report available at the company office from the meeting notice date so shareholders can examine it.
The incorporation deed and later amendments from forming a company in Indonesia establish the company identity and governance terms against which the annual pack should be checked. Use the current board and shareholder records as well as the financial-year history; the person signing an invitation and the people required to sign the annual report need not be identical.
Settle the audit screen before seeking financial approval
Under Company Law Article 68 , audit triggers include collecting or managing public funds, issuing debt acknowledgements to the public, public-company status, Persero status, assets and/or business turnover of at least IDR 50 billion, and requirements under other legislation. Where the statutory audit requirement applies, unaudited financial statements cannot be ratified by the RUPS. The audit report goes to shareholders in writing through the directors.
Do not treat the IDR 50 billion test as the whole audit analysis. Government Regulation 64/1999 , amending Government Regulation 24/1998, separately addresses annual financial information, including qualifying PT companies, specified foreign companies and their branches or subsidiaries, and audited reports; its Article 4A reduces the asset criterion to IDR 25 billion from financial year 2000. A locally incorporated PT PMA should not be equated automatically with that regulation’s specified foreign-company category merely because its shareholders are foreign. Check the company’s actual classification, other reporting duties, sector rules and bank covenants when screening the audit obligation for a PT PMA .
Older checklists may cite Trade Minister Regulation 25/2020. Trade Minister Regulation 26/2025 revoked that ministerial regulation. Its repeal is not evidence that every separate statutory audit duty disappeared. Record the legal basis for an audit conclusion; a parent company’s group audit or a bank’s request also needs its own scope check.
Match each shareholder decision to its evidence
Write the proposed decisions separately, even when they will appear in one set of minutes. Under Articles 69–71 , annual-report approval includes financial-statement ratification and approval of the commissioners’ supervisory report. Use the following release sheet to connect each proposal to a document shareholders can actually assess. The release and hold tests are preparation controls, not additional statutory forms.
| Proposed decision | Evidence to put beside it | Release or hold test |
|---|---|---|
| Approve the annual report | Final report, commissioners’ review and supervisory report, signatures or attached reasons | Hold if the agenda refers to a report version different from the circulated final pack. |
| Ratify the financial statements | Complete statements, required audit report and explanations of material issues | Hold financial ratification where a required audit is missing; distinguish unfinished work from a completed qualified opinion. |
| Allocate annual net profit | Profit reconciliation, accumulated losses, reserve balance and draft allocation | State the allocation expressly. Article 70 requires a reserve allocation when retained earnings are positive until the reserve reaches at least 20% of issued and paid-up capital. |
| Distribute a dividend, if proposed | Positive retained-earnings support, reserve calculation, amount and recipients | Article 71 permits dividends only with positive retained earnings. Approval of a dividend does not itself settle withholding tax or payment execution. |
| Change a board appointment or approve another special matter | Specific agenda, current articles, term dates and supporting proposal | Apply that matter’s authority, quorum, voting and filing rules separately. Annual-report approval does not silently approve every corporate change. |
Add four working fields to each row in your own file: document version, responsible preparer, unresolved question and final resolution reference. A shareholder asking about an expense or loss should be able to reach the underlying explanation without voting on an ambiguous “approve everything” motion. Directors and commissioners should also understand that annual approval is not blanket protection for false or misleading financial statements; Article 69 addresses responsibility for those statements.
The annual event and the later filing need different evidence. The first lane below ends with shareholder action; the second begins when the approval deed is signed.
Choose a valid meeting or written decision route
For a conventional meeting, first confirm the articles of association and the voting share register. Articles 82, 86 and 87 provide the ordinary Company Law baseline: notice at least 14 days before the meeting, excluding both the notice date and meeting date; attendance or representation of more than half of all voting shares for the ordinary first-meeting quorum unless a greater requirement applies; and deliberation for consensus, followed, if necessary, by approval of more than half the votes validly cast unless the law or articles require more.
The notice must identify the date, time, place and agenda and explain availability of meeting materials. For the ordinary Article 82 route, use registered letter and/or newspaper advertisement and retain dispatch or publication evidence. Count voting shares rather than people or subscription amounts. Check each proposed resolution for special rules before relying on the ordinary threshold; amendments to the articles and major transactions can need different thresholds.
Physical RUPS venues must be in Indonesia and comply with Article 76 and the articles. Shareholders abroad can plan representation with proper authority; Article 85 bars the company’s directors, commissioners and employees from acting as shareholder proxies in voting. Article 77 allows electronic meetings where all participants can see, hear and participate directly, with minutes approved and signed by all participants; an informal email thread is not automatically a valid electronic RUPS. Resolve identity, voting entitlement and the intended method before sending the notice.
Written decisions require complete voting-share consent
Under Article 91 , shareholders may make a binding decision outside a RUPS if all shareholders with voting rights approve the proposal in writing and sign it. A majority signature collection is not a circular resolution. Use identical proposed text and retain the completed signed set; silence or a missing signature does not supply unanimous written approval.
If written resolutions are proposed for annual approvals, confirm with the company’s legal adviser and notary how the annual obligations and current recording rules will be satisfied. Do not use Article 91 as a reason to extend the six-month annual timetable. For a public company, the OJK rules for public-company RUPS add a separate regime; issuer and regulated-sector reporting duties also require their own check. The private-PT baseline above is not a complete public-company procedure.
Resolve an evidence gap before signatures
Use the proposed resolutions and final report versions to examine missing audit, authority or consent evidence.
Close the approval deed and SABH filing track
Separate the shareholder decision record from the subsequent ministerial delivery record. Company Law Article 90 requires minutes of each RUPS, signed by the meeting chair and at least one shareholder appointed by the participants; those signatures are not required where the minutes are made in a notarial deed. Keep attendance, authority evidence, the final report and the exact votes or unanimous consent with the record.
Under Permenkum 49/2025 Article 16 , RUPS approval of the annual report must be contained in a notarial deed and delivered by the directors through a notary via the Legal Entity Administration System (SABH) within 30 calendar days from signing the deed . Article 1 defines the day unit as calendar days. This clock starts from the deed signature, not the financial year-end or an assumed incorporation anniversary.
That recording requirement does not by itself say a notary must physically attend every AGM. Agree the lawful recording method and necessary documents with the notary before the event. Ask who will provide the approved text, who will execute the deed, which report version it identifies and who will check submission evidence.
- Record the actual annual approval date and deed-signing date separately; calculate the 30-calendar-day limit from the latter.
- Give the notary the final decision record, company identifiers, authority evidence and approved report version needed for the filing. Confirm the live document requirements rather than guessing SABH fields.
- Obtain and retain the deed and the SABH submission or receipt evidence available for that transaction. Check the company identity, financial year and recorded approval against the signed file.
- Track any board or articles changes under their own approval/notification route. Do not assume annual-report delivery updates every company record automatically.
Treat the annual approval as closed when the valid decision record and approved reports agree; treat the filing task as closed only when its required deed and delivery evidence are saved. A notary engagement letter is evidence of an instruction, not proof of submission.
Repair gaps without disguising an incomplete approval
A readiness gap should have a named owner and a recovery action. If the audit is mandatory but unfinished, obtain an achievable audit completion plan and legal advice on the annual timetable; do not label management accounts “audited” or draft financial ratification as though the missing report exists. If an audit opinion raises issues, circulate the actual opinion and a management explanation so shareholders know what they are being asked to approve.
For a missing report signature, obtain the person’s signature or the written reason contemplated by Article 67 and attach it to the report. For an attendance gap, recalculate the quorum from voting shares and use the lawful reconvening or other available route; a failed first meeting does not automatically inherit a lower quorum by informal agreement.
If the six-month date has already passed, document the delay and arrange lawful corrective action promptly with the directors, commissioners and notary. Keep the real dates. Do not backdate minutes or treat the later deed-filing window as extra time for the annual meeting. If SABH delivery is late or contains an error, preserve the attempted submission and ask the notary to identify the current correction procedure; do not manufacture a receipt or describe a pending transaction as complete.
Release the AGM pack only when the evidence agrees
Release the AGM pack when the report is final, required review and signature issues are addressed, the audit conclusion has a recorded basis, every proposed decision has supporting evidence, and the chosen meeting or written-consent route is valid. Prioritize gaps that prevent financial ratification or a valid shareholder decision before polishing presentation.
Keep a separate owner for the approval deed and SABH handover. Stop for case-specific review if the company is public or sector-regulated, a voting or authority dispute remains, mandatory audit work is incomplete, or the statutory annual date has passed. Shareholders should receive a pack they can decide on, and directors should retain evidence that shows what was approved and what was subsequently filed.
Close the annual approval record
Bring the approved report, decision record and deed or filing evidence to review the remaining handover items.
Frequently asked questions
Does a shareholder’s personal signature replace a corporate shareholder’s authority evidence?
No. A signature identifies the signer; the file should also establish authority to act for the shareholder entity. Resolve that authority before counting the represented votes or relying on written consent.
Should a dormant company send an empty annual report?
A lack of trading does not explain the company’s complete financial position. Prepare reports reflecting the actual year, including capital, balances and expenses, and assess the annual obligations and audit rules that apply to the company.
Can the AGM approve a tax return instead of financial statements?
A tax return serves a separate reporting purpose. Identify the financial statements submitted for ratification and reconcile differences with tax reporting without substituting one document for the other.
Does saving a group audit report close the subsidiary’s audit check?
Only if the applicable requirement and audit scope are actually satisfied. Check the Indonesian entity, financial year, standalone reporting obligations and any sector or lender conditions before marking the subsidiary’s audit evidence complete.
