App Development Company Setup in Indonesia: Activities, IP and Digital Compliance

Decide who builds the code, who owns the rights and who operates the live service.

An app development company in Indonesia needs three aligned workstreams: an eligible entity and activity classification, contractual rights to the software it delivers, and digital compliance based on who operates the system and processes personal data. A studio building a client’s app is not automatically the same business as a company running its own platform. Define those roles before the deed, development contract and production architecture are finalized.

Key takeaways

  • Classify development, consulting, hosting and platform operation from the actual work; do not treat every digital activity as one programming service.
  • Payment for software or employment of its creator does not, by itself, settle every copyright question; document the rights chain.
  • Assess PSE registration against the actual system and operator, while keeping the company’s business registration separate.
  • Map controller, processor, hosting and support responsibilities before real user data enters development or production systems.
  • Launch readiness requires business authority, usable software rights and operational controls; passing one workstream cannot close the others.

Separate the development studio from the app operator

Write down the first way the business will earn revenue. A studio may sell bespoke design and programming to customers. A software owner may license its product or charge subscriptions. A platform operator may organize transactions between other parties. The same founders can pursue more than one model, but the work, rights and compliance responsibilities should be identified separately.

Use the customer contract and intended user journey to locate the operator. Who sets the terms, opens user accounts, decides the service features, collects subscriptions, handles complaints and controls deployment? A developer that only supplies code may have a narrower role than a company providing the live service. A managed-service agreement can move some operational responsibilities back to the studio.

Record the legal entity expected to contract for each function. A foreign parent owning the product, an Indonesian development subsidiary and an overseas customer can each sit in a different part of the arrangement. Do not assume that naming the group’s brand on the website explains the contracting or regulatory position. The proposal, invoices, terms and technical administration should reflect the intended arrangement.

The business model determines which setup questions must be answered. If the app itself performs a regulated function, assess that function separately from writing the code. A programming classification cannot be used as the evidence that the operator is entitled to carry on every service made possible by its software.

Choose current activities for the development work sold

Compare the actual services with the current KBLI descriptions and exclusions in OSS. The programming conversion record shows old KBLI 62019 moving to 62199 under KBLI 2025. A proposal that still lists a 2020 number should explain the current classification rather than assuming the historic label is sufficient for a new project.

The current KBLI 2025 e-commerce application-development entry is 62191. Its description covers programming and development of applications supporting online trade, including relevant code work, customization, testing and support. It excludes software-needs advice already covered by the identified computer-consulting entry. That boundary is useful when a studio sells advisory work without building the application.

Do not infer a platform-operation authorization from an application-development code. Building a marketplace for a client, operating the marketplace, providing the infrastructure and selling goods through it are different factual roles. Select the activities that correspond to the services the company genuinely plans to provide and assess any additional code or sector requirement on that basis.

Keep a scope note containing the current code, edition, official description, planned deliverables and exclusions. Identify whether the company will also provide hosting, continuing system management or licensing of its own software. Review the proposed ownership and OSS risk requirements for the actual activities. Avoid adding a long list of speculative codes merely because future customers might ask for those services.

Define the software business model

Describe the first contracts, intended app users and who will operate the production service.

Establish the company and project record for that model

Choose the legal vehicle from the real owners and operating plan. Where foreign investment is involved, assess the PT PMA route and activity access before giving the notary instructions. Keep investment and paid-up capital requirements separate from the development company’s incorporation expenses and operating budget. The software label does not create a special exemption from the applicable investment framework.

The underlying Indonesia company formation process should use an agreed ownership structure, activity description, management arrangement and lawful address. Establish the company through its applicable legal route and complete the relevant tax and OSS work. Record which official output closes each assignment rather than treating the setup coordinator’s delivery email as the full company record.

Consider the physical operation as well as the website. A registered address, a development office, employees working from several locations and a production server are different facts. Identify where people work and which premises the company uses, and check the arrangements that apply. A cloud location does not by itself answer the company-address or employment questions.

Set an internal launch plan with separate dates for incorporation, commercial contracting, personnel readiness and the live app. Document preparation and legal registration can proceed while the team develops a rights inventory and maps data flows. User-facing release should wait for the applicable workstreams, rather than being scheduled solely from the developers’ estimate of coding completion.

Document the software rights before promising ownership

Indonesian Copyright Law 28 of 2014 includes computer programs among protected works. Article 36 provides a default rule for works created in employment or on commission unless otherwise agreed. Do not assume that paying an invoice or putting a programmer on payroll automatically gives the company every right it intends to sell. Review the actual creation facts and agreements, including any other relevant authorship provisions.

Create a rights inventory for source code, interfaces, documentation, graphics, databases and other delivered assets. Identify the creator or supplier and the company’s basis for using each item. Pre-existing tools, third-party libraries, customer materials and newly commissioned code do not all have the same rights chain. The contract should separate what is assigned from what is licensed and what remains outside the transfer.

For employees and contractors, define the relevant work, economic rights to be granted or transferred, the parties, permitted uses and the treatment of pre-existing material. Have the arrangement reviewed for Indonesian-law effectiveness and the transaction’s cross-border elements. Moral rights and third-party restrictions should not be reduced to a blanket promise that the company owns everything without qualification.

Repository access is operational control, not proof of copyright ownership. Keep signed rights documents linked to identifiable versions or deliverables. When a founder brings code into a newly formed company, document the company’s entitlement to it instead of assuming incorporation moves the founder’s personal assets. When a studio promises rights to a customer, confirm that its own suppliers and team have granted enough rights to support that promise.

Maintain an inventory of third-party and open-source components with their licences and any conditions affecting distribution or use. This is a recommended delivery control. The risk is not that all open-source software is unsuitable, but that the company promises an exclusive or unrestricted transfer over material it can only use under conditions. Resolve incompatible commitments before delivery.

Copyright recordation is distinct from acquiring rights: article 64 says recordation is not a condition for obtaining copyright. A recordation document does not cure an unsupported transfer or clear third-party material. For the app’s brand, keep trademark protection during Indonesian market entry separate from the software-rights file. A company name or app-store listing is a different asset and does not settle that protection.

App setup has three independent evidence tracks Business activity, software rights and live-system responsibilities are checked separately. Each track must support the agreed app launch or delivery. Build Eligible company Actual activities Agreed delivery Own or license Creators and rights Third-party terms Supported grant Operate System operator Data responsibilities Production controls Launch or deliver with matched evidence
A finished build cannot substitute for the rights or operating responsibilities needed to use it.

Assess PSE registration for the live system and operator

Identify whether the actual electronic system and operator fall within Indonesia’s private electronic-system registration criteria. Komdigi publishes PSE registration criteria and links the registration route through OSS. Assess the functions provided to users and the operator’s Indonesian connection. Do not decide solely from the company’s description as an app developer or from whether the server is overseas.

A studio that builds an app for a client should allocate who operates the system after acceptance. If the client runs the service, the client’s obligations cannot simply be declared completed by the studio’s company registration. If the studio also hosts, manages or provides the service, examine that operational role on its own facts. A contractual title such as “technical partner” does not resolve the underlying conduct.

Prepare a system register with its name, domain or application identifiers, functions, operator, contacts and relevant infrastructure facts. Confirm what the current registration process asks the eligible applicant to declare and ensure those facts match the live system. Avoid making a registration based on an aspirational product description while the deployed app performs materially different functions.

Komdigi’s PSE registration information identifies public domestic and foreign PSE listings. Where registration applies, retain the accepted record and check the listed entity and system. A registration reference should not be marketed as approval of every product feature, data-processing practice or sector service. Keep separate permissions and ongoing obligations visible.

Use material changes as review triggers: a new operator, changed system function, new domain, substantial feature expansion or a different data architecture can require an update or another assessment. Assign a company owner for that review. The filing should describe the system the business actually operates, not remain a forgotten launch document.

Resolve ownership and operator boundaries

Bring the development agreement and the proposed live-system responsibilities for review.

Design personal-data controls into development and production

Map personal data before selecting the final production architecture. Identify what the app collects, why, from whom, where it is stored, who can access it and when it is deleted. Include customer support, crash reports, analytics, backups and developer access. A short privacy notice cannot explain a data flow the product team has not documented.

Under Personal Data Protection Law 27 of 2022 , controller and processor roles carry distinct responsibilities. A studio may process a client’s user data on instructions while acting as controller for its own staff and sales contacts. Article 51 addresses processing on the controller’s instructions and written approval for engaging another processor. Allocate actual responsibilities in the service and data-processing terms.

For each processing purpose, document the applicable lawful basis and the information to be given to individuals. Do not use a broad consent checkbox to replace analysis of all processing or assume a customer contract permits unrelated secondary use. Assess special categories of data, children’s data, high-risk processing and any need for specialist oversight against the actual product and current requirements.

Build practical controls around the roles: separate development and production access, restrict permissions, manage credentials, preserve useful logs and test deletion and recovery procedures. These are implementation recommendations to support compliance, not a claim that one fixed security checklist proves the entire system lawful. Choose controls that match the sensitivity and exposure of the data processed.

For cross-border transfers, article 56 sets an ordered framework: an equivalent or higher level of protection in the recipient country, then adequate binding protection if that condition is not met, and consent where the earlier conditions cannot be satisfied. Assess actual overseas hosting, remote support and onward access under that framework. Do not treat “the provider is global” as the legal basis for every transfer.

Plan for incidents before release. Article 46 sets a written notification requirement of no later than three times twenty-four hours in the event of a personal-data protection failure, to affected subjects and the institution identified by the law, with specified information about the exposed data, event and response. Establish the current reporting procedure and responsible decision-makers. The development contract should require prompt information from processors so the controller can assess and meet its duties.

A successful PSE filing does not replace the data-protection work. Keep the data map, role allocation, transfer assessment, access model and incident process with the product’s release documentation. Recheck them when a feature adds a new data purpose or when support access moves to a new vendor or country.

Write the development contract around a usable production handover

The contract should connect the commercial service with the rights and operating responsibilities described above. Specify deliverables, acceptance tests, exclusions, change control, support, maintenance and the conditions for any rights transfer or licence. Identify the party responsible for deployment and for ongoing platform compliance. Avoid promising an undefined “fully compliant app” as a substitute for those allocated tasks.

Workstream Owner to identify Evidence at acceptance
Business and activity Company management and filing professionals Entity and applicable activity outputs match the business sold.
Software rights Company, creators and contractual rights reviewer Supported assignment or licence, component inventory and identified deliverable version.
Electronic-system operation Actual operator and authorized registration owner Applicable PSE record, system particulars and separate permissions where required.
Personal data and production Controller, processors and operating team Role terms, data map, access handover and incident/deletion procedures.

Define how source code, build instructions, deployment configuration, domains and company-owned accounts will be delivered. Separate customer-owned assets from the studio’s reusable tools and third-party services. Give the client enough documented control to use the agreed deliverable without falsely promising ownership of assets that remain licensed or belong to another party.

On termination, identify what happens to unfinished work, access, support, personal data and backups. Preserve the records needed to prove accepted work and rights grants. A contractor’s departure should trigger credential review and continuity steps, while the treatment of its copyright and confidential information follows the agreement and applicable law.

Keep tax, invoicing, employment and investment-reporting responsibilities on the operating calendar where applicable. A cross-border software payment may need its own tax characterization, but no single tax treatment follows merely from using the word “app.” Assign that review to the actual contract and payment flow rather than adding an unsupported rate to the setup budget.

Launch the app business when activity, rights and digital controls align

Proceed with delivery or launch when the company can conduct the agreed activity, can grant or use the software rights it promises, and has addressed the applicable system-registration and personal-data responsibilities. Use the handover matrix to identify an owner and acceptance evidence for each workstream. A completed code build is only one input into that decision.

Hold the affected release when the company’s activity differs from its actual service, a creator’s rights are unresolved, the operator has not been identified or a material data flow lacks a supported compliance plan. Resolve the failed workstream without pretending the other approvals cure it. The useful setup is a company that can explain who builds, who owns and who operates the product throughout its lifecycle.

Prepare an evidence-based app launch

Use the business, software-rights and digital-compliance gaps to assign the remaining setup work.

Frequently asked questions

Does publishing an app create a trademark right in its name?

Do not equate an app-store listing, company name or domain registration with trademark protection. Assess the brand separately and check the applicable rights and registration strategy.

Can a studio promise that a client’s platform is legally approved?

Limit the promise to the studio’s actual assignment and evidence. Code delivery, testing and technical support do not establish that the client has obtained every operating or sector permission.

Can we use production customer data to make testing realistic?

Assess whether identifiable data is necessary and lawfully usable for that purpose. Prefer appropriately synthetic or de-identified test data where practical; a copied production database carries its own access, security and retention implications.

Does a cloud contract settle international data transfers?

Not by itself. Review the actual storage, access, support and onward-transfer arrangements against the applicable legal requirements and the company’s role.

What happens to the launch date if one workstream fails?

Hold the affected release or function and name the evidence needed to proceed. A finished build should not override an unresolved rights claim, registration duty or material data-protection gap.
