INDONESIA SETUP COSTS
Are Government Fees Included in Indonesia Setup Packages? Quote Checks Before Payment
Match the official tariff, commercial allowance and payment evidence before approving the transfer.
IDR 29,500,000 is the approved one-time HSJGlobal PT PMA Essential package price, excluding VAT; applicable AHU establishment PNBP up to IDR 5,000,000 is included. Government fees can therefore be included in an Indonesia setup package, but only the named scope and written inclusion terms establish that. An “all-in” label alone does not cover every permit, third-party purchase or future renewal.
Before payment, match the actual government tariff to the company filing, check whether it sits inside the bundle or is payable separately, and request the voucher and reconciliation. The current PP 30/2026 record confirms the applicable fee regulation; the approved package price is a separate commercial input. The three tiers below apply to the specified standard PT PMA scope, not every Indonesian entity or regulated activity.
Key takeaways
- AHU establishment PNBP has four authorized-capital bands; the highest listed amount is IDR 5,000,000 per application, not a universal charge on every company.
- A bundled inclusion and a reimbursable disbursement need different treatment: reconcile any request to pay an already included voucher directly.
- Essential, Launch and Compliance differ in address and recurring support, while sharing the same stated AHU inclusion cap.
- Company capital, refundable deposits and operating cash belong outside the consumed setup-fee subtotal.
- Accept a payment instruction only after its scope, beneficiary, milestone, tax treatment and supporting evidence agree.
Identify the government charge before comparing package totals
Start with the named government service and its charging basis. An amount called “government fees” on a provider invoice is not enough to establish what the state charges or whether the package already covers it. Penerimaan Negara Bukan Pajak (PNBP) means non-tax state revenue; AHU is the Ministry of Law’s legal-administration system.
For establishment of a capital-partnership limited company, the official PP 30/2026 annex, section I.A.1 lists the following amounts per application. The BPK regulation record identifies 1 August 2026 as its effective date. These figures were checked on 22 October 2026; they are establishment tariffs, not a schedule for every later corporate filing.
| Authorized capital in the establishment filing | PNBP per application |
|---|---|
| Up to IDR 25,000,000 | IDR 300,000 |
| Above IDR 25,000,000 and up to IDR 1,000,000,000 | IDR 600,000 |
| Above IDR 1,000,000,000 and up to IDR 5,000,000,000 | IDR 1,500,000 |
| Above IDR 5,000,000,000 | IDR 5,000,000 |
The tariff band uses authorized capital (modal dasar). Do not select it from the provider’s service price, the amount of an initial bank transfer or a headline investment budget. A package allowance is not proof of the amount paid to the government. Ask for the filing’s capital figure and the corresponding voucher before treating an additional charge as payable.
NIB issuance through the official Online Single Submission (OSS) system is free, as the West Java government’s April 2026 notice confirms. A provider may charge for preparing or assisting the registration, but that professional work should be identified separately. Additional activity or premises approvals need their own scope and any applicable charging basis; free NIB issuance does not make every business approval free.
Check the fee band against your filing
Provide the proposed entity, authorized capital and quoted government-charge line so HSJGlobal can check the applicable scope and inclusion.
Read the inclusion cap in three HSJGlobal packages
HSJGlobal’s approved standard PT PMA prices below include applicable AHU establishment PNBP up to IDR 5,000,000 within the package. The cap is a commercial inclusion limit. It does not mean every application attracts an IDR 5,000,000 tariff, nor does it create a separate amount to add to the advertised package price.
These baselines were approved on 7 September 2026 and their stated scope was checked for this draft on 22 October 2026. All three assume one standard foreign-investment company (PT PMA), one project location and no more than two low-risk or medium-low-risk business activity codes (KBLI). Eligibility, foreign ownership, address and activity scope must match the engagement. Local PTs, representative offices and regulated or higher-risk projects require different scoping.
| Package and price excluding VAT | Included deliverables | Period and renewal | Principal boundaries |
|---|---|---|---|
| PT PMA Essential — IDR 29,500,000 | Structure and foreign-entry screening; standard notarial establishment-deed coordination; AHU legal-entity application with PNBP up to IDR 5,000,000; NPWP tax-registration and OSS/NIB basic assistance. | One-time establishment engagement; no automatic renewal. Client supplies an eligible business address. | No registered address, foreign-document authentication or translation, extra notarial work, Standard Certificate verification, sector permits, banking, immigration, tax returns or LKPM support. |
| PT PMA Launch — IDR 39,500,000 | Essential plus 12 months of basic registered-address service after address, zoning and KBLI suitability checks, and assistance preparing and submitting four routine first-year Investment Activity Reports (LKPM). | First year; IDR 18,000,000 per year for renewal of the same scope. Confirm the service start and end dates in writing. | No physical office or factory, extra project location, higher-risk licensing, monthly tax, accounting or audit, payroll/BPJS, banking or immigration. Address eligibility is conditional. |
| PT PMA Compliance — IDR 69,500,000 | Launch plus 12 months of basic tax filing, bookkeeping for up to 20 transactions monthly, basic payroll-tax data processing for up to five employees, and annual corporate-income-tax return preparation. | First year; IDR 48,000,000 per year to renew the same eligibility and transaction scope. | No statutory audit, historical catch-up work, complex filings after VAT registration, transfer pricing, customs, sector reports, extra staff or transactions, permits or immigration. |
The prices exclude VAT. Charge VAT separately only where legally applicable to the actual invoicing entity and transaction; the signed quote should identify the taxable base and applicable treatment. The article does not establish HSJGlobal’s invoicing entity or prescribe a universal VAT surcharge. Third-party actual costs outside the stated inclusions need a separate approval, amount or agreed limit and supporting invoice.
Possible additions include overseas-document work, extra notarial acts, an actual operating site, additional locations, activity-specific approvals or bookkeeping beyond the stated limits. No additional price is assumed here. None of these service packages guarantees an AHU or OSS decision, licence verification, bank account, visa or work permit. The provider performs the contracted work; the relevant authority, bank or other third party decides its own outcome.
To compare the three levels, first decide whether you already have a qualifying address, then identify who will perform recurring reporting and tax work. Buying Launch solely for an address that cannot support the proposed activity leaves the underlying issue unresolved. Buying Essential while expecting a year of filings creates a scope gap. The next reconciliation separates included amounts from genuinely additional payments.
Reconcile the quote without paying the same fee twice
Use one reconciliation sheet for the package, government disbursements, third-party purchases and company funding. Each amount should occupy one bucket and one payment destination. An item cannot be both included in the agreed bundle and added again as an unreconciled reimbursement. A provider advance and a client direct payment are alternative funding routes for the same voucher, unless different documented services are involved.
| Quote entry | Treatment before payment | Evidence that closes the entry |
|---|---|---|
| AHU PNBP already included within the package cap | Keep inside the package total. If the client pays directly, agree the credit or reimbursement adjustment first. | Capital band, application voucher, payment proof and the provider’s reconciliation. |
| Approved third-party work outside the package | Add only the separately accepted amount; identify whether the client or provider pays the supplier. | Supplier scope, invoice, tax treatment and approval of any handling fee. |
| Applicable tax on the provider’s invoice | Show separately with its actual taxable base; do not apply an unverified percentage to every cash movement. | Provider tax invoice or other required billing evidence. |
| Share capital, operating cash or refundable deposit | Track outside consumed setup-service expenses. Record ownership and refund conditions where relevant. | Company funding records or a separate deposit agreement. |
For a tariff illustration, an establishment filing with authorized capital of IDR 12,000,000,000 falls above the IDR 5,000,000,000 band boundary, giving PNBP of IDR 5,000,000 under the annex cited earlier. This illustrates the fee calculation only; it does not certify a project’s capital or investment compliance. With Essential at IDR 29,500,000, that government payment is already within the approved inclusion. Adding another IDR 5,000,000 would produce IDR 34,500,000 before VAT and extras, so the extra line needs correction or an explanation of a different service.
The arithmetic balance is IDR 29,500,000 minus IDR 5,000,000 = IDR 24,500,000 for the remainder of that bundle. This is not a separately approved professional-fee tariff. A lower actual PNBP does not automatically reduce a fixed package price: any refund, credit or unused-allowance treatment must be stated in the engagement. Do not pay an included voucher twice. If you already paid it directly, send the payment reference and obtain a revised amount due before the next instalment.
A useful payment equation is: current contractual instalment, plus approved excluded purchases, plus applicable invoice tax, minus documented credits or advances already settled. Use amounts due for the same milestone and period. An instalment percentage, supplier estimate or renewal charge cannot silently become the full first-year total. Retain the calculation with the version of the quote both sides accepted.
Resolve an extra payment request
Share the accepted package, voucher and any payment already made. A reconciliation can identify the credit or separate work that needs written agreement.
Specify receipts and payment authority before transferring funds
Before sending funds, agree who orders the voucher, who pays it and who receives the official evidence. The AHU establishment guide shows authorized capital being entered during voucher ordering and the payment or voucher code used in the establishment form. That makes the application reference and payment record useful controls when checking a request for a government disbursement.
- Match the contracting and invoicing entity, company project, shareholder structure, proposed activities and address to the accepted scope. Confirm the beneficiary account and the person authorized to change payment instructions.
- Ask the provider to label each fee as included, excluded or payable directly. For an included government charge, record its ceiling and what happens if the actual amount differs.
- Tie each payment milestone to a deliverable or documented filing action. Separate a retainer paid to the provider from a government voucher that has actually been settled.
- Request the payment confirmation, application reference and resulting documents at handover. If an item is still pending, record its owner, required input and treatment of any unspent advance.
For company formation in Indonesia , the establishment deed, legal-entity output, tax-registration information and OSS/NIB records belong to distinct parts of the company file. A receipt establishes that a payment was made; it does not itself show that every formation or operating-permission deliverable is complete. List the precise outputs covered by the engagement rather than accepting a single “company ready” milestone.
If a payment request arrives with no voucher or supplier invoice, ask whether it is an advance and obtain a reconciliation deadline. If it is described as a settled reimbursement, request the underlying proof. Where the bank account, amount or scope changes, pause that transfer until the contracting party confirms the revision through an established channel. These checks keep responsibility attached to the payment rather than to an informal message.
Price the exclusions and renewal period separately
A complete payment decision also needs a boundary around services that continue after establishment. An address subscription, routine reporting support and monthly tax work have different service periods from a one-time formation filing. A renewal invoice should identify the continuing service; it should not simply repeat a formation-government-fee line without naming a new official transaction.
For the approved same-scope prices, Launch over two service years is IDR 39,500,000 + IDR 18,000,000 = IDR 57,500,000. Compliance is IDR 69,500,000 + IDR 48,000,000 = IDR 117,500,000. These are two-year package subtotals before applicable VAT, approved extras and company funding. They do not include an assumption that AHU establishment PNBP recurs annually. Essential has no automatic renewal; any later support needs its own scope and price.
For a first-year comparison, the corresponding approved bundle amounts remain IDR 29,500,000, IDR 39,500,000 and IDR 69,500,000, each on its stated basis. Do not compare Essential plus a separately purchased address and outsourced filings with Launch unless the duration and deliverables match. Likewise, Compliance’s payroll-tax data handling is not a promise of complete employment administration. Identify any BPJS, statutory audit or other separately required work before treating the package as the operating budget.
Foreign-document authentication, translation, extra notarial actions and activity or premises approvals can sit outside the standard bundle. Build a reserve only after obtaining scoped estimates, rather than inserting an unsupported flat “government contingency.” The review of excluded setup charges and their triggers can help organize those separate lines, while the signed engagement determines what this purchase includes.
Ask for the subscription commencement date, renewal notice process, renewal scope and treatment of partial periods. Cancellation, refunds, failed applications, unused advances and changes requested after drafting also need express terms; the approved price baseline does not settle them. Capital and investment planning remain separate from the provider’s fee. Keep company funding, consumable costs and any refundable deposit in separate cash records so the approved payment does not overstate or understate the actual operating cash needed.
Choose the payment route that matches the evidence
Where the government charge is explicitly included, pay the agreed package instalment and obtain its supporting reconciliation. Where the contract authorizes a direct government payment, obtain the voucher and an agreed adjustment to any included allowance before paying. Where the charge is outside scope, require its named service, official basis or supplier quotation and written approval first.
Choose Essential when the eligible address and ongoing compliance work are already covered elsewhere; choose Launch when its conditional address service and four routine first-year LKPM submissions meet the actual gap; choose Compliance when the defined tax, transaction and employee limits fit the expected workload. A higher tier does not resolve an excluded licence, unsuitable site or third-party approval.
If the provider cannot connect the additional amount to a distinct service, receipt or agreed allowance adjustment, hold the disputed line and request a corrected quote. Once the inclusion schedule, amount due, beneficiary, payment milestone and handover evidence agree, keep that signed version with the payment proof. That is the record against which later disbursements and renewals should be checked.
Confirm the package before authorizing payment
Settle the activity, address, recurring-service limits and excluded purchases in one written scope, with the handover evidence and renewal terms recorded.
Frequently asked questions
Does an included fee ceiling mean any unused amount is refunded?
Not automatically. A fixed bundle and a reimbursable allowance are different commercial arrangements. Ask for the unused-balance, credit and cancellation terms before accepting the engagement.
Can a government fee be paid directly by the client?
The funding route must be agreed with the provider and linked to the correct application voucher. If the package already includes it, settle the adjustment in writing before a direct payment.
Does a notary’s invoice prove the government charge?
A combined invoice may contain professional work and disbursements. Ask for the relevant voucher and payment confirmation so the government component can be traced separately.
What if the quote is denominated in another currency?
Ask for the governing IDR amount, exchange-rate source and conversion date, and who bears bank or currency differences. Do not compare a converted headline with an IDR package unless the scope and tax basis also match.
Who bears the cost when the requested scope changes?
The engagement should allocate additional drafting, resubmission and third-party costs and require approval before they arise. No change-order or refund price is established by these package baselines.
