Automotive Parts Company Registration in Indonesia: Manufacturing and Trading Requirements

Connect the company, production process, sales activity and particular parts before approving the first commercial order.

An automotive parts company in Indonesia must register the activities it will actually perform: making components, buying and reselling them, and importing goods create different licensing questions. Foreign investment normally uses a PT PMA, subject to the selected activity’s investment conditions. Incorporation and a Business Identification Number (NIB) establish only part of the operating evidence; the factory, particular parts and intended goods flow must also pass their applicable requirements.

Start with a product list and a process description before choosing business codes or committing to a factory lease. A single “automotive” label cannot establish foreign ownership eligibility, the correct manufacturing or trading classification, or whether a specific part needs mandatory SNI certification.

Key takeaways

  • Manufacturing and independent resale need separate activity analysis; adding a trading code does not authorise a production process.
  • OSS shows a KBLI transition for automotive wholesale, so record the classification version and conversion before filing.
  • PT PMA investment planning and paid-up capital use different calculations; neither is a registration service charge.
  • Product certification follows the part’s scope, specifications and applicable regulation, including when goods are imported.
  • Approve the first shipment against a file connecting the legal entity, licensed location, product and importer.

Separate the factory, resale and import activities

The first classification decision is what the Indonesian company does to the goods. Producing a component in its own facility is different from buying a finished component and reselling it. Importing is a goods-flow function that must fit the licensed business, rather than a substitute for either classification. Map any installation, repair or other separately supplied service as well.

The OSS motor-vehicle parts manufacturing entry describes KBLI 29300 for parts and accessories of vehicles with four wheels or more, including items such as radiators, gearboxes, seats and specified electrical equipment. OSS indicates that this code remains 29300 in its KBLI 2025 conversion. This is a candidate for activities within that description, not an umbrella classification for every item fitted to a vehicle.

For wholesale, the OSS automotive parts trading entry shows legacy KBLI 45301 and its conversion to 46620 in KBLI 2025. The description includes wholesale of separate car parts and accessories. Record the classification version alongside each code so the deed, investment analysis and OSS application can be reconciled. Do not silently mix a legacy code with a new-version label.

Proposed operation Evidence needed before choosing a code Boundary to resolve
Make parts in an Indonesian plant Process flow, output specifications, production capacity and machinery list Confirm the product and manufacturing process fit the industrial description.
Buy finished parts and sell to business customers Supplier/customer contracts, catalogue and sales channel Separate wholesale from retail, agency and separately charged services.
Import goods for production or resale Who imports, who owns stock, intended use and delivery flow Align importer function and product controls with the actual transaction.
Manufacture and also resell bought-in parts Separate own-output and purchased-goods revenue streams Assess the combined scope instead of assuming one activity covers both.

A tyre, battery, electronic module and metal casting can raise different classification and product questions even when sold to the same assembler. Use technical descriptions rather than a customer’s industry alone. For mixed businesses, mark which revenue line depends on each activity; this exposes a missing permission before a sales contract commits the company to deliver.

Approve ownership and investment on the selected activities

Approve the proposed shareholding against every selected activity before signing the incorporation documents. The investment business-fields framework, amended by Presidential Regulation 49/2021 distinguishes open activities from exclusions and conditions. A general statement that Indonesia welcomes automotive investment does not resolve the exact activity, any applicable reservation or a foreign ownership condition. Carry the code mapping into this review when classification versions differ.

For a foreign investment company, Article 26 of Investment Minister/BKPM Regulation 5/2025 sets a general investment value exceeding IDR 10 billion, excluding land and buildings, per five-digit KBLI per project location. It provides different calculation units for wholesale, using the first four KBLI digits, and for an industry producing different products on one production line. Those distinctions matter when a plant makes several components or the company combines wholesale activities.

The same Article sets minimum issued/paid-up capital of IDR 2.5 billion per PT PMA, unless another legal rule applies. Paid-up capital and the investment plan are separate tests. Do not add the two figures together as an incorporation fee, or multiply the company-level capital figure automatically by the number of products. Confirm any sector or special-zone exception before approving the financing structure.

Create a short calculation schedule showing the company’s capital, each project location, the code/version, relevant calculation unit and eligible investment items. For a shared production line, attach the process drawing that explains the proposed grouping. The governing exception needs evidence; a common factory address alone should not be treated as proof that every activity can be combined.

Decide who subscribes for shares, who funds equipment and inventory, and which entity receives supplier invoices. Foreign corporate investors should also identify the authorised signatory and the ownership chain through to the beneficial owners. These choices affect the incorporation file and the consistency of later banking and investment records. A domestic shareholder arrangement does not remove the need to disclose the real ownership structure.

Set the activity boundary before filing

Bring the product catalogue, production flow and proposed shareholding together to identify which activities need separate treatment.

Prepare the company file and submit AHU and OSS records

The company registration file should connect the proposed owners and management with a precise business scope and a usable Indonesian address. Confirm the underlying company formation requirements in Indonesia before the automotive licensing work advances: the legal entity’s deed and approval are the foundation for its OSS records, while operating permissions attach to the selected activities and locations.

Prepare one consistent set of company and project data

  • Collect identification and contact details for shareholders, directors, commissioners and authorised signatories, together with the beneficial-owner information.
  • For a corporate shareholder, assemble its formation documents, current authority documents, ownership chain and approval to invest; have the notary confirm the authentication and Indonesian translation requirements for the actual documents.
  • Agree the proposed company name, articles, share allocation, capital and business purposes before execution.
  • Prepare address evidence, the activity/code schedule and project information: location coordinates, land/building details, investment, workforce, outputs and planned operational start.
  • Assign control of the company email address, tax records and OSS account to a responsible person, with access and handover arrangements documented.

These are preparation categories, not a claim that every foreign document has the same authentication route. Documents issued in different jurisdictions, a representative signing under a power of attorney, or a corporate shareholder with several ownership layers need their own acceptance check. Resolve name and identity variations before the notary files the data.

Submit, reconcile and keep the official outputs

  1. Confirm the name and execute the incorporation deed through the Indonesian notary. The notary handles the legal-entity application in the AHU legal-entity administration system, SABH.
  2. Review the notary’s data preview and the applicable payment request, complete the submission, and retain the deed, payment evidence and legal-entity approval. Correct a rejected or inconsistent item before treating incorporation as complete.
  3. Reconcile the company’s Taxpayer Identification Number (NPWP) and legal-entity data before completing the OSS business profile. Enter the actual projects and activities rather than only a head-office description.
  4. Review the declarations and application summary, submit through OSS, then download the NIB and all issued licensing documents and attachments. Track further requirements, verification requests and corrections by activity.
  5. Compare the official outputs with the signed activity schedule. Record what is issued, what is still conditional and what the company is authorised to do at the current stage.

The AHU incorporation service procedure identifies the notary-led SABH submission, preview, deed upload and approval output. The project-data and licensing steps are governed by Regulation 5/2025 . A submission receipt proves that something was filed; it does not prove that every requested permission was granted.

Document preparation and a site assessment can proceed alongside classification work, but final filing must use the agreed structure. After incorporation, the operating route branches according to what happens at the premises and how goods enter the business. Both routes still meet at the product check before commercial release.

Automotive activity and product release route A product and process brief separates manufacture from import and resale. Site and operating evidence or customs and distribution evidence then meet at a product check before release for the approved scope. Product and process brief Manufacture components Import or resell parts Site and operating evidence Customs and distribution evidence Product scope and SNI check Release only the approved scope
Follow the applicable activity branch, then confirm the particular product before releasing commercial work.

Prove the factory site and operating licence are ready

A manufacturing project needs an actual site assessment before machinery delivery or production begins. Confirm that the intended process, capacity and location match the project application. A registered office provides a company address; it does not by itself establish permission to run a factory, store controlled materials or occupy an industrial building.

Use Government Regulation 28/2025 as the current risk-based licensing framework, with the implementing rules in Regulation 5/2025, Article 186 . Low-risk activity uses the NIB; medium-low risk adds a Standard Certificate without verification; medium-high risk requires verification of the Standard Certificate; high risk requires a licence. Select the result for the actual activity and project rather than assigning one risk level to all automotive businesses.

Before committing to a site, obtain the landlord’s or industrial-estate operator’s documents and compare the permitted use with the planned operations. Review spatial conformity, the applicable environmental documentation or approval, and building approval/use requirements, including PBG and SLF where relevant. Welding, coating, heat treatment or chemical use should appear in the process information provided for that assessment; a clean assembly description should not conceal a more intensive process.

The premises workstream should identify the relevant authority, required evidence and who must supply it. A tenant’s factory project and a landlord’s building records are related but answer different questions. If an existing environmental document is presented, check its holder, site boundary, authorised capacity and process against your project before relying on it. Do the same for any claimed coverage under an estate arrangement.

An unverified medium-high-risk certificate does not authorise commercial operation. Regulation 5/2025 distinguishes preparation from operational or commercial activity. Preserve the verified certificate or effective licence, its attachments and any applicable supporting business permissions (PB UMKU). The manufacturing and trading entries can have different outstanding requirements even under the same NIB.

When a site or process changes, assess the affected project data and permissions before adopting the change. Keep the revised process description with the application history. If the site cannot support the proposed activity, resolve the location or process first; changing a company address on paper cannot cure that operating mismatch.

Resolve the factory readiness gap

Match the proposed premises and processes with the operating evidence before committing machinery or a commercial production date.

Clear each part for import and sale

Company and activity licensing do not settle whether every part may enter Indonesia or be supplied to customers. Build a product record for each commercially distinct part family: technical description, part number, material, function, vehicle category, maker, factory, brand, origin and intended use. Add the proposed customs HS classification for imported goods. KBLI identifies the business activity; HS identifies goods for customs purposes and the two should not be treated as interchangeable.

Check whether a mandatory Indonesian National Standard (SNI) regulation covers the particular product and specifications. An automotive catalogue can contain both products with mandatory controls and products outside a given regulation. A reference to an international standard, an OEM quality approval or a supplier’s general certificate should not be accepted as proof of the required Indonesian product authorisation without matching its scope.

For a concrete example, the government’s BBLM notice on vehicle wheel-rim certification identifies mandatory SNI under Industry Minister Regulation 71/2024 for in-scope wheel rims, covering domestic and foreign production. It distinguishes SNI 1896:2008 for categories M, N and O from SNI 4658:2015 for category L. This demonstrates why vehicle category and product scope matter; it does not establish the rule for a brake component, battery or other part.

For any controlled item, identify the appropriate certification body and testing route, certificate holder, covered factory and model range, marking requirements and any relevant exception before ordering. Compare the certificate’s product and production information with the supplier’s actual goods. A distributor purchasing from another importer should obtain evidence that corresponds to its stock rather than relying solely on a generic assurance that the supplier is licensed.

Importers must also align the NIB’s importer/customs functions with the intended flow. Directorate General of Customs and Excise registration guidance explains the role of a qualifying NIB for importer/exporter customs registration and the integration of NIB and NPWP data. Customs access is an entity-level step. Product restrictions, required approvals, documentation and declarations still need a goods-specific assessment before shipment.

Give the customs specialist the technical record, proposed HS code, origin, invoice, packing list and intended use. Resolve discrepancies between the shipment description and the technical record before dispatch. The assessment should distinguish production inputs, finished goods for resale and other uses; a manufacturer should not assume that an import arrangement for its own production automatically supports unrelated resale.

The product record should show the conclusion and evidence for matching mandatory SNI rules to the actual product , then identify any separate import condition. Keep a dated decision for goods outside a particular control as well as for goods requiring certification. A blank certificate field does not tell a warehouse team whether the item is exempt, outside scope or still awaiting a decision.

Build the first-shipment release file and operating budget

Use a release matrix for the first production batch or imported consignment. The purpose is to prove that the same company, activity, location and product appear across the supporting records. This is a management control assembled from the separate legal requirements, not an additional government certificate. A file can be complete for one product line while another remains on hold.

Release question Evidence to match Hold the affected activity or goods when
Does this company own the transaction? Deed and AHU approval, company identity, tax and OSS records, contract party The buyer, importer, invoicing entity or licensed entity differs without an explained arrangement.
Is the commercial activity authorised? Correct code/version, project scope, NIB and effective certificate/licence The company has only a preparation-stage output or omits the relevant resale activity.
Can this site perform the work? Project location, applicable spatial/environmental/building evidence and process information A move, new process or capacity change falls outside the evidence relied on.
Can this part be released? Technical record, applicable SNI/product evidence and import documents The certificate, factory, model, vehicle category or shipment description does not match.

Give each row an owner, evidence reference and review date. Ask operations to identify the exact product and location being released, finance to match the legal entity and transaction, and the licensing/product specialists to resolve their respective conditions. Record a limited release if only some products pass. Do not write “company registered” across every row and treat the file as closed.

Budget by workstream and by the event that unlocks spending

Keep company formation professional fees, official charges, third-party disbursements, capital and investment funding separate. Site fit-out, environmental/building work, product testing and certification, customs handling, freight, import taxes and operating cash require their own scope and estimates. Certification and import costs should be linked to the product families and shipments assessed, so an expanded catalogue does not silently exceed the original budget.

For an eligible standard trading setup only, HSJGlobal’s approved PT PMA Essential professional fee is IDR 29,500,000 once, with no automatic renewal, on the commercial baseline dated September 7, 2026. Eligibility requires one standard PT PMA, one project location, no more than two low- or medium-low-risk activities and an existing qualifying address. It includes structure screening, standard notarial coordination, AHU legal-entity application and basic NPWP/OSS/NIB assistance. The quoted AHU PNBP inclusion allowance is capped at IDR 5,000,000; this contractual cap does not state the official payable tariff.

That fee excludes VAT, any address service, foreign-document authentication/translation, additional notarisation, Standard Certificate verification, higher-risk or sector licensing, environmental/building approvals, banking, immigration, tax filing and LKPM. VAT is charged separately only when legally applicable to the actual invoicing transaction. Manufacturing, product certification and import work need a separately defined scope; the standard trading fee is not a factory-to-operation price. Confirm any allowance reconciliation and third-party payment before engagement.

Set dates from accepted inputs and approval dependencies rather than a promised company-registration turnaround. Ask each workstream for its preparation period, authority or testing step, correction allowance and completion evidence. Deed execution, OSS verification, factory readiness and product testing have different finish points; a short legal-entity processing time cannot be used as an overall launch duration.

Assign ongoing owners before release. The LKPM provisions in Regulation 5/2025, Article 286 require quarterly investment activity reporting for medium and large businesses, distinguishing preparation from operation. Maintain investment and workforce evidence accordingly. Tax, accounting, employment/BPJS and applicable industrial or product reporting also need responsible owners; use the company’s actual obligations to build its calendar.

Release the automotive business only for its approved scope

Proceed with an automotive parts setup when the owners have approved a defined activity schedule, its investment treatment and a feasible location. Complete incorporation on that basis, then close the operating and product conditions against the same scope. An importer or trader should release only the assessed goods flow; a manufacturer should release only the processes, products and premises supported by its evidence.

The next useful document is the first-shipment release file, with a named owner for each unresolved row. Pause the affected order or production activity when the code mapping, site coverage, certificate scope or importer identity conflicts. Resolve that specific mismatch before committing delivery dates, while other independently cleared workstreams continue.

Prepare an evidence-based first release

Use the identified company, activity, site and product conditions to define the remaining work and its responsible owners.

Frequently asked questions

Does selling only to an OEM remove the product checks?

Treat the OEM’s purchasing requirements as a separate acceptance layer. Identify the applicable Indonesian product rule and any actual exemption independently; a business-to-business sale or a customer approval should not be assumed to settle the regulatory position.

Can one company manufacture some parts and trade others?

A combined scope needs an activity and investment review for each revenue stream. Keep bought-in stock distinguishable from the company’s own production so the licensing, import and release evidence can be matched to the right flow.

What if a supplier changes the factory but keeps the same brand?

Recheck product certification coverage before accepting the next shipment. A familiar brand or unchanged part number does not demonstrate that the new production site falls within the evidence already assessed.

Should a new code be added before offering installation or repair?

Describe the proposed service, who performs it, where and whether it earns separate revenue. Have it assessed as an activity before including it in customer commitments; a parts-sales description alone is insufficient evidence of the service scope.

What should a buyer request from an Indonesian distributor?

Request transaction records and the relevant product evidence for the actual goods, including traceability to the importer or producer where needed. The distributor’s NIB alone cannot establish the conformity of a particular model or batch.
