Business Licence Renewal in Indonesia: Which Approvals Have Validity Conditions?
Separate a real expiry deadline from changed scope and continuing compliance duties.
An annual business licence renewal request in Indonesia may have no legal renewal trigger: there is no single yearly licence renewal for every company. The NIB remains valid while the business operates lawfully; core business approvals generally continue during business activity, subject to statutory exceptions. Supporting approvals can have their own expiry dates or unchanged-condition requirements. Check the exact document, status and conditions against PP 28/2025 and the relevant sector rule before treating an issue date, amendment or compliance filing as a renewal.
Key takeaways
- An invoice labelled “annual renewal” needs an approval name and legal trigger; an NIB anniversary alone does not establish one.
- A five-year processed-food marketing authorisation and a condition-based halal certificate require different monitoring methods.
- The document holder, covered activity, product and location matter as much as any printed expiry date.
- Give every renewal, change and recurring obligation a separate owner and a separate piece of completion evidence.
The NIB date is not a renewal deadline
Start with the Business Identification Number (Nomor Induk Berusaha, or NIB), issued through Online Single Submission (OSS). Article 206(9) of Government Regulation No. 28 of 2025 ties its validity to the business continuing in accordance with applicable law. The NIB is not an annually renewed company licence. An annual service agreement or account-maintenance charge does not change that rule.
An NIB issue date tells you when the registration was issued. It does not, by itself, identify a future expiry date. Keep the latest document and compare its business classifications (KBLI), locations and company information against the actual operation. A mismatch calls for a data or licensing review rather than an invented anniversary renewal.
The underlying company record also has a different function. The deed and legal-entity approval concern formation; the NIB concerns business registration; sector and supporting approvals determine additional operating conditions. The company formation in Indonesia workstream therefore produces records that should be kept separate from later approval-condition monitoring. Buying another incorporation package does not resolve a product approval that has expired.
Identify what is actually due
Bring the approval name and current document so the review starts with its real validity trigger.
Which approvals belong on a validity calendar?
Put an approval on a renewal calendar only after identifying a genuine term or renewal requirement. Article 5(10)–(11) of PP 28/2025 gives core business licensing (Perizinan Berusaha, or PB) a continuing-business rule, with specified exceptions involving international requirements or agreements, natural resources, hazardous or toxic materials, and restricted goods where terms are set by the specified higher-level legislation. That rule must not be copied indiscriminately to supporting approvals.
Supporting business approvals (PB UMKU) have their own approval-specific requirements and validity provisions in Annex II and the relevant sector rules. The following examples illustrate the distinction; they are not a complete inventory for every Indonesian business. Rules and public guidance were checked on October 20, 2026.
| Record or approval | Validity test | Practical calendar entry |
|---|---|---|
| NIB | Continues while the business operates lawfully; no annual renewal cycle. | Record issue/version date and review changes. |
| Core PB, including applicable Standard Certificate or Business Licence | General continuing-business rule; inspect any statutory exception. | Record conditions, required verification and any genuine term. |
| PB UMKU | Approval-specific term and conditions; no universal cycle. | Use the exact instrument and applicable sector provision. |
| BPOM processed-food Izin Edar | Five years; extended through re-registration. | Record each product approval’s actual expiry and filing route. |
| BPJPH halal certificate | Remains valid while ingredient composition and/or the halal product process remain unchanged. | Track covered products and change events, rather than assume an annual expiry. |
The BPOM processed-food services FAQ confirms the five-year Izin Edar term and re-registration route. This is a product marketing authorisation, not a five-year renewal of the company or all BPOM permissions. Maintain separate entries for products with different approval numbers or expiry dates; an active company NIB cannot extend a product’s term.
The halal example comes from BPJPH’s official performance report, page 14 , which explains continued validity conditional on unchanged ingredient composition and/or halal product processes. This concerns the BPJPH certificate described there. Do not automatically apply it to a supplier’s foreign certificate or other supporting document. Conditional continued validity requires change control even when a calendar has no fixed renewal date. Plot expiry, changes and continuing duties separately because one approval can activate several triggers.
Changes can require action before an expiry date
A company can need licensing action while every printed expiry date is still in the future. Article 219 of PP 28/2025 on expansion and changes separates business-development changes, including additional capacity, locations and activities, from extensions of approvals that have a term. A routine extension should not be used to conceal a changed project.
Before a move, additional production line or new activity goes live, compare the proposed operation with the scope already approved. Write down what changes, which document describes it, and whether the current approval still covers the proposed activity. Use the applicable amendment, expansion or new-application route; those routes and their evidence depend on the approval concerned.
For halal-certified products, a proposed ingredient or process change needs review against the certification condition before the business relies on the old certificate for the changed product. For a processed-food marketing authorisation, compare the registered product and facility details with the proposal rather than assuming that the remaining five-year term covers every variation. The correct variation or new-registration route requires the product-specific BPOM rules.
Changes and deadlines can overlap. A product approval nearing expiry and a proposed operational change create two questions: what extends the term, and what authorises the changed scope? A future expiry date does not prove that a changed operation is covered. Keep both questions open until the relevant outputs resolve them. A single “renewed” label can hide unfinished work.
Untangle an overlapping change and deadline
Separate the expiring term from the changed operation and identify the evidence each route needs.
Run a validity-condition triage for each approval
Use this editorial triage for each issued approval, not once for the company as a whole. It translates the verified rules into an internal review method; it is not a government form or a substitute for the sector procedure. Copy the approval number, holder, activity or product, location, regulator, issue date, expiry wording, current status and conditions into one record. Attach the issued document and its supporting schedule.
| Test | If the answer is yes | Evidence that closes this task |
|---|---|---|
| Date: does this approval have a verified fixed term? | Identify the renewal/re-registration route, filing window and required evidence. | Replacement or extended approval with the new term. |
| Change: has the covered operation changed or will it change? | Assess amendment, expansion or a new application before relying on old scope. | Official output or verified record covering the changed facts. |
| Duty: does a continuing condition or filing fall due? | Assign the obligation separately from any renewal. | Submission receipt plus the required underlying compliance evidence. |
| Status: is approval or verification incomplete, restricted or unclear? | Resolve the status before marking the operation authorised. | Current official status and the approval/verification output required for that activity. |
Apply every test. A “yes” on one row does not switch off the others. For example, the processed-food Izin Edar supplies a real date trigger; a proposed change may still require separate product-specific review. An NIB entry may have no annual renewal task yet still need accurate business data and separate supporting approvals. Checking supporting approvals after NIB issuance helps identify missing dependencies before a renewal list is treated as complete.
For continuing duties, Article 240 of PP 28/2025 on business reports distinguishes compliance with approval requirements from investment realisation reporting through OSS. An Investment Activity Report (LKPM), where applicable, is a reporting obligation; submitting it does not itself renew an expired product approval. Keep the applicable reporting timetable and evidence separately. This triage does not set a universal frequency for all companies or sectors.
Give each live action an accountable person, an internal preparation date and an external deadline supported by its rule. Internal reminders can be earlier than the legal filing window, but label them as planning dates. If the window is not yet verified, assign a specific rule-check task; do not enter a guessed annual deadline. Record the source and the date checked so a successor can understand the decision.
Recover a missing, expired or mismatched approval
Recover the evidence before choosing a filing route. A missing PDF is an evidence problem; an expired term is a renewal or re-registration problem; an unverified Standard Certificate is a verification problem. Treating all three as “licence renewal” can lead to the wrong submission and leave the real defect unresolved.
- Retrieve the official record through the company’s authorised account or regulator channel. Preserve the previous version and any notices so the history remains traceable.
- Match the holder, approval number, scope and location. Ask the responsible team to explain discrepancies against the issued record, rather than editing a downloaded certificate.
- Identify the unresolved legal state: expired term, unmet condition, incomplete verification, changed scope or an authority restriction. Route that specific issue to the competent process.
- Save the final output and check its term, scope and status before closing the action. A payment receipt or application acknowledgement proves a step occurred; it may not prove approval.
For medium-high-risk Standard Certificates, Articles 222–224 of PP 28/2025 on verification distinguish an unverified certificate from a verified one and provide a correction/reverification process. Follow the actual notification and sector requirements. Do not describe an application as an operationally effective approval merely because a document can be downloaded or a submission number exists.
Set the next action for each Indonesian approval
First resolve approvals whose status or scope does not support the activity you intend to conduct. Next address verified expiry deadlines, including any approval-specific filing window. Then maintain the continuing-condition and reporting evidence. A monthly internal review may be a useful management choice, but it does not create monthly or annual statutory licence renewal.
The working result should be an approval register in which every entry has a defensible next action: renew or re-register, amend or apply, complete verification, fulfil a continuing duty, or retain and monitor. Leave no entry as simply “annual compliance.” Escalate a conflict between the document, portal status and governing rule before relying on that approval. The company’s reviewer should be able to follow the source, owner, deadline and completion evidence without reconstructing the whole file.
Assign the approval actions
Use the register to allocate responsibilities, supported deadlines and completion evidence for the approvals that apply.
Frequently asked questions
Does an annual adviser invoice prove an official renewal is due?
Ask for the exact approval, rule, deliverable and charging period. Annual monitoring or professional support may be a commercial service even when the NIB has no annual renewal. Keep the service agreement separate from the regulatory obligation.
Should a tenant track a building approval held by the landlord?
Record who holds the approval and who must supply evidence. A lease allocation of work does not itself establish that the premises approval is current or covers the intended use. Building approvals need their own document and scope check.
Can one calendar row cover several products?
Use a separate entry when the approval number, holder, scope or expiry differs. A shared preparation task can refer to several entries, but it should not erase a product-specific deadline or unresolved change.
What if an old certificate prints a date that conflicts with current guidance?
Preserve both records and obtain an instrument-specific determination before treating either as decisive. Check whether transition provisions or the certificate category explain the difference; do not silently delete the printed date from the register.
