BUSINESS FORM AND FILING ROUTE
Business Registration in Malaysia: SSM Options and Steps
Connect your ownership choice to the correct SSM service, applicant and registration evidence.
Business registration in Malaysia starts with choosing a legal form that your owners qualify to use. SSM registers sole proprietorships and ordinary partnerships under its business registration regime, incorporates companies, and registers limited liability partnerships under separate rules. The form determines who submits the application, which online service to use and what proves completion. An online account or successful payment alone does not establish the business, and SSM registration does not settle every licence needed for the proposed activity.
Key takeaways
- Establish every owner’s citizenship or permanent resident status before choosing the enterprise route; a foreign investor cannot assume EzBiz eligibility.
- Choose between personal liability, a partnership structure and share ownership before comparing registration charges.
- SSM4U provides access to different services: EzBiz for businesses, CRS for companies and MyLLP for LLPs.
- A company needs a qualifying resident director; an LLP needs a qualifying compliance officer. These roles are not interchangeable.
- Keep the approval document for the chosen form and a separate record of outstanding operating permissions.
Match the registration route to the owners and liability
For a new profit-making venture, compare four common SSM choices: sole proprietorship, ordinary partnership, private company limited by shares and limited liability partnership. “Enterprise” commonly describes a sole proprietorship or ordinary partnership; adding that word to a name does not create limited liability. The table connects each choice to the filing service rather than treating “register with SSM” as one application.
| Form | Entry test | Ownership and exposure | SSM service |
|---|---|---|---|
| Sole proprietorship | One owner; Malaysian citizen or permanent resident, aged at least 18 | Owner and business are not separate legal persons; personal liability | EzBiz |
| Ordinary partnership | Two to 20 partners under the ordinary ROB route; each satisfies the owner eligibility rules | Partners carry personal exposure for partnership obligations | EzBiz |
| Sdn. Bhd. | One or more members and at least one director ordinarily residing in Malaysia | Separate company; ownership represented by shares | Corporate Registry System, or CRS |
| LLP / PLT | At least two partners, with a qualifying compliance officer | Separate legal person; partnership agreement rather than issued shares | MyLLP |
The underlying distinctions appear in SSM’s business registration guidelines , company incorporation requirements and LLP comparison and formation booklet . Limited liability does not eliminate responsibility for personal wrongdoing or obligations someone separately accepts. Consider the contracts you expect to sign as well as the registration form.
The ROB enterprise route applies to Peninsular Malaysia and the Federal Territory of Labuan , as stated in SSM’s business registration brochure . A sole trader or ordinary partnership operating in Sabah or Sarawak should establish the applicable state registration route before using this workflow. This territorial limit must not be transferred automatically to every SSM company or LLP registration.
Foreign participation also needs the correct test. SSM’s LLP booklet distinguishes partners from the locally resident compliance officer and does not require partners generally to reside in Malaysia. Professional practice has additional governing-body conditions. For a company, a resident director requirement does not by itself require a Malaysian shareholder. Ownership, management, sector permission and permission to work remain separate questions.
A practical choice follows from how the owners will participate. A sole owner seeking a separate shareholding vehicle should investigate a company; two or more people organising their relationship through a partnership agreement may consider an LLP. An eligible local operator willing to accept personal liability may choose an enterprise. These are starting points for reviewing the actual business, not a universal ranking of the forms.
Prepare one fact sheet before opening an SSM service
Write a single agreed record of the proposed name, owners, activity, addresses and responsible filer before entering a portal. Give each item a source document and an owner who can correct it. This reduces the risk that the name application, registration particulars and later banking records describe different businesses.
- Record legal names and identification details exactly as shown in the relevant identity documents. For a corporate participant, identify the authorised representative and the evidence supporting that authority.
- Describe what the business will actually sell or provide, how it earns revenue and where it operates. Use that description when selecting the activity code rather than choosing a vague label for convenience.
- Separate the registered office, operating location and mailing address. Confirm who receives official communications and who can provide access to the records kept there.
- Agree ownership or partner participation, the proposed manager or directors, and the person responsible for submission. Record who must approve the final particulars.
For a company, SSM requires the proposed business, registered office and business address, director and promoter details, declarations and any applicable additional documents. Its incorporation checklist provides the baseline. The broader sequence for forming a company in Malaysia begins with these inputs; a portal cannot resolve an undecided ownership arrangement.
Keep a document register that distinguishes an identity record, an authority to act and a regulator’s approval. They answer different questions. The evidence needed for supporting a company registration application should follow the participants and activity, rather than an assumption that every foreign document needs the same certification.
Then check account access. Under SSM’s CRS user-registration instructions , a new user first creates an SSM4U account and completes identity verification before accessing CRS. An existing account can be used, subject to the authorised user role. An account is a filing credential, not evidence that an entity exists. Put account activation into the preparation stage, especially if the proposed filer is overseas.
The access point can be shared while the applicant, service and approval document differ. Keep those three items together when handing the registration to another person.
Register an enterprise through EzBiz
Use EzBiz for an eligible sole proprietorship or ordinary partnership under the ROB regime. SSM’s access transition notice directs users through SSM4U from 24 May 2026. Follow the current portal entry rather than an old bookmarked login. All owners or partners must have registered and verified EzBiz user access, according to SSM’s EzBiz service requirements .
- Open EzBiz from SSM4U and select My Business Services, then New Business Registration.
- Choose the name type and enter the commencement date, registration period and relevant address details. A personal-name registration follows the owner’s identity card; a trade name needs approval.
- Add the business description and relevant business code, then check the owner and any branch details. Attach applicable supporting records.
- For a partnership, add the partners and arrange their confirmation using their own accounts. Resolve pending verification before proceeding.
- Review the declaration and preview, correct any errors, then submit payment. Keep the receipt and transaction reference.
- Check Registration Status / History and retrieve the certificate after approval. Download business information if it was purchased.
These stages follow SSM’s May 2026 EzBiz registration manual . A partner’s pending confirmation is a participation issue, not a payment failure. Ask the relevant partner to review the proposed particulars; do not create a second application merely to bypass the first draft.
SSM’s ROB guidelines require registration within 30 days of commencing business. That deadline does not authorise an activity that requires a separate licence. Record the actual start date and establish any pre-opening approvals before trading, rather than treating the filing deadline as a grace period for regulated activity.
For standard paid registration, SSM lists MYR 30 per year for a personal name or MYR 60 per year for a trade name , plus MYR 5 per branch per year. These are the published EzBiz registration charges checked on October 22, 2026. They are official registration charges, not a professional-service quotation or an all-in operating budget. Keep any applicable service taxes and third-party services on their own invoice lines.
File a company incorporation in CRS
The current company service is the Corporate Registry System, reached through SSM4U. SSM’s CRS FAQ says the system replaces MyCoID and e-Secretary for the relevant company services. Some SSM pages still contain legacy MyCoID link labels; use the current SSM4U service selection and the authorised applicant’s account.
A private company needs at least one director ordinarily residing in Malaysia through a principal place of residence there. SSM also allows a company with one member. These private company entry requirements make a Sdn. Bhd. a possible separate-entity route for a single founder, but the resident director must be a real qualifying appointee who accepts the role.
- Select direct incorporation if the particulars are ready, combining name approval and incorporation. Alternatively, reserve the name first and complete incorporation within its permitted period.
- Enter the private-company status, proposed activity, addresses and director, member and promoter particulars. Settle the share arrangements before declaring the information complete.
- Complete the required declarations and lodger details, adding supporting authority or activity approvals where applicable. Review the Section 14 application record before payment.
- Pay through the available gateway and retain the application copy, receipt and reference. Monitor CRS, SSM4U and email for queries or decisions.
- Answer any query against the existing application, then retain the notice of approval and notice of registration when issued.
SSM describes these inputs and outputs in its company incorporation submission instructions . Make the review a comparison against the agreed fact sheet: name, identification, addresses, activity and ownership should reconcile. A successful payment should be matched to the application reference before anyone pays again.
The published base incorporation charge for a company limited by shares is MYR 1,000, checked on October 22, 2026 against SSM’s company registration fee guidance . It is a one-time incorporation charge. Separate services, optional documents, recurring administration and any applicable taxes need their own scope; the figure is not the cash needed to open and run the business.
After incorporation, appoint the first company secretary within 30 days. For a company limited by shares, a constitution is optional, and the standard output is a registration notice; an incorporation certificate requires a separate application and prescribed payment. These distinctions in SSM’s post-incorporation notes prevent an optional certificate from being mistaken for a missing incorporation approval.
Create an LLP through MyLLP
An LLP, also called Perkongsian Liabiliti Terhad or PLT, requires at least two partners. Its registration is made by the appointed compliance officer. Under SSM’s LLP registration conditions , that officer must be at least 18, a Malaysian citizen or permanent resident, ordinarily living in Malaysia, and either a partner or a person qualified to act as a company secretary. Having foreign partners does not remove this local officer requirement.
SSM identifies MyLLP through SSM4U as the service for LLP registration, name reservation and subsequent changes. Confirm that the appointed officer can access the service before treating the application as ready. Assigning someone to collect documents is different from appointing the person who will make the statutory submission.
- Agree the proposed LLP name, business activity and partnership terms. Identify all partners and the registered office.
- Have the compliance officer prepare the MyLLP registration particulars, including their own details and those of the partners.
- Attach the relevant professional-body approval if the LLP will conduct a professional practice, and check any other requested supporting evidence.
- Review the application, complete the portal’s declaration and payment stages, and retain the submitted particulars and transaction reference.
- Track the decision and preserve the notice of registration. Order a certificate separately only if needed.
SSM’s LLP starting requirements list a MYR 500 registration charge, checked on October 22, 2026, and distinguish the notice from a separately requested certificate. This is the base one-time government registration amount, not a fee for preparing the partnership agreement or providing an ongoing compliance officer. Any service charges, taxes and optional documents should be identified separately.
Give the agreement practical attention: record how partners make decisions, contribute funds, share profits and deal with a departure. The SSM LLP booklet explains that the statutory default provisions apply to matters left uncovered. Registration particulars should match the agreement; filing an approved name does not settle the partners’ commercial terms.
Check payment, approval and permission separately
Close the filing against the evidence expected for that form. The following handoff record is a practical control derived from the different SSM outputs above. It prevents a receipt, draft form or optional certificate request from being used as the wrong completion test.
| Checkpoint | Evidence to keep | Action if missing |
|---|---|---|
| Money received | Payment receipt linked to the application reference | Reconcile gateway and application status before repeating payment |
| Enterprise registered | Approved EzBiz application and business registration certificate | Check history, partner confirmation and outstanding queries |
| Company incorporated | SSM notice of registration, with incorporation particulars | Check CRS notifications; a paid application is still an application |
| LLP registered | Notice of registration retained by the compliance officer | Check the officer’s submission and decision record |
| Activity ready to start | Applicable operating permissions and responsible-person sign-off | Keep the unresolved permission as a separate opening condition |
For EzBiz, download promptly: SSM’s document retrieval policy allows certificate and purchased business-information downloads within 90 days of approval. The current service charter states one working day, or 24 hours, after receipt of an application. Treat that as the service’s stated processing target, not the period for resolving eligibility, preparing documents or obtaining other approvals.
No single verified end-to-end duration covers all three routes. Build your schedule from completed prerequisites: verified access, agreed particulars, any prior approvals, submission, responses and official registration evidence. Plan banking and permission to operate as additional dependencies. SSM’s business registration guidance expressly preserves the owner’s obligation to obtain the relevant licences despite registration.
For a company query, the CRS notification rules provide updates through CRS, SSM4U and email. Keep one person accountable for checking all three and recording the response. Resolve a data mismatch against the identity or authority document first, then correct the filing through the appropriate process. Avoid changing supporting records merely to match a mistaken application.
Choose an SSM route you can support after registration
Select the form after confirming owner eligibility, operating location, liability and how future owners will participate. An enterprise is a workable starting choice only where its owners and location fit the ROB regime and they accept personal exposure. A company suits a shareholding structure with a qualifying resident director; an LLP suits a partnership arrangement with at least two partners and a qualifying compliance officer.
Before submitting, name the person who will review the particulars, make payment, answer a query and retain the official output. Choose the route whose legal roles and continuing administration you can actually maintain. Keep the secretary appointment for a new company and the LLP officer’s responsibilities in the handover, rather than ending the project at the receipt.
Pause the filing when ownership is unresolved, an applicant cannot establish access, or the proposed activity needs an approval that affects the particulars. Resolve that specific dependency first. Once the registration evidence is complete, transfer the remaining banking, tax and operating-permission work to named owners with separate completion tests.
Frequently asked questions
Can I use “Enterprise” in the name to obtain limited liability?
The word does not change the legal form. Check whether the registration is a sole proprietorship, ordinary partnership, LLP or company, and assess liability on that basis.
Does a foreign partner have to become an LLP compliance officer?
No. Partner participation and the compliance officer’s statutory qualifications are different matters. The appointed officer must meet the applicable Malaysian status and residence requirements; professional-practice approval can add conditions.
Can I reserve a company name before the ownership arrangements are ready?
Name reservation and direct incorporation are different routes. Reservation can separate the name stage from incorporation, but it has a limited validity period. It does not form the company or settle unresolved ownership.
What if a payment was debited but the application still looks unpaid?
Keep the payment evidence and application reference together, check the transaction status and raise the discrepancy through the relevant service support route. Reconcile the existing payment before creating a duplicate transaction.
Is an EzBiz registration in Labuan the same as a Labuan company?
No. The ROB business route can apply to an eligible enterprise in the Federal Territory of Labuan. A Labuan company is a different structure under its own legal and regulatory regime. Do not apply this enterprise workflow to that incorporation.
