Agency handoffs and permit ownership

Business Registration in the Philippines: Agencies, Permits and Steps

Assign each Philippine registration task to its agency, owner and completion record before setting an opening date.

A Philippine business can hold its registry certificate while tax, premises or activity permissions remain unresolved. The registration lead needs an agency-by-agency plan: identify who must approve each part, what that office needs and which issued record proves the task is complete. A shared online portal can connect applications without combining their legal effects.

Key takeaways

  • Choose the registry from the legal form; a DTI business name does not incorporate a company.
  • Assign an internal owner and a closing record to every agency handoff so “submitted” cannot be mistaken for “issued”.
  • Tax preparation and local permitting can advance alongside each other when their actual documentary prerequisites are satisfied.
  • Confirm the city’s integrated barangay and clearance route before planning separate visits or duplicate payments.
  • Resolve an address, activity or eligibility conflict at its source before the same inconsistency reaches several applications.

Choose the agency that records your business

For business registration in the Philippines, select DTI for a sole proprietor’s business name, SEC for a corporation or partnership, and CDA for a cooperative. Then coordinate BIR tax registration, the city or municipality’s business permit and the approvals triggered by the premises, activity and workforce. These are separate agency responsibilities even when one portal carries several applications.

Business or workstream Responsible agency Evidence to hand over
Sole proprietor using a business name Department of Trade and Industry (DTI) Business Name Registration certificate; the proprietor remains the owner
Corporation, OPC or partnership Securities and Exchange Commission (SEC) Applicable incorporation or registration certificate and filed constitutive documents
Cooperative Cooperative Development Authority (CDA) Cooperative registration certificate
Taxpayer and invoicing setup Bureau of Internal Revenue (BIR) Tax registration record and applicable invoice arrangements
Operating premises and local permission City/municipality and relevant clearance issuers Business/mayor’s permit and applicable clearances

The Quezon City registration guide confirms the DTI/SEC/CDA distinction for its permit applicants. A foreign corporation seeking a Philippine licence to do business belongs on the SEC route; it should not be treated as a newly incorporated Philippine company. The current BIR Form 1903 separately recognises that licence among its registration evidence.

The planning window runs from settled business facts to the final applicable permission, rather than to the first certificate. Build the opening schedule from each issuer’s current estimate, including document preparation and correction time. The official sources do not establish one nationwide end-to-end duration; unresolved premises or sector conditions can control the opening date.

Open a registration handoff board before filing

Give one coordinator responsibility for the handoffs, while keeping the responsible filer and approving agency visible on every task. The following handoff board is a planning tool derived from the separate official registration and permitting routes. It is not an additional government form.

Handoff Internal owner to name Input to freeze Evidence that closes the task
Business facts → entity filer Founder or authorised officer Activity, owners, entity choice and principal address Approved instruction sheet with unresolved issues identified
Entity filer → tax preparer Registration lead Issued registry documents and correct legal identity BIR submission reference, followed by issued registration evidence
Premises lead → local permit filer Person responsible for the site Address, lawful use and required premises documents Local permit plus the clearance record applicable to the activity
Coordinator → conditional agency owner Named payroll or regulatory lead Employment or regulated-activity trigger Agency-specific registration or effective approval
All filers → launch approver Director, proprietor or delegated manager Matched names, addresses, activities and validity dates Recorded decision on which operations may start

Add a due date, application reference, latest status and next action beside each row in your own working copy. Use separate statuses for “preparing”, “submitted”, “deficiency received” and “issued”. A payment receipt closes a payment task, not an approval task. An item marked inapplicable should carry a reason and the person who checked it.

Freeze one source of names and addresses before forms are prepared. Record the legal name separately from the trading name, and distinguish the head office from a branch or facility. If one filer changes a field, circulate the change to the other owners before they submit. This is particularly useful when an accountant, landlord and corporate filer are working independently.

Settle who files what

Share the planned activity, entity and city so the registration responsibilities can be scoped before applications start.

Submit the entity application and preserve its handover

Complete the entity route first where its issued documents are required by the next agency. DTI business-name registration and corporate incorporation are different applications; do not file both as alternative ways to create the same corporation. The DTI services FAQ explains business-name registration for sole proprietors and confirms that a business name is not an operating licence. Its dated instructions should not be used as a current fee quotation.

  1. Confirm the registry, proposed name and business activity. Resolve ownership eligibility before submission; foreign participation needs an activity-specific review under the current Foreign Investment Negative List and any applicable special law.
  2. Open the correct application route. For SEC filings, start at the live eSPARC entry point and follow its application selection. The Regular application notice directs covered domestic stock corporations to ZERO, while identifying categories that remain outside that route.
  3. Prepare the applicant, owner, address and entity data required for the selected form. Make the generated documents match the approved instructions. For DTI, follow the business-name application and payment instructions rather than corporate articles.
  4. Arrange the required signatories and authentication. SEC ZERO uses eSECURE credentialing and eSAP authentication for covered documents; supporting-document requirements still depend on the application.
  5. Check the assessment, pay through the stated channel and retain the submission and payment references. Monitor the application for a deficiency or decision instead of assuming payment means issuance.
  6. Retrieve the issued certificate and the final filed documents. Compare the legal name, registration number and address with the instruction sheet before sending the package to other filers.

Keep the issued version of the entity documents in the handover folder. A draft article of incorporation or reserved name cannot stand in for the issued certificate requested by another agency. The underlying structure and registration evidence remain the foundation of company formation in the Philippines even when the immediate project is local permitting.

Once that foundation exists, the coordinator must track several permissions without treating them as a single approval. The routes can share information while still requiring distinct evidence.

One entity record, several agency handoffs Issued entity evidence feeds BIR, local premises permitting and conditional agency work. The coordinator reconciles each output before approving the planned activities. Issued entity evidence DTI / SEC / CDA BIR Tax and invoicing LGU and clearances Premises and permit Conditional agencies Activity and staff Reconcile each output Release approved activities
The coordinator reconciles distinct agency outputs. A shared submission channel does not make one certificate cover tax, premises and every conditional permission.

Run tax registration beside the local permit work

Prepare tax registration and the local permit application as coordinated workstreams. Form 1903’s current documentary list for corporations and partnerships includes registry documents but does not list a mayor’s permit as a general prerequisite. Do not create an unnecessary wait for that permit before preparing the BIR file; check the actual channel and taxpayer category before submitting.

The October 2025 Form 1903 asks for the registered name, address, taxpayer type, industries and representative information, and includes tax-type and invoice sections. Use the applicable individual-registration route for a sole proprietor rather than copying the corporate form. Ask the tax preparer to confirm the correct office, existing TIN position and branch or facility treatment before the form is signed.

For corporate applicants using the SEC continuation, eSPARC states that the Philippine Business Hub can receive the company TIN application and issue employer numbers for SSS, Pag-IBIG and PhilHealth. Treat portal continuation and issued agency records as different checkpoints. Confirm what the integration actually returned before the tax preparer starts a separate application or requests another number.

Give invoicing and books their own owners. The BIR documentary checklist separates registration, invoice authority and books-related requirements; read it alongside the newer Form 1903 and the current channel instructions. For coordination purposes, record who will obtain the applicable invoice approval, who will arrange compliant invoices, and who will complete the books process. A company TIN alone does not answer those tasks.

Before closing the BIR row, have the tax preparer reconcile the issued registration information with the intended transactions. Capture any correction request under the existing reference and record the filing obligations to be calendared. This prevents a registration handover from ending with an unexplained certificate that nobody has translated into accounting actions.

Put premises clearances through the correct LGU route

Use the business-permit office or Business One Stop Shop of the city or municipality where the premises are located to confirm the local route. Republic Act 11032’s local-permitting provisions provide for a unified application and integrated local processing; business-related barangay clearances and permits are to be applied for, issued and collected at city or municipal level. Confirm implementation locally before assigning a separate barangay visit.

Keep the approval issuer and application counter distinct. A BOSS may coordinate the papers, but the underlying zoning, health, building and fire-safety questions still need to be resolved. The same law addresses BFP participation and Fire Safety Inspection Certificates. Ask which existing premises records can be used and which inspections or updated records the particular activity requires.

For a concrete local example, Quezon City requires proof of entity registration and premises evidence. Its lease requirements include notarisation, property details, identifiable lessor and lessee, and business use. The published online route is QC E-Services → BOSS → application for a new mayor’s permit. Zoning and relevant departments evaluate the submission and may request additional information.

Quezon City publishes an estimated 1–3 days for that local service; the page does not specify business versus calendar days. This does not measure entity formation, fit-out, BIR work or every conditional approval. Other cities may use different documents and workflows. Obtain their live requirements before committing to the same timetable.

As a project control, reconcile the lease tenant, approved use, exact unit and applicant name before uploading. Where the landlord supplies an occupancy or building record, check whether it covers the actual unit and intended use instead of filing it solely because the building address matches. Record the local office’s response to any mismatch, with the person responsible for correcting it.

Resolve the premises bottleneck

Bring the lease details and the local office’s requirements when a site condition is holding up the permit workstream.

Handle conditional approvals and stalled handoffs

Screen conditional tasks before they become invisible gaps. The SEC-to-PBH route identifies social-agency employer numbers; payroll preparation must still establish what employee enrolment, reporting and payment setup applies. A sector approval should likewise be recorded separately whenever the activity needs one. A broad corporate purpose is not evidence that the operating permission has been issued.

Describe what the business will actually do, sell, store or deliver, and where people will work. Send that description to the relevant authority when the correct permission is uncertain. The method for mapping business permission layers provides a transferable way to organise that inquiry across activities and premises; its global examples do not establish Philippine legal requirements.

Stalled handoff First check Repair owner and evidence
A filer says another agency must finish first Locate the exact prerequisite on the current form or agency instruction Coordinator records the requirement or confirms the work can proceed alongside it
A portal says paid but no certificate is available Check the application reference, decision status and any deficiency notice Original filer obtains the decision or responds under the existing application
A document names the wrong unit or legal entity Compare the issued record with the approved site and entity data Responsible filer confirms the correction route with the issuer
A conditional permission has no owner State the activity or employment trigger and identify the competent office Regulatory or payroll lead records an approval or a supported inapplicability finding

For a delayed public application, preserve the submission date, reference, payment record and written messages before escalating. RA 11032 requires agencies to publish Citizen’s Charters covering requirements, procedures, fees and service standards. Ask the relevant office to identify the missing item or provide a written status against that service. An unresolved delay calls for documented follow-up, not an unsupported internal assumption that operations are authorised.

Escalate the Philippine registration task that lacks evidence

Choose the next action from the handoff board: resolve an unsettled business fact, complete an unsubmitted application, answer a documented deficiency or retrieve an issued record. Start with the task that blocks other owners. Preparing additional forms will not resolve a zoning mismatch or uncertain activity eligibility.

Before releasing an activity, have the responsible manager record the evidence supporting that specific operation, site and entity. Escalate contradictory agency instructions, unclear foreign-investment eligibility and missing sector permission to a qualified local adviser or the competent authority. Keep unapproved activities outside the opening plan until their permission position is resolved.

Close the registration project with an evidence folder, a list of remaining restrictions and named owners for renewals and filings. The useful finish is a controlled handover that tells the business what it can do, what remains pending and who acts next.

Turn the handoff board into assignments

Use the outstanding evidence and blockers to define the next coordination task; agency decisions remain with their issuers.

Frequently asked questions

Does choosing an OPC move registration from SEC to DTI?

No. An OPC is a corporate form on the SEC route. The fact that it has one stockholder does not make it a DTI sole proprietorship.

Does a BOSS replace BIR as the tax authority?

No. A city’s integrated business-permit service coordinates local processing. Confirm BIR registration through the applicable BIR or integrated national channel and retain its separate evidence.

Can the landlord’s documents close the tenant’s permit task?

Treat landlord-supplied records as supporting evidence. The applicant still needs confirmation that the records cover the intended unit and use, and must obtain the permissions required for its own operation.

Should a consultant keep the only copy of portal records?

The business should retain accessible copies of issued documents, application references and authorised-user information. Agree on the handover format and access arrangements before the engagement ends.

Are the related insights additional Philippine registration rules?

No. They explain transferable document, application and verification controls. Philippine legal requirements must be checked with the responsible national or local authority.
