Business Registration Singapore: Choosing Your Filing Route
Match the legal presence, eligible filer and authority before submitting an application.
Business registration in Singapore involves two different choices: the legal structure you need and the filing route you are eligible to use. Choose the intended owner and contracting party first, then check the proposed filer’s status and role. Direct Bizfile filing, CSP filing and a representative-office application are conditional routes; they are not interchangeable ways to obtain the same result.
A workable decision ends with a named filer, the correct authority, suitable local appointments and an agreed evidence handoff. Registration itself does not settle industry licensing, work permission or every requirement for starting operations.
Key takeaways
- Treat the intended contracting party as the first decision; a login method cannot decide ownership or liability.
- A direct applicant must meet the relevant eService’s proposed-role conditions, in addition to having account access.
- Check a FIN holder’s pass restrictions before relying on an appointment or a direct route.
- An overseas enterprise should distinguish a separate subsidiary, an extension through a branch and a limited market-exploration presence.
- Use a single route record to expose conflicts between the founder’s decision, the provider’s instruction and the official application.
Choose the legal counterparty before the filing route
Choose a structure by asking who should sign customer contracts, bear losses and admit future owners. An online registration screen cannot settle those commercial decisions. For a new venture, narrow the field with the comparison below; for an existing overseas enterprise, also complete the branch, subsidiary and representative-office check later in the route.
| Candidate | Legal and liability starting point | Question that changes the choice |
|---|---|---|
| Sole proprietorship | One owner; no separate legal entity; unlimited liability. | Will the owner accept business exposure personally? |
| General partnership | Two or more partners; no separate legal entity; partners bear unlimited liability. | Have the partners agreed how shared exposure will be controlled? |
| Limited liability partnership (LLP) | Separate legal entity; partners remain liable for their own wrongful acts. | Is partner participation the intended ownership model? |
| Limited partnership (LP) | General partners manage with unlimited liability; limited partners have restricted management participation and limited liability. | Does the intended management split fit these different roles? |
| Private company limited by shares | Separate legal entity owned through shares. | Do ownership, investment and governance plans call for a company? |
These starting points come from ACRA's business-structure comparison . They do not replace a review of guarantees, wrongdoing, regulated activities or contractual commitments. In particular, the word “limited” should never be treated as permission to ignore what a proposed individual will actually do.
Write down the intended contracting party. Put that name or description beside the planned owners, who will make management decisions, and whether outside investment is expected. If those answers point in different directions, resolve the ownership and liability question before reserving a name.
A company shortlist leads into the requirements for company registration in Singapore , including officers, an address and incorporation information. A sole proprietorship, partnership or LP follows its own registration framework; selecting one does not create a private limited company.
Test the filer and proposed role, as well as the login
Singpass access is only one part of filing eligibility. The Accounting and Corporate Regulatory Authority (ACRA) uses Bizfile for entity filings, but a person who can log in is not automatically eligible to register every structure or accept every role.
ACRA's eligibility guidance directs foreigners to a Corporate Service Provider (CSP) and tells Foreign Identification Number (FIN) holders to check with their pass issuer before registering a name or taking a role. If relocation or working in Singapore is planned, settle the relevant permission separately. Do not infer work rights from ownership or successful registration.
For a direct local-company filing, the current company registration guide requires the name applicant to be the registration filer and a proposed director or secretary. A shareholder who is not taking either role should not assume that ownership is sufficient. ACRA's name-application rules also specify proposed roles for other structures: owner or qualifying authorised representative for a sole proprietorship or partnership, partner or individual manager for an LLP, and general partner for an LP. Check the registration-stage requirements too; name-application permission and final registration permission are separate tests.
| Your position | Working filing route | Evidence to settle before proceeding |
|---|---|---|
| Local applicant using a permitted role | Direct Bizfile filing may be available; a CSP remains an option. | Identity, role eligibility, name applicant and registration-stage requirements all match. |
| Overseas foreign founder without Singpass | Use a CSP. | Identify the actual filing provider and resolve the required local appointment. |
| FIN holder with Singpass | Check pass conditions and the exact entity eService before choosing direct filing. | Record the pass issuer’s position and the permitted proposed role. |
| Existing overseas company opening a branch | CSP registration route. | Foreign-company authority and the local authorised representative are established. |
There is a specific caution for LPs: ACRA's LP registration page describes a Singpass route for locals and foreigners who meet its general-partner filing conditions, while the general eligibility guidance directs foreigners to a CSP. A FIN holder relying on that route should resolve their own eligibility with ACRA and the pass issuer before filing. Treat apparent access as a question to verify, rather than a legal conclusion.
For an applicant who cannot use a permitted direct route, filing options when Singpass is unavailable help frame the handoff. Do not ask another person simply to lend their account: decide who is actually authorised and who will take the declared position.
Route an overseas enterprise to the correct authority
An existing foreign business should decide whether Singapore will have its own legal counterparty, extend the parent’s operations, or only investigate the market. These purposes lead to different applications. ACRA requires existing foreign businesses to use a CSP when registering a business structure in Singapore. ACRA's foreign-business route comparison distinguishes a locally incorporated subsidiary, a foreign company branch and a representative office (RO).
| Intended presence | Route and authority | Boundary to preserve |
|---|---|---|
| A separate Singapore operating company | Local-company incorporation with ACRA; the parent owns shares. | “Subsidiary” describes ownership of the local company, not a separate registration species. |
| The foreign company itself operates in Singapore | Foreign company branch registration with ACRA through a CSP. | The branch is an extension of the parent; it does not create a separate local subsidiary. |
| Temporary market exploration without earning income | Check the applicable RO scheme and authority first. | An RO is not a substitute for a trading branch or operating company. |
A branch name reservation does not authorise direct branch registration. The name rules allow a person with Singpass to apply for a foreign-branch name, but the branch registration instructions require a CSP for registration and a locally resident authorised representative. Keep the two stages distinct when assigning work inside the group. Compare the continuing obligations too: a subsidiary follows local-company requirements, while a branch has foreign-company statutory disclosures and annual filings. An RO remains subject to its scheme conditions.
For an RO in the manufacturing, international trading, wholesale, trade or trade-related sectors, start with Enterprise Singapore's RO guidance , which directs applications through GoBusiness. Its published criteria include foreign-entity turnover above US$250,000, at least three years of establishment and fewer than five proposed RO staff. Banking, finance, financial exchanges and insurance enquiries go to the Monetary Authority of Singapore; foreign law practices go to the Ministry of Law. Do not send every RO proposal to Enterprise Singapore by default.
These distinctions change the briefing document. A subsidiary brief starts with the proposed local ownership and governance. A branch brief starts with the existing foreign company and its authority to establish the presence. An RO brief starts with the limited exploratory activities and scheme eligibility. Reusing the same instruction pack without changing these assumptions invites the wrong application.
The route therefore has two gates: identify the legal presence, then identify the person and channel allowed to establish it. The combined view below keeps the operating-purpose decision ahead of the login decision.
Build a filing-route record before anyone submits
Use the following record as the handoff between the founder, proposed officers and filing provider. It is an editorial decision tool built from the official route requirements, rather than an ACRA form. Each row has a practical release condition: an unresolved answer stays visible instead of being hidden inside a general instruction to “register the business”.
| Record field | What to write | Release condition |
|---|---|---|
| Purpose and counterparty | Trading or market exploration; the party expected to contract and invoice. | The commercial plan fits the proposed legal presence. |
| Chosen structure | Exact entity type, owners and management roles; explain any overseas parent relationship. | Everyone reviewing the application uses the same structure. |
| Filer and channel | Named direct applicant and eligible role, or the contracting CSP and actual registered filer. | The current eService permits the proposed submission route. |
| Local appointment | Person, role and supporting eligibility evidence. | The appointment is suitable for this structure, rather than borrowed from another checklist. |
| Authority and exceptions | ACRA or the applicable RO authority; any pass, activity or premises question needing separate clearance. | Each unresolved question has an owner and is not represented as approved. |
| Submission and outcome owner | Who reserves the name, checks the draft, pays, monitors messages and retains the result. | One person can explain what is pending and what evidence closes it. |
The local appointment deserves a separate line. A company needs a director meeting the local residency rules; an LLP needs a local manager. Where all owners of a sole proprietorship or partnership are not locally resident, identify the required locally resident authorised representative. An LP requires a local manager where all general partners are foreigners. These are different roles under ACRA's structure-specific requirements , not interchangeable labels for the same service.
For a branch, capture the authorised representative and foreign-company supporting documents against ACRA's branch checklist . For an Enterprise Singapore RO, the published application requirements call for the foreign registration certificate and latest audited accounts, with English documents or official translations as applicable. Its account instructions also address a local third-party proxy where the foreign entity has no staff with an NRIC or FIN.
One unresolved field should have one named owner. If the founder has chosen an LLP but the service instruction still says “incorporate a Pte Ltd”, correct the instruction before the provider prepares declarations. If an investor expects shares but the proposed structure has partners, return to the ownership decision. The record is useful precisely because it exposes such mismatches before payment.
Release one chosen application into the right workflow
After the record is agreed, prepare only the application that matches it. The following sequence is a handoff discipline; it does not replace the detailed eService instructions for each structure.
- Confirm the filing provider. Where a CSP is used, identify its legal entity, registered status and actual filing responsibility. ACRA explains how to check CSP status through Bizfile entity search. Agree who will answer official questions and who will keep the records; a sales contact and the registered filing party may be different.
- Reserve the correct name and entity type. Save the application reference and approval. ACRA's name guidance gives a 120-day registration window. State the activity using the relevant Singapore Standard Industrial Classification (SSIC) code, while keeping any licensing question on its own action list.
- Approve the route-specific draft. For a company, reconcile ownership, officers and governance with the founder’s instruction. For a branch, reconcile the foreign-company identity. For an LP, confirm who is general and who is limited partner. The current LP filing guide also states that a foreign entity cannot be appointed as general partner; flag that issue before a group assumes its overseas parent can take the role.
- Assign endorsements, payment and outcome monitoring. Decide who checks the inbox and replies to queries. A direct company filing requires other position holders to endorse within 60 days; the company filing instructions distinguish that from a CSP-filed application. Retain the submission reference and payment record, then wait for the official outcome.
Keep the budget tied to the selected route. For local-company incorporation, ACRA lists S$15 for the name and S$300 for registration, checked on October 19, 2026. Those are government charges, not the cost of every business structure or an all-inclusive professional service. Ask for filing work, local appointments, address services, renewals, third-party charges and applicable GST to be identified separately before accepting a scope.
Registration has an evidence endpoint. For a company, ACRA's approval supplies the incorporation notice, Unique Entity Number (UEN) and Business Profile download link. For a non-company route, retain that route’s approval and registration particulars rather than asking for a company incorporation notice. For an RO, retain the relevant authority’s outcome and approved scope.
Repair a route mismatch at the decision that caused it
Stop and correct the underlying choice when the draft no longer matches the route record. Changing a description in an email is not enough if the official application has already been prepared with different assumptions.
| Mismatch | Return to this decision | Practical repair |
|---|---|---|
| The approved name is for a different entity type | Structure selection | Check the correct name-application route before submitting; company and LP instructions require the registered type to match the reserved type. |
| The intended direct filer is only a shareholder | Filer role | Review company filing eligibility and appoint the correct filer or use a CSP; do not declare an artificial role just to gain access. |
| An RO business plan includes revenue-generating sales | Purpose of the presence | Reassess a trading entity or branch, or narrow the activity to the permitted exploratory scope before applying. |
| The chosen person has a work-pass question | Role eligibility | Resolve the pass issuer’s position before relying on the appointment; registration is not evidence of permission to work. |
Keep evidence of what was submitted and what remains pending. A name approval, payment receipt or draft confirmation should never be described to a supplier as an approved operating licence. ACRA directs businesses to check activity-specific approvals separately through GoBusiness. Banking, tax status and work permission also have their own outcomes; a filing provider cannot convert an entity registration into those approvals.
Choose the next authorised filing, then close the route record
Use the commercial purpose to settle the legal presence first. Then settle the eligible filer and local appointment, and release the matching application to the proper authority. This priority sequence prevents account access, a familiar package name or a cheap initial filing from deciding the business structure by accident.
Close the route record when its chosen application has an official outcome, the result matches the intended entity or RO scope, and every separate operating question has an assigned owner. If the presence, proposed role or authority is still disputed, resolve that specific point before another person submits on your behalf.
Frequently asked questions
Does using my own name always remove the need to register?
ACRA describes exemptions for a business using only the owner’s full NRIC name, or all partners’ full NRIC names. A brand with extra words can change the result. Check the registration exemptions against the actual name and activity before treating a planned venture as exempt.
Can a name reservation for a branch be handled internally?
The branch-name stage has broader Singpass access than branch registration. If the group handles the name itself, agree the handoff with the CSP before submitting, including the reference and exact foreign-company identity. Keep the name-stage permission separate from the CSP requirement for branch registration.
Should I choose an LP merely because one investor will be passive?
Passive investment alone does not settle the structure. Record who will manage, who will accept the general-partner exposure and whether the proposed partners are eligible. A corporate group should check the current filing restrictions before assuming its preferred general partner can be appointed.
What if I am moving the existing foreign company’s legal home?
That raises transfer of registration, or re-domiciliation, rather than merely choosing a branch or subsidiary. ACRA lists this as a separate route . Obtain a dedicated eligibility assessment instead of marking a standard new-company brief as a migration.
Can I treat a CSP quote as proof that I qualify?
A quotation identifies a proposed commercial service. Request the provider’s eligibility findings, unresolved conditions and exact filing scope in writing. The authority decides the application, and any pass, licensing or account provider decides its own approval.
