Business Setup in Indonesia: Registrations to Review Before Trading

Check the registrations triggered by the first business transaction.

Before an Indonesian company starts trading, confirm its legal-entity record and the licences for its actual activities, then review tax access, banking and any registrations triggered by employees, imports, products, premises or sector rules. An issued company deed or NIB alone does not establish that every intended activity is ready. The applicable checklist depends on what the company will do and where.

Key takeaways

  • Match the company’s name, owners, management, activities and locations across its official records.
  • Verify the applicable OSS risk-based output and any required standards or sector permissions.
  • NPWP, tax account access and PKP/VAT status are distinct matters and need separate review.
  • Banking, employees, customs and regulated products create conditional workstreams rather than a universal list.
  • Assign a responsible owner and retained evidence to each prerequisite for the first transaction.

Define the first trade and its dependencies

Choose a concrete first event: signing a customer contract, issuing an invoice, importing a product, opening a shop or delivering a service. Identify the legal seller, goods or service, site, customer, staff and payment route. A first domestic consultancy invoice and a shipment of regulated goods have different dependencies; a generic incorporation checklist cannot decide both.

Create a release board with four fields: proposed event, applicable registration or approval, current evidence and responsible owner. Mark each item as complete, pending, not applicable with reasons, or requiring authority clarification. This board is an editorial management tool, not an official approval. A trade should be delayed if a material requirement for that event remains unresolved.

Use the Indonesia company registration process as the starting corporate track. Then review every other relevant workstream against the actual business model, rather than assuming the entity and its bank account finish the setup.

Consider two hypothetical launch scenarios. A consulting company may need to confirm its specific service classification, contracting authority, tax treatment, bank account and personnel before delivering its first engagement. A product importer must additionally identify the goods, importer of record, customs access, shipment documents, product permissions and storage site. These are examples of decision points, not a ruling that either company has completed all requirements. The owner of each row should be able to show the evidence for the specific transaction and explain why any omitted item is not applicable.

Define the first transaction

Identify the seller, site, goods and payment route.

Validate the entity and licensing scope

Obtain the executed deed and the Ministry’s legal-entity output for the ordinary PT route, then compare the company name, shareholding, directors, commissioners and address with the approved instructions. Confirm who can sign the intended contract and whether any other company approval is required. Keep the source documents and official records under the company’s control.

Match the actual business activity and site to the current KBLI and OSS record. Government Regulation 28 of 2025 establishes risk-based business licensing; the OSS portal identifies four risk levels. Download the NIB and any applicable standard certificate or licence, and review risk, verification, location, conditions and the planned operating activity.

The applicable business licence can differ for each activity. Confirm any spatial, building, environmental or sector requirements for the actual site and project. A company may be formed and have an NIB while a separate verification or sector approval is pending. The correct test is whether the specific first operation is authorized under the current outputs and conditions.

If the approved business activity does not describe what the sales team plans to deliver, stop the affected launch and review the classification and corporate purpose. Compare the contract wording with the service or product actually supplied, the relevant site and the responsible entity. Ask whether an amendment, separate project or new authorization is required and preserve the authority response. Do not change only the invoice description to make the activity appear covered. A compliant profile depends on the substance and the current conditions applying to the business.

Activate tax access and decide the invoicing route

Verify the company’s tax identification and the accuracy of its entity and responsible-person information with the tax authority. Arrange company-controlled access to the applicable tax platform, assign an authorized administrator, and record account recovery and filing responsibilities. The tax authority’s corporate taxpayer registration guidance describes the relevant registration documents.

Do not treat tax registration, digital account access and VAT-taxable entrepreneur (PKP) status as the same step. The DGT Coretax registration guidance distinguishes registration, electronic services and PKP activation. Determine whether and when PKP registration is required or available for the company’s facts, and confirm the correct invoicing approach before promising customers a particular tax invoice.

Prepare a filing and payment calendar for taxes actually applicable to the company, including withholding and payroll where relevant. Assign owners for bookkeeping, supporting documents and review. Preserve the opening balances and supporting transactions even when early revenue is zero; a legal entity may have continuing obligations that are not determined solely by whether it made a sale.

For the first invoice, reconcile customer name, seller legal name, tax identification, contract terms, currency, invoicing date and supporting delivery evidence. Confirm whether the company is entitled or required to issue the type of tax invoice the customer requests. The commercial invoice, accounting record and relevant tax filing should describe the same transaction. An authorized tax adviser can assess any VAT registration, withholding or cross-border treatment triggered by the actual supply. Keep the conclusion and the person who approved it with the first-trade file rather than treating an example invoice as universal tax advice.

Check the tax and payment route

Confirm registration, access and the correct invoice issuer.

Settle bank, payment and contract controls

A bank account application is a separate KYC decision. Prepare the deed and company approval, identity and beneficial-ownership information, authorized signatories, business model, expected transactions and source-of-funds evidence requested by the bank. Ask about director presence, foreign-document form, online access, transaction limits and timing before setting a launch date. An application or a provider’s assistance is not a guarantee that the bank will approve the account.

Align the contracting entity, invoice issuer and payment recipient. If the customer signs with the Indonesian PT but is asked to pay an unrelated individual or a different group company, document the legal and tax basis and obtain appropriate advice before the first transaction. Check payment-service or marketplace account requirements separately where relevant. Set dual controls and record who can create beneficiaries, approve payments, hold tokens and recover access.

For foreign-investment companies, reconcile the capital funding route with the deed, bank evidence and investment plan. Do not classify capital as a service fee or assume a company can freely ignore applicable capital restrictions. A cash-flow plan should also cover stock, rent, payroll, licences and a contingency for approvals taking longer than expected.

Check employee and personnel registrations

If the company will employ people, identify the employer, employment arrangements, payroll owner, applicable withholding and social-security obligations before staff start. The BPJS Ketenagakerjaan registration guidance describes employer registration channels. Review the applicable programmes, health coverage, onboarding and contribution requirements for each worker rather than assuming one registration covers every obligation.

For foreign personnel, check the role, sponsor, location and current work and immigration requirements separately. Appointment as a director does not automatically confer permission to work or reside in Indonesia. Plan travel and employment start dates around the actual approval route and retain the relevant authorization and expiry records.

Assign an HR contact for contracts, employee data, payroll, leave and termination questions. Ensure the company’s and employee’s records match the real employment relationship. A proposed ‘contractor’ classification should be reviewed against the facts and applicable law, not chosen simply to avoid an employer registration.

Test import, product and sector triggers

Where the PT will import or export, identify the importer or exporter of record, goods, customs route, classification and any product restrictions before shipment. The customs registration guidance explains how an eligible NIB can connect to importer/exporter registration and customs access. Check the current system status and additional product or sector requirements for the actual transaction; customs access does not by itself authorize every controlled product.

For regulated food, cosmetics, health products, telecommunications devices or other controlled activities, ask the responsible authority which product registration, technical standard, facility approval or supporting licence applies. Record the specific product and responsible legal entity. A supplier’s foreign certificate or a general company NIB is not automatically the Indonesian approval required for a particular product.

The post-registration steps guide provides a broader overview. For launch, convert each relevant trigger into a specific condition, source, accountable owner and evidence of completion.

For a shipment, build a small document chain: purchase agreement, seller and importer identities, product description, origin and shipping documents, customs classification, any applicable approval and delivery destination. Confirm which party is responsible for the customs declaration and which agency controls any restricted goods. If product registration is needed, check that the approval holder and approved product correspond to the importer and item. Where a distributor or logistics provider acts for the company, retain the service agreement and establish who must notify the company if a declaration or delivery is rejected.

Release the launch and monitor changes

Before the first trade, confirm the correct legal entity and signatory, the licensed activity and site, tax and invoicing position, bank or payment route, and any personnel, customs or product permissions triggered by the transaction. Keep a dated approval record with references to the actual official documents and any conditions that must continue after launch.

If a bank account, verification, product approval or employee authorization is outstanding, identify which activities must wait and who will resolve the issue. Record an escalation date; do not treat an intended launch date or a submitted application as equivalent to approval. Where the facts are unclear, obtain a written answer from the relevant agency or qualified adviser.

Reopen the checklist when the company adds a new product, site, sales channel, importer role, staff category or activity. Compare updated facts with corporate, OSS, tax, bank and sector records and assign any required filings. The objective is a controlled handover from company formation to the first legitimate operation, supported by evidence rather than a single certificate.

A practical handover can include the final checklist, unresolved-issues log, copies of official approvals, login ownership, renewal dates, bank mandates and contact details for the responsible notary, accountant and licensing adviser. Ask each owner to acknowledge their next task and test that an authorized company officer can retrieve the documents. This reduces the chance that a registration is technically issued but the company loses the ability to demonstrate or maintain it. It also provides a starting point for periodic reviews when the company changes suppliers, premises or its method of selling.

Does an NIB guarantee that trading may begin?

No. Check the activity, location, risk output and all applicable verification or other conditions.

Is NPWP the same as PKP status?

No. Taxpayer registration and PKP/VAT status are separate matters and should be checked for the actual business.

Can a company import any product once it has a bank account?

No. Customs access and any product-specific or sector approvals require separate review.

Who should retain company logins and records?

An authorized company officer should control or be able to recover access, even when a service provider helps with filing.
