Formation and launch planning

Business Setup in Singapore: Registration and Operating Readiness

Use separate acceptance evidence for the company filing and the operations that follow.

Business setup in Singapore requires two different completion decisions: forming the entity and preparing it for its intended operations. For a standard private company, ACRA incorporation establishes the company, while banking, applicable activity approvals and people-related permissions have separate tests. Start by defining the first transaction and checking which conditions must be satisfied before it can proceed.

From a complete filing and payment to an ACRA outcome, most registrations are approved soon after payment; complex applications may take up to 15 working days, and referrals 14–60 days. ACRA’s processing windows cover that stage only. Preparation and separate approvals determine the operational start date, so no single end-to-end duration applies.

Key takeaways

  • Define the first intended operation before buying a service scope; that determines which dependencies matter.
  • Give each track its own accepted evidence so a submitted application is not mistaken for approval.
  • Assign statutory roles and record owners early, including obligations that fall after incorporation.
  • Plan around the slowest necessary dependency instead of applying ACRA’s timing to every approval.
  • Keep government charges, provider deliverables and operating cash separate when assessing the budget.

Define the first transaction before choosing the setup scope

Start with a written description of what the business will do on its first trading day: who signs the customer contract, what is supplied, where the work happens and how the customer pays. That description determines which approvals belong in the launch plan. A service business selling remotely and a business handling regulated goods cannot share one undifferentiated “ready” status.

The registration path below concerns a Singapore private company limited by shares. A company is a separate legal entity, as explained in ACRA’s business-structure comparison . An LLP, sole proprietorship, foreign branch or representative office requires a different assessment; do not reuse a company checklist simply because the commercial activity sounds similar.

Record two milestones in the project plan: incorporation accepted by ACRA, and the first intended transaction authorised and operationally possible. An incorporation notice is evidence that the company exists; it is not a universal release to begin every activity. Give each milestone a named owner and a completion document. This prevents the finance team, founder and service provider from using the same word, “done”, for different outcomes.

HSJGlobal’s Singapore company registration service covers the entity-formation work that feeds this plan. Any engagement should separately identify the statutory roles, document preparation and ongoing services included, because coordination of registration does not transfer a bank’s or regulator’s decision to the incorporation provider.

Separate registration evidence from permission to operate

A Singapore private company is ready for its intended operations when incorporation is confirmed and every applicable operating dependency has its own completion evidence. Use the register below to accept each track separately; mark an item “not applicable” only after recording the activity or staffing facts behind that decision. The register is a planning tool, not an additional government approval.

Acceptance register for formation and operating readiness
Track and accountable owner Evidence to accept What remains unproven
Company formation — filing director or CSP ACRA successful-incorporation notice, UEN and downloaded Business Profile, checked against approved instructions. A payment receipt or saved application alone does not establish approval.
Corporate administration — directors and secretary Accepted appointments, maintained company records and assigned filing calendar. A service invoice does not show an appointment or record has been completed.
Business banking — authorised applicant Bank confirmation, usable access and payment controls accepted by the company. An application reference or relationship-manager discussion is not an operational account.
Activity and premises — operating lead Applicable licence or approval issued for the correct entity, activity and site; conditions and effective dates checked. A name reservation, SSIC selection or submitted licence application does not prove permission.
People and tax access — responsible manager Required work authorisation before work begins; authorised tax access and assigned first filing dates. Share ownership does not prove work permission, and portal access does not prove a return was filed.

For each row, add the evidence location, date checked and next unresolved condition in your own project record. Use “pending”, “accepted” or “not applicable with reason”. Avoid a percentage score: four completed tracks cannot compensate for one missing approval that blocks the actual activity. The precise legal and third-party requirements are checked in the relevant stages below.

Set the launch boundary before filing

Share the intended activity, ownership and first-transaction plan so the formation scope can be separated from approvals that need another decision-maker.

Resolve the people, address and ownership file

Resolve the statutory roles before asking people to sign. The company needs at least one director meeting Singapore’s local-residency rules. A secretary must be appointed within six months of incorporation and cannot be the same person as the sole director; an auditor must be appointed within three months unless exempt. ACRA’s current officer requirements also make clear that nominee directors retain directors’ responsibilities. Treat a resident-director arrangement as an accountable appointment, with agreed reporting and access to records.

Foreigners must use a CSP to reserve the name and register the business structure under ACRA’s rules for foreign applicants . Tell the provider who ultimately owns and controls the company, which people are acting for another person, and where the founder will actually work. A locally resident contact is not automatically a qualified director or an authorised filing representative.

Prepare one controlled set of incorporation instructions : proposed name and activity description, SSIC selection, officer and shareholder identities, addresses, ownership chain, share allocations and constitution choice. Agree the financial year end and a monitored company email. For corporate shareholders, confirm who can authorise the investment and signing; ask the CSP which underlying identity, corporate, certification or translation evidence is required for its checks.

A Singapore registered office must provide the required public access; ACRA specifies at least three hours on each business day. It can differ from the operating premises. The Bizfile incorporation requirements distinguish these addresses, so do not assume a registered-address service also establishes that a shop, kitchen, warehouse or office is suitable for the proposed activity.

Resolve inconsistent names, passport numbers and share totals before the filing. Our incorporation document reconciliation checklist develops that document-control task. Keep an approval trail showing who accepted the final data, rather than leaving the filer to choose between conflicting versions.

The company’s incorporation output becomes an input to banking, tax access and any entity-specific operating applications. Preparation for those tracks can begin earlier, but their completion evidence must stay separate.

Formation hands over to separate operating tracks Agreed instructions lead to incorporation evidence. Banking, activity approvals, and people and tax access then have separate acceptance tests before the intended launch is released. Agreed formation instructions ACRA incorporation evidence accepted Banking usable and controlled Activity approvals effective if required People and tax responsibilities assigned Release the intended launch when applicable tracks are accepted
Formation is one handover. Each applicable operating track needs its own accepted result.

Move through Bizfile to a verified incorporation handover

Reserve the company name in Bizfile using the intended entity type and relevant SSIC code. Save the approved name’s transaction reference: ACRA’s name-reservation guidance gives a 120-day reservation period, after which the name is released. An approval clock should never be used as a substitute for deciding who will provide the remaining information.

  1. Open the “Register new business entity” service. An eligible individual uses Singpass; a CSP uses its CSP route and Corppass credentials. Retrieve the approved name reference.
  2. Enter company particulars, officers and shareholders. Resolve controller and nominee declarations, record share capital and allotments, and choose the model constitution or upload a customised constitution.
  3. Review and submit the agreed record. On the direct-filing route, other position holders must endorse within 60 days; that online endorsement step does not apply when a CSP files.
  4. Pay after the required endorsements and payment notification. Check the Bizfile inbox for the outcome, then retain the successful-incorporation notice, UEN and free Business Profile download.

These stages follow ACRA’s current Bizfile filing instructions , checked on October 21, 2026. The UEN identifies the entity; the Business Profile records registered particulars. Neither is a banking approval. A separate certificate requested by a counterparty also does not replace the underlying company records or approval needed for that counterparty’s purpose.

Make the handover an active check. Compare the returned company name, UEN, officers and ownership information with the approved instructions, and keep the constitution and signed corporate records with the outcome. Tell the operating owners which version is final so subsequent applications do not repeat an earlier draft.

Open the operating tracks that your activity actually needs

Make banking usable, not merely submitted

Select the account route for the actual ownership structure and proposed flows of money. DBS’s foreign-owned-company account guidance identifies cases requiring relationship-manager assistance, including companies with foreign corporate shareholders or owners with non-local residency status. This is DBS policy, not a rule that every Singapore bank applies identically. Obtain the selected bank’s current checklist and confirm whether interviews, additional ownership evidence or signatory verification are needed.

Prepare a consistent explanation of the business, expected counterparties, funding and payment flows. Distinguish a bank request from a statutory incorporation requirement. The bank assesses the account application separately; incorporation support cannot promise its decision. Before treating banking as ready, have the authorised users confirm access, approval permissions and the ability to make the payments your launch needs.

Check the activity, premises and people

Screen the real activity through GoBusiness and follow the relevant agency’s requirements. GovTech’s explanation of GoBusiness describes guidance on permits and licences. Record the licence identified, applicant entity, site, prerequisites and the document that will prove issuance. A search result or adviser recommendation starts the enquiry; it is not permission to conduct a regulated activity.

If a foreign founder or employee will work in Singapore, check the work-pass route before assigning a start date. MOM requires a valid pass before foreigners start work . Ownership of shares and an accepted company filing do not establish that permission. Keep the work-authorisation decision with the person and employer concerned, and avoid making a relocation date depend solely on the incorporation timetable.

Resolve the dependency holding up operations

Bring the outstanding bank request, licence condition or access issue. HSJGlobal can help separate missing formation records from matters the bank or agency must decide.

Plan the launch around dependencies and separate budgets

Give financial administration a working owner

Agree who records transactions from day one and who can retrieve invoices, contracts and bank records. IRAS’s corporate-tax guide requires company authorisation through Corppass before staff or agents can use myTax Portal. It sets ECI filing within three months after financial year end unless an exemption or waiver applies, and the corporate income tax return deadline at November 30. Confirm the first applicable Year of Assessment and record both tasks separately; an ACRA annual return does not substitute for the IRAS return.

The acceptance register should show who monitors official correspondence and who supplies information to advisers. Where GST, importing or another activity-specific question is relevant, commission that assessment against the actual business model. Leaving a field blank is different from a documented conclusion that the item does not apply.

There is no reliable single duration from a founder’s first enquiry to an unrestricted operational launch. For planning from a complete registration submission and payment to ACRA’s outcome, most registrations are approved soon after payment; complex cases may take up to 15 working days, and referrals can take 14–60 days, according to ACRA’s conditional processing guidance . ACRA labels the referral range “days”, without calling it working days. These windows exclude your preparation and subsequent banking or operating approvals.

Build the schedule backwards from the first transaction. Document collection, the activity screen and bank-route selection can run in parallel. Final entity-specific applications need the confirmed company particulars, while a premises-dependent licence may create another critical dependency. Use an internal target date and a release condition, rather than telling customers that an estimated registration date guarantees delivery.

For a standard company, ACRA’s published fees are S$15 for the name application and S$300 for incorporation: S$315 combined, checked on October 21, 2026. These government charges are separate from professional services and later operating costs. An application fee is also different from money retained by the business as share capital or working cash.

Ask for a scoped service quotation identifying director arrangements if needed, secretary, registered address, document work and renewal periods. Keep bank charges, licence fees, accounting, tax work and any work-pass support on separate budget lines where applicable. Check whether a quoted amount already includes government fees, and how any legally applicable GST is treated. The relevant question is which deliverables and periods the price purchases, rather than whether one headline amount sounds like a complete launch.

Repair the blocked track without restarting everything

Use the last confirmed outcome to locate a delay. A pending bank application does not normally mean that an already incorporated company needs another incorporation application. Conversely, an unconfirmed filing cannot be repaired merely by forwarding its payment receipt to a customer.

  • For a pending Bizfile transaction, check the inbox, status and reference. Respond to the identified endorsement or information request; confirm payment status before attempting another payment.
  • For inconsistent registered particulars, compare the filed instructions with the official record and establish the appropriate correction or update route with the filer. Do not alter downloaded evidence to make it match.
  • For a bank query, answer the precise request through the bank’s accepted channel and keep the company’s ownership and business explanation consistent across documents.
  • For an unissued operating approval, identify the missing prerequisite or condition with the relevant agency. Change the launch scope or date if the intended activity cannot yet proceed.

Preserve the previous evidence, the outstanding request and the responsible person’s next action. If a requested change alters ownership, control, premises or business activity, reassess the connected tracks before resubmitting. A correction that helps one application can create a new inconsistency elsewhere.

Approve the Singapore launch only against completed evidence

Approve the launch against the specific contract, service or shipment the business intends to perform. Review the incorporation handover first, then require each operating owner to accept the evidence relevant to that transaction. An item may remain scheduled after launch only where its legal timing and the intended activity allow it; future secretary and auditor deadlines still need owners even when they do not prevent immediate incorporation.

Apply a transaction-specific release decision : if a required licence is unissued, work authorisation is missing or a necessary payment function is unavailable, change that part of the launch plan. If the blocker is simply a missing copy of an already accepted document, retrieve and verify the record rather than recreating the company. This distinction keeps administrative follow-up proportionate to the real constraint.

Keep the accepted evidence register with the company records and revisit it when the activity, ownership, premises or staffing changes. The useful completion point is a company whose first intended operation can proceed on verified facts, with the next obligation assigned to someone who can carry it out.

Turn the accepted records into a launch handover

Use a clear formation and operations responsibility list to agree the remaining work, deliverables and follow-up with HSJGlobal. Approval of external applications remains with the relevant decision-maker.

Frequently asked questions

How should a change of provider be handled during setup?

Transfer the agreed instructions, transaction references, final document versions and outstanding requests. Identify the person controlling the existing filing before anyone resubmits information or makes another payment.

Should every operating track be completed on the same day?

No. Use the date needed for the intended activity and any applicable legal deadline. Some preparation can proceed in parallel, but a dependency cannot be marked accepted before its own evidence exists.

What should I ask a provider to deliver at handover?

Request an indexed list of incorporation outcomes, corporate records and appointments within the agreed scope, plus an explicit list of outstanding items, responsible people and next actions. Match it against the engagement terms.

What if overseas records use different spellings for the same person?

Ask the filer which authoritative identity record and supporting explanation are needed. Reconcile the accepted spelling across the instructions and downstream applications, rather than silently choosing a different version for each recipient.

Can I use the same readiness register after changing the business model?

Retain it as history, then reassess the affected rows. A new activity, site, ownership structure or staffing plan may change the evidence required, even when the company keeps the same UEN.
