BVI COMPANY RENEWAL

BVI Company Renewal Packages: Services & Exclusions

Separate the continuing appointments, government charges and reporting work covered by a renewal quote.

A BVI renewal package may combine registered-agent and office services, government charges and selected administrative work, but the actual inclusions are set by the written agreement. Check the coverage dates, the specific services performed and each exclusion before paying. An agent renewal, an annual financial return and an economic-substance assessment are separate tasks; a payment receipt for one does not prove the others were completed.

Key takeaways

  • The agent and office service period, government fee cycle and financial-return deadline can be different.
  • Request a renewal-specific written quote; formation starting fees do not establish an annual renewal price.
  • Bookkeeping, ownership updates, substance work and external tax or banking support may require separate instructions.
  • Keep proof of each payment, appointment and applicable filing or return delivery.
  • If status or a missed deadline is unresolved, verify the position and obtain a corrective plan before treating renewal as complete.

Identify the separate clocks behind renewal

A renewal notice can refer to an agent’s service period, a government annual charge, an accounting year or a specific compliance submission. Record each date and recipient separately. The registered-agent invoice may arrive well before its own service expires, and the agent may need cleared funds or company information before a government payment can be made.

A paid service invoice is not proof that every company obligation has been completed. Ask which payments or filings the provider will make, by when, and what acknowledgement it will send. Retain the appointment confirmation and the evidence of each completed task, rather than relying on the invoice heading.

The BVI Financial Services Commission states that a BVI business company must maintain a registered agent and registered office within the territory. The renewal instruction should identify their actual legal names, address, covered dates and the process for continuing or changing the appointment.

For the official annual fee, ask the registered agent to confirm the applicable registry cycle and any amount or penalty for the company. For a financial return, identify the company’s relevant financial year and whether an exemption applies. A single anniversary reminder does not replace the separate dates governing those tasks.

Locate the next real deadline

Identify the agent and office term, government fee cycle and any separate financial-return obligation.

Separate the renewal price from other costs

The public BVI company formation page publishes starting professional fees for formation and initial readiness, not an approved renewal price for every company. It says government, registered-agent, registered-office and other third-party costs are confirmed separately. Ask for a current renewal quotation for the actual company rather than treating a formation fee as an annual maintenance price.

Quote line Ask the provider Evidence to keep
Registered agent and office Named provider, service dates and amount; any change or transfer charge? Appointment and paid service-period confirmation.
Government annual charge Included or separately reimbursed? Amount and applicable cycle? Itemised charge and payment or filing confirmation.
Compliance support Which assessment, preparation, review, submission and follow-up tasks? Written scope, instructions and completion evidence.
Records and extra work Bookkeeping, certification, changes, enhanced review and tax advice included? Deliverable list, limits, rates and approvals for extras.

A quote is comparable only when the same period and tasks are priced. Confirm the currency, the quote’s validity, any applicable tax treatment, payment deadline and refund terms. If an essential external charge is still to be confirmed, mark the proposed first-period total incomplete; do not fill the gap with an assumed figure.

Separate service expenses from share capital, working cash, bank minimum balances and refundable deposits. They may all affect cash planning, but they are not the same type of expenditure. Ask which amounts are payable to the service provider and which are paid or reimbursed to another party.

Different clocks in a BVI renewal Three independent rows connect the agent and office service term to expiry, the government annual fee to its due date, and the financial return to its applicable deadline; these dates are not drawn on a shared scale. Check the routine service and its limits

For registered-agent service, confirm the appointment period, the exact entity providing it, the expected response channel and what happens when ownership or activities change. For the registered office, clarify receipt of official notices, delivery to the authorised contact, time-sensitive escalation and any mail-forwarding or courier costs.

A provider might offer a compliance calendar, a review of company records or assistance with selected filings. Those are different commitments. Ask whether the quote includes reviewing the company’s facts, preparing documents, submitting an authorised filing and answering follow-up questions. If it contains a numerical limit on changes or officers, record the limit and the extra charge or quotation process.

Check the financial-return handover separately. The FSC guidance states that companies required to submit an annual return generally do so to the registered agent within nine months after the relevant year ends, subject to applicable exemptions. Ask whether preparation from your accounts, director approval and delivery to the agent are included, and what evidence confirms receipt.

The FSC’s October 2026 questions and answers discuss upcoming changes to financial-return forms. Confirm the version in force for the company’s relevant return; do not assume a proposed form is already effective or that a past extension applies to every later year.

Identify exclusions that can change the scope

Look for services that a renewal package may exclude or price separately: bookkeeping and underlying financial statements; preparation of the annual financial return; ownership or director changes; beneficial-ownership review and updates; economic-substance classification or filings; tax advice in another country; certification, apostilles and courier; and banking or specialist regulatory support.

For beneficial ownership, the FSC guidance describes an identification and filing framework with specific update and access rules. Ask who collects change information, who assesses the applicable rule and which filing work and charges are included. A renewal notice does not prove that current control information has been checked.

For economic substance, assess the company’s actual activity and any applicable reporting or substantive requirements. An address service alone does not establish operational substance. Ask whether the quote includes classification only, submission coordination, specialist advice, or resources needed to meet any applicable requirement. Fees for people, premises and operating activity must be identified separately if they are needed.

If the company uses a foreign bank, verify the current entity documents and ownership evidence that the bank expects. The BVI company evidence for a Hong Kong bank illustrates why a bank’s current-record requirements are a separate question from an agent’s renewal invoice.

Find excluded work before it is due

Review the quote against the company’s records, ownership changes and current activities.

Control changes and retain completion evidence

Before authorising renewal, reconcile the legal name, company number, registered agent, office address, directors, members and known controllers with the records held by the company. Flag any transaction or appointment that occurred during the previous period. Give the provider dated supporting documents and agree who has authority to approve updates.

Ask for a completion record for each line item: confirmation of agent and office coverage, evidence of government fee payment, receipt of the applicable financial return, and the appropriate acknowledgement for any filing performed. Where the task was excluded, identify the person responsible and the next date for action.

Retain the signed engagement, invoices, proof of payment, correspondence, current registers and relevant supporting documents in a secure place accessible to authorised directors. Establish how records will be supplied to a replacement provider if you move. A successful handover is the ability to retrieve an accurate, current record when the company needs it, not merely the existence of a past document.

For a parent company with multiple subsidiaries or changing ownership, coordinate updates across the group. Different jurisdictions and banks can request different evidence and have their own deadlines. An overseas subsidiary’s records do not automatically update the BVI company’s information, and a BVI update does not automatically complete an overseas filing.

Recover from a missed renewal or disputed charge

When a notice is late or an invoice is disputed, establish the company’s present status, the dates involved, the amount claimed and whether agent or office service has already ended. Contact the responsible provider through an independently verified channel and request a written breakdown and status of each task. Do not assume that paying an old invoice repairs every outstanding issue.

The FSC explains the availability of BVI company search reports , which include a status description and registered-agent details. A search helps establish what the registry report shows on the search date; it does not itself establish that all financial, tax or bank obligations are clear. Compare the report with the agent’s latest records and any outstanding notices.

Prioritise restoration of required agent and office arrangements, identify unpaid government charges or penalties, and ask a qualified adviser to assess any missed return, filing or dissolution issue. Document the person responsible, proposed corrective action and evidence needed to demonstrate completion. If an incorrect register or ownership entry caused the problem, correct the source record before distributing replacement documents.

Do not use non-payment as an informal closure method. The FSC’s company-law update explains the post-2022 strike-off and dissolution framework. The appropriate response depends on status, outstanding assets and liabilities, and the current law, so obtain case-specific advice before taking a restoration or liquidation step.

Accept the BVI renewal package only when responsibilities are clear

Proceed when the written agreement identifies the company and agent, provides service and payment dates, separates government and professional amounts, and assigns every continuing task to a person or a documented exclusion. Check that the company can supply records and approvals on the provider’s required timetable.

Pause if the company’s status is uncertain, an agent has withdrawn, a financial return may be overdue, a material ownership change remains unresolved or the quote excludes a task nobody else has accepted. Escalate the issue to the registered agent and an appropriate BVI lawyer, accountant or tax adviser according to the problem. Agree a corrective plan before relying on the renewal as complete.

Record the actual acceptance or completion evidence and the next review date. A renewal package is effective when the company knows which work was completed, which obligations remain and who will handle the next event.

Frequently asked questions

Is renewal the same as obtaining a new Certificate of Incorporation?

No. Renewal is a commercial term for continuing appointments, fees and administration. The original certificate proves incorporation; current status evidence may be requested separately.

Does the agent payment include the annual financial return?

Only if the contract expressly includes preparation and support for the applicable return. Identify the preparer, company approver and registered-agent recipient.

Must a non-trading company renew?

A company that continues to exist still needs its relevant corporate arrangements assessed. No trading alone does not prove that every fee, record or reporting duty has ceased.

Can a renewal price be taken from a formation package?

No. The period and services are different. Ask for a current written renewal quotation and the separately payable government and third-party amounts.

What if I do not want the company anymore?

Obtain advice on a lawful closure or other applicable route, outstanding liabilities, records and assets. Simply failing to renew can lead to serious consequences.
