BVI COMPANY DOCUMENTS

BVI Formation Packages: Which Documents Are Included?

Match every promised document to the fact it proves and the recipient who needs it.

A BVI formation package commonly provides the Certificate of Incorporation, constitutional documents and initial company records, but the exact contents depend on the written scope. Ask for a document-by-document delivery list, including registers, director appointments and share records, and clarify whether copies, certification and later updates are included. A document that proves the company was formed does not by itself prove its current owners or who may sign for it.

Key takeaways

  • The certificate, constitution, registers and authority documents each prove a different proposition.
  • A provider’s filing work, records held by the agent and copies delivered to the client are separate items.
  • Certification, translation, originals and courier should be confirmed against the recipient’s actual requirements.
  • Current directors, members and authority should be reconciled with the company’s approved instructions.
  • Corporate shareholders and later transactions can require documents beyond a standard formation kit.

Identify the promised formation deliverables

The published BVI company formation scope refers to standard constitutional documents and registers. Its company-kit section also describes a certificate, memorandum and articles, registers and a first-director resolution. Before committing, ask the provider to list the documents actually included in your written engagement, the format and delivery date; marketing descriptions do not settle every detail for a particular structure.

Ask which documents will be prepared, which will be filed and which you will actually receive. Those three lists can overlap without being identical. Clarify whether delivery is electronic, whether original or certified copies are included and whether extra copies, courier, translation or authentication are separately charged.

The following map applies to an ordinary company limited by shares. A regulated business, special share class or corporate shareholder can create additional document needs that a standard package does not resolve. Tell the provider the intended users of the company file before agreeing which records it will deliver.

Define your document handover

List the parties, share structure and recipients that the initial company records must support.

Map each document to the fact it proves

Document Primary question What to reconcile
Certificate of Incorporation Was the named company incorporated? Name, number, date and jurisdiction.
Memorandum and articles What constitutional rules apply? Share structure, powers and later amendments.
Director records and appointment Who has been appointed to manage the company? Names, appointment dates, consents and current status.
Register of members and share records Who holds the recorded shares? Member names, class, number and issue details.
Resolution or mandate Who is authorised for a particular action? Scope, signatory and any recipient-specific mandate.

The BVI Financial Services Commission describes the company records maintained at the agent’s office, including the constitution and director and member registers. That legal record-keeping description does not mean every form of copy or certification is included in a particular commercial package.

Company existence and current authority are different propositions. A bank can ask for evidence of both. A certificate issued at incorporation does not automatically establish who can sign an account mandate after later board or ownership changes.

A document proves a specific proposition Formation evidence establishes the company, current registers establish its officers and members, and authority documents support a signer; the recipient then decides accepted format. Each document answers a different question before the recipient checks its format and currency.

Separate registry filing from the client handover

Ask for a register of deliverables with four columns: document name, responsible preparer, filing or record location, and the copy the client receives. Confirm whether it is a signed company record, an official registry-issued certificate, a registry search result or an adviser’s draft. The label “corporate kit” should not blur those origins.

For the certificate, compare the legal name and number with the registry outcome. For the constitution, ensure the version supplied includes any amendments accepted for the company. Reconcile the director appointment evidence with the register and check the member records against the approved subscription and share issuance. Where a document is not yet complete, identify the missing approval and owner instead of treating a draft as final.

The FSC’s company search guidance describes the information included in a search report, such as company identity, status, agent and office. A search report can support a specific verification task, but it is not interchangeable with every underlying company document or with a current signatory mandate.

Choose the copy and certification for each recipient

Begin with the recipient’s list before paying for authentication. A bank, investor, overseas registry or counterparty may request a particular document, issue date, translation, certified copy, apostille or legalisation route. These requirements depend on the recipient, the country of use and the facts; a standard PDF package does not guarantee acceptance everywhere.

Keep the document age and identity of the issuer as separate fields. A recent copy of an old record may still be insufficient if the recipient wants current particulars. Conversely, a newly obtained document does not prove that an outdated shareholder chart is accurate. Ask exactly what period is accepted and whether an equivalent official search will be considered.

When a recipient flags an inconsistency, pause the dependent application. Find the authoritative record, correct the underlying company information through the responsible party where necessary, then obtain fresh evidence in the requested format. Repeating the same rejected file or buying a further certification does not repair an underlying mismatch.

Resolve evidence gaps before certification

Check whether the recipient requires current records, authority evidence or a particular form of certification.

Plan documents for the actual ownership chain

A corporate shareholder can require an additional evidence set for the parent: proof of its existence, current directors, authority to subscribe, ownership and control chain, and identification evidence requested by the agent or bank. Ask who supplies each document, whether translation or certification is necessary and whether extra due diligence is included in the formation scope.

If the BVI company will seek a Hong Kong account, the corporate records needed for Hong Kong banking explain why current directors, shareholders and signing authority are assessed alongside the business and funding explanation. The bank determines its own requirements; a formation provider’s document list is not an approval.

Where the company will own a subsidiary, enter into a loan or issue special share rights, request the relevant resolutions or specialist drafting separately. A standard document set is not a substitute for transaction-specific legal drafting. Confirm who will review the governing documents and any restrictions before the company signs.

Accept the BVI company file when it is usable

Accept the handover when the agreed documents have arrived, the entity name and number match, director and member information is consistent, and the current signed versions can be retrieved. Confirm the actual registered agent, registered office, responsible record keeper and process for future updates.

For each intended recipient, mark the necessary evidence as accepted, pending or unavailable and identify who will obtain any extra copy or certification. Retain the original request, the version supplied and any response. If a bank or investor has not reviewed the file, mark acceptance as pending rather than claiming that the documents are universally bank-ready.

Keep an accessible version-controlled record of later changes and the related approvals. The most useful package is the one whose records remain accurate and obtainable when the company needs to sign, open an account, admit an investor or change service providers.

Confirm the finished company file

Match every agreed deliverable against the certificate, ownership records and signing authority.

Frequently asked questions

Does a Certificate of Incorporation show the current shareholder?

The certificate establishes incorporation; use current member records and any further evidence requested by the recipient to support current ownership.

Is a company seal mandatory in every formation package?

Do not assume that a seal is necessary for every transaction or automatically included. Confirm the company’s constitution and the recipient’s execution requirements.

Are bank-certified copies automatically included?

Only if the engagement says so. Ask the particular bank which documents, certification method and document ages it will accept before ordering copies.

Can one document prove both good standing and current directors?

A good-standing certificate and an incumbency document address different questions. Obtain the specific evidence and issue date the recipient requests.

Can the provider keep the original records?

Records may be maintained by the appropriate responsible party, but directors should know where they are held and how to obtain current copies or arrange an authorised handover.
