BVI Incorporation Quotes: What to Request

Turn a headline offer into a written scope you can compare, approve and verify.

Send a written brief when requesting a quote for an ordinary British Virgin Islands (BVI) Business Company limited by shares. A usable proposal connects each charge to a deliverable, responsible provider and service period. A headline offer alone cannot establish what you will pay or receive, especially when ownership checks, certification or continuing compliance remain unscoped.

Key takeaways

  • Give every provider identical ownership, activity and document assumptions so differences in scope become visible.
  • Mark each line as fixed, provisional, charged per unit or excluded; a blank amount leaves exposure unresolved.
  • Separate the first service period from government payment dates and the next agent or office renewal.
  • Choose only after mandatory work has a named owner and any open charge has an agreed approval mechanism.

Send the same company brief to every provider

Start with one factual specification, then ask each provider to identify any assumption it cannot accept. State that the proposed entity is an ordinary BVI company limited by shares. Describe what it will own, sell or contract for; where decisions will be made; and whether it will conduct regulated activity or business locally. A specialist or regulated structure needs a separate assessment before an ordinary incorporation scope is appropriate.

  • Identify proposed shareholders, directors and ultimate controllers, their residence countries, and any corporate or trust layers. Attach a simple ownership chart rather than calling the chain “straightforward”.
  • Describe expected assets, income sources, counterparties and transaction countries. Explain any intended lending, intellectual property income or services to group companies.
  • State the proposed share arrangements and whether standard constitutional documents are acceptable. Flag investor rights or bespoke drafting before requesting a fixed scope.
  • List documents already available, their languages and issuing countries, plus any planned Hong Kong banking or subsidiary use. Ask for secure instructions before sending identity records.

The BVI Financial Services Commission’s corporate-structure guidance confirms that a BVI Business Company must continuously maintain a registered agent and registered office in the territory. Request the legal name of the proposed agent and verify it in the FSC registered-agent directory . The adviser issuing a proposal and the licensed agent may be different organisations.

For formation of a BVI company , distinguish coordination of the agent, constitutional documents and registration from the agent’s own appointment and charges. Name the contracting party , the invoice issuer, the agent and the person responsible for resolving discrepancies; a trading name alone does not explain those relationships.

Check the assumptions before requesting a fixed scope

Share the intended activity, ownership chart and countries involved so the formation request can identify work that needs separate assessment.

Specify the written reply, line by line

Request a dated, itemised BVI incorporation proposal covering the lines below. For every charge, require the amount and currency, payee, price status, covered period, inclusions, exclusions and applicable tax treatment. Ask the provider to complete these fields in writing rather than relying on a call or a promotional description.

Quote line Require in the written reply Verify before comparison Close with
Government charges Each filing or application, currency, official basis and payment stage. Entity and share assumptions; no duplicate pass-through charge. Official receipt or filing evidence.
Professional coordination Named contracting entity, defined tasks, fixed or variable amount. Drafting limits, included revisions and applicable tax treatment. Agreed deliverables and invoice reconciliation.
Registered agent and office Provider names, separate charges or express inclusion, start and end dates. Mail handling, scanning and forwarding limits; renewal basis. Appointment and written service-period confirmation.
Company documents Exact documents, digital or physical format and quantity. Standard versus bespoke constitution; registers and organisational actions. Indexed document pack checked against the agreed list.
Verification and certification Customer due diligence scope; unit rates for certification, translation and delivery. Whose documents, accepted certifier, receiving institution and number of sets. Accepted format and delivery record.
Compliance work Each review, preparation and submission as a separate task. Initial versus recurring work; client inputs and adviser exclusions. Written assessment or appropriate submission acknowledgement.
Optional bank preparation Institution or product, preparation tasks and application allowance. Follow-up limits, further requests and independent approval. Delivered application pack; bank decision remains separate.
Renewal and exit Next payable period, recurring scope, cancellation and transfer charges. Validity date, price-change notice, refunds and non-recoverable disbursements. Written terms available before payment.

Use four price statuses: fixed and included; provisional with a stated assumption; per unit with an agreed quantity or cap; and excluded. An item carrying no charge should say so expressly. An unpriced mandatory task is not a saving. Record who will obtain a separate quote and when that quote must be accepted before work starts.

Reconcile the displayed subtotal using only non-overlapping amounts on the same currency and period basis. Where an agent or government charge is already included, do not add it again. Keep share subscription money, bank balances, refundable deposits and operating cash outside service charges. If any necessary item remains provisional or excluded without a price, describe the result as a quoted subtotal with unresolved items, never a complete formation cost.

Resolve the gaps behind the subtotal

Bring the itemised proposal and mark the lines that lack a period, provider, deliverable or price status. Those gaps determine what still needs written confirmation.

Align service periods and renewal dates

Require actual service dates and the next payment event. “First year included” can hide different clocks: the agent’s service period, the office arrangement, government payments and the company’s financial reporting period. Ask the provider to map them separately for the planned incorporation date; do not infer an anniversary renewal from the marketing label.

  • Agent and office: confirm the start event, end date, renewal amount or calculation basis, and any partial-period treatment.
  • Government: request the applicable official payment schedule, fee category and evidence of payment; distinguish the provider’s earlier collection deadline.
  • Compliance: identify the accounting year end and economic substance period used, the information-request date and the submission deadline for each task.
  • Changes: record how a delayed incorporation, different share structure or ownership change alters the quoted period or amount.

Ask for a next-cycle proposal alongside the formation proposal. It should distinguish maintaining the entity from preparing records, returns or specialist advice. If a future amount is not fixed, request the notice period and repricing mechanism. A renewal reminder is different from a filing service ; both the person sending the reminder and the person doing the work must be identified.

Price status and service period must be read together. A fixed charge with an undefined period is still difficult to compare, while a clearly excluded task needs a separate decision before it can enter an approved budget.

Separate the subtotal from unresolved exposure The same company facts support a proposal. Fixed included lines form a reconcilable subtotal. Provisional rates and exclusions need limits or separate pricing before the scope can be approved. Same company facts Fixed included lines Provisional or unit rates Excluded work Subtotal can be reconciled Exposure needs a limit or price Approve scope only when both are clear
A reconciled subtotal shows what is priced. It does not put a limit on unpriced work.

Assign compliance and document deliverables

Translate “compliance included” into named outputs. For each task, record the trigger, period, client inputs, preparer, reviewer, submitting party, recipient and completion evidence. Specify whether correcting rejected or inaccurate information is included. The company still needs an internal owner to provide accurate records and authorise decisions.

For beneficial ownership (BO), ask whether ownership-chain review, initial submission and later changes are included separately. The FSC’s revised BO guidance explains that information is provided through the registered agent for filing and verification, and that agent submission does not remove the entity’s obligations. A quote should identify the handoff and evidence of submission rather than suggest that incorporation provides anonymity.

For the annual financial return, distinguish preparation from submission to the registered agent and identify who supplies the underlying accounts. The FSC’s October 2026 financial-return Q&A confirms the agent-facing obligation, subject to applicable exemptions, and discusses upcoming revisions. Request the form and requirements applicable to the relevant year; the announcement itself does not establish that every proposed change is already effective.

For economic substance (ES), request a written activity and income assessment, the financial period used and any tax-residence evidence relied on. Separate classification, information reporting and provision of actual resources. The International Tax Authority’s ES rules make activity, income and residence relevant to the analysis; an ordinary office address cannot settle it. The official ES filing transition notice identifies VIRRGIN as the filing platform from January 2026. Ask which agent handles the submission and how confirmation reaches you.

List bookkeeping, tax advice in connected countries, any audit, Foreign Account Tax Compliance Act (FATCA) and Common Reporting Standard (CRS) classification or reporting, and regulatory advice as expressly included or excluded where relevant. Do not infer that these services follow from an initial compliance calendar. For documents, specify the Certificate of Incorporation, Memorandum and Articles of Association, agreed registers and organisational records, then identify any copies required for a recipient’s separate checks.

Test open charges and bank support boundaries

Test the proposal against two possible changes before accepting it. These are review scenarios, not claims about any provider’s contract. In the first, the ownership chart adds a corporate shareholder after the initial brief. Ask whether extra customer due diligence, certified corporate records or legal review changes the charge, who approves the change, and whether work pauses pending consent. A published starting price cannot answer those questions.

In the second, a bank requests a newly certified document set after formation. Ask whether the quote includes that recipient’s format, certifier, number of copies, apostille or legalisation if required, translation and delivery. Certification should follow the receiving party’s instructions. A promise of a “bank-ready kit” without a recipient, format or follow-up allowance leaves the extra work open.

Where a Hong Kong account is actually intended, specify the bank documents a BVI applicant may need and distinguish preparing an application from submitting it, answering further questions or making another application. HSJGlobal’s public formation information describes coordination and preparation; the bank or payment provider controls acceptance, timing and account functions. Bank approval remains an independent decision.

Ask for written limits on variable work: the charging unit, available estimate, approval threshold and permission to decline further work. Review the quote’s expiry, payment stages, cancellation before filing, rejected onboarding, refund exclusions and treatment of already-paid third-party charges. Request transfer-out and document-release terms too. An incorporation instruction should not leave your ability to change providers dependent on an unexplained charge.

Return an incomplete BVI quote for revision

Return the BVI proposal for revision when a necessary task has no owner, a price has no period, or a pass-through charge cannot be reconciled. Identify the exact row and request a corrected version with the same assumptions. Keep the final scope, exclusions, terms and payment instruction together so a later invoice can be checked against one agreed record.

Proceed to engagement only when fixed items reconcile, variable work has a workable approval mechanism, and excluded mandatory tasks have an accepted separate arrangement. Escalate before payment if the agent cannot be verified, a regulated activity is being treated as ordinary formation, or success at a bank is presented as guaranteed. A cheaper subtotal cannot resolve those gaps.

Prepare the scope for a written decision

Bring the final proposal, unresolved rows and planned incorporation date. Confirm the formation deliverables and separate responsibilities before authorising work.

Frequently asked questions

Should I send passports with the first quote request?

Begin with enough factual information to explain the structure and countries involved. Request the provider’s secure channel and document instructions before transmitting identity records. The registered agent may need further information before accepting the client or confirming scope.

Can I request a quote before choosing a company name?

Yes. State that the proposed name is provisional and ask whether name checks, reservations or restricted-name review affect the scope. Do not treat a quotation as confirmation that the Registry will accept the name.

What if one proposal uses another currency?

Ask for its original-currency charges and identify who bears exchange-rate movements and payment costs. Compare on a common dated conversion basis without changing the legal currency of official charges or treating an indicative conversion as a fixed invoice.

Does accepting a quote itself authorise incorporation?

Read the proposed acceptance and engagement terms. Ask which act authorises work, when disbursements become payable, and whether a separate filing instruction is required. This checklist does not determine the legal effect of a particular contract.
