Foreign investment eligibility

Can a Foreigner Own 100% of an Indonesian Company? Check the Business Sector

Check the sector before you approve the shareholding.

Yes, a foreign investor can participate in a 100% foreign-owned Indonesian PT PMA where the exact business activities permit it. The result depends on the KBLI scope, current investment-field rules and applicable sector conditions. Full foreign equity does not waive ordinary shareholder requirements, capital rules or operating licences.

Key takeaways

  • Define the work from contracts and revenue before selecting a KBLI code.
  • Conditional, reserved and closed activities require different responses; do not compress them into a generic foreign-ownership cap.
  • A wholly foreign-owned company can still need multiple genuine shareholders.
  • A new activity or share transfer can require a fresh ownership assessment.

Identify what the Indonesian company will actually sell

A company name and a broad sector label cannot establish ownership eligibility. Start with the proposed customer contract. Identify the product or service, whether the company sells on its own account, whether it manufactures or merely distributes, and where the work is performed. Then map that scope to the relevant five-digit KBLI description used in the current application.

A single proposal may contain several activities. Equipment design, importing the equipment and installing it are not interchangeable merely because the same customer buys them together. Record each revenue activity separately. Include activities outsourced to another party when the company itself remains contractually responsible for delivering them; the contract and subcontract need to tell a consistent story.

The 2021 investment-field regulation and its amendment under Presidential Regulation 49/2021 provide the starting framework. Read the relevant annex description and any qualifying wording, then check the sector rules. A search result saying that Indonesia is open to investment cannot substitute for this activity-level analysis.

Retain the precise KBLI description, its version, the matched legal entry and a brief explanation of why the match is correct. The activity-level foreign ownership assessment connects that analysis to the shareholder and beneficial-owner file. This prevents a convenient code from becoming an unsupported ownership assumption.

Check the proposed activity boundary

Describe what the company will invoice and perform so the ownership review starts with the correct scope.

Record the sector result before choosing percentages

The useful output is a documented category with an action, rather than an unexplained yes or no. The investment framework distinguishes activities that can be undertaken by investors generally from categories subject to exclusions or conditions. The table translates that distinction into a pre-incorporation decision tool; it does not assign a blanket result to an entire industry.

Screen result Evidence required Ownership decision
Closed or government-only activity Exact prohibited activity and governing provision Do not incorporate a foreign-investment company to perform that activity
Allocated to cooperatives or qualifying smaller businesses Matched annex description, business scale and scope Do not assume a large foreign-investment company qualifies
Activity with specific conditions Current cap, eligible investor, partnership or other condition Design the cap table and delivery scope around the exact condition
No relevant foreign-equity restriction identified Documented activity match plus sector-law check Full foreign equity may be available; proceed to company and licensing tests

No equity restriction identified is an ownership conclusion , not a licence to start work.

For every conditional result, write the rule in operational terms: which entity holds the licence, which investor qualifies, what percentage is measured and whether a partnership requirement affects shareholding or business delivery. Do not turn a cooperation obligation into an invented local-shareholder percentage. Equally, do not treat an explicit equity cap as optional because a local distributor is available.

Where a business classification has changed, preserve a mapping from the older legal reference to the current activity description. A matching number is useful only when the underlying scope still matches. Record any split or merged activity and identify which part of the proposed contract belongs to each resulting code. This prevents a classification update from silently expanding an earlier ownership conclusion. Keep the old and new descriptions in the decision file so the basis can be checked during due diligence or a later licence amendment.

When an annex refers to a specific business scope, small-business allocation, location or investor category, preserve the qualification alongside the conclusion. A later reader should be able to reproduce the result without guessing which footnote was ignored. If the project depends on an exception, record the facts that make the exception available and the evidence needed before filing.

Ownership screening branches Exact activities lead to a closed, conditional or unrestricted equity result; operating requirements remain separate. Record the branch and the legal basis before drafting shareholder percentages.

Distinguish full foreign equity from a single shareholder

A wholly foreign-owned company can have two or more genuine foreign shareholders. Saying that a company is 100% foreign-owned does not mean that one individual can automatically use a single-person company structure. The ordinary PT PMA route generally requires at least two shareholders; eligibility for Indonesia’s individual-company route is a separate domestic small-business question.

Work through the proposed percentages and legal owners before asking for the deed. A foreign individual and a foreign parent company can be genuine shareholders if the structure meets the applicable requirements. Where both shareholders belong to the same group, identify the real ownership chain and control rather than presenting the entities as unrelated investors.

An Indonesian incorporation certificate does not turn a foreign-controlled investment into a domestic one.

Do not use a nominal local owner to conceal a foreign investment or defeat a restriction. An arrangement that gives the foreign investor economic control while falsely declaring a local beneficial owner creates a different risk from a genuine joint venture. If local participation is required, agree real funding, governance, transfer and exit terms with eligible participants.

For the underlying deed, shareholder and management requirements, use the company formation requirements in Indonesia as the corporate layer. Keep the sector conclusion attached to the approved cap table. This allows the notary and subsequent licensing team to work from the same ownership basis without mistaking general incorporation for sector clearance.

Resolve a cap-table condition

Use the matched sector rule to test a real joint venture or a different commercial route.

Test capital and operations after the equity answer

A positive equity answer still leaves a project feasibility question. Investment Regulation 5/2025, Article 26 applies a standard PT PMA placed/paid-up capital baseline of IDR 2.5 billion per company, subject to other applicable legal requirements. The general investment-value test and its activity and location exceptions are separate from the permitted foreign percentage.

Do not assume that allowing full foreign ownership also makes the business suitable for a small budget. Calculate the relevant project investment, confirm premises suitability and identify the actual operational approvals. A company may be eligible for foreign ownership while the proposed site, staff or investment plan remains inadequate for its activity.

Risk classification also answers a different question. A low-risk OSS result is not proof of unrestricted foreign equity, and an equity-open activity is not necessarily low risk. The company should retain both conclusions, together with the source and the facts supplied to the system. Neither review should be inferred from the other.

If you add a new activity, reopen the ownership analysis before contracting for it. A licence amendment can expose a restriction that was irrelevant to the original service. Likewise, a share transfer may need review against sector-specific conditions even when the company’s original incorporation was accepted. An old approval is evidence of a prior state, not a permanent exemption for future transactions.

Set a review trigger in the shareholder decision: changes in product scope, delivery role, location, shareholding or the applicable regulation require a refreshed assessment. This is more effective than repeating an ownership search every month without identifying what changed.

Approve full foreign ownership with a reproducible sector record

Proceed with a fully foreign-owned structure when the exact activities have been matched to the current investment framework, no applicable restriction prevents the proposed ownership, and any qualifying condition is demonstrably satisfied. The record should identify the activity, code version, governing provision, investor facts, proposed percentages and unresolved operating requirements.

Resolve a material restriction before the founders approve the cap table.

Where the evidence conflicts, pause that activity rather than disguising it under an easier label. The practical alternatives are to narrow the actual service, use a genuine permitted partnership, appoint a properly licensed independent commercial counterparty, or abandon the activity. Choose only a route that also matches the real contract, invoice and conduct.

Turn the sector result into an ownership instruction

Bring the intended activities and investor identities to prepare a supportable cap table.

Frequently asked questions

Does having an Indonesian director satisfy a local-shareholder requirement?

Directorship and share ownership are different roles. A management appointment does not satisfy an equity condition unless the applicable rule actually provides that result.

Can a residence permit change an investor’s nationality for ownership screening?

Residence alone does not establish domestic-investor status. Review the investor’s actual legal identity and the investment rules.

Should I choose a code because another foreign company uses it?

A competitor’s code is a research lead. Its scope, investor facts, approvals and historical position may differ from yours.

Is an ownership check reusable for a second project?

Only where the material activity, investor, location and governing conditions remain the same. Record which facts have been rechecked.
