Can a Student Register a Company in Malaysia?

Separate the right to own, the duties of company office and permission to work before choosing a registration route.

A student can register a company in Malaysia if the proposed participants and company satisfy the ordinary incorporation requirements. Malaysian citizens and permanent residents who study are not disqualified simply by being students. For international Student Pass holders, share ownership, company office and performing business work in Malaysia are separate questions: incorporation does not grant work permission.

Check your age and proposed role first, then your citizenship or pass conditions. A student business-registration waiver may help eligible local applicants using the sole-proprietorship or ordinary-partnership route, but it does not make Sdn. Bhd. incorporation free.

Key takeaways

  • Identify the legal form before applying: an SSM enterprise registration and a Sdn. Bhd. incorporation have different eligibility rules.
  • A student director must be at least 18; the company must also meet the required director residence and eligibility conditions.
  • International students should describe the actual duties and location for pass-condition advice instead of treating ownership as permission to work.
  • Current Immigration and EMGS pages differ on work timing; keep the written approval tied to your own dates and activities.
  • SPPP supports qualifying ROB registrations. Its student evidence and eligibility tests do not replace company or immigration requirements.

Choose the route that matches your student status

For a Malaysian citizen or permanent resident, being enrolled at university does not create a separate company-incorporation category. A student founder must satisfy the same company rules as another applicant. A Sendirian Berhad (Sdn. Bhd.) can have one member, but it must also have the required eligible director and other company arrangements. SSM's incorporation requirements identify the company conditions; a student card does not replace them.

A foreign student should first identify whether the intended role is investing, holding company office or doing business work while physically in Malaysia. Foreign ownership is not ruled out simply by nationality under the Companies Act framework, although sector approvals can impose equity conditions, as MIDA's equity policy explains. Student Pass conditions require a separate assessment.

If you mean a sole proprietorship or ordinary partnership rather than a company, ROB eligibility is a different test. SSM's EzBiz requirements restrict that route to Malaysian citizens and permanent residents aged at least 18. Its business-registration brochure covers Peninsular Malaysia and Labuan; do not assume the same registration route applies in Sabah or Sarawak. Student status alone does not make a foreign national eligible for EzBiz.

Choose the entity for its ownership and liability arrangements before choosing a student incentive. SSM's entity comparison distinguishes an incorporated company from a sole proprietorship or ordinary partnership, where the owners carry unlimited personal liability.

Check age, company office and residence separately

A student who intends to be a director must be a natural person aged at least 18 and meet the applicable disqualification rules. A private company needs at least one director ordinarily resident in Malaysia, with a principal place of residence there. These are separate requirements under sections 196 and 198 of the Companies Act 2016 . Being Malaysian, studying locally or possessing a Student Pass does not by itself establish every element of director eligibility.

For a student below 18, the director threshold is clear: that student cannot fill the director role. Share ownership needs a different analysis. The director age rule is not expressed as a blanket member-age rule in the Act's formation provisions. Contractual capacity must also be considered under section 11 of the Contracts Act 1950 . Do not sign subscription or investment documents for a minor using an adult-director checklist; obtain advice on the proposed arrangement.

A company role is not an immigration permission. Even an adult who meets the Companies Act test needs a separate review of the activities they propose to perform in Malaysia under their actual pass. Equally, part-time work limits should not be read as a categorical statutory ban on every shareholding or every directorship.

The three proposed activities therefore need separate evidence. An ownership decision, an appointment to company office and permission to perform work in Malaysia cannot be cleared by one registration document.

Three separate checks for a student founder A student's plan branches into share ownership, company office and work in Malaysia on a Student Pass. Each branch needs different evidence; company registration does not clear the work branch. Student founder's plan Which activities are proposed? Own shares Capacity + sector Company office Eligibility + duties Student Pass work Actual pass terms Ownership evidence required Officer evidence required Activity-specific permission required
Clear each proposed role with its own evidence. For Student Pass holders, SSM company registration does not supply permission for work in Malaysia.

What a Student Pass does and does not clear

Company registration does not authorize an international student to manage sales, fulfil orders or deliver services in Malaysia. The Immigration Department's Student Pass page , checked on 22 October 2026, describes a restricted part-time work facility for public-university and private-higher-education students: up to 20 hours weekly at approved restaurants, petrol stations, mini markets, hotels and university or college areas. It excludes language, training/skills and accredited-centre categories from that facility. Approval remains discretionary; front-desk duties and student-recruitment work are excluded.

The official pages differ on timing. Immigration describes work during the study period, while the EMGS student FAQ , checked the same day, specifies semester breaks or holidays longer than seven days. EMGS also requires prior Immigration approval through the institution. Treat the dates in your actual written approval as the working boundary; do not infer unrestricted term-time work from the broader wording.

Neither page establishes a general entitlement to operate your own startup. Work performed inside Malaysia needs clearance against the proposed activity and pass conditions, including where the customers are overseas or the role is unpaid. Those details should be disclosed for assessment rather than assumed to create an exemption. The same guidance does not decide whether a particular passive shareholding or statutory appointment is acceptable under your individual circumstances.

Give your institution's international office and Immigration a description of your intended duties, location, hours and payment arrangements before undertaking them. For the part-time facility, Immigration lists an offer letter, an institution support letter with semester and holiday dates, and passport/current-pass copies. A support letter is not the approval itself. Where the plan involves executive duties, work authorization for a foreign director becomes a separate planning question; incorporation cannot settle it.

Use the student waiver only for eligible ROB businesses

The student free-registration scheme is not free Sdn. Bhd. incorporation. SSM's 2026 initiatives announcement extends Skim Pendaftaran Perniagaan Percuma (SPPP) registration to two years from 1 June 2026 under the Registration of Businesses Act 1956. This is the sole-proprietorship or ordinary-partnership route, not company incorporation under the Companies Act 2016.

The updated SPPP FAQ , checked on 22 October 2026, lists the full-time-student category as MyKad/MyPR holders aged at least 18, studying full-time at a listed institution in Malaysia, with no active business entity recorded at SSM. The listed institutions include public/private higher education institutions, polytechnics, colleges and skills institutions or centres. Each participant in a partnership using the scheme must belong to an eligible category. The scheme is limited to one application and operates while grant funding remains available.

The waiver changes registration charges, not the legal form. Check the current scheme selection and evidence requirements before submission. The 2026 SPPP user guideline asks student applicants to upload a full-time-student confirmation letter and requires partners to verify their participation. Access EzBiz through SSM4U; the process is distinct from company incorporation through CRS. Keep any renewal, branch and other operating costs outside the waiver assumption.

Build a role-and-activity clearance record before filing

Write one specific plan before collecting approvals: “I am a [citizen/PR/pass holder], proposing to [own shares/accept a directorship/do specified daily tasks], from [location], for [hours and dates], with [payment arrangement].” List more than one role if necessary. Use the record below to identify which evidence clears which action; a blank entry means that particular action remains unresolved.

Planned action Question to resolve Evidence to retain Decision supported
Subscribe for shares Who owns them, with what capacity and sector conditions? Identity, proposed ownership and capacity/sector assessment Settle the ownership structure
Accept a directorship Are age, disqualification and required residence conditions satisfied? Consent, eligibility declarations and residence evidence Finalize the proposed officers
Perform business tasks in Malaysia on a Student Pass Does the actual permission cover these duties, place and dates? Current pass and written activity-specific Immigration response or approval Start only the activities actually authorized
Claim the student ROB waiver Are the applicant, partners and proposed registration eligible? MyKad/MyPR, full-time confirmation and scheme/application record Use SPPP only for the qualifying ROB route

Also inspect your university rules, scholarship or sponsorship contract, and any campus-space agreement for a consent requirement that applies to you. Ask about intellectual-property ownership if the project uses university research. These are document-specific checks; an institution's permission does not replace company eligibility or Immigration approval.

Once the roles are resolved, assemble the company name, activities, ownership, director particulars and address details for company incorporation in Malaysia . The CRS FAQ identifies CRS through SSM4U as the company-service route; access depends on the authorized user role, not simply owning an account. Resolve a missing capacity document, uncertain residence fact or pass restriction before representing that issue as cleared.

For a Sdn. Bhd., retain SSM's registration notice as formation evidence and arrange the qualified company secretary within 30 days of incorporation, as SSM's starting-company page requires. Calendar those responsibilities around examinations and any overseas semester. Licensing, tax and record-keeping work still need their own arrangements; the registration notice is not evidence that every operating requirement has been met.

Match your student business plan to the evidence you have

A local adult student with settled ownership, eligible officers and the necessary company arrangements can move to incorporation. If an eligible sole proprietorship or ordinary partnership better fits the activity, assess the ROB route and SPPP on their own terms. The incentive should follow the entity decision.

For an international Student Pass holder, keep the ownership and office assessments separate from the proposed work in Malaysia. Proceed only with the actions your evidence supports. Where executive activity or the official timing discrepancy remains unresolved, obtain a written decision tied to the actual pass and duties before starting that activity; a successful SSM filing does not close that gap.

Frequently asked questions

Can a part-time local student still form a Sdn. Bhd.?

Part-time study is not itself an incorporation disqualification. The full-time-study condition belongs to the student SPPP category, so a person who can form a company may still be ineligible for that waiver.

Does an online business avoid Student Pass work conditions?

Do not assume it does. Describe where you physically perform the tasks, what the tasks involve and whether you are paid. Overseas customers or online delivery do not establish an exemption under the official student-work guidance reviewed here.

Is a university entrepreneurship award evidence of work permission?

An award or incubator acceptance records institutional support. It should not be treated as Immigration approval for particular commercial duties; retain and assess the relevant documents separately.

Can a student use a friend as director and run everything personally?

An eligible director must undertake the real responsibilities of that office. Appointing someone else does not resolve the student’s capacity or permission to carry out their own proposed activities.

What should I keep if I postpone launch until after studying?

Retain the proposed ownership and officer records, any incorporation documents, and the advice or decisions obtained. Reassess the duties against the pass actually held when work is due to begin; a planned change of status is not an issued permission.
