S Pass and business eligibility
Can an S Pass Holder Register a Company in Singapore?
Resolve your personal permission before company documents become filing instructions.
No. An S Pass holder cannot set up and run their own company in Singapore while remaining on that pass. The Ministry of Manpower (MOM) prohibits business ownership or management and registration as a proprietor, partner, director or secretary. Its S Pass business guidance points aspiring entrepreneurs towards ending their current employment and applying for an EntrePass. Check eligibility and the employment and immigration transition before taking a business role.
Key takeaways
- Identify the duties and control you intend to exercise; a filing service cannot resolve a work-pass restriction.
- A proposed share investment needs its own MOM clarification. Describing an interest as passive is insufficient evidence of permission.
- EntrePass eligibility depends on the business and applicant. Incorporation and resignation do not establish eligibility.
- Plan lawful stay and family-pass consequences before ending the employment supporting your S Pass.
The restriction follows your role, not the filing method
MOM’s rules on business ownership and company offices state that S Pass holders cannot own or manage a Singapore business, or register as sole proprietors, partners, directors or company secretaries. MOM says a breach leads to work-pass revocation and an employment ban. These rules were checked on 3 November 2026.
Appointing another director does not authorise your ownership or management of the business. An employer’s agreement or a successful filing cannot substitute for MOM permission. MOM also confirms that an S Pass holder can work for only one employer at a time ; running an enterprise alongside the sponsored job is therefore not a route established by that pass.
The Accounting and Corporate Regulatory Authority (ACRA) handles company registration, while MOM determines work-pass permissions. The documents and filings for company formation in Singapore belong to the company-registration workstream. Completing them does not remove a restriction attached to the individual who will own, manage or work in the business.
Identify the restricted role first
Set out your intended ownership, office and daily duties before committing to incorporation.
Test the proposed arrangement before committing funds
Use the proposed arrangement, rather than its marketing label, to decide what must be resolved. The following matrix applies the MOM restrictions to common incorporation instructions.
| Proposed arrangement | Decision while holding an S Pass | Evidence needed before proceeding |
|---|---|---|
| Register as director, statutory secretary, partner or sole proprietor | Do not accept or register the role. | A lawful change of status and confirmation that the role is permitted. |
| Own or manage a business with another person acting as director | The ownership and management restriction remains relevant. | Resolve your personal MOM eligibility; the other appointment is insufficient. |
| Acquire shares described as a passive investment | Do not assume an exception applies. | MOM clarification covering the precise ownership, control and activities. |
| Pursue an EntrePass for a qualifying venture | Assess the separate pass route before making commitments. | Evidence matching current EntrePass conditions and the required immigration transition. |
MOM’s investment and shareholding FAQ says S Pass holders cannot administer or manage a business; it does not expressly grant blanket permission for passive share ownership. Read that alongside MOM’s broader ownership restriction. A passive-shareholding exception cannot be assumed. Ask MOM about your precise arrangement before subscribing for shares or accepting a transfer. State the percentage, voting and control rights, proposed office and any work you intend to perform.
The permission checks separate a clearly restricted business role from an investment question requiring clarification. Neither branch becomes permissible merely because someone else submits the registration.
EntrePass is a separate eligibility test
EntrePass eligibility is not created by leaving your job. MOM’s current EntrePass eligibility requirements cover a private limited company that is venture-backed or owns innovative technologies, with the pass holder holding at least 30% of the registered company. The applicant must also meet at least one listed qualifying criterion, such as relevant incubator support or qualifying intellectual property.
Check the exclusions as well as the qualifying criteria. MOM lists coffee shops and employment agencies among businesses that cannot qualify for EntrePass. A conventional business idea does not become eligible simply by being incorporated as a private limited company.
MOM’s direction to terminate employment and apply for EntrePass is not a promise of approval. If the venture does not qualify, stop and seek advice on your individual options. Keep incorporation evidence separate from work-pass approval ; a registration record cannot establish permission to start working.
Resolve the EntrePass eligibility gap
Match the venture and your supporting evidence to MOM’s criteria before planning a change of employment.
Prepare the status transition before a filing brief
Prepare a short factual brief for MOM and your advisers. This is a planning checklist, rather than an official application-document list:
- Record your current S Pass and employer, proposed business activity, intended ownership, control rights, company offices and work duties. Ask for clarification against those facts.
- Assess the proposed pass route before committing to resignation. Identify how employment will end, who will cancel the existing pass and what permission will cover any continued stay.
- After the personal permission question is resolved, give the confirmed status and proposed roles to the Corporate Service Provider (CSP) preparing the company documents. Keep company registration and permission to work as separate completion checks.
Under MOM’s S Pass cancellation requirements , the employer or employment agent handles cancellation, normally within one week after the last day of notice. Cancellation does not grant permission to work. MOM also requires valid legal stay throughout the transition; do not treat time awaiting a new pass as permission to operate.
ACRA’s rules for foreign registrants require foreigners to engage a CSP for name reservation and business registration, and tell Foreign Identification Number (FIN) holders to check with their pass issuer before registering a name or accepting a role. Its company officer requirements separately govern directors and their responsibilities. A compliant company structure must accompany personal permission; it cannot replace it.
Keep the S Pass filing instruction on hold until permission is clear
Proceed only when the proposed involvement is permitted under the status you will actually hold, the immigration transition is workable and the company roles meet ACRA requirements. An unresolved investment question needs a response covering its specific facts. A restricted ownership or management role needs a lawful status route before you act.
If a restricted role has already been registered or business activity has begun, obtain prompt MOM and professional advice on the existing position and necessary corrections. Do not assume that a later pass application resolves earlier conduct.
Turn the confirmed position into an incorporation brief
Bring the MOM response, intended roles and status-transition plan so the filing instructions reflect your permitted involvement.
Frequently asked questions
Is an employee with the job title “Secretary” automatically in breach?
No. MOM distinguishes that job title from being registered with ACRA as a company secretary. Its company-office FAQ expressly makes that distinction; it does not authorise taking a statutory company office.
What happens to family passes when the S Pass is cancelled?
MOM says related family passes are also cancelled and cannot be reinstated. Include affected family members in the transition plan using the official cancellation guidance .
Who submits the cancellation transaction?
The employer or employment agent handles it. MOM identifies EP eService on myMOM Portal as the cancellation channel. Confirm the effective cancellation date with the responsible party.
What should I retain if MOM clarifies an intended investment?
Keep your submitted facts and MOM’s response together. Check that the response covers the same ownership, voting rights, duties and status you intend to use; seek clarification if the arrangement changes.
