Can You Register a Company in Thailand Remotely?

The DBD filing is digital, but foreign founders must separately clear identity, signature, local-evidence and operating-stage dependencies.

Yes—registration of a Thai private limited company can often be coordinated while its foreign founders remain abroad. Since July 1, 2026, the Department of Business Development (DBD) has provided new partnership and private-company formation through DBD Biz Regist as an online-only filing service . That does not mean every applicant, shareholder or director can automatically complete every identity and signature step from any country.

Digital incorporation is not the same as a fully remote launch. A representative may prepare and transmit the application, but the correct people still need to authenticate, approve and sign; a Thailand address must be supportable; and banking, tax, foreign-business permission, investment promotion, licences, visas and work permits remain separate workstreams.

What remote registration means in 2026

DBD Biz Regist provides a digital path to create the application, route signatures, pay registration fees and obtain the resulting receipt and registration documents. The live portal separates individual and juristic-person access, and its current service terms identify members, registration applicants, registration representatives and signature certifiers as distinct users.

Those terms list username and password, ThaID, the DBD e-Service application and the Paotang application as available identity or access methods. They do not state that every foreign passport-holder outside Thailand is eligible for every method. A passport copy may support identity evidence, but it is not itself a portal credential. Before documents are drafted, test every required signer’s identity channel on the current system.

The representative role solves preparation and submission capacity, not legal responsibility. DBD’s terms prohibit users from disclosing their access codes and attribute system actions to the account holder. Route the application to the correct person and keep separate accounts; do not have an adviser log in as a founder or director. Where the application requires the individual’s act, personal signatures cannot be delegated merely by giving a power of attorney.

Remote execution also leaves the legal inputs unchanged. The name, objectives, registered office, capital, share allocation, promoters, directors and signing authority must still fit the underlying Thailand company formation requirements . An online form cannot repair an unlawful ownership arrangement, unsuitable objective or unsupported address.

Remote feasibility by actor and stage

A useful feasibility test asks who must act, at which stage, what evidence proves that act and whether a physical dependency remains. “Online” answers only the filing-channel question.

The foreign-signer row deserves an early fallback. DBD’s published signature guidance recognises signatures made abroad before specified Thai officials or a person able to certify validly under local law. Because new formations now run through the digital channel, confirm how that certified evidence must enter the current application before arranging a consular or notarial appointment.

A no-travel filing is credible only after both people-based and evidence-based dependencies pass; DBD approval starts, rather than completes, the operating work.

The remote filing sequence

  1. Clear the business and ownership design. Identify the activities the company will actually perform, the Thai and foreign shareholding, the directors, registered signing authority and intended capital. Decide whether a foreign-business restriction or sector rule affects the structure before entering the form.
  2. Run a live access test for every actor. Confirm which person will be the registration representative and which founders, directors or other relevant people must approve or sign. Each required user should establish or test the accepted account and identity channel; do not wait until the signature invitation expires.
  3. Assemble evidence by issuing country. Match names and passport numbers exactly, obtain the Thailand office documents, and determine whether foreign corporate records need certification, legalisation or Thai translation. Record who will certify each copy.
  4. Build and review the application. Use the current DBD fields for the name, memorandum data, objectives, office, capital, shares, promoters, directors and signing power. The representative can coordinate; each principal should verify the document generated in that person’s name before signing.
  5. Submit, pay and answer the registrar. Monitor the application status, correct only the items requested, and retain the payment evidence. A returned draft or successful payment is not yet incorporation.
  6. Collect the completion evidence. Download and reconcile the DBD registration result, company affidavit or certificate data, shareholder information and receipt. Confirm that the company name, address, capital, directors and signing authority match the approved plan.

What remains outside the DBD filing

Foreign-business clearance is a different decision from incorporation. A company treated as foreign under the Foreign Business Act must test each activity and any exception. DBD’s e-Foreign Business service can receive Foreign Business Licence (FBL) or Foreign Business Certificate (FBC) applications online, but a separate portal does not merge that approval into Biz Regist. Thailand Board of Investment (BOI) promotion likewise has its own eligibility, application, conditions and post-promotion duties, described in the BOI’s 2026 investment guide .

Tax readiness is also separate. The Revenue Department permits online VAT applications, but the current P.P.01 form requests a map and photographs of the place of business, and its procedures can involve premises evidence or official verification. Preserve the lease or owner consent and real site records; a DBD registered office does not by itself prove that the premises satisfy VAT or a sector licence.

Bank account opening is governed by each bank’s know-your-customer and risk policy, not by DBD. For example, KASIKORNBANK’s current-account requirements call for the person opening the account and specified authorised people to present themselves at a branch with identity documents, including a passport for a foreigner. That example explains the practical bank-opening limits for a foreign director ; another bank may set a different participant, document or interview requirement.

Ownership or directorship does not give a foreign national permission to work in Thailand. Immigration status and the Department of Employment’s e-WorkPermit process remain separate. Industry licences, employer and social-security registrations, accounting records, audit and periodic filings may add further dependencies according to the company’s activity and staffing.

For that reason, incorporation is only one completion state . Label the DBD certificate “entity registered,” then create separate evidence fields for foreign-business authority, tax and VAT, bank activation, site or industry approval, and each foreign worker’s immigration and employment permission.

Use the signer test before choosing remote Thailand registration

Proceed with a no-founder-travel incorporation plan only when the activity and ownership route is lawful, every required person has tested an accepted identity and signature path, foreign documents can be certified and translated in time, the Thailand address is supportable, and a properly authorised representative can manage submissions and corrections without using anyone else’s credentials.

Change the plan when a critical foreign signer cannot authenticate, the DBD asks for evidence that cannot be supplied digitally, the overseas shareholder’s authority documents are not yet usable in Thailand, or the first necessary bank, tax or licensing step requires attendance. In those cases, plan for at least one local dependency instead of promising that the entire launch will be remote.

The DBD work is complete when the registrar approves the application and the company’s official outputs can be downloaded and reconciled. The business is ready to operate only when every permission, tax, premises, banking, employment and immigration gate applicable to its actual activity has its own verifiable completion evidence.
