Remote founder coordination
Can You Register Without Coming to Indonesia? Signing and Representation Options
Confirm each recipient’s acceptance before signing documents or ruling out travel.
Yes, founders can often arrange Indonesian company registration without travelling by using accepted representation and properly executed documents. The receiving notary must approve the actual authority and document form. Banking, officer identification and any work-related permissions are separate processes and may still require attendance or additional steps.
Key takeaways
- Founder representation under a power of attorney differs from signing every document electronically.
- Confirm acceptance with the actual notary and selected bank.
- Overseas authentication does not replace valid corporate signing authority.
- The final handover should preserve company control of originals, records and access.
Separate founder representation from online filing
A founder can arrange representation in making an Indonesian company’s incorporation deed. Article 8(3) of Company Law 40/2007 provides for founders to be represented by another person under a power of attorney. That is the legal basis to examine with the receiving notary; it is not a general promise that every signature, identification check or later bank process can happen remotely.
The notary handles the Indonesian deed and legal-entity application. A foreign founder’s ability to remain abroad depends on accepted authority documents, identification and execution arrangements for that specific file. Ask the actual receiving notary to confirm the form and scope before the founder signs abroad.
Online filing does not mean that every underlying document can be electronically signed.
A scan can be sufficient for preliminary review while an original or certified instrument is required for use. A courier can move an accepted original without replacing its execution formalities. A video call can help coordinate the parties without automatically becoming a legally sufficient notarial appearance.
Keep the corporate route anchored to registering a company in Indonesia and identify the particular founder who will be represented. Shareholder participation, directorship and bank signing are different roles. A solution for the founder’s deed representation should not be described as approval for all three.
Check whether the founders need to travel
Identify each founder, signer and intended bank before fixing the remote coordination plan.
Obtain acceptance from each receiving institution
Build a recipient acceptance matrix before deciding that no trip will be required. List the institution, the act being undertaken, proposed signer or representative, document form and acceptance evidence. The table identifies the questions to settle; it does not prescribe identical requirements for all files.
| Recipient or process | Remote option to assess | Acceptance question | Evidence to retain |
|---|---|---|---|
| Incorporation notary | Founder represented under a specific power of attorney | Will this principal, representative and executed instrument be accepted? | Approved draft, document requirements and final authority |
| Foreign corporate shareholder | Authorised officer or appointed representative | Who may commit the parent and authorise the subscription? | Current corporate records and valid board/shareholder authority |
| OSS and tax administration | Authorised filing and applicable access roles | Who may submit and who retains company control? | Delegation, submission outputs and access handover |
| Selected bank | Bank-approved identification and signatory arrangement | Is attendance required for these people and this account product? | Bank-specific checklist and confirmed procedure |
Confirm acceptance with the recipient that will actually use the document. A service provider’s general statement is not equivalent to the notary accepting the authority or the bank accepting an identification method. Record the facts to which the answer applies so a later change of director or bank does not invalidate the travel plan unnoticed.
The incorporation power-of-attorney scope should be limited to the acts genuinely needed. Authority to establish the company does not automatically grant authority to withdraw money, sell shares, amend unrelated terms or appoint unlimited substitutes.
If a recipient cannot accept the proposed arrangement, identify the narrow alternative: a revised document, a different valid representative, additional authentication or a specific attendance requirement. Avoid replacing genuine ownership or management merely to make a remote-service promise appear deliverable.
Execute overseas documents with the right authority and form
For an individual founder, reconcile the passport name and identity details with the proposed deed and power of attorney. For a corporate founder, establish the entity’s current existence, constitutional powers and authorised decision-maker. A person whose name appears on an old certificate may not have authority to commit the investor today.
Approve the power-of-attorney draft before execution. Identify the principal and representative, the intended company and transaction, the permitted acts and any limits or expiry. State whether substitutions are permitted and whether changes to the agreed structure need further approval. Keep the authority consistent with the final subscription and management decisions.
The required authentication route depends on the document’s origin, nature and receiving requirements. The HCCH Apostille framework concerns qualifying public documents between participating jurisdictions where the Convention applies. It should not be treated as a universal instruction to apostille every document or as approval of the underlying transaction.
Ask the notary which version, language, certification and original it will accept, and check the competent authority in the country of execution. Where the Convention is not applicable, a different legalisation route can be relevant. A private document may require an appropriate public certification step before an apostille question arises.
Authentication and substantive signing authority are different checks.
An apostille does not turn an unauthorised officer into an authorised one. Likewise, a valid corporate resolution does not remove an applicable certification requirement. Keep the two questions separate so a technically authenticated but unauthorised document is not mistaken for a usable filing instruction.
Control the version that is signed. Freeze the approved company name, founders, shares and authorised acts, and compare the final executed text with that version. A representative should not fill material blanks or accept changes outside the mandate merely because originals are already in transit.
Create an original-document log showing who holds each instrument, its destination, dispatch reference, receipt and expected return or retention. Start the schedule from the notary’s acceptance of usable documents rather than the day the founder emails an initial scan. Overseas execution and courier time belong in the end-to-end plan.
Approve the overseas document instruction
Bring the proposed authority documents to confirm form, signatories and recipient requirements before execution.
Separate remote incorporation from banking and handover
The bank applies its own onboarding and identification procedures. BCA’s corporate Giro requirements illustrate the identity and corporate authority records relevant to one product. They do not establish a universal right to open remotely at every bank. Confirm the procedure for the actual director, beneficial owners, signatories and account before relying on a no-travel plan.
Check the operational use as well as opening. A company may receive an account number while signatory verification, online banking or transaction facilities remain incomplete. The handover should identify who can approve transfers, how security devices are delivered and how the company can recover access.
For tax administration, DGT’s Coretax role-based access guidance distinguishes access by the responsible person and authorised related parties. Agree the appropriate role and authority rather than giving a service provider permanent unrestricted use of another individual’s credentials. Record who prepares and who signs the company’s submissions.
The company still needs a suitable Indonesian address and any actual premises required for the business. Remaining abroad does not excuse location, licensing or staffing conditions. Obtain evidence from the address provider and check the activity fit instead of assuming any virtual address is sufficient.
A remote handover must leave the company able to control its own records and accounts.
Accept the legal file by its official outputs and the agreed scope. Retain the deed, Ministry of Law output, tax identity, NIB and relevant activity conditions. Record the separate status of sector approvals, banking and any personnel-related process. Incorporation can be complete while one of those subsequent workstreams is still pending.
Secure company-controlled recovery contacts and a practical route to originals. Revoke temporary access no longer needed after handover and document any continuing mandate. A founder who never travelled should still be able to change advisers, obtain official files and authorise the company’s next decision without depending on a single intermediary.
Build contingency time for a recipient’s further request. A review of the actual file may reveal a need for an updated corporate extract, a fresh signature or attendance by a particular person. Specify who bears the additional coordination work and how any travel decision will be made. Do not hide the contingency inside a guaranteed completion date.
Confirm the remote route before executing documents
Registration without the founder coming to Indonesia can be feasible where the receiving notary accepts the representation and the document file is properly executed. Decide travel separately for the other institutions and people involved, especially bank signatories and anyone performing work in Indonesia.
Start with the recipient acceptance matrix, obtain the notary’s document instruction and secure bank-specific feedback before fixing a no-travel commitment. Escalate if authority is unclear, authentication is unsuitable or an essential recipient requires attendance. Resolve that specific condition instead of substituting a nominal owner or unrestricted proxy.
Prepare a recipient-approved remote plan
Share the investor identities, country of signing and intended account arrangements to define the remaining attendance questions.
Frequently asked questions
Can an emailed passport scan replace every identity check?
No. A scan can support review, but each receiving institution determines the identity evidence and form it requires.
Does a power of attorney make the representative a shareholder?
Representation and ownership are separate. The instrument authorises specified acts; it does not itself transfer the founder’s shares.
Must every foreign document be apostilled?
No universal rule applies. Determine the document type, jurisdiction, Convention applicability and the receiving notary’s requirements.
Can the incorporation representative automatically operate the bank account?
No. Bank authority needs its own valid mandate and acceptance under the selected bank’s procedure.
