DEFINE THE SECRETARIAL ENGAGEMENT
Cayman Islands Company Secretarial Services: Scope & Fees
Separate the work, the office held and the transaction volume before choosing an annual retainer.
Public Cayman company-secretarial pricing checked on November 5, 2026 included an advertised USD 400 annual service, a USD 1,350 annual company-secretary line and a USD 2,250 annual secretary-only minimum for a passive holding company. These describe different public offers, not a standard tariff or three HSJGlobal packages. Compare the work, formal appointment and event limits before using a price in your budget.
For an ordinary exempted company, company-secretarial support and appointing a company secretary are separate choices. There is no general statutory requirement to appoint that officer merely because the company is exempted; its articles, special form or regulatory circumstances may change the position. A foundation company has a separate qualified-secretary requirement.
Key takeaways
- Decide whether the engagement provides document support, a formal officeholder or both.
- Check the company’s articles and applicable special rules before calling an appointment mandatory.
- Annual fees may exclude government charges, registered office, extraordinary events and specialist advice.
- Agree which resolutions, changes, registers and meeting tasks are included and in what volume.
- A secretary’s preparation work does not replace the company’s authorised commercial decisions.
Compare the observed annual service fees
The following market observations concern services advertised for Cayman companies, with the ordinary exempted-company task as the comparison starting point. They were checked on November 5, 2026. These are different engagements: no claim is made that the providers accept the same risk, handle the same workload or offer interchangeable legal appointments.
| Market observation | Published annual price | Scope or limit to confirm |
|---|---|---|
| Sample A: standard secretarial support | From USD 400 | Cayman appears in the provider’s grouped annual-price table; document changes and routine resolutions described, with added accounting work separate |
| Sample B: company-secretary service line | USD 1,350 | Annual secretary service listed separately from registered address; request the exact appointment and event scope |
| Sample C: secretary-only provision | Minimum USD 2,250 | Passive holding-company assumptions; greater activity, risk or responsibility may generate additional charges |
The spread is a reason to compare duties, not evidence that the lowest price buys the same role. Sample A’s visible price table uses a shared USD 400 annual cell covering Cayman and other named jurisdictions. Sample C’s newer public schedule replaces an older secretary-only figure of USD 1,250; that older figure should not be used as the current planning reference.
All amounts are USD market observations, not HSJGlobal quotes or government-set prices. Confirm the company form, owners, service dates, transaction allowance, tax treatment and disbursements before relying on a personalised total. Do not infer a guaranteed price solely from an undated or historically published web page that remains available.
Decide whether an officeholder is needed
A service firm may prepare documents and maintain a task list without being appointed as the company’s secretary. Conversely, accepting a formal appointment can bring a defined role under the constitution and applicable law. Ask whether the named provider supplies administrative assistance, an appointed officer or both, and identify the legal person that will hold any appointment.
The ordinary exempted-company framework under the Companies Act, 2026 Revision should be read with the company’s own articles. Do not import another country’s universal secretary rule. Where the constitution provides for an appointment or the business has special obligations, obtain the appropriate analysis before treating an administrative retainer as sufficient.
The Foundation Companies Act imposes a different qualified-secretary framework for that company form. Its requirement does not turn a foundation company into an ordinary exempted-company pricing tier. Foundation and regulated-entity arrangements require their own scope and professional acceptance.
Paying a secretarial invoice does not itself appoint an officer. Identify the required company approval, consent, effective date and applicable record or filing work. When reviewing company formation in the Cayman Islands , establish the underlying company form first; the ongoing governance support follows from those facts.

Share the company form, articles and expected work to define the secretarial role before comparing fees.
Translate the service name into countable work
Specify the actual recurring and event-driven outputs. Common tasks to discuss include maintaining the agreed company records, preparing routine resolutions, documenting appointments, coordinating share changes, arranging meetings and collecting final approvals. The engagement must identify which of those tasks are included rather than assuming that the word “secretarial” covers them all.
| Task | Contract question | Completion record |
|---|---|---|
| Routine resolution | How many and which standard types? | Approved, executed final resolution |
| Officer change | Preparation only, or applicable submission too? | Consents, updated record and filing evidence |
| Share transaction | Does the scope include rights analysis or only implementation? | Authorised documents and reconciled share records |
| Board meeting support | Agenda, papers, attendance, minutes or follow-up? | Agreed meeting record and action list |
| Certificate request | Which issuer, format, certification and charges? | Ordered output checked against recipient needs |
Check the performing firm’s relevant authority for the proposed services. CIMA’s corporate-services licence categories have different service boundaries. Do not assume that a group’s formation capability proves that every affiliate can accept an officer role or perform any governance task requested.
Use the distinction between corporate service roles to identify separate work. Bookkeeping, an audit, an ES classification, foreign tax advice and actual substance resources should each be expressly allocated where required. A secretarial retainer is not a blanket confirmation that all those questions have been resolved.
Build a retainer and event budget
Split the budget into the annual service or appointment, separately charged corporate events, government costs and other professional or third-party work. Confirm any registered-office service separately. If it is already inside another package, do not buy the same coverage twice without understanding the new arrangement.
One observed provider’s schedule lists secretary-only provision at USD 2,250 annually and registered-office-only provision at USD 1,750 annually. If both standalone lines apply, their stated retainer subtotal is USD 4,000 a year before government charges, added work and any applicable tax. This is a conditional calculation from one market schedule, not a quotation or an all-inclusive company maintenance total.
The same schedule makes a higher workload or responsibility chargeable and lists a separate combined director, secretary and office service. Do not add a standalone director price to the subtotal and assume that sum is the provider’s combined offer. Ask the firm which structure it actually proposes and whether the chosen terms replace or overlap an existing service.
Event allowances can change the effective cost more than the retainer. State the expected number of appointments, allotments, transfers, meetings and special documents. Ask how additional work is priced, when approval is requested and whether official filing, certification, translation or courier costs are included or passed through.
A published fee is not a cancellation or refund policy. Confirm when the service begins, how renewal prices may change, what remains payable on early termination and how records transfer. Do not add a uniform VAT or assume that all taxes are included without identifying the actual contracting and invoicing basis.
What will the annual retainer actually cover?
Bring the proposed service list and expected corporate events to identify additional charges.
Control instructions, approvals and record updates
Agree who inside the company may instruct the provider and who approves the underlying action. For a share transaction, the commercial terms and authority need to be settled before a document preparer implements them. An instruction from one contact should not silently override a required board, member or class approval.
Define an approval trail: authorised facts, draft review, final execution, record updates and any necessary external submission. An unsigned draft in a portal is not evidence that the action took effect. Keep the final versions and relevant acknowledgements accessible to the company rather than relying only on the service firm’s internal status label.
Company decisions remain distinct from document preparation. A service provider can identify an incomplete instruction or refer a legal question, but it should not invent a past approval to repair missing records. If the company’s baseline is inconsistent, agree a reconciliation assignment before treating the next routine event as straightforward.
Set an escalation contact for disputed instructions, an absent relationship manager or an urgent notice. For a secretary replacement, identify which company action and applicable records are needed, the outgoing provider’s handover obligations and the incoming party’s acceptance. The exact process depends on the company form and constitution, so do not use a generic officer-change checklist for every entity.
Select a secretarial scope that matches the company
Choose the service after identifying whether the company needs support, a formal secretary appointment or both. Compare the annual price against the exact tasks, event allowance, service period, authority and handover terms. A low advertised retainer may be suitable for a narrow brief without covering the duties of a broader governance engagement.
Before signing, resolve unassigned filings, uncertain appointments and any specialist legal or regulatory question. Retain the agreed scope, appointment evidence where applicable and final company records. Use market prices as a planning reference, then obtain a written proposal for the actual company and workload.

Frequently asked questions
Is the company secretary the same as a director?
No. The roles and authority differ. A combined commercial offer needs to identify each actual appointment and the work and responsibility attached to it.
Does annual service cover unlimited share changes?
Only if the contract says so. Agree the included event count and whether bespoke rights, transaction advice or extra filings are charged separately.
Will a secretarial retainer keep the company’s accounts?
Not automatically. Specify bookkeeping, underlying records, financial statements and any required audit work as separate outputs where necessary.
Can a company secretary guarantee bank acceptance of its documents?
No. The bank determines its evidence and acceptance requirements. Identify the required issuer, document format and any certification before ordering the work.
