Certificate of Incorporation in Indonesia: Which Record Does the Request Refer To?
Turn an English document label into the right Indonesian evidence and a clear submission decision.
When a bank or overseas counterparty requests an Indonesian “certificate of incorporation,” the English label alone does not identify the required record. For an ordinary PT, distinguish its notarial establishment deed from the ministerial decree approving establishment. An individual company follows a different record route. Ask which legal fact the recipient needs and obtain acceptance of the actual Indonesian document title before submitting. AHU lists the deed and ministerial decision separately .
Key takeaways
- Ask whether the request concerns formation, constitutional terms or current company details; each calls for different evidence.
- Preserve the Indonesian title, issuer and reference when describing a document in English.
- Individual-company certificate terminology needs checking against the current decree wording and the company’s actual record.
- A matching company name does not establish that an old document answers a current-status request.
Decode what the requester wants to prove
Start with the requested fact, then select the evidence. Under Articles 5–7 of Permenkum 49/2025 , the capital-partnership PT route uses a notary and an establishment deed; the ministerial approval decree is delivered electronically through the legal-entity administration system, SABH, to the notary. The deed and the government approval perform different jobs. A translated filename cannot merge them.
Use this triage matrix as an editorial document-selection aid. It maps the request to evidence; it does not declare that every recipient will accept the same bundle.
| Request wording | Record to examine | Acceptance question |
|---|---|---|
| “Prove the entity was established” | Ministerial establishment approval, linked to the deed | Confirm the recipient accepts the decree as its incorporation evidence. |
| “Provide constitutional documents” | Akta Pendirian and articles; relevant amendments | Check whether the request includes the current articles. |
| “Show today’s registered details” | Current AHU information plus the change records | Do not substitute the initial approval for evidence of later facts. |
The initial evidence belongs to the company formation in Indonesia record set. Keep the original deed and establishment approval together, even when the recipient initially asks for only one upload. That preserves the connection between the private formation instrument and the official output.
Clarify the evidence request
Bring the recipient’s exact wording and your document list to a discussion about which formation record the request concerns.
Check the individual-company exception
A perseroan perorangan is an individual company within the micro and small enterprise regime. PP 8/2021, Article 6 restricts its founder to an Indonesian citizen and describes electronic registration and a registration certificate. This is not a foreign founder’s substitute for the ordinary PT route.
There is a current terminology wrinkle: Permenkum 49/2025, Articles 21–22 provides for an electronic establishment statement and an electronic establishment decree for the individual company. The regulation replaced Permenkumham 21/2021 . Therefore, registration certificate and decree language should be reconciled against the actual issued record, company type and issue date. Do not reject a genuine record solely because a checklist uses an older English label.
Ask the founder for the establishment statement and the official electronic output together. If the company has changed from an individual company into a capital-partnership PT, obtain the conversion records as well. Article 25 of the current regulation addresses that status change; an old individual-company certificate alone cannot explain the later form.
Treat the evidence bundle as three connected questions: what happened at formation, whether the same entity is being identified, and whether the recipient accepts this presentation.
Match the record to the same company
Build a short identity bridge before you label any file “incorporation evidence.” Record the exact registered name, document title, issuer, document number and date. For a deed, include its number, date and notary. For a decree, identify whether it concerns establishment or a later event. An amendment approval answers a different historical question from the first establishment approval.
Compare references across the documents and check whether any name or registered details changed. Article 8 of the current regulation separates changes to articles and company data from establishment. Where the documents use different names, attach the relevant name-change deed and ministerial output so the recipient can follow the continuity, rather than silently replacing the older name in a translation.
Use the official AHU company-profile search as a cross-check, with the company’s underlying documents available. AHU notes that records outside its stated online coverage may require a manual data request. A missing online result therefore needs investigation; it is not a sound basis for inventing a replacement certificate. The limits of the AHU establishment approval also matter when deciding what additional evidence the recipient needs.
Resolve the document acceptance gap
Review an unexplained name change, an uncertain document title or a recipient’s certification condition before preparing the submission.
Confirm the recipient's accepted format
Request written confirmation of the accepted document set before commissioning translation or certification. Supply a document index using the Indonesian titles, with a plain English description beside each. Keep the original titles visible; do not rename an establishment deed as a government certificate merely to match an upload field.
Ask whether the recipient requires the establishment record alone, current articles and amendments, a recently obtained registry extract, a certified copy, or a translation. These are recipient acceptance conditions , and should be checked for the actual transaction and destination. If authentication is requested, clarify which document and signature must be authenticated before arranging it.
A practical example of why labels are insufficient appears in DBS Indonesia’s published document checklist : its domestic PT section asks for the deed, articles and amendments with ministry approval, while its foreign-entity section uses “Certificate of Incorporation or Company Registration.” This is one bank’s published checklist, not a universal acceptance rule. Confirm the current requirements with the receiving institution.
Escalate an unresolved certificate request
Escalate the request when the recipient cannot identify the fact it needs, the decree refers to a different deed, a name change is unexplained, or the company type conflicts with the supplied certificate. Ask the company’s notary to reconcile the record chain, and ask the recipient to confirm its documentary requirement.
Proceed when you can identify the correct entity, explain each supplied record’s function, and document the recipient’s accepted format. Keep that confirmation with the submitted versions. A complete-looking PDF bundle is not a substitute for resolving a contradiction in the underlying records.
Prepare a traceable submission
Use the agreed record list and identity bridge to plan the documents for your recipient’s review.
Frequently asked questions
Should I enter the deed number or the decree number in a certificate-number field?
Ask which source record the field represents. Identify the chosen number with its document title, issuer and date; do not combine two references into an invented certificate number.
Can an English translation replace the Indonesian source document?
Treat the translation as a companion to the source unless the recipient expressly accepts another arrangement. Retain the source title and reference so the translated version remains traceable.
Does an older ministry name make an establishment approval invalid?
The ministry’s historical name alone does not resolve validity. Check the issue date, issuing authority and record history; investigate any substantive inconsistency with the notary.
Does an incorporation record establish today’s signing authority?
An establishment record describes a formation event. If signing authority matters, request the relevant current appointment and authority evidence rather than assuming the original directors remain in office.
