CERTIFICATE PURPOSE AND VERIFICATION

Certificate of Registration of a Non-Hong Kong Company

Read the certificate as evidence of an overseas company’s Hong Kong registration, then verify the facts needed for the transaction.

The Certificate of Registration of a Non-Hong Kong Company is issued by the Companies Registry when an overseas company is registered under Hong Kong’s Part 16 regime. It records Hong Kong registration of the existing overseas corporation; it does not incorporate a new Hong Kong subsidiary or replace the company’s home-jurisdiction incorporation evidence.

Use it with the records needed for the recipient’s question. A bank checking current directors, a customer checking signing authority and an administrator checking business-registration validity need more than the same historical certificate.

Key takeaways

  • The certificate records the existing overseas corporation’s Hong Kong registration, so keep the legal identity consistent across both jurisdictions.
  • A Business Registration Certificate is a separate document with a certificate period and a different evidential purpose.
  • Newer registration certificates use the eight-digit BRN as their identifier; older certificates were not automatically reissued.
  • Electronic and Registry-issued hard-copy certificates have the same legal effect.
  • A current search and authority evidence may be needed even where the original registration certificate is genuine.

Read the certificate’s legal effect before relying on it

A foreign company registering its Hong Kong presence remains the foreign company. Part 16 registration does not create a separate subsidiary. This matters when naming a contracting party: the overseas corporation is not interchangeable with a new local company simply because both have a Hong Kong registration record.

The CR registration FAQ explains the obligation to register within one month after establishing a Hong Kong place of business. The registration certificate is the result of that process, not proof that an unrelated foreign company with a similar name is entitled to use it.

Keep a clear distinction between three events: formation overseas, registration in Hong Kong and commencement of a particular commercial relationship. Their dates may differ. If an onboarding form asks for ‘incorporation date’, do not silently enter the Hong Kong registration date; identify the field’s intended meaning and retain the home-jurisdiction record.

If the intended structure is instead a new local subsidiary, Hong Kong company formation requirements relate to that separate entity-creation task. Check the structure before asking a service provider for the wrong type of certificate.

Confirm which corporate document you need

Identify the legal entity and the fact the recipient is trying to verify.

Match the recipient’s question to the right evidence

Ask what fact must be established before sending documents. The matrix distinguishes a certificate’s proper use from additional verification. It is an editorial evidence-allocation tool, not a statement that every recipient must request every row.

Recipient’s question Primary evidence to examine What remains unresolved
Was the overseas company registered in Hong Kong? Certificate of Registration and matching CR record Current status and later changes
Where and when was the legal entity formed? Home-jurisdiction incorporation evidence Hong Kong registration is a separate event
Is its business registration current? Valid BRC for the relevant period Sector permission and tax compliance
Who currently directs or represents the company? Current particulars and relevant filed changes Scope of authority for the proposed act
May this person sign the transaction? Appropriate corporate authority and mandate Counterparty-specific verification requirements

A genuine certificate can still be insufficient for a particular decision. For example, its existence does not establish that the person emailing it is a director or authorized signer. Match the transaction’s legal name and identifiers before moving on to the separate authority question.

The Companies Registry’s company information service provides access to public records and document products. Choose a search or certified copy according to the fact being verified. Do not treat an old certificate scan as a substitute for checking a later change or the current public record.

One overseas entity, different evidence functions Home incorporation, Hong Kong registration and business registration refer to one overseas entity but prove different events or periods. Read each document by its evidence function; Hong Kong registration preserves the identity of the overseas corporation.

Obtain the certificate through the Part 16 registration route

Apply using NN1 with the supporting foreign-company records, IRBR2 and the applicable fees. The official registration instructions identify certified constitutional material, specified certificates and the latest published accounts. The accounts requirement has applicable exceptions; assess the company’s position rather than fabricating a document it is not required to publish.

The NN1 supporting-record requirements help organize this filing task. If documents need certified translation, settle the accepted version before submission. The certificate cannot be ordered as a shortcut around an uncompleted Part 16 application.

For electronic delivery, the electronic non-Hong Kong registration FAQ requires an appropriately registered and subscribed signer. Prepare the certified supporting records as accepted PDFs, submit through the e-Services Portal, pay and retain the reference and correspondence. Corporate signers act through an appropriately authorized natural person under the portal’s arrangements.

As checked on October 27, 2026, that electronic FAQ says the certificate can normally be issued within 9 working days after submission. The general registration page says certificates can normally be issued within 10 working days. Preserve the source distinction: neither figure includes the applicant’s preparation time or guarantees a case requiring further examination. Confirm the applicable service expectation when scheduling a transaction.

For an approved electronic application, the submitter receives notice through the portal message box and registered email. For paper delivery, follow the collection notice and identification instructions; a representative collecting for the presentor needs the required written authorization. A BRC is issued with this registration only where the company has not already registered its business.

Verify the identifier, current record and certificate copy

Check the certificate against the legal name, registration event and identifier in the official record. Under the BRN transition guidance in the registration FAQ , certificates for companies registered on or after December 27, 2023 use the eight-digit Business Registration Number. Older certificates were not automatically replaced; the Registry provides mapping and an information sheet for the change to BRN identification.

An older certificate is not invalid merely because it displays the earlier identifier . Resolve the mapping before concluding that two documents belong to different companies. Conversely, a matching name alone is weak evidence: spelling, historic names and group companies can create confusion. Record both the old identifier and the mapped BRN where a legacy document remains in use.

Keep the original electronic file and a controlled sharing copy. A printout is useful for reading but should not be represented as a separately issued Registry hard-copy original. If the original cannot be retrieved, use the Registry’s official document or certified-copy service appropriate to the request instead of recreating the certificate in a word processor.

Where a bank or overseas authority asks for certification, translation or another authentication, confirm its current requirement and the document it intends to authenticate. Certification of a copy does not transform historical registration evidence into a current directorship statement.

Resolve a legacy number or document mismatch

Compare the original certificate with the current identifier and the requested evidence.

Accept the certificate pack only for the facts it proves

Accept a Certificate of Registration of a Non-Hong Kong Company as evidence of the identified overseas company’s Hong Kong registration. Before using it to release a payment or sign a contract, complete the separate current-record, business-registration and authority checks that the transaction requires.

Stop the handover if the entity, identifier or dates cannot be reconciled. Resolve the discrepancy through official records and the company’s responsible officers; do not edit the certificate or explain away conflicting identities by relying on the similarity of the company names.

Complete the non-Hong Kong company handover

Prepare a coherent registration, current-record and authority pack for the intended recipient.

Frequently asked questions

Does the registration certificate have the same renewal cycle as the BRC?

Do not apply the BRC’s one- or three-year validity period to the registration certificate. Keep ongoing corporate filing and business-registration renewal responsibilities separate.

Must an electronic certificate be exchanged for a paper original?

No. The Registry states that its electronic and hard-copy certificates have the same legal effect. A recipient may still specify a particular evidence format.

Can an old company number and a BRN appear in the same due-diligence file?

Yes, when the records span the identifier transition. Preserve the official mapping and explain which identifier belongs to which record.

Does the certificate prove that the overseas company is in good standing at home?

It is not a substitute for current home-jurisdiction status evidence. Obtain the document or search needed for that question.

Can a subsidiary use its parent’s registration certificate?

The document belongs to the identified legal entity. A subsidiary must supply evidence of its own identity and authority rather than presenting the parent’s certificate as its own.
