Copy certification and acceptance

Certified True Copies for Malaysian Company Registration

Separate incoming evidence from SSM certified records and prepare the version your recipient actually requires.

A certified true copy for Malaysian company registration is a copy certified against its source record. Whether you need one, who may certify it and how to submit it depend on the document, registration route and recipient. Identify those three points before booking certification. Incoming identity or foreign corporate evidence is different from an SSM digitally certified record obtained for a company that already exists.

Key takeaways

  • An exact recipient request is the starting point; a genuine certified copy can still be the wrong document for the task.
  • SSM’s foreign-company attachment requirements differ from the evidence prepared for a locally incorporated company.
  • A Commissioner for Oaths’ role must not be confused with certifying a document copy.
  • Use the copy instruction sheet to settle certifier, language and delivery questions before arranging the appointment.
  • Digital certification, record currency and proof of signing authority answer separate questions.

Locate the certification request in the registration file

A request for a certified passport copy before incorporation, a foreign parent’s constitutional record, and a certified Malaysian company extract are three different assignments. Identify who asked for the document and what decision it supports. A certificate authenticating a copy does not, by itself, establish signing authority, current ownership or eligibility to register the proposed company.

For local incorporation, SSM’s incorporation particulars describe the application information and conditional supporting documents, including corporate-shareholder consent. Start with that filing route and the lodger’s specific evidence request. Keep the underlying company formation requirements in Malaysia separate from any additional copy checks performed for identity or due diligence purposes.

If the overseas company itself is registering in Malaysia, the route differs from incorporating a Malaysian subsidiary. SSM’s foreign-company registration guideline calls for certified copies of its incorporation or registration certificate and its constitutional instrument, if available. It also calls for a certified Bahasa Malaysia or English translation where the registration documents use another language. Do not apply that attachment list automatically to every foreign shareholder in a local company.

For a company that already exists, a requester may instead want an SSM company profile, certificate or image of a lodged statutory document. This is an output obtained from the registry record. It cannot replace an incoming identity document or create a missing foreign parent record. Choose the source record before choosing the certification service.

Identify the document route

Bring the wording of the request and the proposed entity structure so the copy requirement can be placed in the correct filing.

Write a recipient-specific copy instruction

Use a separate instruction for each recipient and document. The following copy instruction sheet is an editorial preparation tool, not an SSM form or prescribed certification wording. Fill it from the actual filing instructions or the recipient’s written response. An unresolved field is a reason to clarify that copy before arranging certification, rather than a reason to certify the whole folder again.

Instruction field Record before certification Mistake prevented
Recipient and purpose Named lodger, institution or authority; exact application or due diligence task Using acceptance by one recipient as approval by another
Record and source Document title, issuer, person or company, identifier, pages and version Certifying a genuine but irrelevant or incomplete record
Accepted certifier Capacity, country and any required professional or official identifier Booking someone whose certification is outside the accepted route
Certification method Original comparison, required wording, signature, date and page treatment Producing a stamp without the required attestation
Language and authentication Translation requirement and any separately specified authentication steps Treating translation, copy certification and legalisation as equivalent
Delivery and currency Native file or paper; submission channel; any stated issue-date condition Sending a scan where an original certified paper or verifiable file is requested

Consider the difference between “a certified copy of the foreign shareholder’s registration certificate for the lodger’s checks” and “an SSM digitally certified company profile for a bank”. The first starts with the overseas issuer’s document and the lodger’s accepted certification route. The second starts with the Malaysian registry’s product menu. Both may be described casually as a CTC, but ordering one does not satisfy the other.

Treat recipient acceptance as a distinct check from authenticity. A correctly certified copy can still be unsuitable because it covers the wrong entity, omits an appendix or records an earlier position. Ask the recipient to resolve any ambiguity in its request against the actual document title. The two source routes below help keep those instructions separate.

Two sources for a certified copy request Identify the requested record, then distinguish an incoming original and accepted certifier from an SSM-held record and its certified product. Both routes must match the recipient instruction. Which record is requested? Incoming original SSM-held record Accepted certifier Certified SSM product Match recipient instruction
The source determines the preparation route; the recipient determines whether the delivered copy satisfies its request.

Choose the certifier before arranging an appointment

Choose a certifier using the rules for the particular document and recipient. A professional title on its own is insufficient evidence that the resulting copy will be accepted. Ask whether the recipient requires an issuing-registry copy, a named category of professional, a notarial act or another specified route. If a company secretary or lawyer is proposed, confirm the capacity in which that person will act and the document types covered.

One Malaysian distinction is especially relevant: the judiciary’s Commissioner for Oaths FAQ states that a Commissioner for Oaths is not permitted to certify a copy of a document in that capacity. The FAQ distinguishes this from attesting an owner’s statutory declaration referring to documents; the Commissioner must not place the seal on the copy itself. An appointment to swear a declaration is therefore not a substitute for an accepted true-copy certification.

For an overseas record, send the recipient the issuing country and proposed certifier details before booking. Obtain written confirmation of the accepted route and any additional authentication requirements. Copy certification and legalisation are separate questions ; a notarial appointment, translation or embassy step should be arranged only where the applicable instructions require that particular act.

There is no single certifier list offered here for every SSM attachment, secretary’s due diligence file and bank application. Their purposes differ. If the recipient cites a specific filing provision, keep that reference with the instruction sheet and have the lodger resolve it before the document is executed. This avoids substituting a convenient local service for a prescribed foreign-document route.

Resolve an uncertain certifier

Use the issuing country, document type and recipient’s wording to identify the certification question that remains open.

Assemble the original, copy and translation bundle

Prepare the bundle around the accepted instruction rather than around the available stamp. Keep the source document, the certified copy and any translation distinguishable. Certification confirms the relationship between a copy and its source; it does not correct a misspelt company name, renew an expired passport or add authority that the source document never contained.

  1. Inspect the source record. Check the person or company identifier, issue details, all pages, reverse sides and referenced schedules. Resolve illegibility or a missing page with the issuer first.
  2. Create a complete legible copy. Preserve edges, seals and references; avoid editing the document image to remove inconvenient details. Follow the recipient’s instructions on masking personal information.
  3. Arrange the agreed certification. Supply the original or other source required by the accepted method, together with the written wording and page-treatment instructions.
  4. Pair any translation with its exact source version. Check names, registration numbers and page references across both records, and follow the specified translation-certification route.
  5. Inspect the returned bundle. Compare it with the instruction sheet, record the certification details and deliver it through the agreed channel.

For foreign-company registration, the language trigger comes from SSM’s registration-document requirements : documents outside Bahasa Malaysia or English need the specified certified translation. Do not treat an informal English summary as that translation. For a local incorporation or a separate due diligence request, establish the recipient’s applicable language instructions instead of importing the branch rule without checking.

The certified copy is only one part of the evidence chain. supporting records for the incorporation file must still show the correct people, corporate identity and authority. If a copy is rejected, ask for the exact defect: wrong source, incomplete pages, unacceptable certifier, missing translation or wrong delivery format. Replace or correct the affected item, and preserve the rejection instruction so the same defect is not repeated.

Retrieve and verify SSM certified records

For Malaysian registry records, first identify the exact SSM product needed. SSM’s company-information product list distinguishes ordinary downloads from digital certified true copy versions. It also explains that a notice is issued after incorporation, while an incorporation or registration certificate can be supplied on request. A request for a certified certificate should therefore be clarified rather than answered with whichever company document is already in the folder.

Use a service-provider portal identified on SSM’s product page, search against the correct company name and number, and select the required record and certification option. Check whether the request concerns the original incorporation fact or current particulars. An incorporation certificate and a current company profile answer different evidential questions. Review the product description before placing the order.

Retain the native certified electronic file, its receipt and any verification information. SSM’s DCTC verification announcement describes its QR Code Reader and the web checker accessed through SSM4U. Use the verification instructions applicable to the supplied record and compare the verified record with the copy you intend to submit. A screenshot of a verification result is not a replacement for the certified document itself.

Confirm whether the recipient accepts the electronic record, requires a printed version with a working verification route, or requests another format. Preserve the original digital file rather than saving a flattened scan as your only copy. Ask about any required issue-date window separately: authenticity verification alone does not establish that the record is recent enough for a particular application. No universal CTC expiry period is assumed.

Release the certified copy only when its purpose matches

Release an incoming certified copy when its source, certifier, language treatment and delivery match the named recipient’s instruction. Release an SSM certified record when the product, company identifier and verification evidence match the requested fact. Keep separate instructions where the lodger and a later bank need different versions.

Pause the affected item if you cannot identify the recipient’s accepted certifier, the underlying record is incomplete, or an authentication requirement remains unresolved. The priority is a written answer to that specific gap. A folder containing many stamped pages is not evidence that the correct certification task has been completed.

Prepare a usable certification bundle

Bring the completed instruction sheet, source records and any rejection details for a focused review of the remaining submission gaps.

Frequently asked questions

Can I hide a passport number before certification?

Ask the recipient first. Redaction can prevent the copy from serving its identity purpose. Keep an unaltered source and follow the recipient’s secure-delivery instructions.

Must every copy in one bundle use the same certifier?

Do not assume so. Different document types or recipients may specify different routes. Keep a record of the accepted instruction for each item.

Does a certified company record authorise someone to sign?

Certification alone does not establish signing authority. The recipient may need a separate resolution, appointment record or other authority evidence appropriate to the transaction.

Can the same bundle be reused for a later application?

Recheck the later recipient’s document, format and currency conditions. Also confirm that the underlying facts have not changed before reusing the record.

What should I keep after the recipient accepts the copy?

Keep the submitted version, source reference, certification or verification details and acceptance correspondence together. Follow the applicable retention and personal-data handling requirements for your file.
