A Singapore company can change a director, but the corporate act and the ACRA filing are separate requirements. The appointment, resignation or removal must comply with the Companies Act, the company constitution and valid resolutions, while the company must notify ACRA through Bizfile within 14 days of the change.

Read the constitution and shareholders’ agreement before preparing resolutions. They may allocate nomination rights, quorum, notice, casting votes or reserved matters. Contractual rights do not replace statutory requirements, and a statutory filing does not settle a shareholder dispute.

After Bizfile, update board registers and minutes, bank mandates, payment platforms, CorpPass permissions, tax-agent authorities, licences, insurance contacts, employment records, data-access roles and counterparties. Remove access proportionately and preserve company data; do not let a governance dispute lead to destruction or unilateral seizure of records.

Check whether the change affects beneficial ownership, nominee-director records, regulated fit-and-proper requirements, personal guarantees, key-person insurance or contractual notices. These are conditional tasks, not part of every ACRA filing.

Prepare a role-by-role handover. The outgoing director should return company property and records, disclose unresolved decisions and conflicts, and transfer authorised access under supervision.
