Agent selection and accountability

Choosing a Company Registration Agent in Malaysia

Connect the people you appoint, the authority you give and the records you receive.

Choose a company registration agent in Malaysia only when you can identify the contracting firm, verify the individual proposed as company secretary and agree what the agent may submit and must deliver. For founders setting up a Sdn. Bhd., a low price or registration promise is insufficient evidence of that chain. Request the named secretary’s current practising credentials and a written engagement before authorising filing; incorporation and any subsequent bank or licence approval are separate outcomes.

Key takeaways

  • A registered service firm and an eligible company secretary answer different questions; verify both identities.
  • The agent’s response to your real ownership and residency facts is more useful than a generic list of services.
  • Written approval boundaries make changes to filing particulars visible before submission.
  • A handover index should distinguish official outputs, completed appointments and work still pending.

Verify the firm and the named company secretary

Start with two identities: the legal entity selling the service and the individual who will act as company secretary. A salesperson, account manager and statutory secretary may be different people. Treat firm identity and secretary eligibility as separate checks.

Request the contracting name, registration number, business address and invoice issuer. If the provider is a Malaysian company, compare these details with a current company profile obtained through the channels listed on SSM’s company information page . The profile can corroborate the entity and its officers; it does not establish the quality of its service. If the seller uses another legal form, ask for the corresponding registration record rather than accepting an unrelated group company’s profile.

For a new secretary appointment, SSM’s practising certificate guidelines require an individual aged at least 18 who is a Malaysian citizen or permanent resident and holds an SSM licence or membership of an approved professional body. Registration under section 241 is also required before acting. SSM’s requirements for a secretary also specify ordinary residence in Malaysia through a principal place of residence there. A firm’s incorporation certificate or professional logo does not prove these individual qualifications.

Ask for the named company secretary , qualification route, practising certificate (PC) number and current validity evidence. Match the name across those records and the proposed appointment. An expired document, unexplained mismatch or refusal to identify the appointee should pause appointment until resolved. Ask who will cover absence and how a change of secretary would be proposed to you; a generic promise of “our team” leaves the responsible person unclear.

Check the people behind the engagement

Bring the proposed firm details and secretary credentials so the appointment can be assessed against your intended company.

Test how the agent will handle your file

Give each shortlisted agent the same short fact sheet and ask them to explain the next decision, the missing evidence and who must supply it. Include the proposed activity, shareholders, directors, where they live, any corporate shareholder and the intended operating location. Send sensitive identity documents only after you have verified the recipient and agreed a secure transfer method.

Use one condition that actually applies to your business as the interview test. For example, if every proposed director lives overseas, the agent should identify the residency issue before offering a filing date. SSM’s incorporation requirements specify at least one director ordinarily resident in Malaysia for a private company. Where you need an additional appointment, resident-director options and control risks concern governance as well as a name on the application.

For the underlying incorporation, the proposed activity, addresses and director and promoter particulars need to be settled against company formation requirements in Malaysia . Assess whether the agent asks questions that improve those particulars. A ready-made activity description chosen before the agent understands your business is a reason to request an explanation, not a shortcut to approve.

Make the file-handling test observable

  • Ask the agent to identify which information is still unverified and what would prevent submission.
  • Ask who will prepare the draft, answer questions and obtain your approval when a material detail changes.
  • Ask for a redacted sample progress report or handover index, without another client’s personal information.
  • Confirm the working language, contact person, response expectations and escalation contact in the engagement.

Judge the specificity of the response. A useful answer assigns a person, a dependency and a record. A promise that everything will be handled gives you no way to distinguish work completed from work merely discussed.

Define filing authority and service boundaries

The engagement should distinguish preparation, approval, submission and follow-up. You may want the agent to organise documents while reserving decisions about directors, ownership, shares, business activities and addresses to the relevant company participants. Put that approval boundary into the instructions before anyone submits a draft.

Require approval before submission of the completed particulars, with a retained version or dated confirmation. For a query from SSM, agree which routine corrections the agent may make and which changes require fresh instructions. A change to a spelling error and a change to the ownership arrangement should not pass through the same undefined permission.

SSM’s rules on use of practising certificates require the secretary’s number on relevant execution, lodgements and correspondence and prohibit another person from using the holder’s certificate for transactions on the secretary’s behalf. Administrative help therefore needs to be distinguished from authority to use the secretary’s practising certificate. Ask the provider to explain its arrangement; do not request shared secretarial credentials as a substitute for visibility.

Write exclusions in terms of outcomes

Separate SSM incorporation from any bank application, sector or premises permission, tax work and immigration support. If any is offered, name the application or assistance, the preparer, the decision maker and the evidence that ends that workstream. An introduction to a bank is a different deliverable from submitting a complete application, and neither should be described as guaranteed approval.

Commercial terms still matter even when price is not the selection task. Request separate treatment of official charges, professional work, third-party expenses, recurring appointments and any deposit, with applicable tax treatment and cancellation terms. Ask whether correcting the provider’s own error is charged differently from changing your instructions. Keep money intended for company capital identifiable separately from the agent’s invoice.

The selection is strongest when identity, permission and proof form one chain. A missing link calls for a written clarification before you authorise the next stage.

The evidence chain for appointing a registration agent Verify the firm and named secretary, connect them to written filing instructions, and check the proposed outputs. Appoint when the chain is complete, or pause to resolve the gap. Verified contracting firm Named secretary and PC Written filing instructions Verifiable outputs and handover Chain complete: appoint Evidence gap: pause
Identity checks support the appointment only when written authority and checkable outputs connect to the same engagement.

Compare agents through an evidence acceptance test

Use the following acceptance card for each agent, recording a document name and date beside each gate. It is a procurement tool, not an SSM accreditation or a claim that every document must be publicly available. The first two gates establish who is being engaged; the remaining gates make the proposed work testable.

Gate Whom you check Evidence to inspect Acceptance test
Seller identity Contracting entity Registration record and matching invoice details The entity receiving payment is explained and matches the engagement.
Secretary eligibility Named individual Current practising certificate and qualification evidence Names and validity align; the provider explains any discrepancy.
Filing authority Preparer and approver Approved particulars plus a dated submission instruction You can identify what was approved and which version was lodged.
Completion evidence Filing contact SSM notice, submission references and itemised handover index Official output agrees with approved particulars; pending items remain visible.
Continuity Service manager Written replacement, record-transfer and termination procedure The company can retrieve its records and identify the next responsible contact.

Do not average away an unresolved identity or qualification issue with a lower fee or faster response. Mark a gate “confirmed” only when the record answers the test; mark it “clarify” when a specific document or explanation is missing. Record “outside scope” for an optional service you have deliberately excluded, rather than mistaking it for a promised deliverable.

Differentiate a refusal from a reasonable confidentiality limit. The agent need not reveal another client’s file to demonstrate its method. A blank approval form, redacted index or explanation of the workflow can show how your record will be controlled without exposing somebody else’s information.

Resolve an unclear permission or deliverable

Use the draft engagement and evidence card to identify which instruction, exclusion or handover term needs clarification.

Secure a usable handover and an exit route

Agree the handover index before appointing the agent, then use it when the work closes. SSM’s registration guidance distinguishes the registration notice from a certificate of incorporation, which is issued separately on application and payment. For the incorporation milestone, inspect the registration notice and reconcile the company name and number with the approved file. A promise to order a certificate should not leave you uncertain whether incorporation has occurred.

The same guidance requires a secretary to be appointed within 30 days after incorporation. Ask for a dated appointment task and confirmation of completion rather than assuming the initial filing automatically closes that obligation. Your handover index should distinguish documents delivered, actions completed and work still awaiting an external response.

Run a handover drill before signing

  1. Ask how the company would obtain its incorporation outputs and approved particulars if the usual account manager became unavailable.
  2. Identify where original records are held and how copies, receipts and correspondence will be supplied.
  3. Separate company-owned access and authorised-user arrangements from the secretary’s personal practising credentials.
  4. Ask what notice, outstanding charges, consents or transfer steps would apply if you changed provider; agree how pending work and deadlines would be reported.

For a discrepancy after submission, preserve the approved version, lodged record and correspondence, then ask for a written correction plan naming the person responsible and the next update. Do not approve a fresh filing merely to clear an unexplained mismatch. If the provider cannot account for a missing output or an unauthorised change, stop further discretionary instructions and obtain case-specific professional help while protecting any live deadline.

Approve the registration agent when the evidence matches

Appoint the company registration agent when the contracting identity and named secretary are supported, the filing permission is specific and the handover can be checked. Give preference among agents who pass those gates to the one who understands your actual ownership and operating facts and explains dependencies clearly.

If a gap is limited and identifiable, make the missing record or revised term a condition of appointment. Pause where the proposed secretary cannot be verified, payment details cannot be explained or the agent insists on filing material particulars you have not approved. Keep the approved scope, evidence card and unresolved-items list together so the appointment remains reviewable after incorporation.

Prepare the agent appointment file

Gather the confirmed scope, named contacts and remaining evidence gaps before giving the instruction to proceed.

Frequently asked questions

Does a professional-body logo prove that the proposed secretary can act?

No. Ask which individual will be appointed and inspect evidence relating to that person. A logo on the firm’s website cannot resolve a mismatch between the proposed appointee and the name on the practising certificate.

Can an overseas founder compare agents before sending passport copies?

Yes. You can initially describe the ownership and residency arrangement without distributing a full identity file. Confirm the contracting recipient, secure transfer method and document requirements before sending sensitive records; the agent can then explain what further verification is needed.

Should I ask for a guaranteed incorporation date?

Ask instead for a work schedule with a defined starting point, dependencies, progress updates and treatment of queries. The agent can commit to its own preparation and communication tasks, while a regulator’s response remains outside that service commitment.

Is a resident director service automatically part of an agent appointment?

Do not assume it is. If required, obtain a separate, explicit description of the proposed appointment and governance arrangement. The secretary, registration coordinator and director are different roles, even when one firm arranges all three.

What if the engagement names one firm but payment is requested to another?

Request a written explanation of the relationship, billing authority and payment recipient before transferring funds. An unexplained mismatch is a reason to pause, rather than relying on a verbal assurance from the sales contact.
