Banking and shareholder funding
Company Bank Accounts and Capital Deposits in Indonesia: Coordinate KYC and Funding Evidence
Connect the company account to a supportable contribution and accounting record.
Open the corporate account through the bank’s independent KYC process, then fund it under a documented shareholder contribution or other lawful arrangement. Reconcile the remitter, source, amount received and accounting treatment. A bank opening deposit, statutory paid-up capital and the project investment plan are different measures and require different evidence.
Key takeaways
- Decide whether a receipt is equity, a loan or another supported transaction before remitting.
- Bank onboarding evaluates the company and beneficial owners separately from incorporation.
- The contribution file should explain the subscriber, remitter, receipt and recognition.
- Capital-use restrictions and their exceptions must be read alongside the company’s actual expenditure.
Decide what the shareholder is funding before moving cash
Begin with the legal and accounting purpose of the contribution. Is the money paying subscribed shares, funding a shareholder loan or reimbursing a properly documented company expense? A bank credit records receipt, but the purpose and ownership of that receipt need their own supporting documents.
For a standard PT PMA, Article 26 of Investment Regulation 5/2025 sets a placed and paid-up capital baseline of IDR 2.5 billion per company, unless another legal requirement applies. The investment-value test is a different measure with activity and location rules. Neither figure should be substituted for the account-opening deposit set by a bank.
The bank’s initial deposit is not the legal definition of paid-up capital.
Prepare the approved share subscription or other funding authority, the shareholder identity and the amount intended for equity. Match these to the deed and shareholder records. If the money is a loan, do not label it capital merely because that description makes onboarding appear easier.
For a new company, the Indonesia company registration file establishes its identity, officers and recorded capital structure. Treat that as the starting evidence for banking and funding, while checking whether any subsequent amendment changes the authorised shareholder or signatory.
Prepare the KYC explanation before the account is open
The bank’s account decision is independent of incorporation. OJK Regulation 8/2023 sets the financial-sector anti-money-laundering framework, including customer and beneficial-owner due diligence. A provider’s introduction or a complete deed file does not compel the bank to accept a customer or a particular transaction.
Start with the company’s real business: products or services, expected customers and suppliers, transaction countries, currencies, values and frequency. Explain its current stage honestly. A newly formed company can provide prospective contracts, project plans or other genuine evidence without fabricating historical sales.
The published BCA Giro requirements illustrate the corporate identity and authority documents a bank can require, including incorporation and current management records and tax identity. Bank Mandiri’s Giro information provides its own requirements. These are product-specific examples, not a universal list that binds every Indonesian bank.
Give the bank a current ownership chart through the corporate shareholder chain and identify the natural persons who ultimately control the structure. Connect the planned funding to its legitimate source and explain any complexity before remittance. Foreign corporate records, translations, originals or additional verification can be requested according to the bank’s review.
The business evidence needed for corporate bank KYC helps connect a company’s documents to its actual transaction model. Check that the activity on the NIB, the business narrative and the planned cash flows are compatible. A profile describing advisory services should not conceal a different trading or investment business.
Prepare the bank’s business explanation
Bring the ownership chart and expected transactions to identify the KYC evidence the application needs.
Confirm signatories and the actual receiving account
Obtain the selected bank’s requirements for the applicant, officers, beneficial owners and authorised signatories. Ask whether physical attendance, original documents or another identification method is required for the proposed people and product. Do not assume that a notarial power of attorney is sufficient for banking.
Agree the operating mandate before activation: who can view balances, prepare transfers, approve payments and change user rights. Match board or shareholder decisions to the bank’s accepted forms where required. A local coordinator can assist without becoming the uncontrolled holder of all payment authority.
Verify the account name and authority before the shareholder remits.
Check the beneficiary details through an independently confirmed bank or authorised company channel. Use the exact company account and keep the bank’s opening and activation evidence. A personal account, intermediary’s account or unrelated corporate account is not the same as the PT PMA’s own receiving account.
The existence of an account number does not prove that every channel, currency or transaction facility is usable. Confirm internet-banking activation, signatory permissions and any limits relevant to the planned contribution. Record who can obtain an official statement and how the company controls recovery if an officer or adviser leaves.
Where more than one bank or currency is involved, identify the specific receiving account and any conversion step. Do not circulate several versions of beneficiary instructions. A controlled final instruction reduces the risk that an old account or changed detail is used for a material transfer.
Build the bridge from subscription to received capital
Use a funding evidence bridge instead of treating the transfer confirmation as the whole file. Each element should connect to the same contribution. The table is an editorial reconciliation tool: it combines corporate authority, bank movement and accounting records without pretending that a bank statement alone decides the legal classification.
| Evidence point | Record to retain | Reconciliation question | Unresolved example |
|---|---|---|---|
| Commitment | Deed/subscription and relevant approval | Which shareholder owes what amount and for which shares? | Payment does not match the approved allocation |
| Source and remitter | Source-of-funds records and sending-account evidence | Who actually provides the money and why? | An affiliate pays without explaining its relationship to the subscriber |
| Movement and receipt | Transfer advice, FX record and company statement | What amount left, converted and arrived, and when? | Charges or conversion produce an unexplained difference |
| Recognition | Ledger entry and shareholder/corporate record | How is the receipt classified and allocated? | A loan is recorded as equity without proper authority |
Identify differences before closing the capital reconciliation. Bank charges and currency conversion can make the received amount differ from the amount instructed. Record the actual IDR treatment and how any shortfall or excess is handled under the approved funding arrangement; do not silently force the ledger to match an expected figure.
If a parent treasury centre, affiliate or another person sends funds on behalf of the shareholder, document the legal relationship and obtain the bank’s acceptance of the explanation. Payment by a different remitter is an evidence question to resolve, not permission to disguise the source. Keep the shareholder’s entitlement and contribution accounting consistent.
For each tranche, assign a unique internal reference that links the instruction, bank evidence, accounting and corporate allocation. Several small transfers should not be collapsed into an unexplained total. Likewise, a single large transfer should identify any separate equity and loan components supported by the relevant documents.
Retain records at the company rather than depending on a shareholder’s temporary messaging history. The director and finance team should be able to answer why the funds were received, how they were classified and which document supports the result.
Control capital use and subsequent reporting records
Article 27 of Investment Regulation 5/2025 imposes a twelve-month control on moving placed or paid-up funds from the business account, with exceptions for asset purchases, building construction and business operations. The related OSS self-declaration must be considered with the rule. Neither unrestricted shareholder withdrawal nor a universal prohibition on genuine business spending describes that distinction accurately.
Before disbursement, connect the payment to an authorised purpose and retain the commercial support. An asset purchase needs the relevant agreement and invoice; an operating payment needs the records appropriate to that expense. For a related-party payment, preserve the relationship and transaction basis as well as the transfer evidence.
Distinguish a bank-imposed restriction from the regulatory capital-use rule. The bank can have its own account or transaction controls. A provider should identify the source of any claimed restriction rather than saying that all capital is frozen by law for a year or that an ordinary account balance is always freely withdrawable.
A circular transfer does not become genuine capital merely because it passes through the company account.
Align later accounting and applicable investment reporting with actual transactions. A company can have an investment plan, a capital receipt and asset expenditure at different stages. Record each under its own meaning instead of repeatedly counting the same funding as new investment or treating a service fee as shareholder equity.
Use payment approvals proportionate to value and risk. For a material contribution or onward transfer, have a second authorised person verify the beneficiary, purpose and supporting documents. This is an internal-control recommendation; it does not substitute for bank review or any required corporate approval.
Resolve the funding mismatch
Use the subscription, remitter and receiving records to investigate differences before closing the contribution.
Resolve mismatches before declaring the funding complete
When a bank asks further questions, answer the specific gap in ownership, source, purpose, permission or authority. A clearer evidence file can support review, but a different bank should not be approached with inconsistent company facts to bypass an unresolved issue.
If the deed, OSS, shareholder register or bank file disagrees, identify the authoritative record and required correction. Preserve the old and corrected versions with the reason for the change. Do not backdate a corporate approval or rewrite the transfer purpose after the event without considering its actual legal and tax consequences.
Close the reconciliation when the approved contribution, legitimate source, correct receiving account, actual receipt and accounting classification agree. If a difference remains, record its amount, cause and next action. The file should state what is established and what is still pending rather than announcing that capital is complete on the basis of a balance screenshot.
A completed bank handover should include current signatory rights, transaction access, statements, corporate authority and secure recovery arrangements. A completed funding file should include the contribution bridge and the records governing permitted use. These are distinct acceptance points even when one service provider coordinates them.
Authorise the transfer from a reconciled funding file
Coordinate KYC before remittance, confirm the company account and mandate, then trace the contribution from shareholder authority through receipt and recognition. Keep bank product requirements, legal capital rules and the project investment plan separate in that decision.
Your next action is to complete the funding evidence bridge for the intended transfer. Escalate before money moves if the subscriber and remitter differ without support, the beneficiary cannot be independently verified or the capital explanation conflicts with company records. Do not solve an evidence problem by changing the story told to the bank.
Coordinate the account and capital evidence
Share the proposed funding arrangement and company records to define the bank and reconciliation work.
Frequently asked questions
Can a bank minimum balance be treated as the company’s capital requirement?
No. The bank product’s deposit terms and the legal capital framework serve different purposes.
Does an incoming transfer automatically count as equity?
No. Its classification must follow the actual legal arrangement, authority and supporting corporate and accounting records.
Can the company spend contributed funds on operations?
The regulatory capital-use rule contains business-spending exceptions. Assess the actual payment, evidence and any separate bank restriction.
Will a complete KYC pack guarantee opening?
No. The bank retains its independent acceptance and verification decision, and may request further evidence.
