Corporate evidence and transaction risk

Company Due Diligence in Singapore: Records, Obligations and Ownership

Build a defensible evidence file before extending credit, buying shares or appointing a Singapore counterparty.

Company due diligence in Singapore requires two different evidence routes: public ACRA records establish registered facts, while company-supplied documents support ownership, authority and financial checks that public searches cannot complete. A live company, a filed annual return and an identified shareholder each answer a limited question; none alone establishes that a transaction is safe.

For a local private company limited by shares, begin with the exact legal entity and transaction, then record which material claims remain unverified. Public access to controller information and nominator information is restricted, so an ownership gap needs a lawful evidence request rather than another ordinary register purchase.

Key takeaways

  • Fix the contracting entity and UEN first; a group name or trading brand can lead your review to the wrong company.
  • Choose ACRA products by the question being tested, and authenticate documents supplied by the counterparty.
  • A current nominee designation is visible in the Business Profile, but the person behind that arrangement is not publicly disclosed there.
  • Test compliance against the relevant financial period; an old filing receipt cannot establish the current position.
  • Give each material gap an evidence owner and a transaction response, so missing records do not disappear into a general risk score.

Set the entity and exposure before ordering records

Start with the decision you need to make: extend supplier credit, pay an advance, acquire shares or enter a joint venture. Record the proposed amount, the assets or obligations involved and who would bear a loss. A small prepaid order and a controlling investment justify different depths of review, even when the counterparty is the same company.

Obtain the exact legal name and Unique Entity Number (UEN), then match them to the draft contract, invoice, bank beneficiary and company documents. The Accounting and Corporate Regulatory Authority (ACRA) operates Singapore's company register through Bizfile. Its information-product guidance confirms that free searches show basic details such as status and registered address.

Review the legal entity that will owe you the obligation. If the target has a parent, record both entities and identify which one makes each promise. Do not transfer a parent's reputation or financial strength to the company under review without examining the actual support being offered.

For a newly formed counterparty, the incorporation documents should match the structure established through company formation in Singapore . Treat incorporation as the starting identity record. Ask separately for evidence of the proposed signatory's authority and any parent guarantee, rather than assuming the group structure supplies either.

Buy public records for specific questions

Public products are useful when their coverage matches your question. ACRA lists Business Profiles, historical filing extracts, company registers and Corporate Compliance and Financial Profiles (CCFPs) as different products. The current product catalogue explains their respective scope. An extract is a copy of a filed document; it does not turn the document into an independently verified statement of present commercial reality.

Question Useful starting record What remains to test
Which entity and officers are recorded? Current Business Profile; relevant officer register Whether your contact has authority for this transaction
What was filed for an earlier period? Annual-return or financial-statement extract, where available Changes and trading since that period
Who is recorded as a member? Register of members and relevant share records Beneficial interests, nominee relationships and control rights
What does the filing history suggest? CCFP and underlying filings Explanation of exceptions and evidence outside the filed record

Authenticate a supplied document through the channel ACRA specifies. Its verification instructions direct Business Profile checks to trustBar and other products to the relevant authentication service. Save the product date, verification result and download alongside your notes. An authentic document can still be old; authenticity and freshness are separate tests.

ACRA's basic risk-assessment guidance treats a live status, address checks, people involved and capital as starting indicators. Use them to select follow-up questions. A paid-up capital figure records shareholder funding; it is not a current bank balance or a promise that funds remain available to pay you.

Trace ownership without assuming public access

Separate the registered member, the person benefiting from a shareholding and the person exercising control. The Register of Registrable Controllers (RORC) concerns significant interest or control. ACRA's controller-identification guidance includes more than 25% of shares or voting power and separate control tests. Board-appointment rights and significant influence can matter even when a percentage calculation seems reassuring.

The public/private access boundary changes how you gather evidence. ACRA states that members of the public cannot view or buy RORC information, and a shareholder who is not a company officer cannot view it merely as a shareholder. Officers, responsible corporate service providers and law-enforcement agencies have specified access under the RORC access guidance .

Nominee visibility is narrower still. Under ACRA's public nominee-detail rules , a company Business Profile identifies current nominee directors as ND and nominee shareholders as NS. Nominator names and particulars, nomination dates and historical arrangements remain private; the public cannot buy the Register of Nominee Directors (ROND) or Register of Nominee Shareholders (RONS).

Request a dated ownership chart, supporting corporate records for intermediate entities and an explanation of voting, appointment and economic rights. Obtain identity evidence through an agreed secure process and have the appropriate professional assess lawful disclosure. Your review should not assume an entitlement to inspect a restricted statutory register.

Where an intermediary holds shares, nominee shareholding and disclosure risks require attention to who gives instructions and receives distributions. An ownership chart that names only the intermediary leaves that transaction question unanswered. Combine the public record, the requested evidence and its remaining limitations before choosing your next action.

From company evidence to a recorded decision Public facts, company disclosures and period checks feed a reconciled claim set. Supported claims allow a proportionate commitment; material gaps require conditions or escalation. Both routes end in a recorded decision and refresh trigger. Public records Registered facts Company disclosures Ownership and authority Period checks Obligations and accounts Reconcile each claim Record remaining limits Supported Proportionate commitment Material gap Condition or escalate Record the decision Set a refresh trigger
Combine evidence routes before judging a claim. The decision route is an editorial review method, not an ACRA approval process.

Map each unresolved claim to a transaction response

Use the matrix as a working review tool. Each row connects an assertion to evidence and a practical consequence. The responses below are editorial risk controls , not mandatory statutory conditions. Select them according to the value at risk and take professional advice when the gap affects legal rights.

Material assertion Evidence to reconcile Remaining question Response while unresolved
“This company will perform the contract.” UEN, Business Profile, contract party and beneficiary details Is an affiliate or individual actually requesting payment? Verify the discrepancy independently before releasing funds.
“Our representative may bind the company.” Officer details, constitution and transaction-specific authority documents Does the authority cover this commitment and signatory? Obtain confirmation from the appropriate company decision-maker; seek legal review if disputed.
“The named shareholders explain ownership.” Member records, ownership chart, class rights and nominee explanation Who benefits or controls rights beyond the registered names? Request lawful supporting evidence; pause a material investment if the chain remains unexplained.
“All compliance is current.” FYE, relevant filings, receipts and outstanding correspondence Which period, entity and obligation does each receipt cover? List each overdue or unproven item and require a dated remediation plan.
“The assets are free for this deal.” Financing documents, charge evidence and asset schedules Are consents, releases or other restrictions unresolved? Refer the affected assets and proposed release conditions to counsel.
“The company can fund delivery.” Recent accounts, cash evidence, debt schedule and customer commitments What has changed since the filed accounts? Limit exposure or use staged performance until the financial gap is understood.

Add an owner and due date to each outstanding request. A filing question may go to the company secretary; cash and tax evidence to the finance lead; ownership explanations to the relevant shareholders or controllers. Ask the company's authorised contact to coordinate the response rather than assuming a secretary can certify every operational claim.

A missing public document and a refusal to provide available private evidence deserve different treatment. First establish whether the record exists, whether filing or disclosure is required, and whether you have a lawful route to obtain it. Only then assess what the absence means for this transaction. An unresolved item must remain visible even if other rows look satisfactory.

Test obligations against the right period

Build a short schedule of obligations using the company's Financial Year End (FYE), current status and actual activities. For a non-listed local company, ACRA's annual-return guidance generally requires filing within seven months after FYE, or eight months for a company with share capital and an overseas branch register. Live dormant companies still have annual-return duties; an IRAS tax waiver does not remove that ACRA filing.

For diligence, obtain the return and submission evidence for the period that should already be complete. If filing is late, request the outstanding records, explanation, correction plan and evidence of any enforcement correspondence. The company's officers should arrange the necessary Bizfile filing and address applicable late consequences. A promise to “catch up” is not completion evidence.

Check financial reporting and audit separately. Under ACRA's small-company audit-exemption rules , a private company ordinarily needs to meet at least two of the revenue, asset and employee criteria across the relevant two-year assessment; groups also face group-level tests. A newly incorporated company has a different assessment period. Ask for the applicable exemption analysis instead of treating unaudited accounts as automatic non-compliance.

Tax evidence belongs in a separate folder. The Inland Revenue Authority of Singapore (IRAS) requires company transaction records to be retained for at least five years from the relevant Year of Assessment (YA), including source documents and bank statements. Request relevant tax filings, assessments and correspondence from the company through an authorised channel; a public company-register search does not replace that review.

Bridge the gap between filed accounts and current exposure

Filed accounts are a historical starting point. Reconcile them to recent management accounts, receivable and payable ageing, bank reconciliations and a debt schedule. Identify related-party balances and commitments that could affect delivery. The point is to explain the movement from the reporting date to the commitment date, rather than collecting several versions of the same old balance sheet.

Audit exemption does not establish financial strength. Assess whether the evidence is sufficient for the exposure: a supplier advance may require current cash and delivery evidence, while a share acquisition may warrant independent financial and tax diligence. Describe the assurance level honestly; management-prepared schedules and audited statements serve different purposes.

For assets that matter to the deal, reconcile any registered security with financing agreements, lender confirmations and the proposed consent or release documents. Do not infer that a company has no liabilities merely because your search reveals no relevant charge. Unsecured borrowing, trade debts and other commitments require their own evidence.

Also match the claimed business to contracts, premises, key personnel and any applicable operating permissions. Verify a licence's holder, scope and validity with the issuing authority where the activity requires one. Treat commercial delivery capacity and regulatory permission as separate questions; neither is established simply by a registered activity description.

Resolve contradictions with a dated exception log

Maintain one exception log with the disputed fact, competing documents, dates, source owner, response and impact on the transaction. Preserve original files rather than silently replacing them with a corrected version. This makes it possible for a second reviewer to understand why a concern was cleared or left open.

  1. Identify the authoritative source for the particular question, rather than ranking one document as authoritative for everything.
  2. Ask the responsible person to explain the discrepancy and supply the underlying evidence.
  3. Distinguish correction submitted, record updated and transaction condition satisfied as separate outcomes.
  4. Refresh affected searches or confirmations before the commitment if a material change occurred.

Ownership maintenance provides a concrete example. ACRA requires applicable companies to maintain a private RORC, send annual verification notices and file changes centrally. Its maintenance guidance sets a seven-day private update period after a controller informs the company of a change, followed by central filing within two business days of the private update. Request the relevant confirmation through the responsible officer; updating an ownership chart alone does not establish that the records were corrected.

Agree refresh triggers suited to the deal: a new shareholder, director change, refinancing, material dispute or long delay before completion. These are recommended review triggers, not a universal legal expiry period for diligence. Record who must notify you, which evidence will be refreshed and who may approve proceeding despite a remaining exception.

Escalate company evidence gaps before they become commitments

Proceed within a clearly documented exposure only when the evidence supports the contracting entity, authority, material ownership explanation and relevant obligations. If a limited gap can be resolved, make the missing evidence and responsible person part of a specific condition rather than accepting a general assurance.

Escalate before releasing material value when identity conflicts remain, ownership cannot be explained lawfully, authority is disputed or financial records cannot support the promised performance. Choose the specialist for the issue: Singapore counsel for rights and restrictions, an accountant or tax adviser for financial and tax uncertainties. Record the decision and its limits so the next reviewer knows exactly what was established.

Frequently asked questions

Does a new company need the same history as an established counterparty?

A newly formed company may have no completed annual filing period or trading history. Record that limitation rather than treating the absence as an overdue filing. Focus on current funding, authority and the evidence supporting the promised performance; reduce exposure if the missing history matters.

Does the absence of an ND or NS marker prove there was never a nominee?

No. ACRA lists cessation, a former appointment or membership, and an applicable exemption among reasons a marker may not appear. The public display concerns current status and does not disclose historical arrangements. Ask for a lawful explanation when history matters to the transaction.

What if no registrable controller has been identified?

Do not infer that ownership was independently cleared. ACRA provides for reporting individuals with executive control in specified circumstances and expects documentation of efforts to identify controllers. Request an explanation of the conclusion and have a qualified adviser assess any material unresolved chain.

Is an older authenticated Business Profile acceptable?

Authentication checks the document, while your decision needs facts current enough for the commitment. Assess intervening changes and the deal timetable. Obtain a fresh product or targeted confirmation where the age creates a material gap; there is no universal freshness period stated by this review method.

Can a remote document review establish physical delivery capacity?

Only to the extent the evidence supports it. If stock, premises or operational capacity are central to the commitment, arrange proportionate independent verification. Record any inspection or access limitation and reflect it in payment or completion terms.
