Ownership and funding choices
Company Formation in Indonesia: Which Structure Fits Your Ownership and Capital Plan?
Choose a lawful vehicle before you commit shareholders, project investment and operating cash.
IDR 2.5 billion in issued and paid-up capital is the current general PT PMA company-level minimum, but that amount alone does not make a foreign-owned business viable in Indonesia. Its separate project investment requirement is generally more than IDR 10 billion, with activity and location rules. Both figures come from Article 26 of Regulation 5/2025 , checked on October 26, 2026.
A domestic founder and an overseas company seeking only a liaison presence face different choices. Start with who will own the business and whether the Indonesian presence will make sales; then test the relevant capital rules and the cash needed to carry out that scope.
Key takeaways
- The PT PMA paid-up minimum is assessed per company; its general investment minimum uses a business-activity and project-location unit, subject to exceptions.
- An ordinary KPPA has a restricted parent-office mandate. Specialized representative offices require their own sector analysis.
- Domestic PT eligibility follows the real investment and owners; choosing an Indonesian address does not settle that question.
- A capital workbook should reconcile the share subscription, project uses and timing of cash without adding the same funding twice.
- Resolve an ownership or funding mismatch before instructing the deed or committing to a commercial launch.
Match the vehicle to the owners and the first sale
For company formation in Indonesia, a PT PMA fits foreign equity in an eligible operating business; a domestic PT fits genuine domestic investment. A single-person PT is available only to an eligible Indonesian micro or small founder. An ordinary KPPA fits an overseas company’s permitted liaison presence. The choice must satisfy ownership, activity and funding conditions together.
A PT PMA is an Indonesian Perseroan Terbatas (PT) with foreign investment status. It is not an offshore branch. The foreign-investment form requirement is in Article 5 of the Investment Law . A local PT is not a reduced-capital substitute for a foreign-owned operating company.
| Structure | Ownership fit | Business purpose | Capital-plan implication |
|---|---|---|---|
| PT PMA | Foreign investment, alone or with genuine domestic co-investors, where the activity permits it. | An Indonesian operating company within its licensed business scope. | Meet company equity and applicable project investment rules; fund the actual operation. |
| Ordinary domestic PT | Genuine domestic investors and domestic capital; examine any corporate ownership chain. | An operating business with conventional shareholder arrangements. | Use founder-determined authorized capital and the statutory paid-up proportion, subject to sector requirements. |
| Single-person PT | One Indonesian citizen meeting the age, legal-capacity and micro/small-business conditions. | A qualifying founder’s business, with a conversion trigger as ownership or scale changes. | Business-scale eligibility and corporate capital are separate tests; it cannot accept foreign equity as a shortcut. |
| Ordinary KPPA | An existing foreign company appoints its Indonesian representative office; no Indonesian shareholding vehicle. | Permitted supervision, liaison, coordination or preparation of a PT PMA. | Budget parent-funded office operations rather than treating it as a PT with shares or unrestricted sales authority. |
For the single-person route, PP 8/2021, Articles 2 and 6 requires an Indonesian citizen aged at least 17 who has legal capacity, and a company meeting the micro or small criteria. A foreign individual cannot use that status merely because the proposed business is small.
The KPPA row refers specifically to the ordinary KPPA rules in Article 270 . They prohibit seeking Indonesian-source income and commercial sale or purchase transactions between the parent and Indonesian parties, as well as participation in managing an Indonesian company, subsidiary or branch. If local sales are essential, remove ordinary KPPA from the shortlist.
Do not extend that description to every representative office. Regulation 5/2025 separately identifies foreign trading, construction and other specialized offices; Article 271, for example, requires a trading representative office (KP3A) to obtain SIUP3A after its NIB. A sector-specific office needs its own permission and funding review.
Which ownership route survives the first test?
Describe the proposed shareholders and who will sign the first customer contract so the viable structures can be narrowed before drafting begins.
Test foreign ownership before you negotiate shares
Foreign ownership must be tested against the actual business, not a broad description such as consulting, technology or trading. Presidential Regulation 49/2021 amends the investment-field framework in Presidential Regulation 10/2021. Commercial fields are generally open except closed fields and central-government activities, but that is not a universal entitlement to 100% foreign ownership.
The current implementing rule, Article 10 of Regulation 5/2025 , also directs licensing to consider conditional fields, activities allocated to cooperatives and smaller enterprises, partnerships and special-purpose restrictions. Map the intended products, services and customer transactions to the current Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) codes used for the filing, then record the applicable ownership and sector conditions.
- Identify the legal investors: individuals, companies and the ownership chain behind any corporate shareholder.
- Test each real activity and location against its applicable foreign-investment and sector conditions.
- Record the permitted foreign participation and any genuine local partnership or other condition before agreeing the share table.
- Remove activities the chosen company cannot lawfully perform, or redesign the operating arrangement before funding it.
A foreign shareholder’s smaller percentage does not turn the investment domestic. The Investment Law’s Article 1 covers both wholly foreign investment and investment made jointly with domestic investors. Real ownership must drive the investment status ; a convenient company label cannot reverse the underlying facts.
A joint venture can be a substantive commercial choice, but a nominee is not a cure for a restricted activity or an unaffordable PT PMA plan. Article 33 of the Investment Law prohibits agreements or declarations that shares are held for and on behalf of another person and makes such arrangements void. If eligibility fails, change the lawful scope or investor arrangement rather than hide the foreign owner.
Give each capital number its own job
Keep four separate lines in the decision workbook: authorized capital, issued and paid-up capital, project investment, and cash payments. They answer different questions. Combining them into one “setup amount” can make a domestic PT look underfunded or a PT PMA look more expensive than the actual funding requirement.
| Number | What it measures | How to use it |
|---|---|---|
| Authorized capital | The company’s capital stated in its constitutional arrangements. | Founders determine it under PP 8/2021; check any minimum for the particular business. |
| Issued and paid-up capital | Equity subscribed and paid by shareholders. | At least 25% of authorized capital under PP 8/2021. A PT PMA also has the general IDR 2.5 billion minimum per PT, unless another legal rule provides otherwise. |
| Project investment value | The investment commitment for the relevant activity/project calculation unit. | For a PT PMA, the general rule is more than IDR 10 billion outside land and buildings per five-digit KBLI per project location, subject to exceptions. |
| Setup and operating cash | Payments when the business needs to make them. | Schedule formation expenses, premises, equipment, staff, compliance and working cash; distinguish funding sources from uses. |
Apply the company and project tests separately
The capital rules in PP 8/2021, Articles 3–5 leave the authorized amount to the founders, require at least 25% to be issued and fully paid with valid evidence, and preserve business-specific requirements. They do not create one universal rupiah minimum for every domestic PT. Nor does the 25% rule require authorized capital to be exactly four times the amount paid: a greater proportion can be paid.
For PT PMA, Article 26(2) and (10) separates the general investment threshold from the minimum equity. Per PT is different from per project location : do not multiply the IDR 2.5 billion company floor by each shareholder or KBLI, and do not assume one company-level equity figure satisfies every project’s investment calculation.
The general project rule is not the whole calculation. Wholesale uses the first four KBLI digits; food and beverage uses the first two digits per location point, with that point rule applying by regency/city. Construction, one-line manufacturing, property and designated zones have additional treatments. Land and buildings are included for specified activities under Article 26(5), with further property distinctions in paragraph (6). Identify the applicable exception before adding projects together.
That is why planning investment across several business activities starts with an activity-and-site schedule. Attach the calculation unit and land/building treatment to each row, rather than multiplying the headline threshold by an unreviewed list of codes.
Plan permitted use, not a fictional frozen deposit
Under Article 27 of Regulation 5/2025 , issued/paid-up funds are subject to a minimum 12-month restriction on transfer out of the business account, with exceptions for asset purchases, building construction and company operations. The OSS application includes a self-declaration commitment. This is not a rule that all capital must remain untouched as a universal blocked bank deposit.
Document the payment, company purpose and accounting treatment when funds are used. A shareholder’s capital payment is a funding source; equipment or payroll is a use. The same rupiah may finance an eligible project expense without becoming a second capital contribution. Setup charges and recurring cash needs still require their own payment dates, invoices and funding cover.
Ownership first narrows the legal vehicle. The funding analysis then asks whether that vehicle can sustain the permitted scope, as the three routes below show.
Can the proposed funding carry the chosen vehicle?
Bring the equity amount, project uses and funding dates together so a shortfall or double count can be identified before money moves.
Stress-test the funding plan across four structures
A workable funding plan passes the chosen structure’s tests without pretending that every payment is new equity. The following are conditional planning tests, not client cases or service quotations. Replace the assumptions with your actual owners, scope, project schedule and approved funding sources.
Foreign equity with a modest opening cash balance
Assume the activity is open to the proposed ownership and uses the general PT PMA calculation. Funding IDR 2.5 billion of equity does not justify recording a project of only that value: the applicable investment plan must still exceed IDR 10 billion. Identify credible later funding and when it becomes available. If the business cannot support that plan, defer the investment or reconsider the genuine operating scope; a domestic nominee or sales through an ordinary KPPA does not repair the gap.
Conversely, do not automatically add IDR 2.5 billion on top of the whole project investment as if it were a separate consumable fee. Equity can finance project uses ; show how it is deployed and what funding remains needed. A declaration of future investment is not cash available for next month’s payments.
Domestic investors financing a conventional operating company
For genuine domestic investment, begin with the assets, contract commitments and working cash the operation needs. Choose the authorized and paid-up amounts consistently with PP 8/2021 and any sector condition. The absence of the general PT PMA floor does not make a nominally funded company commercially ready. If a foreign investor will enter later, test that future position before agreeing a financing timetable or promising unchanged domestic status.
One Indonesian founder starting within micro or small scale
A single-person PT may fit when its eligibility is real. Under Article 25’s business-capital classification , micro scale is up to IDR 1 billion and small scale is above IDR 1 billion up to IDR 5 billion, excluding business-premises land and buildings. Those are scale bands, not required paid-up capital amounts. Under Article 9 of PP 8/2021 , adding another shareholder or ceasing to meet micro/small criteria triggers conversion through a notarial deed and electronic registration. Put that work into the expansion plan.
A foreign parent financing a limited liaison presence
For an ordinary KPPA, fund the permitted office mandate: premises, personnel, administration and parent coordination. Do not import the PT PMA equity minimum into an office with no local shares. Equally, do not base its cash forecast on local sales it cannot undertake. If Indonesian revenue becomes part of the plan, reassess the operating vehicle and any sector-specific alternative before accepting those commitments.
Carry the choice into AHU and OSS without changing the facts
The main formation risk is losing the reasoning behind the selected structure when it is translated into documents. Give the Indonesian notary and filing team one consistent instruction set. A structure that fits the investment memo can fail in practice if the deed, capital figures or OSS activities describe something different.
| Handoff item | What the decision file should settle | Evidence to reconcile |
|---|---|---|
| Owners and control | Investor identity, genuine equity percentages and any unresolved eligibility condition. | Identity/corporate documents, ownership chain, share table and beneficial-owner information. |
| Business scope | Actual products or services, contracting party, sites and required permission. | Activity description, current KBLI mapping and activity/location licensing conditions. |
| Funding | Authorized and paid-up amounts; project investment unit; sources, uses and payment dates. | Capital schedule, subscription/funding evidence and the corresponding OSS project data. |
| Release condition | What must exist before formation, funding or the first sale proceeds. | Official legal-entity output and the activity’s required licensing and operational evidence. |
Once the selection is stable, company formation requirements in Indonesia provide the underlying entity-formation context. Keep legal establishment and permission to operate as distinct outputs: ordinary PT documentation, an individual PT’s electronic registration certificate and a KPPA’s parent-office/NIB file serve different routes. Do not substitute one route’s evidence for another’s.
Indonesia’s current risk-based business-licensing framework is Government Regulation 28/2025 , which replaced PP 5/2021. Check the NIB and the exact activity’s Standard Certificate, licence and supporting conditions where required. An incorporated company or a generated NIB does not by itself prove every planned operation may begin.
If the documents disagree, pause the affected commitment. First establish whether the owner, activity, location or capital assumption was wrong; correct that underlying fact and then align the dependent records. Changing an OSS number merely to match a mistaken deed can preserve the original error. Keep tax, bank, employment and immigration work as separate launch dependencies where applicable; none should be assumed approved by the structure decision.
Approve the Indonesian structure with a funded, lawful scope
Approve the ownership position first, the permitted activity second, and the funding schedule third. A PT PMA plan is actionable only when its investor eligibility and company/project capital tests can be supported. A domestic or single-person PT needs genuine domestic eligibility; an ordinary KPPA needs a parent-office purpose that stays within its restricted mandate.
Record the selected vehicle, rejected alternatives and the fact that would force reconsideration: a foreign investment round, another shareholder, expanded sales or an additional activity/site. Do not authorize a filing that depends on an owner, business activity or funding source the founders cannot substantiate.
The decision is complete when the share table, activity scope and reconciled funding workbook give the notary and OSS team the same instructions, with outstanding approvals clearly identified. Rules were checked on October 26, 2026; reconfirm the applicable activity and capital treatment before filing or a material change.
Turn the selected structure into clear formation instructions
Use the agreed ownership, scope and funding workbook to define the documents and conditions needed for the next formation stage.
Frequently asked questions
Does an Indonesian residence permit make a foreign founder eligible for a single-person PT?
The single-person route requires Indonesian citizenship. Residence in Indonesia does not replace that nationality condition. Check the owner’s legal identity separately from any immigration permission.
Can a single-person PT remain unchanged after a second investor joins?
No. PP 8/2021 requires conversion when shareholders become more than one, or the company no longer meets micro or small criteria. A foreign incoming investor also requires a foreign-investment eligibility and capital review before closing.
Does spending paid-up capital reduce the amount of shares already issued?
A company expense and a legal reduction of share capital are different events. Record legitimate business spending in the accounts and retain its evidence; do not treat a lower cash balance as authority to alter the share register or return capital informally.
Does an ordinary KPPA’s preparation of a PT PMA automatically create the new company?
No. Preparing establishment is within the ordinary KPPA mandate, but the PT needs its own formation documents and applicable registrations and permissions. Contracts, staff, assets and funding need a deliberate handoff rather than an assumed automatic transfer.
