INDONESIA SHARE ACQUISITION CONDITIONS

Conditional Share Purchase Agreements in Indonesia: Conditions to Satisfy Before Completion

Make every closing condition provable and keep mandatory requirements outside informal waiver decisions.

A conditional share purchase agreement for an Indonesian company should distinguish signing from completion and specify the conditions that must be satisfied before the parties are obliged to close. The relevant conditions depend on the target’s articles, buyer eligibility, transaction structure, sector rules and negotiated risk allocation. Signing the agreement is not, by itself, evidence that the shares have transferred.

Build a condition register with the responsible party, accepted evidence, deadline and lawful waiver position for each item. Have Indonesian transaction counsel classify the requirements before a commercial team decides that an outstanding condition is “only administrative.”

Key takeaways

  • Use objective delivery evidence instead of a condition such as “all matters satisfactory” without an agreed decision process.
  • Separate mandatory legal steps from conditions negotiated for one party’s protection.
  • Allocate pre-completion conduct and information duties so the target does not materially change while conditions are being satisfied.
  • Keep post-completion filings on a separate calendar; they do not disappear when the purchase price is paid.

Separate the agreement, the transfer and the follow-up record

Use three event definitions in the deal plan: signing the conditional agreement; carrying out the agreed completion actions; and completing the required corporate or regulatory record updates. Some actions may be closely coordinated, but the schedule should identify their legal function rather than giving them all the label “closing.”

Under Company Law Articles 55–57 , share transfers follow the articles and require a transfer instrument, with corporate recording and ministerial notification requirements. The articles may impose prior offers or approvals. Ask counsel and the notary to identify the actual documents and sequence for this target rather than treating a signed commercial contract as the entire transfer process.

A signed condition checklist is not the share-transfer instrument. Keep the CSPA, executed transfer documentation, corporate decisions and accepted record updates in separate indexed categories. The closing memorandum should explain how they fit together and which event establishes each intended effect.

The PT PMA share-transfer execution sequence is relevant where the target has foreign investment or a proposed buyer changes its ownership position. If a buyer vehicle is still being formed through company incorporation in Indonesia , identify who signs before that entity exists and what must happen before it can become the purchasing party. Do not use a future company name to conceal the current signatory’s obligations.

Define the transaction events

Identify what signing, completion and record updates mean for the proposed share acquisition.

Write conditions that can be tested against evidence

The register below is a drafting and coordination aid, not a universal legal form. It helps the parties agree what satisfies each condition and who may decide. Replace generic language with transaction-specific requirements reviewed by counsel; a document that exists but is expired, incorrectly executed or outside scope should not count as satisfactory evidence.

Condition category Responsible party to allocate Evidence to define If not satisfied
Seller title and authority Seller and its authorised officers Share ownership evidence and applicable transaction approvals Resolve title or authority before releasing the transfer.
Target transfer restrictions Target, seller and affected rights holders Applicable offers, consents or valid waivers under the articles Follow the legal route; do not assume a buyer can waive another person’s rights.
Buyer and investment eligibility Buyer with relevant professional advisers Post-transaction ownership and activity assessment; required approvals Stop or restructure if the proposed ownership is impermissible.
Financing and payment readiness Buyer and agreed payment parties Available funds and approved payment or escrow arrangements Apply the negotiated financing and long-stop provisions.
Specified remedial work Party controlling the identified issue Precisely named corrective output or third-party confirmation Decide under the agreed condition and risk allocation.
Completion documents Both parties, target and notary as relevant Agreed execution set and coordinated completion instructions Do not release a partial set as if the entire exchange occurred.

For each row, add a reference, governing clause, due date, evidence location, status, reviewer and decision. Use “received” separately from “accepted.” A draft consent received by email may show progress without proving that the consent has been validly given.

Waiver authority must be identified condition by condition. A contractual condition benefiting a party is different from a legal requirement or another stakeholder’s right. Ask counsel whether waiver is legally available and who can give it; do not make every condition waivable through a general tick box.

A good condition is also proportionate. If a concern can be handled by a completion deliverable, price mechanism or negotiated post-closing obligation, discuss that allocation rather than automatically making every minor housekeeping item a condition precedent. This is a commercial drafting choice that needs the parties’ informed agreement.

Conditions and closing actions have different timing Signing starts the conditional period. Evidence and lawful decisions lead to completion, followed by applicable record updates and notifications. Sign CSPA Satisfy conditions or lawful waiver Coordinated completion exchange Post-completion filing calendar Long-stop: apply agreed decision rights
A condition register tracks evidence; it does not replace execution documents or mandatory steps.

Classify approvals and notifications by when they are required

For a transaction transferring control, Company Law acquisition provisions add acquisition-specific procedures, including applicable announcements and the notarial acquisition documentation. Identify whether the proposed share deal falls within those rules and which steps must precede implementation. Do not assume every share transfer has exactly the same acquisition requirements.

Sector conditions and foreign ownership access require a target-specific assessment. Prepare the current licensed activities and proposed post-deal ownership chart, then identify any permission required before implementation. Record the authority, application owner, dependency and acceptance evidence. A general incorporation service description does not settle this transaction question.

Competition notification needs a separate timing analysis. KPPU’s merger-notification guidance describes a post-effective notification framework for qualifying transactions, including a 30-business-day deadline. Determine whether the transaction qualifies and the legally effective date; do not describe every KPPU notification as a universal pre-closing clearance.

Put mandatory pre-completion steps in the closing dependency plan and applicable post-completion actions in a separate calendar with an owner. Post-completion timing does not make a filing optional. If there is uncertainty over the trigger or deadline, resolve it while negotiating the timetable rather than after funds have moved.

Control due diligence findings and conduct between signing and completion

Convert each material finding into an explicit deal treatment: a condition, a warranty or indemnity, a price adjustment, a completion deliverable, a post-completion covenant or an accepted risk. The same issue should not circulate indefinitely under the vague label “to be resolved” without an agreed consequence.

For an illustrative licensing-data mismatch, ask whether the missing item affects legal eligibility to complete, the target’s ability to operate, the valuation or only the accuracy of a record. Counsel and the business team can then assign the correct treatment. The fact that a document needs correction does not, by itself, establish which party bears the risk or that completion is legally prohibited.

Agree the target’s interim conduct duties, information access and consent process for specified actions. Consider new debt, asset disposals, unusual related-party payments, material contracts and changes to capital or management where they are relevant to this deal. Describe the thresholds and permitted ordinary-course conduct clearly enough for the target team to operate.

Information access and consent rights should be structured lawfully and proportionately. Do not use a conditional agreement to assume the buyer may exercise unrestricted pre-completion control. Identify competition, confidentiality and other constraints with counsel, and use controlled information sharing where required.

Keep an issue log connecting the due diligence finding to its final contractual treatment. If a condition is removed during negotiation, record the alternative protection or explicit risk acceptance. This prevents the closing team from continuing to chase a requirement the parties have replaced—or overlooking a risk they never actually accepted.

Allocate the outstanding deal risks

Turn due diligence findings into specific conditions or other agreed protections.

Plan the closing exchange and the long-stop decision

Before the planned completion date, circulate a status certificate or memorandum identifying satisfied, waived and outstanding conditions with supporting evidence. Confirm the authorised decision makers and the complete execution set. Align funds, transfer documentation and any escrow or release instructions so one party does not perform irreversibly while the agreed reciprocal action remains undefined.

Treat the long-stop date as a contractual decision point. The agreement should explain any extension process, termination right, notice requirement and treatment of deposits or escrowed funds. No universal automatic refund or automatic transfer result is assumed here; the actual agreement and applicable law control.

If a condition remains open, identify whether it can be satisfied, lawfully waived, extended or requires termination under the agreed mechanism. Record the decision in the required form. A project manager changing a spreadsheet colour is not a substitute for a contractual waiver or notice.

After completion, retain a closing index containing the executed transaction documents, accepted condition evidence, funds evidence, updated corporate records and outstanding filing calendar. Separate tasks already performed from tasks merely instructed, and allocate responsibility for retrieving the accepted output.

Complete only against the agreed and lawful condition status

Use the CSPA to make the path from agreement to completion explicit. Confirm title, authority, transfer restrictions, buyer eligibility, applicable regulatory timing and the evidence required for the closing exchange. Give the commercial and legal teams different but connected decisions: risk acceptance and legal ability to implement.

Escalate an unresolved mandatory requirement, impermissible buyer structure or incomplete reciprocal exchange before release. Completion should follow an evidenced decision, not an assumed waiver. Close the transaction file with a separate record of any post-completion obligations and the people accountable for them.

Prepare an evidenced closing decision

Reconcile the legal requirements, waivers, funds and execution documents before release.

Frequently asked questions

Is a CSPA the same as a shareholder agreement?

They can address different tasks. A purchase agreement governs the acquisition terms; a shareholder agreement may govern the ongoing relationship. Check the actual documents and their interaction.

Can the buyer waive a regulatory approval?

Do not assume so. Counsel should distinguish a mandatory approval from a contractual condition and identify whether any lawful waiver is available.

Does a long-stop date automatically transfer the shares?

No such effect is assumed. Apply the agreement’s actual completion, extension and termination provisions.

Should post-completion duties appear in the closing file?

Yes. Keep a separate owned calendar and retain accepted filing or notification evidence when each applicable duty is completed.
