CORPORATE RECORDS CONTROL

Corporate Secretarial Services in Indonesia: Resolutions, Registers and Filing Coordination

Define the administrative work, reconcile the evidence and keep the company in control of its governance file.

Corporate secretarial services for an Indonesian private PT should produce a connected record of approved resolutions, current corporate registers and evidence of any required filings. Outsourcing can cover preparation, tracking and document custody arrangements; the company’s organs retain their legal powers and responsibilities. Start by reconciling the existing file, then give each new event a named approver, filing assessment and completion test.

Key takeaways

  • Require an evidence-linked event history so the current register can be explained at a provider handover.
  • Retain company control of records and approvals; administrative outsourcing leaves statutory company responsibilities in place.
  • Screen each event for its actual filing route, including annual-report approval under the current Indonesian rules.
  • Assign every mismatch an owner and closure document before accepting a completed secretarial file.

Put company decisions and records under named control

For a conventional Perseroan Terbatas (PT), including a foreign investment company (PT PMA), the Company Law identifies the company organs as the shareholders’ meeting (RUPS), directors and board of commissioners. An administrative provider does not become an additional company organ. Its mandate should identify who supplies facts, who checks the proposed action, who approves it and who keeps the resulting evidence.

Under Article 100, directors must make and maintain specified registers, minutes and other company documents, with company records kept at the company’s domicile. Outsourcing administration does not transfer the directors’ statutory recordkeeping responsibility. Keep company access to the accepted file, while respecting the notary’s separate custody of notarial originals and supporting documents.

Appoint one company officer to accept deliverables. The administrator can maintain the event tracker, circulate drafts, collect signatures, coordinate with the appointed notary and prepare an indexed handover. The company should approve the facts and instructions; the competent corporate body adopts the decision; the notary performs the notarial and filing functions applicable to the event. A disputed authority or ownership question needs qualified Indonesian legal review before administrative execution.

The issuer or public-company corporate-secretary function belongs to a separate regime. OJK Regulation 35/POJK.04/2014 addresses that function, board appointment and capital-market duties, including disclosure and regulatory reporting. A private PT’s outsourcing arrangement should not be described as satisfying those requirements. Check issuer/public-company status and sector rules before using a private-company administration scope.

Establish the baseline from the incorporation deed, amendments and legal-entity evidence produced during company formation in Indonesia . Later changes need their own dated trail; the formation documents alone cannot establish the current position.

Set the company’s records mandate

Identify the company approver, current file and administrative deliverables before assigning recurring support.

Build a resolution file that can survive handover

A usable resolution file shows the final decision and the basis for treating it as approved. Begin with the current articles of association and the decision requested. Record the competent body, any reserved approval, relevant signing rule and the materials the decision-makers considered. Do not start with a generic template and assume a director’s signature answers every approval question.

For RUPS minutes, Articles 90–91 of the Company Law distinguish meeting records from decisions outside a meeting. Ordinary meeting minutes require the chair’s signature and that of at least one shareholder designated by the participants, unless made as a notarial deed. A binding written decision outside RUPS requires all voting shareholders to approve in writing by signing the proposal. A majority email response does not meet that unanimous written-decision condition.

Separate preparation, adoption and implementation

  • Preparation: assign a document number, version, company identity, proposed action, supporting papers and a list of required approvals. Label drafts so they cannot be mistaken for executed records.
  • Adoption: retain the approved text, applicable meeting or written-decision evidence, signatures and actual decision date. Ask the notary to confirm the deed route where required.
  • Implementation: record the effective basis and date, authorized follow-up person, required register entries and filing instructions. Keep any later amendment, revocation or replacement linked to the earlier decision.

Use a single executed version as the reference for downstream work. Where a translation is used for shareholder review, reconcile names, amounts, dates and action wording against the instrument being executed. An administrator should flag differences for correction rather than choose between inconsistent versions. A neat signed PDF cannot cure an approval defect.

The register and filing checks now need to return to that same executed decision. Keep both evidence paths linked while preparing the reconciliation sheet.

Reconcile both evidence paths before closing an event An approved event feeds company records and required external filing evidence. Compare both paths. A mismatch stays with a correction owner; matching evidence enters the company-controlled archive. Approved corporate event Company records Decision and register entry Required filing evidence Applicable official output Do both paths match? Mismatch Matched Open exception Assign correction owner Company accepts closure Archive linked evidence
A filing path exists only when the event requires it. Document a reviewed reason when no external filing applies.

Reconcile registers against the event history

Register maintenance should preserve changes over time, with evidence for each entry. Article 50 of the Company Law requires the shareholder register and special register. The latter records directors’, commissioners’ and their families’ share interests in the company and other companies. Treat these as distinct records, rather than replacing them with a current capitalization slide.

The following reconciliation control is an editorial recommendation for administering those duties. Use one event identifier across the decision file, register entry and any official output. Compare a snapshot before the event with the accepted position afterward. A blank field should have an owner and an explanation; it should not silently become “not applicable.”

Record to compare Evidence on the other side Mismatch to investigate Closure evidence
Shareholder register: names, holdings, acquisition dates and paid amounts Executed acquisition/subscription documents, relevant decisions and corporate filing output A changed holding with no supporting event, or totals that no longer reconcile Corrected entry linked to supporting documents and company review
Special register: relevant personal/family share interests and acquisition dates Current declarations from the relevant directors and commissioners An old declaration copied forward without confirmation Dated confirmation or correction retained with the register
Resolution index: adopted text, approval evidence and effective basis Executed minutes/written decisions and any required notarial deed Draft and signed files have different terms, or a replacement is missing One accepted executed version with superseded versions identified
Event filing index: required route, reference and current status Notary submission record and applicable official decision/acceptance Invoice or submission screenshot is being treated as final acceptance Relevant official output checked against the approved event

For each row, add these working fields: event ID; source document and date; old value; approved new value; effective date and basis; register entry date; required filing and deadline trigger; calendar or working-day unit; evidence location; exception owner; next action; and company acceptance date. Keep the official issue or receipt date separately from the decision date. This makes an overdue action visible without rewriting the corporate history.

Use three operating statuses: “matched,” “open exception” and “pending external output.” Pending external output means the internal work may be complete but the required official evidence has not yet arrived. Where no filing is required for the particular action, record the reason and reviewer instead of inventing a receipt. Recheck the affected entries after every event and at each agreed service handover.

If one side of the comparison lacks evidence, give the exception a correction owner before closing the record. Keep the accepted baseline available so a later reviewer can reproduce the comparison.

Resolve the gaps in the event file

Bring the signed decision, register differences and any AHU correspondence so the outstanding work can be identified.

Route each event to the right notarial and AHU work

Assess the event before ordering a filing. AHU distinguishes approval and notification services for changes to the articles of association; the applicable route determines the official output. Keeping ordinary board minutes does not, by itself, create an AHU change filing. Equally, recording a change internally does not replace a filing that the event requires.

Under Minister of Law Regulation 49 of 2025, Articles 8–10 , changes such as company name or authorized capital follow the articles-approval category; other articles amendments are notified. Changes to shareholders, directors or commissioners and the full address are among the company-data categories. Have the notary confirm the exact classification, decision/deed requirements and supporting documents for the particular event. Several changes can travel together but still require different outputs.

Give each deadline its own trigger

Article 9(5) sets 30 calendar days from the director/commissioner change for its notification. Other changes have their own deed and submission clocks under Article 9. Put the trigger document, actual trigger date and rule reference into the event tracker; do not run every deadline from the administrator’s instruction email. Article 1(10) defines “Hari” as calendar days, while provisions expressly using working days retain that different unit.

Annual-report approval also needs a filing assessment even when no shareholder or board detail changes. Article 16 requires RUPS approval of the annual report to be contained in a notarial deed and delivered by directors through a notary within 30 calendar days from signing that deed . SABH submission includes the deed and annual report; an acceptance-of-notification letter is the specified output. This rule concerns recording and delivering the approval, rather than requiring a notary to attend every AGM. It is distinct from licence renewal and foreign-style annual returns.

Ask the notary for the submitted information, submission reference, any correction request and final output. Compare the company name, deed reference, change type and relevant data with the signed instructions. AHU’s explanation of parallel corporate changes confirms why an articles approval, articles notification and data notification should not be collapsed into one undifferentiated “filed” status.

Close exceptions with the evidence the company needs

An exception needs a specific correction, a person able to authorize it and a dated next action. First identify where the disagreement began: the source facts, executed decision, register entry, filing form or official output. Preserve the version that exposed the discrepancy. Replacing an entire folder with a fresh copy can erase the evidence needed to explain it.

For an internal transcription error, prepare a traceable correction and obtain company acceptance. For a deed, submitted form or official-record issue, send the evidence to the notary and confirm the permitted correction route. Under Articles 13–15 of Regulation 49/2025 , an incomplete or inconsistent change application can be returned; the notary has seven calendar days from notification to complete missing documents. Put that notice into the tracker immediately. Refiling is not a reason to assume every original deadline restarts.

When a director change affects other records, assembling the evidence for a board change helps identify dependent handovers. Keep bank, tax, licensing and platform follow-ups separately assigned where relevant. An AHU acceptance letter proves the applicable corporate filing outcome; it does not establish that every institution has updated its own record or access controls.

Make exit and replacement workable

Require an exportable register, event index, executed-document set, official outputs, open-exception list and custody schedule when a provider changes. Identify originals held by the company, notary or other authorized custodian and the basis for retrieving copies. Separate company-owned account access from the notary’s professional filing credentials; a handover should not depend on sharing a notary login. Confirm who can retrieve documents after the service ends and remove obsolete provider access through authorized channels.

Pause reliance on a contested resolution, unexplained ownership change or missing signature. Escalate the underlying authority issue for qualified review. Backdating a replacement document or quietly changing a register cannot supply the missing approval evidence.

Accept the secretarial handover when records reconcile

Accept the secretarial handover when the company can trace the current records to executed decisions, explain each event’s filing treatment and retrieve the required completion evidence. Ask the company officer to sign off the matched items and acknowledge every remaining exception by owner and next action. A provider’s completion email is useful correspondence; the indexed records and applicable official outputs are the acceptance evidence.

Begin with the oldest unresolved event that affects the current position, then clear the dependent entries in order. Where approval, ownership or the deadline basis is uncertain, keep the affected item open and obtain the appropriate notarial or legal determination before relying on it. The service mandate should make those unresolved items visible at every handover.

Prepare an accepted company handover

Define the evidence index, custody arrangements and exception owners for the file the company will receive.

Frequently asked questions

Can an overseas shareholder receive a working copy of the records?

Agree secure access and version controls with the company. A remote working copy should stay linked to the accepted company file and the relevant custody arrangements; avoid parallel edits that create competing registers.

Can the provider certify that a resolution is legally valid?

Administrative completion checks establish which evidence has been collected. If the decision’s authority or validity needs a legal opinion, specify a qualified Indonesian professional and the question to be determined separately.

What if the outgoing provider cannot supply an original?

Record the missing item and custodian, seek the appropriate authorized copy and assess whether it is sufficient for the intended use. Preserve the gap until the company accepts the recovery evidence.

Should every open item prevent the entire handover?

Identify the records and actions each exception affects. The company can accept documented, matched items separately while keeping an unresolved authority or filing issue open with its own restrictions and correction owner.
