Do You Need IDR 10 Billion for a PT PMA? Capital vs Investment
Separate company capital, project investment and actual funding.
A PT PMA does not generally need to pay IDR 10 billion as a company-registration fee or place that entire amount into a bank account on day one. Under the general framework in BKPM Regulation 5 of 2025, total investment must exceed IDR 10 billion for the relevant activity and project location, while the separate general issued and paid-up capital minimum is IDR 2.5 billion per PT. Sector rules and stated exceptions matter.
Key takeaways
- The general investment test uses more than IDR 10 billion; exactly IDR 10 billion does not satisfy that wording.
- Issued and paid-up capital is a separate company-level rule, generally at least IDR 2.5 billion unless another rule applies.
- The default investment calculation excludes land and buildings, with important sector-specific exceptions.
- The project grouping rule changes for certain wholesale, construction, food-service, industrial and other activities.
- Do not add capital to project investment as if they were automatically separate expenses; trace funding and eligible project uses.
Separate the company capital test from the investment test
Article 26 of Investment Ministry/BKPM Regulation 5 of 2025 provides the general foreign-investment framework. For the relevant PMA business, the default minimum total investment is more than IDR 10 billion outside land and buildings per five-digit KBLI and project location, unless a stated exception or other rule applies. The same article states a separate minimum issued and paid-up capital of at least IDR 2.5 billion per limited company, unless other laws provide otherwise.
The comparison is not IDR 10 billion versus IDR 2.5 billion as alternatives. The project must satisfy whichever investment-value test applies, and the company must separately satisfy the applicable corporate capital rule. One deals with the value and grouping of a project; the other deals with shares subscribed and paid into the company. They can overlap economically because shareholder capital can fund eligible project expenditure. The same money should not be counted twice as two independent cash costs.
These figures are legal thresholds under the cited rule, not a service quote, filing fee or guarantee of approval. The exact ownership, classification, site and sector must be checked for the project, together with any more specific rule. A company may need more than the minimum in practice to build, hire, acquire stock, meet licence conditions and sustain operations.
| Category | General position | Scope | Evidence |
|---|---|---|---|
| Investment value | Generally more than IDR 10bn | Activity and project grouping | Eligible project uses and plan |
| Paid-up capital | Generally at least IDR 2.5bn | Per PT, unless another rule applies | Shareholder contributions and records |
| Formation charges | Depends on scope | Official and professional costs | Written quote and receipts |
| Working cash | Depends on actual operations | Timing and liquidity | Budget and cash-flow forecast |
Check the two thresholds
Separate the company capital and the project investment tests.
Test the strict investment threshold
The general rule says more than IDR 10,000,000,000. An eligible project amount of exactly IDR 10,000,000,000 is not greater than that figure. A hypothetical qualifying investment of IDR 10,200,000,000 is arithmetically above it, but the number alone cannot establish compliance: the scope, included items, timing, documentation and project grouping also need review.
Build a project schedule showing each proposed use, location, KBLI, amount, evidence, planned timing and whether land or buildings are counted for that specific business. Separate fixed assets, non-fixed components and working capital as requested by the current filing and reporting rules. Ask the relevant investment authority or adviser which items may count and how they should be recorded; do not assume every cost, tax or intra-group transfer is eligible simply because it appears in a budget.
Retain source evidence such as the capital plan, shareholder funding records, contracts, asset invoices and project reporting. A forecast is a plan, not proof of actual expenditure. Monitor realization and reporting obligations applicable to the company, and reconcile changes to the authorized investment plan with the real project before using a revised budget in an official filing.
Apply the activity and location exceptions
The general baseline is per five-digit KBLI and project location. Article 26 specifies different groupings for certain activities: wholesale trade uses the first four KBLI digits; food and beverage services use the first two digits per location point subject to the regulation’s locality rule; construction uses the first four digits; and certain industrial products made in one production line use the specified production-line grouping. The precise application depends on the full text and the actual activity.
Land and buildings require particular care. Article 26 specifies inclusion for certain property, accommodation, agriculture, plantation, livestock and aquaculture activities, and adds distinctions for certain property projects. Other special provisions address electric-vehicle charging and certain special economic zones. These are not interchangeable exemptions from investment rules. Identify the exact activity and project before deciding the calculation base; consult the current rule and competent authority when facts cross categories.
Do not multiply IDR 10 billion by the number of codes on a list without testing the applicable grouping and project locations. Equally, do not collapse multiple unrelated locations or activities into one project merely to reduce the figure. Prepare a written calculation showing the chosen grouping, source, included and excluded items, and unresolved questions.

Review the KBLI, location and land and building treatment.
Plan capital funding, evidence and use
Agree the share subscriptions, issued and paid-up capital, each shareholder’s contribution and the evidence required by the notary and applicable systems. Confirm how and when funds will be paid and how they will be recorded. The company and its shareholders should be able to trace funding through corporate and accounting records; a number in a plan does not by itself demonstrate that a contribution was actually made.
Article 27 of the same regulation contains a twelve-month restriction concerning movement of issued or paid-up capital from the business account, with exceptions for asset purchases, building construction and business operations, and refers to a self-declared commitment. Its cross-reference should be reviewed with local counsel against the current authentic text and any implementing guidance. Do not describe it as an absolute freeze or assume all transfers qualify for an exception.
The paid-up capital requirements guide addresses the capital side in greater detail. Bank KYC, access and capital evidence are separate operational issues: the bank makes its own onboarding decision, and bank acceptance does not replace investment or corporate compliance.
Build a project funding bridge without double counting
Start with a hypothetical project requiring IDR 10.2 billion of qualifying investment and a company with IDR 2.5 billion of paid-up capital. If the company uses that capital for documented eligible project assets, the contribution can be one source of funding for project uses. The remaining funding requirement is a planning question: IDR 10.2 billion minus IDR 2.5 billion equals IDR 7.7 billion before considering other eligible funding, non-qualifying costs, timing, taxes and liquidity. This arithmetic does not certify eligibility or imply the balance is due at incorporation.
Identify potential sources such as additional equity, permitted shareholder funding or third-party finance; examine their legal, tax, accounting and regulatory treatment before relying on them. Do not label a loan as paid-up share capital. Conversely, do not assume any cash transfer qualifies as project investment. The useful bridge has one column for funding sources, another for uses, an evidence reference and a timing assumption.
Add separate budgets for formation services, government charges, licences, premises and ongoing operating expenses. The Indonesia company registration process is only one part of this plan. An incorporation quote, an investment commitment and the company’s actual cash needs answer different questions.
Approve the plan only after testing the actual project
Before signing the deed or making a financial commitment, confirm the relevant KBLI, location, investment grouping, land and building treatment, applicable sector minimum, issued and paid-up capital, funding evidence and operational licence route. Record the assumptions and the person responsible for each open issue. Where a proposed activity or site is unclear, obtain a written position from the competent investment authority or qualified adviser.
After approval, compare planned funding and project expenditure with actual company records and any applicable investment reporting. Reassess the calculation before adding a business line, changing the project location or changing the funding structure. Keep a buffer for operating cash rather than treating the statutory minimum as a complete budget. The appropriate conclusion is conditional on the actual PT and project, not a universal promise that any stated amount guarantees registration or compliance.
