Document preparation and acceptance
Documents Needed to Register a Company in the Philippines
Build the right SEC packet, then reuse its accepted records for tax, premises and banking checks.
A Philippine company registration file contains documents to be filed and information used to prepare them. The exact packet depends on the entity, the SEC processing route and any ownership or signing exceptions. An old checklist requiring every founder to notarize paper articles can misdirect an application that now uses electronic authentication.
For a domestic corporation, start by confirming the live SEC route, then assign each requested record to its actual recipient. Keep later BIR, local permit and bank requests visible in the plan without treating all of them as prerequisites for incorporation.
Key takeaways
- System-generated incorporation documents still require accurate source data and the correct people to authenticate them.
- A corporate shareholder or a required agency endorsement can change the SEC route before any documents are commissioned.
- Foreign nationality alone does not establish that every document needs an apostille; identify the record, issuing country and receiving authority first.
- Premises evidence should be checked early because the local permit recipient may impose requirements beyond SEC incorporation.
- Accept a packet by its recipient, version and submission evidence; a folder full of scans is not proof that registration is complete.
Assign the registration records to their recipients
For a Philippine domestic corporation, the core filing comprises articles of incorporation and the other documents required for its entity and route. Ordinary corporations also need bylaws; an OPC does not. Identity records and a completed data sheet support preparation and authentication, while additional evidence arises from specific facts. The following matrix separates those functions so that a preparer can identify what is missing without assuming that every item must be uploaded to SEC.
| Record group | Recipient or user | When it belongs in the file | Acceptance question |
|---|---|---|---|
| Articles of incorporation; bylaws where applicable | SEC | Core corporate filing, using the selected route | Does the generated or submitted version reflect the approved facts? |
| Identity and contact records; incorporation data sheet | Preparer and account credentialing process | Needed to establish accurate entries and signers | Do names and identifiers match the source records? |
| Ownership, authority, endorsement or overseas supporting records | SEC or another named recipient | Only when the selected structure or requirement triggers them | Has the recipient confirmed the form and authentication required? |
| SEC certificate and authenticated corporate documents | BIR, LGU and other later recipients | After issuance, as supporting registration evidence | Are these the final issued files rather than draft previews? |
| Tax application, premises and bank evidence | BIR, relevant LGU or selected bank | Separate downstream applications | Is each recipient’s current checklist satisfied? |
The legal starting point is the Revised Corporation Code , including its articles, bylaws and OPC provisions. The matrix is a preparation control drawn across the SEC, BIR and local sources below; it is not an additional government form. Record the entity and recipient beside every checklist item so that a request for a tax registration representative is not mistaken for a universal SEC filing requirement.
A coordinated Philippines company registration plan can assign responsibility for the corporate packet and its later handover. Agree who obtains source records, who checks the generated documents and who retains issued copies before authorizing submission.
Identify the packet you actually need
Clarify the entity, SEC route and document recipients before requesting signatures or certified copies.
Confirm the SEC route before arranging signatures
Choose the current processing route before paying for notarization, certification or courier delivery. As checked on October 28, 2026, the SEC Regular processing selection page states that domestic stock corporations, except lending and financing companies, use ZERO from April 7, 2025. The page also distinguishes Regular Only categories. Instructions from those different paths should not be combined into one document list.
For OneSEC with ZERO , eligibility includes natural-person incorporators, directors and subscribers, a predetermined unmodified purpose, qualifying common par-value shares, cash subscriptions and no required agency clearance or endorsement. These are selected conditions, not the entire eligibility test. A corporate incorporator or a required endorsement is a reason to assess the appropriate Regular route rather than forcing the application through OneSEC.
The current eSPARC portal integrates eSECURE and eSAP for credentialing and electronic authentication. Prepare each required person’s access and reachable contact details as a separate task. An adviser’s ability to encode an application does not establish that the required signers can authenticate it.
For system-generated registration forms covered by ZERO, the SEC ZERO Regular user guide replaces physical signing and notarization with eSAP authentication. That guide nevertheless contains a supporting-document upload step. Paperless processing does not remove a requirement to establish the facts behind a supporting record. Ask which record is required, where it is supplied and whether it is already generated by the system.
Prepare the data behind the incorporation documents
Prepare one approved data sheet before encoding. At minimum, reconcile the proposed name, business purpose, Philippine principal office, incorporator and initial director details, share structure, subscriptions and amounts paid. These feed the articles under section 13 of the Code. Keep documentary support behind the sheet so that the person reviewing a generated form can trace an entry to its source.
| Data to settle | Preparation record | Check before generation |
|---|---|---|
| Legal names and identifying details | Current identity record for each person; current legal record for any entity | Consistent spelling, name order and relevant identifiers |
| Purpose and office | Approved activity description and precise proposed address | The encoded purpose and office match the intended business |
| Capital and subscriptions | Agreed share and subscription schedule | Share totals, ownership percentages and amounts reconcile |
| People who must act | Role and contact schedule linked to each required person | The person named can receive and complete the relevant request |
These are recommended preparation records, not a claim that SEC requires an upload of every underlying item. Use the identification and field instructions displayed in the current account or application. Keep an existing TIN accurate wherever requested; do not invent a number to satisfy a field. Resolve a foreign person’s available identifier through the actual route before finalizing the data sheet.
Separate approval of facts from approval of files. A founder may agree a share allocation in an email while the generated articles still contain an earlier allocation. Circulate the generated version for a line-by-line check against the approved schedule, then retire superseded drafts. The document path below shows why data, authentication and issued evidence need different completion marks.
Add ownership and overseas records only when triggered
An OPC needs its own file logic. Its articles identify the nominee and alternate nominee and their authority; confirm the consent records required by the SEC route for both nominees. An OPC does not file bylaws. Where a trust or estate is the single stockholder, proof of the fiduciary’s authority is relevant. Apply the OPC provisions of the Code, sections 118–124 rather than adding a multi-shareholder corporation’s documents by habit.
If a company will be an incorporator or shareholder, prepare an ownership and authority enquiry before ordering certified copies. Ask the SEC recipient which evidence it needs of that entity’s existence, its decision to participate, the authorized signatory and the ownership chain. A registry extract, constitutional document, resolution or ownership chart may answer different questions; do not label all four mandatory without a requirement supporting that conclusion. Record the requested date or certification standard as well as the document name.
A foreign corporation applying for a Philippine license is a separate case from a foreign shareholder investing in a Philippine corporation. Section 142 of the Code establishes a distinct license application and supporting records. A branch or representative-office project therefore needs its current licensing checklist; the domestic incorporation packet is insufficient.
For a supporting record issued or signed overseas, obtain recipient-specific authentication instructions before commissioning it. Confirm the issuing country, public or private nature of the document, certification chain, translation and whether an original must be presented. For Singapore-issued documents used in the Philippines, the Philippine Embassy in Singapore directs applicants to the Singapore Academy of Law for apostilles and says further Embassy authentication is unnecessary. That country-specific instruction cannot be copied to every jurisdiction or to documents authenticated within ZERO.
Where an agency endorsement or evidence supporting a particular ownership or capital position is required, name the issuing agency and the exact proposition it must establish. A document confirming an entity exists does not prove that its proposed Philippine activity is permitted. Keep that unresolved requirement open until the appropriate recipient accepts the evidence.
Keep tax, premises and bank files separate
After incorporation, reuse final corporate records for the next application, while checking that recipient’s own requirements. The October 2025 BIR Form 1903 expressly recognizes a digital SEC certificate and digital articles. Use the form and attachments for the correct taxpayer category when the selected BIR channel calls for them; an integrated company TIN process does not justify applying for a second TIN.
The form also distinguishes conditional representative authority: for the relevant corporate registration, a board or OPC written resolution, or secretary’s certificate, identifies the authorized person and purpose, with specified ID evidence. Its nonresident foreign corporation instructions differ. Do not transfer that category’s apostille wording to every Philippine corporation’s BIR file. Keep invoice arrangements and applicable branch or facility evidence on the tax checklist rather than assuming the SEC packet covers them.
For premises, retrieve the actual city or municipality’s new-business checklist. As a concrete local example, Quezon City’s published requirements include SEC registration evidence and a tax declaration for owned property or a lease for leased property. Its lease requirements address property description, signing and notarization, identities and business use; location sketches or photos apply when relevant. Quezon City also specifies authorization and identity evidence for a representative. These are Quezon City requirements, not a nationwide substitute for each LGU’s instructions.
Ask the intended bank for its current account-opening checklist before preparing a bank packet. Identify which issued corporate records it accepts, which authority or signatory evidence it wants and which ownership or business evidence it will assess. Treat those answers as bank-specific conditions. A bank request is not automatically an SEC incorporation requirement. Keep sensitive identity records accessible only to the people who need to prepare or assess the relevant application.
Resolve a conditional document request
Review the ownership, overseas or premises issue that is preventing the correct packet from being completed.
Test each document before it enters the submission packet
Apply an acceptance test to every document rather than marking it complete on receipt. The following checks are recommended file controls; they do not create new legal requirements. They help identify a scan that exists but cannot serve the intended application.
- Match the holder: reconcile the legal name, identifiers and address with the application and the other records.
- Match the authority: verify that the person signing or representing the entity has authority for this transaction, not merely an unrelated corporate act.
- Match the form: check whether the recipient wants a generated file, certified copy, original, translation, apostille or electronic authentication.
- Match the version: record the issue date and any recipient-imposed recency requirement; replace superseded drafts.
- Match the delivery: confirm readable pages, complete attachments and the actual channel’s file rules before submission.
- Match the outcome: retain the submission reference, correction request and final accepted or issued record together.
For checking an issued permit or approval, the global method for checking a document’s issuer, holder and scope provides transferable verification questions. It does not establish Philippine filing law or replace SEC, BIR or LGU confirmation. Apply it to the document being assessed. The related global readings likewise supply preparation questions, not Philippine legal requirements.
If a processor asks for a correction, record the reason against the affected item and update all documents that rely on the changed fact. A corrected address may affect several packets. Avoid silently changing the master data while a signer is authenticating an older version; reconcile the pending request with the submitting representative first.
Release a complete packet for the next recipient
Release the SEC packet when the route is confirmed, the underlying facts reconcile, conditional requests are resolved and the required people can complete authentication. Keep unresolved recipient requirements visible as named items with an owner and next action. If the issuing country or required form of an overseas record is still uncertain, clarify that point before commissioning a replacement or sending originals.
For Regular ZERO, the official guide proceeds through review, pre-approval, authentication, payment and download of authenticated documents and the certificate. Retain the final issued files and payment evidence with the application reference. A draft form, reserved name or payment alone does not establish completion.
Then open the next recipient’s packet using the final SEC records and its current checklist. A useful handover identifies what has been issued, what has been submitted elsewhere and what remains outstanding. Treat each registration or account decision as complete only on the evidence appropriate to that recipient; this keeps the document plan usable after incorporation without overstating operating readiness.
Coordinate the registration handover
Set responsibility for final document checks, submission evidence and the next recipient’s file.
Frequently asked questions
Should I send the same identity-document folder to every recipient?
Send only the records required for the relevant application through its accepted channel. A preparer, an account credentialing process and a bank can have different purposes and handling requirements.
Can a previous project’s notarized document be reused?
Check the entity, transaction, signatory authority, version and current recipient requirements. Prior notarization does not establish that an older document is suitable for a new application.
Does an apostille prove the business activity is allowed?
No. Authentication of a document does not decide the company’s eligibility to undertake its proposed activity. Activity and ownership requirements must be resolved separately.
What should the representative return after submission?
Request the application reference, documents actually submitted, payment evidence, outstanding requests and final issued records when available. A screenshot of a portal dashboard alone may leave the file status unclear.
What happens if the business address changes during preparation?
Tell the person controlling the master data and identify all affected applications. Reconcile pending documents and signature requests before treating a corrected address as adopted throughout the file.
