Company evidence and document mapping

Documents Required for Company Registration in Malaysia

Know what each record proves, when it is conditional and who needs to accept it.

For an ordinary Malaysian Sdn. Bhd., prepare the company particulars, identification and role information for the people involved, the share arrangement, addresses and required declarations. Add the applicable corporate-member consent, agency consent or other supporting evidence where the structure triggers it. SSM’s incorporation guidelines distinguish the standard particulars from conditional additional documents.

There is no accurate universal instruction to “send a passport and nothing else” or to notarise every foreign document. The file depends on individual versus corporate shareholders, the proposed directors and the current CRS fields. Bank onboarding and a verifier’s supporting records should be labelled separately from the SSM incorporation application.

Key takeaways

  • Match each document to a fact: identity, existence, authority, ownership, residence or consent.
  • A corporate shareholder’s incorporation certificate does not by itself establish who can approve this investment.
  • Current CRS foreign-director identification requirements go beyond an old passport-only checklist.
  • Translation and certification requirements should come from the actual recipient and the document’s purpose.
  • A proposed company cannot supply its own incorporation notice before it exists; that is a later output.

Map required particulars to the evidence that supports them

The application is a set of statements about a proposed company, supported by the records needed to verify and authorise those statements. An uploaded document is useful only if it proves the fact being entered. Keep the approved data sheet alongside the source records so the lodger can identify both the value and its basis.

Filing fact Core input Supporting evidence to prepare Classification
Company identity and business Proposed name, company status and business description Name-related explanation or agency consent where applicable Particulars; some evidence is conditional
People and roles Director, promoter and member particulars Identity records, role details and required consents Particulars plus verification and execution
Shares and membership Agreed member and share information Subscription instructions and corporate-member authority where relevant Core decision; supporting authority depends on structure
Addresses Registered office and business address Confirmed address arrangement; additional proof where requested Particulars; recipient-specific evidence may be needed
Compliance and eligibility Required declarations Signed consent, truthful eligibility statements and any relevant court order Required execution; exceptional supporting records if triggered

SSM’s incorporation information list covers name, company status, business, addresses, people and declarations. Supporting identification and verification records should make those particulars reliable. Do not label every item in a service provider’s KYC request as a separate statutory SSM upload unless that is what the current application actually requires.

For company registration in Malaysia , preserve a clear boundary between the proposed entity’s inputs and the records it will receive after approval. The company’s registration notice and resulting profile belong to the output folder. Asking for them from an entity that has not yet been incorporated confuses the new-company file with a corporate shareholder’s existing records.

Identify what your proposed structure actually needs

Separate individual-owner, corporate-member and conditional-approval evidence before collecting documents.

Prepare individual identity and director records for current CRS fields

For each individual, assemble the identity record accepted for that person’s status and purpose, accurate residential and contact particulars and their proposed role. Check name order, identification number, nationality and other required fields against the source. Resolve alternate spellings with evidence rather than treating every version as a different person.

For foreign directors, SSM’s CRS FAQ updated October 5, 2026 says foreign national ID information is mandatory and the passport number remains mandatory. It explains the use of another recognised identification number for countries without a specific national ID, and provides a limited handling instruction where the information remains unavailable after efforts to obtain it. Follow the relevant official instruction; do not fabricate a number.

Residence evidence serves a different question from identity. A passport can identify a proposed director but does not, by itself, prove a principal residence in Malaysia. Identity and resident-director eligibility need separate acceptance checks. The lodger or verifier should identify what supports the person’s actual residence, without mistaking a registered-office service for a home.

Obtain the director’s written consent and the required declaration. The SSM director declaration addresses disqualification and relevant court-leave circumstances. If an exception is relied on, retain the actual order and have its scope checked. A clean-looking declaration should not be accepted when the underlying facts contradict it.

Keep copies legible and complete, including the parts needed to verify the identity and any relevant validity information. If a document expires or a particular changes before submission, update the affected fields and declarations. Do not apply an invented universal “three-month validity” to every record; use the recipient’s current requirement and the nature of the fact.

Build a corporate shareholder file that proves existence and authority

A corporate member introduces at least three evidence tasks: identify the legal entity, establish who may commit it to the investment and explain the relevant ownership or control. A company certificate may support existence but does not necessarily answer the other two questions.

Evidence task Typical record to obtain Acceptance question
Legal existence Current official registry information and formation record as appropriate Is this the same entity named in the membership instruction?
Governing authority Relevant constitutional or equivalent governing documents Who can approve and execute the subscription?
Approval and consent Corporate approval, authorised signatory evidence and member consent Has the competent person or body approved the actual investment?
Ownership and control Supported chain of ownership and control information Can the relevant natural persons and control relationships be established?

The SSM incorporation guidelines identify a consent letter from a corporate body named as a member as a conditional additional document. Other records in the table may be required to verify the entity or the signatory’s authority. Their precise form depends on the shareholder’s jurisdiction and governing arrangements; do not pretend one Malaysian sample resolution fits every foreign entity.

Use the proposed company name or a properly identified proposed investment, the intended share subscription and the authorised person consistently in the approval. If the name or investment terms later change, determine whether a new or amended approval is needed. An authority document for an unrelated subsidiary or past transaction is not a substitute.

The corporate and foreign-shareholder evidence trail should connect those records to the actual member in the application. For beneficial ownership, SSM’s reporting framework focuses on ultimate natural-person ownership or control. Avoid stopping at the first holding company or asserting that an unsigned ownership chart is conclusive evidence.

Where the chain is complex, create an evidence index: entity, jurisdiction, record date, interest or control relationship and missing information. This is a file-organisation tool rather than an additional statutory form. It lets the verifier ask a targeted question instead of sending the founders a generic request for “all group documents”.

Company document assertions converge into a filing bundle Identity, corporate existence and authority evidence prove different facts and must reconcile with the current application particulars. Identity Individual source record Corporate existence Official entity record Authority and consent Competent approval Match facts to current particulars Reconcile roles, shares, addresses Correct filing bundle Official outcome follows approval
One record rarely proves every fact; assemble evidence by its purpose.

Label address, activity and downstream records by purpose

A registered-office arrangement establishes where the company keeps and receives the relevant corporate records and communications. An operating address describes where the business actually works. Evidence that supports one purpose should not automatically be treated as proof that the premises satisfy a bank, sector regulator or local authority.

If a tenancy, office-provider confirmation, utility record or premises approval is requested, record who requests it and what it proves. Do not present every such record as mandatory for every incorporation. The actual use, recipient and current filing instructions decide whether the document is necessary.

SSM’s incorporation guidance also identifies relevant agency consent as a conditional document. Check whether the proposed name or activity requires it. A business description selected for the application does not itself provide consent or permission for a regulated activity.

Bank records are a separate recipient’s file: board mandates, ownership information, business evidence, source of funds and other items should be checked with the chosen bank. A bank’s checklist is not the incorporation checklist. Reuse verified underlying facts while retaining each recipient’s own acceptance requirements.

Similarly, the company’s notice or certificate requested after incorporation is not evidence an individual founder should invent in advance. Create a clear handover list for the official records later needed by the bank or authority, and identify who will obtain them once they exist.

Resolve the recipient-specific request

Check whether the missing record belongs to SSM filing, identity verification, banking or operating approval.

Validate language, format, signatures and consistency before upload

Ask the actual recipient whether a translation, certified copy or other authentication is required and who may provide it. Translation explains content, certification attests a copy or execution in a specified way, and corporate approval proves authority. Paying for one does not automatically achieve the others.

The CRS supporting-document instructions specify PDF or image formats, 25 MB per document and 200 dpi resolution. Prepare uploads to the current technical requirements and inspect the resulting file. A technically accepted scan can still omit a page, crop a signature or hide the identity details in glare.

  1. Inspect completeness: include the relevant pages, schedules, endorsements and signatures.
  2. Confirm authority: the person signing has the role or approval needed for that document.
  3. Reconcile identity: names and numbers match the approved particulars or have an evidenced explanation.
  4. Reconcile economics: share amounts, consideration and the member’s approval refer to the same arrangement.
  5. Reconcile place and purpose: the address is correctly labelled and does not claim an unsupported operating use.
  6. Retain the submitted version: distinguish it from drafts and keep the associated query response.

If a discrepancy is found, correct the source or obtain a supported explanation before updating the application. Do not silently alter a signed record to make it match. Where a material fact changes, obtain the required updated approval or execution rather than treating the change as a file-format repair.

Store identity and ownership evidence securely and share it through the agreed authorised channel. The final index should show what was supplied, to whom, for which purpose and which version was accepted. That makes later KYC or statutory enquiries easier without confusing them with a fresh incorporation.

Submit the document set that proves this company’s facts

Release the file when every material application fact has an accepted basis, each conditional document is present where triggered and the relevant people have given truthful consents and declarations. Remove unrelated records from the submission bundle while retaining them appropriately in the company’s wider evidence file.

Hold the affected submission if identity, corporate authority, control or address facts remain unsupported. Resolve the specific gap with the person able to supply the evidence. A useful final instruction names the accepted version, the authorised lodger and the official outputs to be delivered after approval.

Prepare an accepted filing bundle

Reconcile the source records, consents and current particulars before the application is authorised.

Frequently asked questions

Do all foreign documents need notarisation?

No universal rule should be assumed. Confirm the document-specific certification, translation or authentication requirement with the actual recipient.

Is a shareholder’s company certificate enough?

It may help establish existence but does not necessarily prove who can approve the subscription or the ultimate ownership and control.

Is a constitution mandatory for an ordinary company limited by shares?

SSM describes it as non-mandatory. A particular governance arrangement can still make adoption useful, and an existing corporate shareholder’s governing records may serve a separate authority purpose.

Can I use a typed name instead of the source spelling?

Use the legal identity supported by the records. Resolve a spelling or transliteration difference with evidence and the recipient rather than silently choosing a new version.

Does the company need a bank statement before it exists?

A newly proposed company cannot provide a statement for an account it does not yet have. Distinguish founder funding evidence, corporate shareholder records and post-incorporation company banking.
