ECI Singapore: Filing Requirements and Exemption Checks

Determine the obligation from the financial year end, annual revenue and a supportable chargeable-income estimate.

A company generally files Estimated Chargeable Income (ECI) within three months after its financial year end. The standard ECI filing waiver requires both annual revenue of S$5 million or below and nil ECI for the relevant Year of Assessment. Test ECI before deducting the exempt amount under the partial or new-start-up tax exemption schemes; special categories not required to file must be assessed separately.

Key takeaways

  • Both waiver conditions must be met; small revenue alone does not remove filing.
  • A nil accounting profit is not automatically nil chargeable income.
  • An ECI waiver does not automatically waive the annual corporate tax return.
  • The first filing and tax-year mapping can require special care when the first accounts cover more than 12 months.

Apply both ECI waiver conditions together

IRAS’s ECI guidance requires self-assessment of the waiver. Revenue is the main source of income, excluding separate-source income not arising from the principal activity; an investment holding company instead looks to its investment income. Check the business model before selecting the revenue figure.

Illustrative annual revenue ECI before specified tax exemptions Ordinary waiver result
S$4.2 million Nil Both conditions met; retain the assessment.
S$4.2 million S$25,000 File: income condition not met.
S$5.2 million Nil File: revenue condition not met.
S$5 million Nil Threshold is inclusive; both conditions met.

These are original threshold examples, subject to the company not falling under another specifically applicable category. Nil ECI is not the same as nil tax after an exemption. Keep the estimate calculation, not just a note that no cash tax is expected.

Keep the ECI revenue test separate from a GST taxable-turnover test and from Form C-S eligibility. Those regimes answer different questions and can use different definitions. A company that is below one threshold should not automatically be treated as exempt from every other return. The reviewer should name the particular test and the figure used, rather than writing only “small company”.

Check the waiver calculation

Confirm annual revenue and the estimate before applying the ordinary waiver test.

Map the financial year end to the correct filing date

IRAS’s corporate tax filing guide distinguishes the three-month ECI date from the 30 November annual return date. A missing reminder does not remove an actual filing obligation. New companies that close accounts in their incorporation year may need to file even without the first reminder.

For an ordinary 30 June 2026 financial year end, the three-month filing point is 30 September 2026; for 30 September 2026, it is 31 December 2026. Use the actual period and the correct YA. Do not substitute the incorporation anniversary for the financial year end.

At Singapore company establishment , the selected financial year end becomes an input to later reporting. Where it changes, the IRAS particulars guidance explains that the ACRA record feeds notification and assessment. A period longer than 12 months may require attribution to two YAs.

Where the first accounts cover more than 12 months, identify the relevant basis periods and YAs with the tax preparer. A single set of management accounts does not necessarily represent one YA. Keep the allocation method and amounts with the estimate and follow IRAS’s new-company guidance. If the company changes its FYE, update the registry record and reassess the calendar instead of simply moving a spreadsheet reminder.

Prepare a supportable estimate rather than copying profit

Start with a reconciled management profit and loss account, then identify relevant tax adjustments, deductions and income categories. The accounting-to-tax reconciliation and supporting schedules provide the bridge between an accounting number and the estimated tax position.

Assign an owner to each unresolved item: disallowed costs, capital allowances, revenue recognition, foreign income or losses may need separate review depending on the facts. Record the assumptions supporting the estimate . A spreadsheet with unexplained nil adjustments is weak evidence of a considered waiver decision.

Do not wait for the annual return work to begin before testing ECI. Agree an early management close, identify judgemental items and secure the necessary authorisation to submit. The working estimate should be reviewable even where later annual accounts will refine the numbers.

For a deliberately simplified arithmetic example, assume an accounting loss of S$5,000 and S$15,000 of expenses that the reviewer has determined are not tax-deductible, with no other adjustments or deductions. Adding those costs back produces an estimated S$10,000 taxable profit. The accounting loss therefore does not establish nil ECI. Real cases need the full adjustment schedule, including any relevant allowances or losses.

Conversely, an accounting profit can differ from estimated chargeable income where qualifying deductions or other tax treatments apply. Ask for the computation and the basis of each adjustment; do not simply overwrite the profit figure with zero. The purpose of the estimate is to report a supportable tax position for the relevant YA, not to force an expected tax payment to match the company’s cash budget.

Keep evidence for either the filing or waiver route

Ordinary ECI waiver decision Revenue at or below five million and nil ECI before specified exemptions are both required for the standard waiver. Otherwise file, unless a separate specific exemption applies. Revenue ≤ S$5 million? ECI nil before specified exemptions? Both yes: retain waiver Either no: filing route
Standard waiver test only; separately assess entities specifically not required to file.

For filing, retain the source accounts, calculation, reviewer approval, submitted ECI and actual submission acknowledgement. For a waiver, retain the annual revenue analysis, nil-ECI calculation and dated decision for the relevant YA.

An internal control can use the same evidence sheet for either route: period, deadline, revenue definition, estimated income, specific exception if any, decision, reviewer and next annual-return date. This makes the decision understandable to a replacement accountant without relying on an informal email.

IRAS explains that a qualifying company may still see “Ready to File” in the portal and does not need to seek confirmation of the standard waiver. Retain the evidence internally. If filing is required, confirm Corppass authority and the relevant company/YA before submission, review the entered revenue and income against the approved worksheet, and save the actual acknowledgement rather than just a screenshot of a completed but unsubmitted form.

Close the filing evidence

Assign the calculation, approval and submission tasks to the right authorised people.

Respond promptly to a missed filing or assessment

IRAS’s assessment guidance explains that an estimated assessment can follow a missing ECI or other filing issue. Check the notice type, objection instructions and payment date rather than assuming a late return automatically cancels it.

If the standard waiver was met but an assessment arrives, use the ECI guidance and contact IRAS with the revenue and income evidence. Keep the notice deadlines visible while resolving the filing position. Where an estimate is genuinely wrong, obtain advice on the appropriate correction or objection route.

Separate four records when investigating a problem: what the company intended to file, what was actually submitted, what IRAS assessed and what is payable by the notice date. A difference between those records may require a correction, a formal objection or clarification. Keep the person responsible for payment informed while the tax preparer resolves the assessment; do not assume correspondence suspends every stated obligation.

Close the ECI decision without losing the annual return

Complete either the supported waiver assessment or the required submission, then schedule the annual corporate return separately. Reconcile the final accounts and tax computation to the earlier estimate so material differences are understood.

Escalate uncertain revenue classification, a long first period, a changed FYE or unresolved tax adjustments before the deadline. A documented decision for the correct period is the completion test; “no tax expected” is not enough.

Keep the tax calendar complete

Connect the ECI decision with the annual return and final reporting records.

Frequently asked questions

Must I file nil ECI when revenue exceeds S$5 million?

Under the ordinary test, yes: nil ECI alone does not meet both waiver conditions. Check any separately applicable exception.

Does the waiver continue automatically next year?

Assess the criteria for each relevant YA and retain evidence for that period.

Does a start-up tax exemption remove ECI filing?

Do not infer that. The nil-ECI waiver test is applied before deducting the specified exemption amounts.

Can the annual return replace ECI?

They are separate filing obligations. Determine the ECI position and annual-return requirement independently.
