Employee Stock Option Plans in Indonesia: Grant, Vesting and Exercise Arrangements
Connect the employee’s contractual award to the issuer’s share records, settlement duties and payroll analysis.
An employee stock option plan in Indonesia separates a contractual grant, satisfaction of vesting conditions and exercise of a purchase right. An employee can therefore hold vested options without owning shares. Share delivery still needs the applicable issue or transfer steps and ownership records; Company Law Article 52 ties statutory shareholder rights to registration in the owner’s name. First identify whose shares are promised and whether settlement delivers shares or only a contractual cash benefit.
Key takeaways
- A grant file should identify the issuer, share source and settlement method before the employee accepts the award.
- Vesting records prove agreed conditions; they should also reconcile options already exercised, cancelled or expired.
- A new-share subscription and a transfer from an existing shareholder need different closing documents.
- Public-company capital rules have their own scope; their numerical limits are not a universal private-PT option-pool rule.
- Assign tax classification, valuation evidence and cash funding before the first potentially taxable award event.
Choose the issuer and the delivery promise
Start with the issuer’s legal name, jurisdiction and company status. An Indonesian subsidiary may employ the recipient while a foreign parent promises its own shares. Record those roles separately: the employer, issuer, selling shareholder and administrator need not be the same party. A parent award should identify the parent’s governing documents and share-delivery process rather than describe the employee as an owner of the Indonesian subsidiary.
For an Indonesian Perseroan Terbatas (PT), distinguish three delivery promises. A subscription option calls for newly issued shares; a shareholder-funded option calls for a transfer of existing shares; a cash-settled or phantom arrangement pays under a contract without delivering shares. Actual shares and contractual cash entitlements need different evidence, so avoid using “ESOP” as the only description in an offer letter.
If the intended issuer is still being established, the company name, ownership structure and corporate documents used for forming a company in Indonesia provide the starting identity file. Do not leave the employee’s issuer or class of shares to be inferred from a group brand name. Once the company exists, obtain its current articles and capitalization records before fixing the delivery promise.
The official Company Law record identifies Law No. 40 of 2007 as in force and amended, including by Law No. 6 of 2023. Use the applicable current law together with the issuer’s articles; an award template from another jurisdiction cannot supply the Indonesian corporate authorizations.
Check whether the promised shares can be delivered
Bring the draft grant, issuer identity and current capitalization schedule so the corporate delivery route can be identified before acceptance.
Write an executable grant letter
A workable grant letter states what the employee may receive, what must happen first and who can deliver it. Put the commercial terms in the employee-facing document and reconcile them with the plan rules and approval record. Label any genuinely outstanding approval as a condition, rather than making an unconditional promise that the issuer cannot yet perform.
- Identify the employee, issuer, grant date, number of options, underlying share class and the controlling version of the plan rules.
- State the exercise price or an agreed mechanism for determining it, currency, payment recipient, expiry and how an exercise notice must be delivered.
- Define the service or performance conditions, vesting commencement, any cliff, measurement dates and treatment of partial periods.
- Explain departure, death, disability, group transfers, corporate transactions, adjustments, disputes and who makes each determination.
- Describe the source of shares, transfer restrictions, tax responsibilities and any separate shareholder agreement the employee must join.
For new Indonesian PT shares, Articles 41–43 of the Company Law capital provisions address shareholder approval and offers to existing shareholders. Article 43(3)(a) provides an exception for shares issued to the company’s employees; its explanation includes ESOP shares. That exception does not remove the capital-approval work. Check the recipient’s relationship to the issuer before relying on it, especially for group employees or other participants.
Prepare a capitalization schedule showing issued shares, outstanding awards and the proposed grant on a clearly defined basis. A percentage is ambiguous unless it says whether unexercised awards and the proposed issue are included. Assign one custodian to update the schedule after each grant, lapse and exercise, and give the employee the fixed award quantity rather than an unexplained percentage.
Test vesting conditions before counting exercisable options
Vesting should be a reproducible test of the signed terms. For service conditions, specify the relevant employment or group-service relationship and how interruptions are treated. For performance conditions, specify the metric, measurement source, assessment date and authorized decision maker. Keep the assessment with the award record; an updated spreadsheet without its supporting decision is difficult to reconcile later.
Treat vested, exercisable and outstanding as separate fields. A vested balance may still face an exercise window, expiry or another documented condition. Maintain an available-to-exercise calculation that deducts quantities already exercised or lapsed and applies the award’s current restrictions. Do not count the original grant again when an employee makes a partial exercise.
Test the departure rules before an employee leaves. The terms should distinguish unvested options, vested but unexercised options and shares already acquired. If acceleration or a post-departure exercise window is intended, write the trigger and deadline explicitly. These are drafting choices to confirm for the particular award, not a statutory schedule supplied here.
Where HR and the administrator disagree, pause the disputed quantity and reconcile the signed grant, service evidence and prior transactions. Preserve the original documents and record any correction or properly approved amendment. Changing the vesting ledger should not silently rewrite what the employee accepted. The next step then follows the settlement promise, rather than the word “vested” alone.
Turn exercise into a documented share closing
Exercise is an instruction to implement the option under its terms. Before accepting it, confirm the available quantity, notice method, deadline, price, payment arrangements and any required accession to shareholder documents. Keep the employee’s instruction and the administrator’s acceptance as separate records. Neither should be treated as the final ownership record.
The share source then determines the closing route. Articles 50–52 require shareholder records and ownership evidence. For existing shares, Articles 56–57 address the transfer deed, register entry, ministerial notification and possible restrictions in the articles. Article 56 sets a 30-day notification period from recording the transfer. These share-record and transfer provisions make the closing file more than an HR transaction.
Where a shareholder supplies PT PMA shares, align the award exercise with the share-transfer conditions for an Indonesian PT PMA before scheduling delivery. The employee’s payment instructions should match the actual seller or subscription recipient. Review eligibility and applicable ownership conditions for the intended holder; do not assume employee status resolves them.
Award-to-record control sheet
Use one row per event and one file per award. The following is a recommended control tool, not a prescribed government form. Add the award identifier, responsible person and evidence date to each row; leave the event open until the referenced documents agree.
| Event and owner | Gate to test | Evidence to retain | If evidence is missing |
|---|---|---|---|
| Grant — corporate and HR | Issuer, share source, quantity and authority match the promise | Accepted grant, plan version, approval and capitalization schedule | Resolve issuer or approval mismatch before confirming the award |
| Vesting — HR and plan administrator | Service or performance condition is met for the stated quantity | Dated assessment, supporting record and reconciled balance | Hold the disputed tranche; correct the evidence or document the amendment |
| Exercise — administrator and finance | Notice is valid; quantity, price and funding agree | Exercise notice, acceptance, payment reconciliation and tax assessment | Identify the unmet condition and use the plan’s response process |
| Share delivery — corporate records owner | Issue or transfer route has reached its required record stage | Corporate instruments, shareholder register, ownership evidence and relevant filing output | Keep delivery open and resolve the missing instrument or filing |
| Cash settlement — finance | Contractual payment and withholding analysis agree | Settlement calculation, payment record and applicable tax records | Reconcile the payment obligation; do not create a shareholder entry |
Vesting evidence is not a substitute for a share closing file. Reconcile the delivered quantity with the option balance so the same options cannot be exercised twice. Give the employee a closing statement identifying what was delivered, which obligations remain and where the supporting records are held.
Resolve the issuer rules before announcing an exercise window
Use the issuer classification, outstanding awards and proposed settlement route to identify which corporate approvals and additional capital-market checks belong in the file.
Identify the public-company overlay before using its rules
Classify the issuer before borrowing a published-company precedent. OJK Regulation No. 14/POJK.04/2019 amends the public-company capital framework in Regulation No. 32/POJK.04/2015 and expressly repeals No. 38/POJK.04/2014. Its defined Perusahaan Terbuka includes an equity public-offering issuer or a public company; “listed” should not be used as the only scope test. The OJK amendment and scope definitions are therefore relevant to that issuer category, rather than every private PT.
For the non-financial-repair capital route covered by Article 8C, the regulation includes a 10% limit and a five-year implementation period for the share-ownership program, with calculation and interaction rules. It also contains shareholder-approval and disclosure requirements. These are not a standard private-company pool size or a mandatory employee vesting period. A public-company plan needs a separate review of its approvals, capacity and implementation calendar under the applicable capital-market rules.
Record the issuer classification in the award file and name the person responsible for the additional review. If a group changes structure or prepares a public transaction while awards remain outstanding, revisit the delivery assumptions before issuing new employee communications. A commercial promise to accelerate an award should not be allowed to outrun the issuer’s available corporate route.
Assign tax analysis and funding before settlement
An award label alone does not determine the Indonesian tax result. PMK No. 168 of 2023 covers employment income, including benefits in kind, and distinguishes Article 21 treatment for domestic individual taxpayers from Article 26 employment-income treatment for foreign individual taxpayers. Its Articles 19–20 address timing, withholding and supporting records. The current employment-withholding framework requires analysis of what is paid, transferred or becomes due; it does not justify treating every ESOP as taxable only on exercise.
For benefits classified as natura, the government rules on non-cash remuneration include market-value principles. Do not substitute nominal share capital, the option’s exercise price or an earlier funding-round price for a reasoned tax valuation. Ask the tax reviewer to document the relevant event and amount for this instrument, including whether an exception applies. A foreign-parent award also needs the actual payer, employer involvement and participant’s tax position to be identified.
Create a tax event memo before launch, then refresh it when award facts change. It should identify the benefit, applicable income category, event date, valuation evidence, responsible withholding party and reporting records. Assign tax funding before settlement : who supplies cash if the benefit does not generate cash for the employee, how the amount is collected and what happens if funding is unavailable. Promise neither a tax-free grant nor automatic deferral without that analysis.
Keep later dividends or a share sale as separate events in the employee’s records. A grant calculation should not be recycled as the tax treatment of all future returns. Provide the employee with the relevant payment, acquisition and withholding documents so their own reporting can be reconciled with the company’s record.
Release the ESOP award on the right evidence
For a private Indonesian PT option, release the grant once the corporate share source and signed terms form a credible delivery route, then use separate evidence for vesting and exercise. For a qualifying public-company issuer, add the capital-market approval and disclosure review before setting the implementation calendar. For a foreign-parent or cash-only award, keep the parent delivery process or contractual payment obligation distinct from Indonesian subsidiary ownership.
Make the next decision from the control sheet: repair an unclear issuer before acceptance, reconcile a disputed tranche before exercise, and resolve delivery or tax funding gaps before declaring settlement complete. The employee should finish with a supported account of their rights and balances, not a single “vested” status that conceals unfinished work.
Build the award file around the intended settlement
Prepare the plan rules, grant letter, capitalization schedule and event control sheet for coordinated corporate, HR and tax review.
Frequently asked questions
Can a plan promise a percentage instead of a fixed number of options?
It can describe a commercial target, but the documents should specify the calculation basis and how the award quantity is fixed or adjusted. Ask whether the denominator includes the unissued pool, outstanding awards and the proposed grant; an unexplained percentage leaves the delivery promise unclear.
What if the employer and share issuer belong to different group companies?
Identify both legal entities and the administrator in the documents. Confirm who owes the award, who authorizes share delivery, which rules govern the issuer and who performs the Indonesian payroll analysis. Do not infer those responsibilities from a shared logo.
Does leaving employment automatically cancel shares already acquired?
Do not treat a rule cancelling unvested options as a completed transfer of shares already owned. Examine the separate shareholder terms and any valid transfer, repurchase or other arrangement, including the corporate steps needed to implement it.
Should employees assume there will be a buyer after exercise?
No buyer or sale date should be promised without a documented arrangement. The employee should examine transfer restrictions and any actual liquidity mechanism before committing exercise money and tax funding.
Can an exercise deadline be corrected through an email announcement?
Use the amendment and communication procedure applicable to the award and the issuer. Preserve the original deadline, the authority for any change and evidence of the revised terms reaching the participant. Do not silently overwrite the grant record.
