CORPORATE INVESTOR EVIDENCE

Foreign Corporate Shareholder Documents for Vietnam Registration

Build a usable overseas document pack before certification, translation and submission.

A foreign corporate shareholder preparing Vietnam registration needs evidence of the investing organisation’s legal identity, its appointed representative and the people named in the Vietnamese company dossier. The precise package changes with the Vietnamese entity type and investment route. Resolve those choices before ordering authenticated copies: a correctly stamped document can still identify the wrong investor or authorise the wrong person.

For a new subsidiary, keep enterprise-registration papers separate from investment-project evidence and later bank requests. The document rules below reflect checks made on October 29, 2026, including the July enterprise-registration amendments and the September Apostille transition.

Key takeaways

  • Start with the actual investing entity, rather than a group brand; its legal name and registration number must stay consistent across the pack.
  • An owner’s representative appointment and an application-filing authorisation serve different purposes, so one generic power of attorney may leave a gap.
  • The issuing country and document category determine whether an Apostille, consular legalisation or an applicable exemption is relevant.
  • Ownership evidence must reach the people assessed under Vietnam’s current beneficial-owner rules; a parent-company certificate cannot do that alone.
  • Freeze the source documents before translation and preserve a correction trail if any identity, authority or ownership fact changes.

Which papers belong in the enterprise dossier?

For a new Vietnamese company with an overseas corporate investor, assemble the following enterprise-registration components. “Shareholder” is the correct ownership term for a joint stock company; an investor in a limited liability company is an owner or member. The distinction changes the lists and application forms, even where the overseas evidence is similar.

Component What to prepare Scope or condition
Corporate identity Copy of the foreign investor’s legal document, such as its incorporation or registration certificate or equivalent legal evidence. Identify the entity that will actually own the Vietnamese interest; apply the authentication rules below.
Representation Written appointment of the corporate owner’s/member’s/shareholder’s authorised representative, plus that person’s legal identity evidence. Keep the appointment distinct from authority to lodge the application.
Vietnamese company papers Application, charter, legal representative’s identity evidence and the applicable ownership lists. A one-member LLC has no member list; a multiple-member LLC has a member list; a joint stock company has founder and foreign-investor shareholder lists.
Beneficial-owner information Applicable beneficial-owner list and the evidence used to identify the relevant natural persons. Assess under the amended rules, rather than treating a corporate owner as the final answer.
Route-dependent attachments Applicable Investment Registration Certificate copy or the permitted company-first commitment; filing-authorisation papers where another person lodges the dossier. Confirm the chosen route before deciding that an attachment is missing.

The National Business Registration Portal publishes separate one-member LLC , multiple-member LLC and joint stock company dossier instructions . Use the relevant list; this is a new-company evidence exercise, not a checklist for buying an existing company or registering a foreign branch.

An Enterprise Registration Certificate (ERC) records enterprise registration. An Investment Registration Certificate (IRC) concerns the investment project. Article 19 of the 2025 Law on Investment permits establishment before the investment-certificate procedure, subject to foreign-investor market-access conditions. Article 7 of Decree 296/2026 implements a company-first dossier exception with a market-access commitment. A missing IRC copy is not automatically a missing-document error. The applicable project obligations still need their own review.

The investor papers feed into the broader company registration process in Vietnam : the Vietnamese application also needs agreed company particulars, business activities, capital, address and governance information. Do not send the overseas team a certificate-only request and assume the local dossier is complete.

Confirm the overseas document request

Identify the investing entity, Vietnamese company type and applicable registration route before your overseas team orders certified papers.

Prove who can appoint and sign

Establish the authority chain before collecting signatures. The corporate investor’s representative exercises the investor’s ownership rights; the Vietnamese company’s legal representative acts for that company; an authorised filer handles the registration submission. One person may hold more than one role, but the documents must support each role actually used.

The Ministry of Finance’s August 2026 clarification on representative appointments distinguishes a management appointment from appointment as the corporate owner’s authorised representative. Article 14 requires the latter instrument to identify the corporate principal, representatives and allocated interests, personal particulars, appointment periods and starting dates, and the prescribed signatures. A director’s job title alone does not supply all of that evidence.

Ask the overseas legal team to verify who can sign under the parent’s governing documents and home law. Obtain any internal approval needed for the proposed investment and signing authority. Internal corporate approval supports the investor’s decision; it should not be described as a universally required standalone Vietnamese filing attachment when the relevant official dossier does not list it.

Before certification begins, reconcile the appointment with the proposed charter and ownership list. Confirm whether a signatory acts personally, for the parent, or for the new Vietnamese company. The authentication route then attaches to the correct document and signature.

From an overseas record to usable Vietnamese evidence Start with the correct investor record. Check its issuing country and document category. A covered treaty relationship uses Apostille; other cases use the applicable legalisation or exemption route. Both paths converge on notarised Vietnamese translation and a final identity and authority check. Correct investor record and authorised signature Check issuing country and document category Covered relationship: Apostille route Other cases: legalisation or applicable exemption Foreign-language evidence: notarised Vietnamese translation Match identity, authority and the submitted dossier
Authentication confirms formal origin; the final dossier still needs consistent facts and the correct representative authority.

Match authentication to the country and document

Select the authentication route document by document. Vietnam’s Ministry of Foreign Affairs notice of September 10, 2026 states that the Apostille Convention applies from September 11, 2026 for covered public documents in applicable country relationships. It does not make every foreign document eligible. The notice identifies exclusions and relationships where consular legalisation remains relevant, including Germany, Austria and the Czech Republic.

For each overseas certificate or signed instrument, record its issuing country, document category and the competent authentication channel. A privately signed resolution may require a different preparatory act from a public registry certificate; confirm the route before dispatch. An Apostille confirms formal origin, not the truth of the document’s contents. It does not cure an obsolete corporate name or defective authority.

The same notice preserves documents already consular-legalised before the transition; do not repeat authentication solely because the route has changed. Check any applicable exemption on its own terms. Older portal wording that mentions consular legalisation should be read alongside this later transition.

Under Article 10 of Decree 168/2025 , foreign-language enterprise-dossier documents need an accompanying notarised Vietnamese translation. Finalise authentication and the source version before commissioning the final translation. As a practical quality check, verify that the translator received every page, reverse-side endorsement, attachment and authentication sheet that belongs to the document.

Resolve the authentication obstacle

Map your issuing countries and document types before committing to legalisation, Apostille, translation and courier work.

Trace ownership beyond the corporate investor

Trace the investor’s ownership and control using the current test, not merely the first company in a group chart. Article 3 of Decree 296/2026 revised the beneficial-owner criteria, including direct and indirect ownership, relevant combined interests and control considerations. A percentage-only screen can miss a person who must be assessed. Use the full amended criteria when preparing the applicable list.

Create a dated ownership chart and keep the supporting records for each link. Show the direct investor’s interest in the Vietnamese company, intermediate entities, relevant natural persons and any control explanation. This chart is a preparation tool, not a substitute for the prescribed declaration or a statement that every supporting record must be filed.

Request missing evidence from the entity that controls it. If one intermediate company’s ownership is undocumented, mark that link unresolved instead of filling it from an old presentation. Keep the evidence date and the person who confirmed it so that an ownership change can be traced into the Vietnamese declaration before submission.

Check four records before releasing final copies

Use a four-record comparison before releasing the pack for final authentication or translation. Compare the foreign registry evidence, the representative appointment, the Vietnamese charter and the ownership/beneficial-owner records. The worksheet below is an editorial checking method: it adds a practical acceptance test to the official document lists.

Field to compare Evidence to reconcile Hold the affected papers when…
Investor identity Legal name, registration number, jurisdiction and registered address against the foreign legal document. A group trading name replaces the legal investor, or a recent name/address change is unsupported.
Authority and role Appointing entity, authorised person, scope, effective date and signatures against the appointment and proposed charter. The signer’s authority is unexplained, or a filing mandate is used as the ownership-representative appointment.
Interest and control Proposed capital interest against the ownership list, appointment allocations and beneficial-owner assessment. Different versions allocate different interests or leave an ownership/control link unresolved.
Personal particulars Name, nationality, identity-document details and relevant dates across identity evidence, appointment and application. An old passport number or inconsistent transliteration remains in a document scheduled for signing.

For example, if a registry extract uses a new corporate name while the appointment retains the former name, first obtain evidence connecting the names and determine which instruments need replacement. Do not ask the translator to silently make the names identical. A translation should reflect its source; the underlying discrepancy needs an evidence-based repair.

Classify each row as matched, explained with evidence, or unresolved. Unresolved identity or authority should stop release of the affected instruments. A documented historical name may be explainable; an unsupported assumption about which company invested is not. This distinction prevents a harmless history point and a substantive investor error from receiving the same treatment.

After a correction notice, connect each requested change to the relevant source record and update all dependent documents. The separate registration correction and refusal recovery steps help distinguish fixing a dossier from responding to a refusal; preserve the actual notice rather than working from an informal paraphrase.

Hand over a controlled pack for submission

Hand over a versioned index, final source documents, authentication evidence, Vietnamese translations and signed Vietnamese instruments. Give the filer a clean submission set and keep superseded versions separately. Label conditional material with its purpose so that a bank request or investment-project document is not mistaken for an ERC attachment.

  1. Choose the live forms for the entity type: the official portal currently lists application Forms 2, 3 and 4 for one-member LLCs, multiple-member LLCs and joint stock companies respectively, with the applicable ownership lists and beneficial-owner Form 10.
  2. Identify the application signatory and the person who will submit. Check the filing mandate, electronic identification access and which documents still require signatures before arranging remote execution.
  3. Match the electronic fields and uploaded files to the approved pack; keep the submission receipt and any payment evidence, then track the written result or correction notice.
  4. Check the issued ERC against the submitted particulars and archive the accepted dossier. Keep investment-project, capital, tax, licence and bank work open until each applicable requirement is separately satisfied.

The form references above are shown in the linked official entity instructions and reflect Circular 121/2026’s application updates. For online filing, Article 9 of Decree 296/2026 updates electronic identification access through the National Public Service Portal or national identification application and distinguishes qualifying on-system applications from other signed attachments. A scanned signature pack alone does not establish that the filer can complete the electronic procedure.

The official enterprise instructions state a three-working-day review period after receipt of the dossier. That period does not measure overseas document preparation, authentication, translation or a correction cycle. For scheduling, obtain separate completion dates for those tasks. No universal document-preparation deadline or validity period should be invented for all issuing countries and document categories.

Release documents when the evidence aligns

Release the corporate shareholder documents when the legal investor is identifiable, every required role has supported authority, the applicable authentication and Vietnamese translation are complete, and the four-record comparison has no unresolved material discrepancy. Keep a dated index of what was approved and handed to the filer.

If a corporate change or ownership gap remains, hold the affected papers and resolve the source evidence first. If the company type or investment route changes, revise the request list before ordering replacements. The completion standard is a coherent, usable dossier for the selected procedure; the final registration decision remains with the competent authority.

Prepare the pack for a final document review

Bring the investor identity records, representative appointment, ownership chart and any mismatch notes into one indexed set.

Frequently asked questions

Does every group company need to provide an incorporation certificate?

The direct foreign investor supplies its organisational legal evidence for the enterprise dossier. Records from intermediate entities may be needed to establish ownership, control or authority. Ask what each additional record proves before ordering authentication for the entire group.

Is a certificate of good standing always required?

The cited enterprise instructions require organisational legal evidence; they do not create a universal standalone good-standing-certificate requirement. Such a certificate may be requested for a particular evidential purpose. Confirm that purpose and the relevant recipient before treating it as a mandatory filing item.

Must every parent company provide two years of financial statements?

Do not import a fixed financial-history request into every ERC checklist. Investment-project, sector-capacity and financing evidence needs a separate route-specific assessment. Confirm the required evidence with the team handling that procedure before commissioning financial certifications.

Can an individual’s identity-document copy sometimes be omitted?

The official enterprise instructions allow omission in specified cases where a qualifying personal identification number is declared under Article 11 of Decree 168/2025. Do not assume that any foreign passport number qualifies for that exception; check the person’s actual identification route.

Can the same copies be reserved for later bank review?

Keep a complete archive and ask the chosen bank for its own current requirements. A document accepted in enterprise registration does not establish that the bank will accept the same copy format, evidence date or ownership explanation.
