Geotextile Factory Setup in Indonesia: Entity, Industrial Site, and Approvals

Choose the production route and customer acceptance evidence before committing to a factory building.

A geotextile factory in Indonesia needs a production-specific activity classification, a suitable industrial site and the approvals for its actual process. Foreign shareholding normally points to a PT PMA operating company. A needle-punched fabric line, a weaving operation and a coated composite line should not be treated as one interchangeable licensing project.

Start with a product-and-process sheet: materials, manufacturing steps, annual capacity, utilities, coatings and intended civil-engineering use. Use that sheet to test the ownership route, site and OSS requirements before signing an unconditional lease or placing the machinery order.

Key takeaways

  • The manufacturing method matters more than the word geotextile when selecting a KBLI activity. Coating can change the classification boundary.
  • An industrial-estate address still needs a tenant-specific environmental and utility review; the estate’s documents do not settle every tenant obligation.
  • Corporate formation, an NIB and permission to operate are separate milestones. Release funds against the appropriate evidence.
  • Tender specifications and buyer testing belong in the launch plan, even where they are contractual rather than statutory conditions.

Define the geotextile line before selecting KBLI

Separate what you will manufacture from what you will merely buy and resell. Making fibres, consolidating a nonwoven web, weaving yarn or tape, coating fabric and laminating a finished composite can create different activities. Record which operations occur inside the Indonesian site and which remain with an outside supplier. A catalogue describing every product as geosynthetic material does not establish that one code covers them all.

The current OSS description of KBLI 2025 code 13993 covers nonwoven production, including mechanical and thermal consolidation, and expressly excludes coated nonwovens to code 13992. That distinction makes coating and lamination boundaries an early design question. A woven product requires its own classification review; do not register it under a nonwoven description simply because the final application is the same.

Proposed output Production evidence Decision before filing
Needle-punched geotextile Fibre input; web formation; needle consolidation; finishing Test 13993 against the complete process and active OSS scope.
Woven reinforcement fabric Yarn or tape input; weaving; finishing Select the appropriate weaving activity from its description.
Coated or bonded composite Substrate; coating chemistry; lamination stage Review the coated-fabric exclusion and additional production activities.
Purchased rolls cut or repacked Ownership of goods; cutting; packaging; resale Determine whether the operation is manufacturing, conversion, trade or a combination.

Keep the selected code, version, description, applicable scope and reasons for selection together. The official 13993 conversion record confirms code continuity between KBLI 2020 and 2025, but continuity of the number does not prove that every product or obligation is unchanged. Avoid copying an old factory’s licence list without comparing its actual production route.

Check the proposed geotextile process

Share the intended materials, consolidation method and finishing operations so the activity boundary can be reviewed.

Align the operating company with the property contract

Use an Indonesian operating entity that reflects the real owners. A foreign investor should plan the PT PMA route and screen each proposed activity for foreign-investment conditions before agreeing the share table. A local PT is relevant to genuinely domestic ownership; a representative office is not a substitute for a company that manufactures and invoices locally. Nominee ownership obscures the very facts that the notary, bank and licensing system need to see.

The corporate file should identify shareholders, the directors and commissioner, beneficial owners, signing authority, Indonesian domicile and funding responsibilities. Overseas corporate shareholders need an ownership chain and execution documents suitable for the notarial process. Indonesia company formation requirements provide the underlying entity sequence; the factory site and production permissions remain additional workstreams.

Make the proposed company the intended tenant or clearly document any temporary group arrangement and later transfer. The lease should permit the actual process, equipment installation, maintenance access, chemical storage where relevant and reinstatement. Ask who owns the building documents and who can authorize modifications. A landlord’s assurance that “manufacturing is allowed” is weaker than records matching the site, permitted use and proposed installation.

Under PP 20/2024, Articles 62–63 , industrial-estate siting is the starting rule, subject to defined exceptions. An out-of-estate proposal needs a documented legal basis and spatial assessment. Within an estate, obtain written confirmation of power capacity, discharge acceptance, fire provisions and the tenant’s environmental responsibilities. Do not let an unconditional lease precede the site suitability decision.

Turn the line design into an environmental scope

Screen the project using the equipment and material balance, not a generic textile label. A dry mechanical consolidation line differs from a process with wet finishing, chemical bonding, coating, washing or a boiler. List incoming materials, water use, process losses, dust, fibre waste, heat, exhaust points, wastewater and any hazardous waste. State the basis of each capacity figure so that engineering and application documents use the same units.

The environmental framework is PP 22/2021 , with activity screening informed by the official AMDAL, UKL-UPL and SPPL list . The appropriate route depends on activity, scale and setting. Foreign ownership alone does not determine the document type. Shared estate treatment does not remove the need to establish which streams the estate accepts and which controls the tenant must provide.

Give the environmental adviser a site plan, process flow, annual and peak capacity, utility schedule, chemical safety data where relevant and proposed waste destinations. Identify future coating or expansion phases now. Designing a dry line while budgeting for a later wet line without revisiting the environmental basis can leave the expansion outside the original assessment.

The geotextile-specific decision is whether you are approving a base fabric operation or an integrated composite business. The nonwoven production route and facility assumptions can support the base-fabric stage; engineering applications and composite finishing require the additional checks described here. Establish those boundaries before the filing team translates them into the project record.

Geotextile production and approval gates The production definition feeds separate entity and site reviews. Both converge in the OSS and operating-permission file before buyer release. Product and process sheet Entity and activity scope Site and environmental fit Reconciled OSS project and required approvals Legal and buyer release
Define one production boundary, then reconcile the company, site and operating evidence before releasing rolls.

File the company and manage approval dependencies

Proceed in an order that preserves consistency between the legal entity, site and line. The dependency plan below is a project-control method, not an official processing-time promise. Existing buildings with matching use and utilities can remove work that a new build still needs; the two routes should not share one promised launch date.

  1. Freeze the process sheet, ownership proposal and location assumptions; resolve excluded activities before drafting the deed.
  2. Have the Indonesian notary prepare the deed and submit the legal-entity application through AHU. Retain the deed, approval and payment evidence.
  3. Establish the company’s tax identification and authorized OSS access. Check imported corporate data before adding the project.
  4. Enter the activity, project coordinates, capacity, investment and relevant scale parameters in OSS. Save the NIB and the actual requirement list generated for the selected scope.
  5. Complete spatial, environmental and building requirements as applicable. For an existing unit, check PBG and SLF coverage against the proposed use and alterations.
  6. Fulfil the activity’s risk-based requirements, including a Standard Certificate and verification or a Business Licence where applicable. Retain the issued document and status evidence.
  7. Authorize installation, commissioning and commercial release only against the legal conditions applicable to each stage.

The governing risk-based framework is PP 28/2025 . An NIB alone is not proof that this geotextile line may operate. Use the project-specific requirement screen and supporting approvals to determine the permitted stage. Do not assume a sector label fixes one risk rating for all capacities and processes.

For scheduling, establish milestone dates only after the site review: corporate submission; verified project inputs; required environmental and building outputs; installation readiness; operational licensing; and customer acceptance. Record the document needed to close each milestone and its owner. If OSS returns the wrong address or capacity, correct the source record and affected application before resubmitting; a second inconsistent application makes reconciliation harder.

Reconcile the factory evidence

Bring the property documents, line layout and OSS requirement list together before setting the installation milestones.

Separate legal commissioning from buyer acceptance

A factory can be legally established yet unable to supply a particular road or drainage contract. Build a release file for each product family: approved specification, relevant test methods, sample identification, lot traceability, calibration records and the customer’s acceptance criteria. Confirm whether a claimed standard is mandatory for the exact product or is a tender condition. Do not call an optional test certificate a government manufacturing licence.

Release gate Evidence to retain Action if evidence fails
Legal operation Current project licence status and required supporting outputs Hold the affected operation and close the missing requirement.
Installed line Utility acceptance; equipment checks; process settings Correct the installation or operating limits before production release.
Geotextile performance Specification-linked laboratory results and lot records Quarantine affected rolls; investigate the process and retest appropriately.
Customer delivery Accepted roll identification, packaging and contract requirements Resolve the commercial nonconformity before shipment.

Assign compliance reporting and document control before the first commercial batch. Maintain the conditions attached to the site and operating approvals, current corporate and tax records, and applicable investment reporting. When a new product adds resin coating, a new material or another discharge, reopen the classification and environmental review before treating it as a routine SKU extension.

Release geotextile investment against three evidence packs

Proceed when the product-and-process pack supports the selected activity, the property pack supports the proposed installation and the approval pack identifies the remaining legal conditions. Treat buyer test readiness as a separate commercial gate. Together these packs make the factory decision auditable without confusing a company certificate with permission to produce a particular material.

Hold the machinery deposit if the project still alternates between woven, nonwoven and coated output, or if the landlord cannot confirm the required utilities and use. Those unresolved facts can change the licence route and the economics of the chosen building. Resolve them before an installation schedule becomes a contractual commitment.

Prepare the geotextile launch file

Use the three evidence packs to identify what can proceed and what must be resolved before machinery or production commitments.

Frequently asked questions

Can I start with purchased fabric and add coating later?

Plan the initial conversion or trading activity accurately. Adding coating may change the activity scope, environmental inputs and property requirements; review the change before installing it.

Does a civil-engineering customer’s approval replace a licence?

No. Customer acceptance concerns the supply contract and product performance. Government operating requirements remain a separate test.

Can recycled fibre be used under the nonwoven classification?

The current OSS 13993 description includes new and recycled fibres. Feedstock origin, waste status and the specific process still need their own review.

Should all laboratory tests be listed as compulsory?

No. Distinguish statutory product requirements, tender specifications and voluntary quality controls. Apply the requirements for the exact intended product and market.
