Hong Kong Business Registration: Certificate, Fees, and Renewal

How the certificate works, what the 2026 amounts cover, and how to keep the renewal and business particulars current.

A Hong Kong Business Registration Certificate records a business under the Business Registration Ordinance for a stated validity period; it is not a company-incorporation certificate, tax-clearance document or licence to conduct a regulated activity. Local companies receive their first certificate through the one-stop incorporation service, while sole proprietors, partnerships and other registrable businesses use the Inland Revenue Department’s business registration channels. A valid certificate must be displayed at the place of business.

For a certificate commencing on or after April 1, 2026, the total is HK$2,350 for one year or HK$6,170 for three years, based on the fee and levy schedule checked on August 19, 2026. The Business Registration Office sends a renewal demand note in the middle of the month before the renewal period starts. Payment validates the demand note as the renewed certificate, and eligible users can download the PDF through eTAX after settlement.

Read the Business Registration Certificate correctly

The certificate identifies the registered business and the period for which the registration fee and levy have been paid. A company’s certificate ordinarily shows the business or corporation name, the Business Registration Number, business address, nature or status fields where applicable, certificate commencement and expiry dates, and evidence of payment. The exact layout and fields should be read from the issued certificate rather than inferred from a provider summary.

The first eight digits of the Business Registration Certificate number form the Business Registration Number, or BRN. Since December 27, 2023, that eight-digit BRN also serves as the unified business identifier for companies and replaced the former company number as the identifier used by the Companies Registry. The rest of the certificate record and any payment information still have their own functions; copying the entire printed string into a field that asks for the eight-digit BRN can produce a failed match.

It proves

The business is registered for the printed validity period and the certificate is associated with the stated BRN and particulars.

It does not prove

The company is tax-compliant, solvent, bank-approved, licensed for a regulated activity or up to date with every Companies Registry filing.

Its practical use

It is commonly requested in onboarding, contracting and account reviews, but the recipient should still verify the legal entity and the specific permission needed for the transaction.

The IRD’s business registration guidance states that registration is not for regulating business activities and is not a licence to trade. That boundary matters for financial services, money service operation, food premises, travel, education, employment agencies and other regulated work. The BRC may be necessary, but a sector regulator decides the separate licence.

Read the BRC before relying on it

A certificate review can confirm the identifier, period, business particulars and evidence boundary before the document is supplied to a bank, counterparty or regulator.

Identify who registers and through which route

Business registration applies broadly to persons carrying on business in Hong Kong, but the route depends on the legal structure. A new local limited company is deemed to apply for business registration when its incorporation submission is delivered to the Companies Registry. Form IRBR1 and the selected fee accompany Form NNC1 and the Articles under the one-stop company and business registration service.

A sole proprietor or partnership does not become a company merely by obtaining a BRC. Those operators apply directly through the Business Registration Office or GovHK process and must generally register within one month from the start of business. A registered non-Hong Kong company, branch, limited partnership fund and other structures have their own legal and filing routes. The BRC is therefore common evidence across different structures, not proof that each registrant is a Hong Kong limited company.

For a new local company, the commencement date of its first BRC is the incorporation date, while the amount for that first certificate depends on the date the incorporation submission was delivered. Those dates can differ if an application crosses a fee-change boundary. Capture the delivery receipt and the certificate itself so the amount and validity period can be reconciled without guessing which year’s table applied.

Apply the 2026 one-year and three-year fees

Hong Kong offers one-year and three-year Business Registration Certificates. For a certificate with a commencement date on or after April 1, 2026—or a first local-company certificate tied to an incorporation submission delivered in that period—the total amount checked on August 19, 2026 is HK$2,350 for one year and HK$6,170 for three years. Each total combines the business registration fee and the Protection of Wages on Insolvency Fund levy applicable to that certificate period.

The three-year selection can reduce annual renewal administration, but it commits more cash upfront and the selection continues until revoked in writing. For an existing registered business, the IRD says a selection for the next renewal should reach the Commissioner at least one month before the current certificate expires. For a new local company, the certificate choice is made in the one-stop application. Businesses with branches should note that a three-year selection also applies to the main business and branches.

Do not copy a prior-year figure into a renewal schedule. The base fee, levy and any temporary waiver can change independently. The correct amount for a renewal follows the commencement date of the new certificate, not the day someone happens to open the demand note. If a provider invoices a “BRC renewal” service, separate the government amount from its administrative or mail-handling charge.

Other Business Register document fees

As checked on August 19, 2026, an uncertified extract, certified extract or certified copy of a Business/Branch Registration Certificate costs HK$27; a duplicate certificate costs HK$20. Those document charges are different from the fee and levy that keep the underlying registration valid.

Manage the renewal demand note and payment

Renewal is driven by the demand note issued by the Business Registration Office. The IRD normally sends it around the middle of the month before the month in which the renewed certificate begins. If the next certificate starts in May, the IRD’s example says the note is normally issued in mid-April. The company should therefore verify its IRD correspondence address and provider mail workflow before that window.

  1. Record the current certificate expiry date and create an internal reminder before the expected demand-note month.
  2. Confirm that the Business Registration Office holds the correct business and correspondence particulars and that someone is responsible for opening government mail or e-messages.
  3. When the demand note arrives, verify the BRN, registered name, certificate period, total fee and levy, payment deadline and any penalty shown.
  4. Pay through an accepted method and retain proof. Once paid, the receipted demand note becomes the valid Business Registration Certificate.
  5. Eligible users can use the eTAX View/Download Business Registration Certificate service; the PDF is normally available after 10:00 a.m. on the next calendar day and remains downloadable for two months after settlement.
  6. Print and display the valid certificate at the place of business, and archive the PDF, payment evidence and prior certificate by validity period.

The IRD renewal guidance is explicit about missing mail: if the demand note is not received, the business should inform the Commissioner in writing within one month after the current certificate expires. Non-receipt is therefore a prompt to act, not a defence for leaving the registration unattended.

For electronic access, the authorised user’s capacity matters. The GovHK service is available to relevant sole proprietors, partners, company secretaries, managers, directors, principal officers and authorised Business Tax Portal users, depending on the business type and account. Decide who maintains that account and recovery information. A corporate service provider’s ability to download the certificate should not prevent the company from obtaining its own usable copy.

Recover when the demand note is missing or lost

A lost or missing renewal note can be replaced without waiting for another mailing. The IRD allows recovery in person, by post or electronically. The best route depends on timing, whether the business address is current, and whether an eligible user can access the relevant eTAX or Business Tax Portal service.

If a penalty appears, do not pay only the historical base amount. The electronic certificate becomes available after full payment of the prescribed fee, levy and any applicable penalty. Reconcile the paid amount against the demand note and certificate. If the company believes the amount is wrong because a cessation, address change or other fact was not recorded, raise that underlying record issue with the IRD rather than treating renewal as a simple payment dispute.

Stopping operations does not automatically cancel the registration or erase amounts due. A business that ceases must notify the Business Registration Office in writing within one month and pay the fee and levy up to and including the year in which it ceased. A company also has a separate legal status at the Companies Registry; business cessation is not the same as deregistration, winding up or striking the company off the register.

Build a renewal calendar around the actual expiry

Map the expected demand note, authorised eTAX user, payment owner, download window and display control so non-receipt never becomes a missed renewal.

Display, replace and verify a valid certificate

A valid BRC must be displayed conspicuously at the address where the business is carried on and produced for official inspection on demand. For a certificate issued electronically under the one-stop company and business registration service, the company must display a printed copy. A PDF hidden in an adviser’s inbox does not satisfy that physical display instruction.

Validity depends on the printed expiry date and full payment, not on whether the business still possesses a piece of paper. The IRD explains that payment details on the receipted demand note make it the valid certificate until the stated expiry date. A counterparty reviewing a copy should therefore check the BRN, business name, validity dates and payment evidence rather than accepting a cropped image. The review date and source of the copy should also be recorded in the recipient’s diligence file.

If the certificate is lost after payment, the business can apply online for a duplicate of the valid certificate and pay the prescribed document fee. A certified copy may be preferable when a recipient needs a formally certified government document. The business can also request an extract of Business Register information, but the IRD warns that Business Register information is for reference and is generally recorded after summary checks rather than full verification of every submitted fact.

Keep business particulars aligned between renewals

Renewal does not replace the duty to report changes when they occur. The Business Registration Ordinance requires specified changes to be notified to the IRD within one month. A local company may also need a Companies Registry filing for a company-level change. The two records interact, but they are not one database and the correct notification route depends on the fact being changed.

All local companies registered through the one-stop service must also notify business particulars within one month from commencement of business. The business nature field stated in the incorporation form does not automatically populate the BRC in the way many founders assume. Use the relevant IRD notice, such as Form IRBR200 for a local company’s commencement particulars, and retain the acceptance or updated record.

Build one change log showing the event date, notification deadline, form, authority, signer, submission evidence and updated certificate or search record. That log prevents a provider from updating only one register. It also gives a bank, auditor or counterparty a coherent explanation when an old certificate and a recent Companies Registry record show different addresses or names because the change is still processing.

Approve each BRC period with complete evidence

Close each business-registration cycle only when the current particulars are correct, the applicable one- or three-year amount has been fully paid, the valid certificate has been downloaded or received, the printed copy is displayed, and the company has recorded the next expiry and expected demand-note window. A paid invoice from a secretary is not enough if the company cannot produce the renewed certificate itself.

Use the one-year certificate when annual cash flexibility and frequent review matter; consider three years when the business expects continuity and wants fewer renewal events, while recognising the larger upfront payment and continuing selection. Escalate missing notices, incorrect particulars or cessation issues to the IRD promptly. A clean BRC file should let another reviewer identify the registered business, validity period, amount paid, changes reported and next action without reconstructing the history from email.
