Hong Kong Company Formation Services: What Should Be Included?

A buyer’s checklist for comparing what is filed, delivered, renewed, excluded, and charged after the headline setup price.

A credible Hong Kong company formation service should do more than submit NNC1. At minimum, the written scope should identify the entity and ownership decisions, name review, Articles of Association, incorporation and business-registration filings, government fees, company-secretary appointment, Hong Kong registered office, statutory registers, Significant Controllers Register arrangements, share and board records, certificate handover, post-incorporation deadlines and support boundaries. It should also disclose which items last for 12 months, what renews, what triggers an extra fee, and whether banking, accounting, audit, tax or licensing work is included. If the provider cannot show an itemised first-year and year-two scope, the headline price is not comparable.

The service should start with the business and ownership facts, not a blank filing form. The provider needs to confirm whether the intended vehicle is a local private company limited by shares, identify founder members and ultimate beneficial owners, test officer eligibility, collect the registered-office arrangement and flag activity that may need a licence or specialist advice.

Questions the scope should answer before filing

  • Is the proposed entity suitable for the operating, holding, investment or employment function described by the founders?
  • Who will own the initial shares, in what currency and amount, and are any special share rights required?
  • Who will act as directors and company secretary, and does each appointment meet Hong Kong requirements?

Name screening should include an exact Registry search and a warning that the name is not reserved or approved until the application is processed. The service can identify risk; it should not promise that a name or incorporation will be accepted.

Incorporation filing and government-fee scope

For a private company limited by shares, the filing work should cover Form NNC1, the final Articles of Association and Form IRBR1 for the one-stop business-registration process. The scope should state whether filing is electronic or hard copy, who presents the application, who coordinates signatures, how corrections are handled and how the final submission and payment evidence are retained.

As at 19 August 2026, electronic incorporation costs HK$1,545 and a one-year Business Registration Certificate beginning in the 2026/27 fee period costs HK$2,350 including the levy. A clear proposal shows the HK$3,895 government total separately. The Companies Registry fee page and IRD charge table are the sources of record.

Ask what happens if the name or application is rejected. Part of the incorporation fee may be non-refundable under the Registry schedule, while provider rework or cancellation terms come from the contract. These are different costs and should not be merged into a single “non-refundable” statement.

Company secretary, registered office and statutory records

Every local private company needs a qualifying company secretary and a Hong Kong registered office. A formation package should state who is appointed, the start and end date, which routine filings are included, how official mail is scanned or forwarded, the response time for urgent notices, and the price and notice period for renewal or termination.

Registered-office and mail service

The address must be a real Hong Kong location suitable for statutory service. The proposal should distinguish registered office, business address, correspondence address, mail handling, business-registration display and any virtual-office features. Ask how original court, Registry, IRD and bank correspondence is identified and delivered.

Local companies generally must maintain a Significant Controllers Register and designate a representative. The provider should specify whether initial SCR identification, notices, register preparation, storage and designated-representative service are included. Corporate records and post-incorporation handover

The service is not complete when an email says “approved.” The handover should reconcile the registered data to a usable corporate record. At a minimum, directors need the Certificate of Incorporation, Business Registration Certificate, registered Articles of Association, final incorporation form, statutory registers, initial board records and evidence of share issuance.

If a traditional company chop, common seal, physical minute book or printed share certificate is offered, identify whether it is legally required, commercially useful or simply an optional format. Do not let ceremonial items replace the registers and approvals that actually evidence the company’s position.

The provider should also explain Form NNC3 where any first director did not consent through NNC1. The filing deadline is 15 days after incorporation; it is a post-incorporation obligation, not an optional add-on discovered at renewal.

Banking, accounting, tax and licensing support boundaries

A formation provider can help organise a bank or payment application, but only the financial institution decides whether to approve it. A written banking scope should identify the institutions or categories considered, preparation work, application support, meeting support, expected documents, additional fees and what happens after a decline. Avoid any promise of guaranteed approval, guaranteed timing or a permanent account.

Accounting, audit and tax should be priced from activity assumptions. “Free accounting consultation” is not bookkeeping. Ask whether the quote includes software, transaction entry, bank reconciliation, management accounts, year-end financial statements, audit coordination, the auditor’s fee, profits-tax computation and return filing. Confirm the transaction, bank-account, currency, payroll and revenue limits used for the price.

  • Industry licences: identify the regulator, application, premises, capital, personnel and renewal work included.
  • Employment: distinguish payroll, employer returns, MPF support and immigration permissions.
  • Tax: separate routine return preparation from offshore-profit claims, FSIE, transfer pricing and home-country advice.
  • Documents: separate ordinary copies from certified copies, notarisation, apostille, consular legalisation and translation.
  • Banking: separate document preparation and introductions from the institution’s KYC, pricing and approval decision.
  • Cross-border operations: identify customs, product, data, sanctions and permanent-establishment issues that formation alone does not resolve.

Where the business model is known, the formation-service scope should connect these workstreams to the registered company’s actual launch sequence.

Compare first-year and renewal pricing on the same basis

Break every quote into five columns: government charges, formation labour, first-year recurring services, third-party disbursements and optional work. Then add a second-year column. Promotions often reduce incorporation labour while tying the client to accounting, audit or renewal services; that can be commercially reasonable, but it must be visible.

Current independent market checks completed on 19 August 2026 show broad all-in formation packages commonly around HK$4,500 to HK$12,000 where the government charges and some combination of first-year secretary and address support are included. Company-secretary-only offers can range roughly from HK$1,300 to HK$8,000 annually, with different shareholder limits and chargeable events. These are anonymous planning ranges, not an HSJGlobal quotation, and prices are not comparable until their scope and service period match.

How to select a complete Hong Kong formation service

Select the proposal that leaves the company correctly formed, documented and able to manage its next compliance and operating steps. The lowest price may be suitable for a founder who already has a secretary, address, governance documents and accounting plan. A broader package may be better when ownership, cross-border tax, banking evidence or licensing must be coordinated.

Before signing, attach the scope table and fee schedule to the engagement. Name the presenter, company secretary, registered-office provider, record custodian, client approver and response times. Record all exclusions and renewal amounts. Reject guarantees that depend on the Registry, IRD, a regulator or a bank.

The decisive test is the year-two handover: if the directors can identify every filing, retrieve every corporate record, understand the renewal budget and change provider without losing control, the formation service has built a functioning company rather than delivered a certificate bundle.

Frequently asked questions

Should government fees be included in a formation package?

They may be included or billed separately, but the quote should identify the exact amount, electronic or paper route, Business Registration Certificate period and verification date. An all-inclusive label without that breakdown is not enough.

Is a company secretary only needed for the first year?

No. A local company must continuously have a qualifying company secretary. A package may include the service for 12 months, after which it must be renewed or validly replaced and the relevant records updated.

Can a formation service guarantee a Hong Kong bank account?

No. A provider can prepare documents, introduce options and support an application. The bank or payment institution controls KYC, risk decisions, timing and ongoing account access.

Are accounting and audit the same service?
