REGISTERED OFFICE AND CONTINUITY

Hong Kong Company Formation with a Registered Address

Check how the address works when a government notice arrives, not only how it appears on the filing.

A Hong Kong company must have a registered office in Hong Kong for communications and notices. When forming the company with an address service, confirm written use authority, the exact filing address, service dates, mail escalation and access to any records held there. The registered office may differ from the operating address and does not guarantee bank or licence acceptance.

Key takeaways

  • Use authority should cover the intended company and service period.
  • Official mail needs an acknowledgement and escalation route to the company.
  • An address agreement does not by itself include every statutory record or local appointment.
  • Registered-office and business-address changes can require different notifications.

Separate the registered office from the operating address

A registered office receives communications and notices for the company. It can be supplied under a service agreement, but the ability to use a postal address is only part of the arrangement. Ask what the provider is authorised to supply, where statutory records will be kept and how important documents reach the directors.

Address function What it establishes What it does not establish
Registered office Hong Kong location for company communications and notices Proof that the company trades at the premises
Business address Location recorded for business-registration purposes Automatic acceptance for a sector licence
Mail-forwarding service A contractual receipt and delivery process Company-secretary appointment or unrestricted record custody
Banking or licensing premises evidence Evidence assessed for that particular application Universal acceptance of the same address by every institution

The Registry address-notification FAQ expressly distinguishes the registered office from the place where the company carries on business. An office-service contract is not proof of your actual trading location. Give the bank, regulator or counterparty an accurate explanation of each address and the function it performs.

A shared-office arrangement may suit a company that has no separate Hong Kong operating premises, provided it meets the relevant requirements and the provider can perform the agreed tasks. Check the requirements governing registered-office services when testing an offer marketed as a virtual office. Marketing terminology does not determine its legal or practical suitability.

Check which address function you are buying

Separate the statutory office from the trading location and any bank or licence evidence.

Test the mail and records service before using the address

Run a notice-handling test before committing to an annual term. Ask the provider to explain the journey of an ordinary government letter and an urgent notice: who accepts it, records arrival, scans or forwards it, notifies the company and escalates if the first contact does not respond. Do not invent a legal response-time rule; negotiate the service terms your company needs.

  • Confirm whether opening and scanning mail requires written authorisation and how confidential items are handled.
  • Ask about included mail volumes, forwarding charges, courier options, storage periods and collection rights.
  • Name a primary and alternate company contact, with a method for recording acknowledgement of an urgent item.
  • Specify where the original notice is retained and how its receipt date and any action deadline are captured.
  • Check how service continues during holidays, provider relocation, non-renewal or an unresolved billing dispute.

For statutory records, define which books the provider holds and which remain with the secretary or company. The controller-register rules require relevant companies to maintain a locally accessible Significant Controllers Register. An address package should not silently imply that the register is held, updated and available there if those services have not been agreed.

Use a failed-contact scenario as the stress test: if the nominated director cannot be reached, what does the provider do with a time-sensitive document? The objective is an accountable route from physical receipt to a company decision, not merely a prestigious address line.

A government notice must reach a decision owner A notice is received and logged, sent to the responsible contact and escalated to an alternate if no acknowledgement is received. Receive and log the notice Responsible contact acknowledges? Yes No Assign action and retain original Escalate to alternate contact
Agree the handling and escalation process commercially; the diagram does not set statutory response times.

Connect the authorised address to the incorporation file

Obtain written permission to use the exact address for the intended company and the agreed period. Confirm the building, floor, unit and English or Chinese rendering used by the provider. Compare it with the incorporation particulars before the signatories approve the filing; avoid informal abbreviations that create inconsistent records.

The office is one prerequisite within Hong Kong company incorporation requirements . The official incorporation route also requires the appropriate form, articles and business-registration notice. A filing provider should confirm the office arrangement before submission and retain its authority with the incorporation file, together with the secretary and other officer information.

Ask whether the same service will cover the business-registration address and, if so, whether that accurately reflects the company’s facts. Do not assume the two records must always use identical addresses. Where a real operating site or licence premises is involved, examine that location independently and keep the explanation consistent with the business description.

Banking acceptance remains institution-specific. The HKMA account-opening guidance describes due-diligence reviews and differing bank policies. Address availability does not guarantee account approval or prove that the company has staff, stock or operations at the premises. Supply the institution’s requested evidence without overstating what the service provides.

Resolve the filing and notice-handling gaps

Confirm use authority, exact particulars and the owner of urgent mail.

Approve the address with a workable change and exit plan

Approve the address when its use is authorised, the service term is clear, the mail test has a reliable owner and required record access is workable. Retain the agreement, contact protocol and initial filing particulars. Check the renewal, forwarding and exit terms before the first service period starts.

For a later registered-office change, the Form NR1 notes require notification to the Companies Registry within 15 days after the change. If the actual business address also changes, the IRD change-notification guidance generally requires notification within one month. The optional electronic one-stop service can report both when the applicable conditions are met; routine transmission of registered-office details does not automatically amend the business-address entry on the BRC.

Pause a provider switch until the new use authority, change filings, original-mail transfer, record location and open notices have named owners. A cheaper renewal is a poor exchange for losing access to a time-sensitive letter or leaving two official address records inconsistent.

Approve an address with continuity

Agree the service term, record access and future change process before the office is used.

Frequently asked questions

Can the provider’s address be used on every application?

Check each recipient’s requirements and explain the function of the address accurately. A registered-office agreement is not a universal premises or operating-location approval.

Does mail scanning include permission to open every envelope?

The agreement should specify authorisation, confidential handling and exclusions. Ask how originals and sensitive correspondence are handled before granting access.

What happens if the office provider moves?

Establish the new authority, effective date, notification responsibilities, forwarding arrangements and record-transfer plan. Do not assume a service-provider email updates official company records.

Does changing the registered office always change the BRC business address?

No. The records have different purposes. Use the appropriate business-address notification or eligible optional electronic one-stop route if the business-address entry also needs amendment.
