A cheap certificate without an operating plan can become an expensive dormant shell.

Foreign founders can own and direct a local company

The Companies Registry’s incorporation FAQ expressly confirms that non-Hong Kong residents may incorporate a local limited company. An ordinary private company does not need a resident shareholder or resident director merely because its founders are foreign.

The company must have at least one director who is a natural person. A single individual can be both the sole shareholder and sole director, but that sole director cannot also be the company secretary. A non-resident can serve as director; a natural-person secretary must ordinarily reside in Hong Kong, while a corporate secretary must have its registered office or place of business in Hong Kong.

Founder eligibility does not override sanctions, director disqualification, regulated ownership, nationality-specific home-country tax, exchange-control, reporting, or anti-avoidance rules. Each founder should check obligations in every jurisdiction where they live, work, manage the company, or hold tax residence.

Most independent foreign founders use a private company limited by shares, but that convention is not a decision rule. An existing international group may prefer a subsidiary for liability and governance separation or a registered non-Hong Kong company for operational continuity. Registration of a foreign company is required within one month after it establishes a place of business in Hong Kong.

Prepare the people, addresses, capital, and evidence

  • Company name: one English name, one traditional-Chinese name, or both, checked against the live Companies Registry index. A search is not a reservation or approval.

Budget the 2026 government fees separately

For a private company limited by shares, the Companies Registry’s current incorporation fee is HK$1,545 for electronic delivery or HK$1,720 for hard-copy delivery. The IRD business-registration schedule sets the one-year certificate amount for April 1, 2026 through March 31, 2027 at HK$2,200 plus a HK$150 levy, totalling HK$2,350.

These are government amounts for a one-year Business Registration Certificate, verified for the stated period. They exclude company-secretary and registered-office services, document certification or translation, bank support, licences, accounting, audit, tax returns, courier work, and professional advice. A three-year certificate has a different amount. Recheck both official schedules on the actual submission date.

Follow the registration process in decision order

  1. Choose the entity and ownership structure, including initial share currency and allocation.
  2. Screen the proposed name and any trade marks; do not assume the name is reserved.
  3. Appoint the director, shareholder, company secretary, registered office, and significant-controller designated representative.
  4. Complete NNC1, articles of association, and IRBR1, with consistent identity and address details.
  5. Sign and submit the full package electronically or on paper with the correct payments.
  6. After approval, download or collect the Certificate of Incorporation and Business Registration Certificate.

The Registry says a straightforward electronic private-company application can normally be completed within one hour when the name needs no further consideration and the form passes validation. A hard-copy application for a company limited by shares is normally completed within four working days. These are service indications, not guaranteed completion times. KYC preparation, signatures, clarifications, and banking commonly take longer than the Registry step.

Build the post-incorporation plan before the certificate arrives

Create and maintain the statutory registers, issue share certificates, document founder funding, and keep the Significant Controllers Register in Hong Kong with an eligible designated representative. Notify the Business Registration Office of actual business particulars within one month after operations commence. Arrange banking or payment facilities through a separate risk-based onboarding process.

Set up bookkeeping from the first transaction, establish the financial year, preserve source records, and plan annual financial statements, audit, and profits-tax compliance. Hong Kong taxes qualifying assessable profits rather than company registration itself. The current corporate profits-tax rates are 8.25% on the first HK$2 million of assessable profits and 16.5% above that under the two-tier regime, subject to eligibility and connected-entity limitations. Foreign ownership does not create an automatic offshore exemption.

Except for the year of incorporation, a private company files NAR1 within 42 days after each incorporation anniversary. The on-time annual registration fee is currently HK$105, with substantially higher fees for late delivery. Renew the Business Registration Certificate, report changes on time, maintain the registered office and company secretary, and review sector licences and immigration permission before relevant activity or work begins.
