SECRETARY SCOPE AND RESPONSIBILITY

Hong Kong Company Registration with a Secretary: What Is Included?

Separate the appointment from the continuing work the service agreement actually covers.

Hong Kong company registration with a secretary should identify an eligible appointee and a defined service term. The work included beyond appointment depends on the agreement: initial records, annual-return support, change filings, controller-register assistance and correspondence handling must each be specified. A secretary appointment alone does not establish an unlimited compliance service.

Key takeaways

  • Identify the actual appointee even where a different brand sells the service.
  • Ask for outputs and extra-charge triggers for each secretarial task.
  • Controller records and designated-representative arrangements need explicit ownership.
  • Preserve accepted filings, current registers and open matters when the service changes.

Verify the actual company secretary appointment

Identify the appointed person or corporate entity before reviewing the service list. Under the Registry director-and-secretary FAQ , an individual secretary must ordinarily reside in Hong Kong; a corporate secretary must have its registered office or place of business there. A sole director cannot also act as the company’s secretary. These are eligibility conditions, not optional service features.

Ask for the legal name of the appointee, appointment effective date, contact channel and evidence that the incorporation particulars identify that appointee correctly. If the provider’s brand and the corporate secretary have different names, record their relationship and which entity contracts for each service. The appointed secretary and the sales contact may be different parties.

Company-secretary eligibility is only one element of Hong Kong company formation . Registered-office arrangements, shareholder and director information, articles and filing authority must also be settled. Where the provider carries on trust or company service business, verify its licence or applicable exemption through the TCSP Registry rather than assuming every person performing a secretarial role must hold a separate licence.

Confirm who will actually be appointed

Check the appointee’s identity, eligibility and effective date before incorporation particulars are approved.

Turn secretarial inclusions into named outputs

A registration engagement can include the initial appointment without including every future resolution, filing or record update. Request a schedule that describes the output, responsible party and extra-charge trigger for each promised service. The following ledger is a contract-review aid; it does not describe an automatic statutory bundle.

Promised item Evidence or output to request Boundary to settle
Secretary appointment Named appointee and effective date in company records Term, renewal and cessation handling
Initial company records Specified registers and handover list Which updates and copies are included
Annual-return support Preparation, approval workflow and submission evidence Reminder only or actual filing; official fee treatment
Company changes Resolution, form and accepted filing where required Number and type of changes; additional work charges
Controller-register support Identification process, location and representative arrangements Initial setup versus later investigation and updates
Government correspondence Receipt, escalation and response ownership Who replies, by when and at what additional cost

For controller records, the Significant Controllers Register FAQ explains the requirements for unlisted Hong Kong companies and the need for a designated representative. The register is kept locally rather than routinely filed with the Companies Registry. Do not accept “SCR included” as proof that the controller analysis, local custody and representative role have all been assigned.

HSJGlobal’s public first-year support description says a secretary, registered office and initial SCR setup may be included. The written agreement must make any inclusion definite for your case. The same page does not establish unlimited change filings, legal advice, auditing or tax work. Appointment is not an unlimited work allowance and a register-preparation service is not a guarantee of the company’s future compliance.

The service operates through events: an appointment starts the relationship, company information changes, a recurring return becomes due, and the records eventually need renewal or transfer. Agree how each event enters the work queue.

Event-based secretarial service cycle The appointment begins the service; company changes and recurring filings require instructions, evidence and continuing record custody. Appoint → confirm identity and service term Change → instruct, approve and update Recurring filing → retain accepted evidence Renew or transfer → preserve the records
Secretarial scope should explain who handles each recurring or event-driven task.

Define the recurring service cycle after incorporation

Agree who supplies information and who authorises submission. Directors should know how to report an officer, address, shareholding or control change to the service team. The provider should explain the documents it needs and the point at which it considers instructions complete. A reminder email cannot compensate for undisclosed changes.

For local private companies, the annual-return requirements distinguish the annual corporate return from tax reporting. Define preparation, checking, signature, payment and submission responsibilities separately; do not assume an annual-service label means that accounting or tax returns are included. Request the accepted filing record after submission, not merely a screenshot of a draft.

Set a practical escalation route for urgent government notices or incomplete instructions: primary contact, alternate contact, acknowledgement and next required action. Any response time is a commercial service term to agree, not a universal government promise. Record where the original company books and digital records are held and how directors can obtain copies.

Define the recurring instruction process

Agree who provides changes, authorises filings and receives government correspondence.

Preserve records and responsibilities at renewal or exit

Read the detailed eligibility and appointment requirements for secretaries alongside the renewal proposal. Confirm the continuing appointee, period, included routine tasks and charges for non-routine work. A provider change should have an effective handover date and a clear owner for any required notice of the change.

Before an exit, obtain current registers, appointment and cessation records, filed forms, receipts, correspondence and a list of open matters. Reconcile the records received against the original inclusion ledger. Keep an open-matters list so a deadline, unresolved controller enquiry or pending filing does not vanish between providers.

An address service, designated representative, company secretary and accountant can be supplied by one organisation or several, but their responsibilities remain distinct. Check each appointment and service end date. Terminating one contract should not be assumed to replace every other role or authorise the destruction of company records.

Accept the secretary scope when responsibility is clear

Choose the secretary arrangement that identifies an eligible appointee and explains the outputs, instruction process, record location, renewal and exit responsibilities. A narrow service can be suitable when its exclusions are explicit and you have assigned the remaining work.

Request clarification before filing if no one can identify the legal appointee, the service term or the owner of an essential record. Ask for a revised scope when a sales statement promises “full compliance” but the agreement provides only an appointment and reminders.

Approve a clear secretarial engagement

Match the appointment, deliverables and handover rights to your company’s needs.

Frequently asked questions

Does the secretary become the owner of the company?

No ownership should be inferred from the secretarial appointment. Share ownership, directorship, signing authority and the secretary’s role should be evidenced separately.

Does a registered-office service automatically include a secretary?

Only if the agreement separately provides that appointment. One supplier may perform both roles, but the address contract alone does not establish who is the secretary.

Must every company change be included in the annual service fee?

That is a commercial scope question. Require an explicit allowance or price basis for resolutions, forms, record updates and non-routine advice.

What if the provider changes the corporate secretary entity?

Ask what appointment, cessation, filing and record-handover steps the change requires. Preserve evidence of the effective dates and ensure responsibility remains assigned during the transition.
