FUND STRUCTURE AND LAUNCH READINESS
Hong Kong Open-Ended Fund Company: Setup Requirements
Build the fund’s governance and operating chain before treating incorporation as launch approval.
A Hong Kong open-ended fund company needs an SFC-registered fund structure, at least two eligible individual directors including an independent director, a Type 9 licensed or registered investment manager, an eligible custodian and a Hong Kong registered office. It is an investment fund vehicle with variable share capital, established under the Securities and Futures Ordinance rather than the ordinary private-company incorporation route.
Decide first whether the fund will be privately or publicly offered. Both routes require SFC registration; public offering generally also requires prior SFC authorization unless an exemption applies. The legal structure, operator appointments, application documents and actual subscription process must fit the same route.
Key takeaways
- An OFC is designed as a fund vehicle, so ordinary trading-company formation is the wrong starting model.
- A qualified board, investment manager and custodian are dependencies to establish before filing.
- Private registration and public-offer authorization are distinct regulatory questions.
- The one-stop route goes through the SFC; incorporation documents and IRBR3 use their own requirements.
- A registration certificate does not demonstrate that valuation, custody, subscriptions and reporting are ready to operate.
Define the investors, assets and offering route
Write a fund-design brief before discussing forms: intended investors, distribution countries, investment strategy, asset types, dealing frequency, redemption terms and whether one fund or an umbrella with sub-funds is required. These choices determine the operator capabilities and documentation the project needs. A company formed first and given an investment label later is not a substitute for that analysis.
The SFC OFC framework distinguishes private and public funds and the corresponding registration and authorization tracks. Private OFC registration does not authorize an offer to the public. Distribution outside Hong Kong also needs its own jurisdictional review; a Hong Kong registration is not a global marketing passport.
The Companies Registry’s OFC FAQ explains that this structure is not designed for the general commercial trade undertaken by conventional companies. If a separate operating or service company is needed, its Hong Kong company setup requirements belong to that entity’s formation track, not the OFC application.
Appoint a board, investment manager and custodian that fit the fund
Establish the people and regulated functions early. Under the SFC’s operator requirements , directors must be natural persons aged at least 18 and meet the applicable eligibility conditions. There must be at least two, including an independent director who is not a director or employee of the custodian. Assess fitness, experience and conflicts as well as the headcount.
The investment manager must be licensed or registered for Type 9 asset management . Directors delegate the investment-management functions through an investment management agreement. A founder’s investment experience or an overseas manager’s licence is not, by itself, the specified Hong Kong operator qualification.
Appoint an eligible custodian for the scheme property. Private OFCs have an additional eligible Type 1 custodian route subject to the OFC Code’s criteria; merely holding a Type 1 licence does not dispense with those criteria. Multiple custodians are permitted, but the allocation must leave no scheme property without an accountable custody arrangement.
Create an appointment schedule showing each legal entity, regulatory status, role, responsible contact, consent, contract and unresolved condition. Compare the proposed strategy against the manager’s and custodian’s actual capabilities. If a custodian cannot support a proposed asset class or dealing model, resolve that incompatibility before locking the offering document.
Check the proposed OFC operator map
Clarify the fund route and the board, manager and custodian dependencies.
Design the fund’s decision, custody and valuation controls
Separate investment decisions, asset safekeeping, valuation inputs, dealing instructions and payment authorization. The Code on Open-ended Fund Companies sets governance, operator and disclosure expectations. Use the following dependency ledger to turn those requirements into a practical setup conversation.
| Control decision | Owner and evidence | Condition to close before launch |
|---|---|---|
| Who may choose investments? | Board-approved mandate and manager agreement | Strategy and delegated powers agree |
| Who holds or verifies each asset? | Custodian and asset-by-asset custody allocation | No asset category lacks a responsible arrangement |
| How is dealing value calculated? | Documented valuation and pricing responsibilities | Inputs, exceptions and review are assigned |
| Who accepts subscriptions and pays redemptions? | Agreements and authorized dealing/payment workflow | Acceptance, account ownership and approvals reconcile |
| How are conflicts escalated? | Board process and disclosures | Affected decisions have an identified review path |
This ledger is an editorial planning tool, not an SFC approval checklist. Add the actual provider and document reference to each row. A generic policy with no named operator cannot show that the fund is able to perform a time-sensitive redemption or resolve an unavailable valuation input.
For an umbrella, document which terms operate at umbrella level and which belong to each sub-fund. Asset allocation, expenses and custody should remain intelligible when more than one portfolio is involved. Do not imply that segregated-liability provisions remove every issue involving foreign courts or foreign-law contracts.
Where family wealth is the source of subscriptions, family-office governance and regulatory boundaries help separate the family mandate, manager and asset-holding vehicle. The family-office label does not replace the OFC’s operator or offering requirements.
Assemble the SFC and incorporation document streams
Use the current SFC application and information checklist for the chosen private or public route, with the instrument of incorporation, operator confirmations and supporting records. The SFC FAQ dated July 23, 2026 explains e-IP submission through WINGS and the signing requirements. Save the actual submitted versions and mark subsequent drafting changes so requests can be answered against one controlled file.
Keep the SFC document stream distinct from the CR incorporation stream. The specified OFC forms identify OFCNC1(SFC), the instrument of incorporation and IRBR3. These are not NNC1 and IRBR1 for an ordinary private company. Deliver the incorporation and business-registration material to the SFC for forwarding under the one-stop arrangement.
The 2026 FAQ makes an operational distinction that matters: soft-copy submission applies to the SFC application records, with special handling for applicable original director vetting authorizations. The CR incorporation/business-registration hard-copy documents and fees must reach the SFC before registration is granted, while the directors’ signed instrument may be submitted as a scanned copy under the stated arrangements. Do not describe the entire process as paperless simply because the initial application is uploaded.
Appoint a submission coordinator and separate sign-off owners for the board, manager, custodian and legal documents. Before filing, reconcile fund names, sub-fund descriptions, operator names, registered office and dealing terms across the instrument, application and offering materials. An accepted upload does not cure inconsistent approvals.
Separate regulatory fees, provider costs and processing clocks
Budget separately for SFC fees, CR incorporation, business registration and professional or operator charges. As checked October 27, 2026, SFC registration fees for a private single OFC are HKD 5,000; for an umbrella, HKD 10,000 at umbrella level plus HKD 1,250 per sub-fund. Public funds follow the authorization fee framework instead of a separate OFC registration fee.
CR incorporation is HKD 3,034 , including a non-refundable HKD 479 lodgement fee. Business registration is additional under the IRD charging schedule . Do not automatically apply a local private company’s first-certificate date rule to an OFC: the general certificate-commencement basis and the specific OFC application circumstances must be checked.
Those statutory amounts do not cover the manager, custodian, directors, legal drafting, administration, audit or continuing operations. Request a scoped quote that separates establishment and recurring work, transaction-driven charges and any minimum commitment. No HSJGlobal OFC package price or all-inclusive total is asserted.
The SFC publishes an expectation of less than one month after take-up for successful private applications meeting requirements, and generally one to three months for public applications depending on complexity. Its framework also describes CR certificate issuance normally taking three working days after CR receives the documents and fees from SFC. These clocks do not start when a founder first begins collecting documents and do not guarantee investor onboarding or operational launch.
Separate the filing clock from launch readiness
Identify document streams, provider commitments and remaining operational conditions.
Prepare the post-registration operating handover
Build the first operating calendar before requesting a launch date. It should identify the fund’s accounting period, audit and annual reporting responsibilities, valuation and dealing cycle, investor communications, records, business-registration renewal and approvals for relevant operator changes. An OFC does not file the ordinary company annual return to CR, but this does not eliminate fund reporting or post-registration notifications.
Test one proposed subscription from investor verification through acceptance, custody and share records, and one redemption through valuation, authorization and payment. Record the actual operator responsible at each handoff. Do not collect investor money into an unrelated founder or service-company account as a shortcut around an incomplete arrangement.
Keep a change procedure for directors, manager and custodian. The current SFC FAQ identifies post-registration applications and filings; replacing an operator is not merely an internal contact update. Ensure the fund can remain compliant during a departure rather than waiting until the incumbent has stopped acting.
Authorize the OFC launch only after the dependencies close
Authorize launch only when the fund route, operator appointments, constitutional and offering documents, regulatory outcome and tested operating workflows are aligned. The board should be able to identify who owns each unresolved item and what evidence closes it.
If an operator is ineligible, a public-offer assumption is unsupported or a custody gap remains, pause that workstream before accepting subscriptions. Registration, incorporation and operational readiness are separate milestones; a credible launch plan needs all applicable milestones to be evidenced.
Prepare an accountable OFC launch brief
Bring the operator schedule, document versions and unresolved launch conditions for coordination.
Frequently asked questions
Is the instrument of incorporation just the ordinary company’s articles?
No. Use the OFC instrument and applicable SFO/OFC requirements. A conventional private-company document should not be substituted without a proper OFC drafting review.
Must an OFC appoint an ordinary company secretary?
The CR FAQ says the conventional Companies Ordinance requirement to have a company secretary does not apply to OFCs. Allocate actual administrative and filing work through the fund’s arrangements.
Can a public OFC treat registration as an SFC investment endorsement?
No. Registration and authorization do not guarantee performance or establish suitability for a particular investor.
Does an OFC automatically receive every available tax exemption?
Do not infer a tax result from incorporation. Review the fund’s facts and the conditions of any relief separately before including it in financial projections.
Can an overseas fund simply rename itself as a Hong Kong OFC?
Re-domiciliation has a separate application and continuity framework. Do not substitute a new-incorporation filing or a name change for that process.
