SHAREHOLDER VERIFICATION
How Authorities Assess Whether Thai Shareholders Are Genuine
Separate formation screening, evidence consistency and a formal factual enquiry.
Thai authorities assess shareholder genuineness through the applicable registration evidence and, where relevant, a wider factual enquiry into the investment arrangement. No published universal score turns a Thai ID card, bank balance or shareholder percentage into conclusive proof. The useful preparation question is whether the ownership claims remain consistent when the original records are read together.
Key takeaways
- A filing evidence requirement is not the same as a final finding about the investment.
- Money movement should be consistent with the declared subscription and recipient.
- A factual enquiry may concern agreements and operations as well as registration entries.
- Answer the actual official request, preserving its wording, dates and evidence references.

Registration screening and a factual enquiry serve different purposes
At formation, an applicant supplies the prescribed records for the case. Order 2/2569 , effective August 1, 2026, adds investment evidence in defined formation cases and also addresses specified later changes. Its payer and recipient records allow the declared investment to be compared with actual transactions. Read the clause that applies to the event; do not assume the formation attachments cover every amendment.
A later enquiry can ask a broader factual question than whether the correct attachment was uploaded. Under FBA section 30 , the registrar and competent officials can issue written enquiries or summons for explanations and necessary evidence. The provision also regulates entry to business premises, with conditions and safeguards. A specific notice needs assessment on its own terms.
Acceptance of a registration file is not conclusive proof of genuine ownership. The initial records and the continuing investment relationship must remain explainable. Nor does being asked for additional records establish that a shareholder is a nominee.
The ownership data recorded during Thailand company registration gives the enquiry a starting point. The explanation should connect those entries to what actually happened, including any later funding or rights changes.
Identify the scope of the review
Separate a formation attachment request from an enquiry into the underlying investment.
Test each ownership claim against the records that can support it
The matrix is an editorial evidence-preparation tool. It does not reproduce an official investigation checklist or prescribe the weight an authority will give a document. Use it to separate what a record proves from what still needs explanation.
| Claim | Records to read together | Limit of the evidence | Question if inconsistent |
|---|---|---|---|
| The named person invested | Identity, subscription and payment records | A name alone does not establish the economic bargain | Who paid and on whose behalf? |
| The contribution was received | Debit, credit and receipt | A balance does not prove a particular payment | Where is the matching transaction? |
| The investor holds the stated rights | Articles, agreements and later resolutions | One document may omit a side arrangement | Do the documents describe the same bargain? |
| The records reflect present facts | Transfers, capital changes and current records | An old extract describes an earlier position | What changed, when and under whose authority? |
Request original source records from the person entitled to provide them. A typed summary can organise the evidence, but it is not a replacement for the actual statement, signed agreement or official record. Preserve the document date and version relied on.
A difference is not automatically wrongdoing. A genuine loan, authorised third-party payment or delayed bank entry may have an explanation. Identify the documents that establish it and make the chronology explicit. Do not invent an explanation because the inconsistency is inconvenient.
The payer and recipient statement requirements help distinguish transaction evidence from a general statement of financial capacity. Explain both the origin and movement only to the extent relevant to the applicable request.
Passive participation should be described accurately. An investor need not be presented as an employee or daily manager merely to appear genuine. Equally, an asserted commercial role should have support where it forms part of the explanation. The relevant point is the true arrangement, not a preferred profile.
Build a response record around the official questions
Begin with the actual notice. Record the issuing authority, reference, delivery date, response date, requested facts and requested documents. Keep the Thai original and obtain an accurate translation of the operative requirements if needed. Do not rely on a verbal description that reduces several questions to “prove Thai ownership”.
- Assign each question to a factual owner who can obtain the supporting record.
- Link the response to a specific document and relevant transaction or provision.
- Identify documents that are missing, unavailable or inconsistent and explain their status truthfully.
- Have the complete response and any legal issues reviewed before the authorised person signs.
- Retain the submitted version, delivery record and subsequent official correspondence.
Do not coach participants to replace their actual understanding with a common story. If investors describe materially different bargains, record and investigate the difference. A response should resolve genuine uncertainty, not conceal it.
Where a bank or former representative holds necessary records, request them promptly and document the request. If the notice’s deadline cannot be met, obtain advice on the proper response or extension request; do not assume an informal conversation suspends it.
Verify the identity and authority of anyone seeking access to records. FBA section 32 requires competent officials to show their identification when performing their duties. This is distinct from ignoring a lawful request: route the request to the responsible director and adviser so it can be handled properly.
Prepare a traceable response
Map each question to the original record, responsible person and response date.
Judge shareholder evidence by coherence, not document volume
A preparation file is coherent when the declarations, payment trail and agreements support the same investment relationship, and every official question has an identified response or an honestly stated gap. More pages do not compensate for a contradiction in a decisive fact.
If an unresolved issue concerns who owns the economic interest or why the structure was adopted, escalate it to qualified Thai counsel with the original evidence. The authority determines its own findings; an internal checklist cannot certify the shareholders as genuine or guarantee the outcome of an enquiry.
Resolve the decisive evidence gap
Assess material contradictions before signing the shareholder explanation.
Frequently asked questions
Does every enquiry imply a criminal investigation?
No such inference follows merely from an information request. Identify the authority, legal basis and actual scope of the notice.
Can I submit an English explanation alone?
Confirm the language and form required for the particular submission. Do not assume an English summary replaces a prescribed Thai document.
Should a document discrepancy be hidden until asked about?
A response must be truthful and complete for its scope. Obtain advice on material inconsistencies and explain them rather than altering or withholding required evidence.
Who decides whether the explanation is sufficient?
The relevant authority decides the official review. The company and its advisers can prepare and assess the record but cannot certify a guaranteed outcome.
