OWNERSHIP AND COMPANY FORM
How Many Shareholders Does a Vietnam Company Need?
Separate legal owners from representatives, then test the company form against the next ownership change.
One investor can establish a Vietnam one-member limited liability company. The familiar three-shareholder minimum applies to a joint stock company, so it is not a universal requirement for doing business through a company. Settle the legal form before inviting additional owners simply to meet a supposed minimum.
Key takeaways
- The legal form determines the ownership-count rule; decide which form fits before assembling the registration dossier.
- Three to fifty direct owners fall within overlapping LLC and joint stock company ranges, leaving a genuine choice to make.
- Foreign-investor access conditions are a separate test and may affect who can own the business, regardless of headcount.
- Use the first expected admission or exit to test whether the proposed form will still fit after incorporation.
- An unpaid commitment or departing owner can undermine the count; build a repair plan before that event occurs.
Owner numbers for Vietnam’s main company forms
A Vietnam one-member LLC has one owner; a multiple-member LLC has 2–50 members; a joint stock company has at least 3 shareholders and no statutory maximum. These are the general ownership-count rules in Articles 74, 46 and 111 of the Law on Enterprises , checked on October 29, 2026. Individuals and organisations can hold these ownership positions, subject to applicable eligibility and investment conditions.
| Legal form | Required ownership count | Correct ownership term |
|---|---|---|
| One-member limited liability company | Exactly 1 individual or organisation | Owner |
| Multiple-member limited liability company | From 2 to 50 individuals and/or organisations | Members holding capital contributions |
| Joint stock company (JSC) | At least 3; no statutory maximum | Shareholders holding shares |
The terminology changes the paperwork. LLC ownership is expressed through capital contributions; a JSC divides its charter capital into shares. Articles 46 and 74 restrict LLC share issuance to conversion into a JSC, while Article 111 gives the JSC the capacity to issue shares. An LLC does not need extra shareholders merely because its owners want limited liability. Select the ownership model that matches the actual investment arrangement.
A partnership follows a different model: Article 177 requires at least two general partners, who must be individuals and bear unlimited liability; additional capital-contributing partners are possible. These are partnership rules, rather than shareholder rules . A partnership should therefore not be selected merely because two people want to invest together without considering that liability difference.
Once the legal form is selected, company formation in Vietnam also requires the relevant name, capital, address and registration documents to align with that choice. A valid owner count answers only one part of the establishment decision.
Check whether your owner count fits
Bring the proposed owners and preferred company form so the numerical fit can be reviewed before documents are prepared.
Count owners separately from representatives and controllers
Count each direct legal owner once. A corporate parent remains one owner even if it appoints several people to act for it. Conversely, three separate corporate shareholders are three shareholders even where they belong to the same group. Draw the direct ownership layer separately from the people who manage or ultimately control those entities.
A director, legal representative or authorised representative does not become an owner merely by holding that role. The Ministry of Finance’s clarification on corporate authorised representatives distinguishes an appointment to represent a corporate owner from a management position. Appointing more representatives does not multiply the corporate owner. Check the subscribing entity’s identity and appointment authority, rather than counting signatures.
Beneficial-owner identification is another separate exercise. A company with one corporate owner can still require analysis of natural persons behind that owner. The amended beneficial-owner rules in Decree 296/2026 address ownership and control criteria; the number of people disclosed under those rules does not itself determine whether the company is a one-member LLC or a JSC. Preserve both layers in the ownership chart.
For foreign investors, headcount also leaves the nationality and activity tests unresolved. Article 8 of the 2025 Law on Investment treats foreign ownership, investment form and other market-access conditions separately. Identify cases requiring a Vietnamese co-owner from the intended business activity and applicable access conditions, rather than adding a local person as an automatic numerical requirement.
These distinctions reveal where the ownership ranges overlap: a group of three investors is not forced into a JSC solely by its size. The next decision is whether the LLC or share-based structure better accommodates the investment they actually plan.
Test the count against your first ownership change
Test your proposed form against the first ownership event you reasonably expect. The following planning scenarios apply the statutory ranges to a future admission, departure or funding problem. They are decision examples, not reports of client outcomes.
| Ownership plan | What the count reveals | Preparation before filing |
|---|---|---|
| One parent company appoints three representatives | There is still one direct owner; representatives cannot supply a JSC’s three shareholders. | Use the sole-owner structure or identify the actual additional subscribing entities. |
| Two founders want a third investor to join later | Two present owners do not meet the JSC minimum today. | Compare an LLC now with a later conversion against waiting for a genuine third subscription. |
| An LLC has 49 members and expects two new members | Admission of both would produce 51, above the LLC ceiling. | Plan an appropriate restructuring or conversion before admitting both as members. |
| A three-shareholder JSC expects one shareholder to exit | A transfer entirely to the other two would leave only two shareholders. | Map the replacement investor or conversion route before approving the transaction timetable. |
The count is a capacity test, not a control agreement . Where both an LLC and a JSC fit, compare the intended equity instrument, investor admission method and ownership-transfer arrangements. Then document voting, management and exit expectations in a form consistent with the selected structure. A headcount alone cannot resolve a disagreement about who controls the business.
Use a simple working sheet: legal name of each direct owner, individual or organisation, proposed contribution, percentage, and the first expected change. Recalculate the count after that change. If the company form fits only while an uncertain investor remains on the sheet, resolve that dependency before collecting signatures.
Resolve the investor who makes the structure work
If the plan depends on a third shareholder, a departing founder or an LLC nearing fifty members, review the transaction sequence and supporting ownership evidence.
Repair a shareholder or member shortfall promptly
A minimum count is a continuing constraint. The amended Article 207(1)(c), in Law 76/2025/QH15 , identifies a dissolution ground where the company remains below the statutory minimum for six consecutive months without carrying out company-form conversion procedures. Six months is not a recommended waiting period. Start the legal and filing analysis when the shortfall becomes apparent, including any earlier transaction-specific obligations.
Failure to fund can also disturb the ownership plan. Article 47(3) of the Law on Enterprises provides that an LLC member who contributes nothing by the applicable contribution deadline ceases to be a member. The initial contribution period is generally 90 days from issuance of the Enterprise Registration Certificate (ERC), excluding the specified asset-transport, import and ownership-transfer procedure periods. Do not treat a name on the initial subscription sheet as a substitute for the required contribution.
For a JSC, Article 113 also sets a 90-day initial share-payment period, unless the charter or subscription agreement requires earlier payment, with the specified asset-procedure exclusions. Reconcile payment evidence and the resulting shareholder position before relying on the minimum count. These capital rules appear in Articles 47 and 113 of the Enterprise Law ; they require more than checking the number of signatures.
If the count or investor identity changes before filing, revise the charter, contribution allocation and relevant owner lists together. The National Business Registration Portal distinguishes the LLC member list from the JSC founding and foreign-investor shareholder lists . A correction in one document should not leave a conflicting owner or percentage in another.
After incorporation, keep the company’s ownership records, contribution evidence and required registration or notification filings aligned with the actual transaction. For foreign investment, assess any applicable investment approval, market-access or certificate adjustment separately. Completing an owner-count correction does not itself complete those other procedures or establish that the business is ready to operate.
Choose the company form around a real ownership plan
Match the entity to the ownership that genuinely exists. A sole-owner plan points toward a one-member LLC; two real investors can assess a multiple-member LLC; a larger group should use the overlap analysis to compare its governance and admission needs. Do not manufacture additional owners simply to obtain a preferred label.
Before committing to the form, complete the working sheet and test the first expected change. Confirm that every proposed owner is eligible, the contribution plan is credible and the relevant activity permits the proposed ownership. If an exit, missed payment or planned admission would make the count incompatible, settle the replacement, timing or conversion plan before proceeding. The useful output is an ownership arrangement that works both at incorporation and through its next transaction.
Turn the headcount into an ownership plan
Bring the direct-owner list, proposed contributions and first expected ownership change for a company-form and filing-readiness review.
Frequently asked questions
Can a converted JSC have no founding shareholders?
Article 120 allows specified conversions and reorganisations without founding shareholders. That exception concerns the founding-shareholder designation; it does not remove Article 111’s minimum of three shareholders. Check the Article 120 conversion exception against the particular transaction.
Must all owners hold equal percentages?
The general headcount rules do not require equal ownership percentages. The proposed allocation still needs to respect applicable capital, share-class and foreign-investor conditions. Three shareholders should not be assumed to mean three equal one-third interests.
Must every shareholder live in Vietnam?
The enterprise must maintain at least one legal representative resident in Vietnam, as explained in the official legal-representative residence guidance . That role-specific rule does not require every shareholder to reside in Vietnam. Work and immigration permissions are separate matters.
Does a lender count as an additional owner?
A loan alone does not create a member or shareholder. Count the parties that hold capital contributions or shares, and assess any planned loan conversion into equity as a separate ownership event. Keep debt and equity entries distinct in the working sheet.
