THAILAND FOUNDATION LAW

How to Establish a Foundation in Thailand: Registration and Governance

Prepare a public-benefit institution whose assets, board and reporting arrangements can survive beyond registration.

To establish a foundation in Thailand, first dedicate property to a lawful public-benefit purpose, adopt rules and select a board of at least three people. Then submit the foundation application through the office serving its proposed headquarters for the competent registrar’s approval. Registration creates the legal person; it also commits the board to continuing control of the assets and statutory reporting.

A foundation suits property dedicated to public benefit without distributing gains to its founders. Before promising a launch date, settle the purpose, funding category, proposed governors and headquarters with the receiving office. A donation campaign, a privately owned business and a foundation registration require different legal decisions.

Key takeaways

  • A foundation has dedicated assets and governors, rather than shareholders entitled to distribute profits.
  • The general starting fund is THB 500,000; specified public-benefit categories have a THB 200,000 concession.
  • File ม.น.1 through the local district office; distinguish the receiving office from the registrar who decides.
  • The registration certificate is ม.น.3. Board changes and rule amendments use a separate registration process.
  • Build the annual March report and financial certification into the governance plan before filing.

Start with the public purpose and the asset commitment

Under sections 110–111 of Thailand’s Civil and Commercial Code , a foundation consists of property allocated for public charity, religion, arts, science, literature, education or another public benefit, without seeking gains to share among participants. Its assets must be managed for that purpose. The board must contain at least three people and operate under the law and the foundation’s rules.

The founder does not retain a shareholder’s claim to the foundation’s surplus. This matters both during operations and at closure. Section 134 directs remaining assets after liquidation to a foundation or other legal person with a section 110 purpose, following the rules and statutory procedure. Draft the destination of residual assets alongside the mission, rather than assuming that the original donor can take them back.

Describe the beneficiaries, activities and use of funds concretely. A proposed education foundation, for example, should explain what educational support it will provide and how decisions will be made. This is a drafting illustration, not evidence that a particular proposal will be accepted. The registrar examines the consistency of the purpose, rules and governors.

If the real objective is a business whose owners receive profits, compare company registration in Thailand before dedicating the assets. The requirements for the private limited company alternative concern a commercial entity with shareholders; they do not describe foundation registration. The related company articles below support that alternative-structure decision.

Resolve the purpose before committing the property

Discuss whether the proposed beneficiaries, funding and founder expectations fit a Thai foundation or a commercial company.

Match the starting property and governors to the proposal

The DOPA foundation service guidance distinguishes the ordinary fund from a concession for specified purposes. These are assets committed to the foundation , not a government charge or a service provider’s fee. The following routes reproduce the amounts that the official guidance expressly identifies.

Funding route Verified starting requirement Preparation consequence
Ordinary foundation, cash fund At least THB 500,000 in cash Identify its owner and obtain evidence of the funds.
Ordinary foundation, mixed property At least THB 250,000 cash; total value at least THB 500,000 Document both the cash and the other property.
Qualifying reduced-fund category Fund of at least THB 200,000 Confirm that the stated purpose qualifies; agree the accepted property composition before relying on the concession.

The reduced category covers social welfare, promotion of education, sport, religion, disaster relief, and treatment, research or prevention concerning drug addiction or AIDS, as well as foundations established by government agencies. A broad claim to be charitable does not by itself demonstrate which concession applies. If using noncash assets in this category, have the receiving office confirm the cash component and supporting valuation evidence for the intended filing.

For the board, distinguish the Code’s minimum of three governors from the qualifications in the proposed rules. The BMA specimen foundation rules include a minimum age of 20 and exclusions concerning bankruptcy, incapacity and specified convictions. They are a drafting specimen, not a substitute for the registrar’s suitability assessment or the rules actually registered for the foundation.

Allocate responsibility for meetings, accounts and application responses among people who can actually perform the work. Keep a complete identity and address record for every proposed governor. Do not appoint a nominal board simply to meet the headcount: its suitability forms part of the registration decision.

Prepare rules and an application pack that tell the same story

Section 112 requires the rules to cover the name, purpose, head and branch offices, initial property, board arrangements, and management of the foundation, property and accounts. Board arrangements include numbers, appointment, term, departure and meetings. Section 113 requires the Thai word มูลนิธิ in the foundation’s name. Use the same particulars throughout the application and attachments.

The official ม.น.1 foundation application identifies the applicant and headquarters, lists the attachments and ends with the applicant’s signed confirmation. It specifies a written and registered undertaking by the property owner to give the property. Settle the legally effective instrument and any asset-specific transfer formalities before treating an informal promise as sufficient.

  • Property evidence: owners and asset schedule, the legally effective undertaking and a will where the allocation arises under a will. The DOPA working checklist identifies bank certification for cash and land-title evidence where land is contributed.
  • People evidence: every proposed governor’s name, address and occupation, identity and residence evidence, and the individual governor certification required by the receiving office.
  • Institution evidence: proposed rules and founding meeting record, together with any permission needed to use a person’s name, an organisation’s name or another protected designation.
  • Premises evidence: headquarters and branch location plans, permission from the owner or occupier to use the premises, and evidence supporting that person’s right to grant permission.

These document groups follow the DOPA registration working checklist and the application form. BMA’s current service checklist calls for three sets of the principal application and attachments. Obtain the receiving office’s current checklist before assembling paper sets or submitting electronically, and make clear who is authorised to deal with questions or lodge corrections.

The form expressly allows comparable identity and residence evidence where a listed person lacks the usual Thai documents, giving foreigners as an example. That is a documentary route, not an assurance of approval. Confirm the evidence for the actual individuals, including any translation or verification the office requires, without assuming a universal nationality quota or automatic eligibility.

A useful final cross-check is to follow each asset and person across the pack: owner to undertaking to fund schedule; governor to identity evidence to proposed position; address to location plan to premises consent. Resolve discrepancies while the founding group is available to sign corrected documents. An administrative representative cannot replace a donor’s own property commitment.

Foundation application: local intake and registrar decision One signed foundation application goes to the office for the headquarters. Bangkok district intake routes through BMA to the Bangkok registrar; provincial district intake routes to the provincial registrar. Corrections return to the applicant. Registration produces the foundation certificate and starts continuing governance. Signed MN1 + evidence Use the headquarters location Bangkok Khet → BMA → Bangkok registrar Intake and decision are different stages Other provinces Amphoe → provincial registrar Provincial governor is the registrar Registrar checks legal suitability Respond to correction orders MN3 certificate → continuing governance Foundation registration does not decide separate permissions
Local intake routes the application to the competent registrar. A complete file still requires substantive approval before the foundation certificate is issued.

File locally, answer the registrar and collect the certificate

The DOPA working checklist places intake at the amphoe district office outside Bangkok and at the khet district office in Bangkok, according to the headquarters location. Outside Bangkok the provincial governor is the foundation registrar. In Bangkok the Permanent Secretary of the Ministry of Interior is the registrar; a 2026 Royal Gazette foundation registration notice confirms that official capacity. The Bangkok Governor and a Bangkok district counter should not be confused with that deciding registrar.

  1. Submit the signed ม.น.1 and supporting material to the appropriate local office. Ask for the application reference and a record of any missing items.
  2. Complete intake checks. Officers examine the application, evidence and name; a file submitted in Bangkok proceeds through BMA’s administration and registration channel to the Bangkok foundation registrar.
  3. Answer substantive questions. The registrar considers the lawful public purpose, rules, internal consistency and governors’ standing and conduct. Relevant agencies may be consulted about the name, purpose or emblem.
  4. Deal with any correction order as an application task with its own deadline. Resubmit a consistent set of corrected documents and retain proof of delivery.
  5. After approval, collect the ม.น.3 registration certificate and retain the registered rules and board information. Section 115 also provides for publication of establishment in the Royal Gazette.

Under section 115 of the Code , failure to comply with the registrar’s correction or alteration order within 30 days after learning of it can lead to refusal. A refusal must give reasons. The applicant may appeal in writing to the Minister of Interior through the registrar within 30 days of notification. This statutory correction period is different from an informal request to complete an intake checklist.

Use the service manual as a planning basis

The current BMA foundation service page publishes a total of 32 days and 25 minutes, counted after the documents are complete , with notification within seven days after consideration ends. The DOPA service entry separately describes 30 days where no agency consultation is needed and a 30-day consultation stage where it is. These are published process bases for their respective service descriptions, not one guaranteed national turnaround.

Ask the receiving office which manual and consultation route apply to the actual file. Allow separately for drafting, obtaining the property evidence, individual checks and corrections. A launch timetable should distinguish the date of first submission from the date the office accepts the pack as complete. Do not promise programmes or contracts on the assumption that submitting the papers creates the legal person.

For an ordinary living-founder case, section 121 places the allocated property with the foundation from registration, and section 122 makes the registered foundation a legal person. Retain the asset-transfer evidence with the certificate. A scanned application receipt alone does not prove that the foundation has been registered.

Turn the filing pack into an accountable process

Review the proposed headquarters, property evidence, signatures and response owner before lodging the foundation application.

Set the governance calendar before the first programme

The board represents the foundation in dealings with outsiders under section 123. Put its registered rules into day-to-day use: who can sign, when approval is needed, how meetings are called and how a replacement governor is appointed. A founder’s informal instruction should not displace the rules. Treat the original registration pack as the start of the institution’s records, not a completed filing exercise.

A calendar owner and an evidence owner should be named for every recurring duty. This is a practical control recommendation. It helps prevent a completed board meeting, an accountant’s working file and a registrar submission from being mistaken for the same event.

Trigger Required action Record to retain
During each year Operate under the registered purpose and rules; record board decisions and financial movements. Minutes, resolutions, receipts, accounts, asset and authority records.
By the end of March each year Report the preceding year’s operations to the registrar with the prescribed financial material and board minutes. Submitted report, certified financials, minutes and delivery evidence.
Board appointment or change Register within 30 days of the appointment or change under section 125. Resolution, ม.น.2 and the updated registration evidence.
Resolution to amend the rules Apply to register the amendment within 30 days under section 126. Resolution, existing and proposed rules, comparison and registration result.

Clause 13 of the 2002 foundation regulation, reproduced in the DOPA foundation law handbook , requires the March package to include the previous year’s activities, income and expenditure accounts and a copy of the balance sheet certified by a licensed auditor, plus copies of every board meeting’s minutes for that year. Plan the accountant and auditor work early enough to meet that reporting month.

BMA publishes separate procedures for registering board appointments or changes and registering amendments to foundation rules , using ม.น.2. A board-change pack includes the decision record and the new governors’ supporting evidence. A rule-change pack includes current and proposed wording with a comparison; an office move can also require new location and premises material. Keep the latest registered version available to the board and anyone checking signing authority.

For financial control, reconcile bank movements to the accounts, identify restrictions attached to gifts and document why expenditure serves the registered purpose. These are recommended ways to demonstrate compliance with the asset-purpose rule. Budget for bookkeeping and audit work independently of programme spending; receiving donations does not remove the reporting duty.

Keep charity tax status and operating permissions separate

Foundation registration does not itself confer public-charity tax status. The Revenue Department’s foundation tax guidance distinguishes foundations declared public charitable organisations under Revenue Code section 47(7)(b) from other foundations. It also identifies particular income exclusions for foundations without that declaration. Therefore neither “every receipt is taxable” nor “the foundation is entirely tax exempt” is a sound starting assumption.

Before issuing donor-facing tax claims, check the foundation’s actual status and the donation rules. The Revenue Department’s guidance on public charitable organisations treats recognition as a separate status. Prepare a tax assessment around the intended income streams and activities rather than treating the registration certificate as evidence of every exemption or deduction.

Likewise, a foundation certificate is not a general fundraising licence. DOPA’s guidance on collection-control law addresses separate permissions and controls for collections within that law. Before announcing a campaign, describe its method, location and organisers to the competent collection authority and determine whether permission is required. A purpose clause permitting donations does not decide that question.

Check activity-specific approvals before opening a regulated service, and review immigration and employment permission separately for foreign personnel. A position on the foundation board does not, by itself, establish a person’s right to enter Thailand or perform work. Keep those assessments tied to the actual proposed duties; domestic foundation registration and permission for a foreign organisation’s operations are different questions.

Proceed when the institution can govern what it receives

Proceed with the foundation route when the founders accept a lasting public-benefit commitment, the intended fund meets the applicable category, and the proposed board can apply workable rules. Finish the local filing checklist and appoint someone to manage corrections, annual reporting and changes in registered particulars.

If the unresolved issue is who receives the business profits or who can recover the contributed property, revisit the structure before signing the undertaking. If the public purpose is settled but the evidence is incomplete, finish the property, people and premises records first. The sound filing decision rests on both an approvable application and a board capable of keeping the foundation accountable afterward.

Plan the foundation beyond its certificate

Bring the proposed purpose, property schedule and board arrangements together for a review of the registration and continuing governance tasks.

Frequently asked questions

Can foreign nationals participate in a Thai foundation?

The official ม.น.1 form contemplates alternative identity and residence evidence for foreigners who lack the usual Thai documents. Approval still requires the registrar’s assessment of the individuals and proposal. Confirm the supporting documents with the receiving office; participation does not automatically confer immigration or work permission.

Does every foundation qualify for the THB 200,000 starting fund?

No. DOPA’s guidance identifies specified purposes and government-established foundations for that concession. The ordinary cash-fund requirement is THB 500,000. Establish the category and any accepted mix of cash and other property before committing the funding.

Can the founders use an ordinary company incorporation form?

No. A Thai foundation uses ม.น.1 for establishment under the foundation registration framework. Its purpose, assets, governors and rules are examined by the foundation registrar. Company incorporation forms and shareholder arrangements belong to a different entity.

What should be checked when a foundation changes its office?

Check the registered rules, the resolution and registration requirements, the new address and location plan, and evidence of permission to use the premises. An address change should also be reflected consistently in operational records and relevant third-party accounts.

Does receiving the certificate complete the foundation’s legal work?

It completes the establishment registration, but the board must continue to follow the registered purpose and rules, maintain records, report annually and register relevant changes. Tax status, collection permissions and any regulated activity need their own assessment.
