US entity formation
How to Form an LLC
A decision pathway for choosing the jurisdiction, preserving company identity and preparing to operate.
To form an LLC, choose the appropriate state, settle ownership and management, appoint a registered agent, file the state’s formation document, then complete the applicable tax and operating steps. For overseas founders, the important question is which facts change that route: existing entities, US operating locations, owner status and access to the IRS application process.
Use the filing sequence below as a starting plan. Then test the jurisdiction, ownership, identity handoffs and launch requirements before treating the setup as complete. State rules differ, so this is a US decision pathway rather than one state’s filing packet.
Key takeaways
- Start with actual operations when selecting the formation state; additional states may require qualification.
- Agree ownership, management and federal tax treatment as connected but distinct decisions.
- Use the chosen registry’s current requirements and retain official effectiveness evidence.
- Route the EIN application according to the responsible party and principal place of business.
- Check operating permissions and assign recurring duties before calling the company ready.

How to form an LLC: put the whole route on one page
Use the following sequence as your filing plan, then test it against the decisions below. An LLC is created under state law; there is no single nationwide formation application. The IRS explanation of LLCs confirms that state rules differ and that most states allow individuals, companies and foreign entities to be members. Certain activities, including banking and insurance, have additional entity restrictions.
- Map the business locations and decide whether to create a new LLC or register an existing entity.
- Choose the formation state, confirm the legal name, appoint an eligible registered agent and settle management.
- Prepare the state filing and the ownership agreement using consistent names, addresses and authority.
- Submit through the state registry, resolve corrections and retain evidence that formation has become effective.
- Obtain the appropriate federal tax identifier and confirm the tax filing position.
- Complete applicable operating registrations and permissions, then assign recurring duties.
Treat these as related decisions rather than six promises of automatic approval. A state formation filing creates the entity; it does not clear every operating requirement. Keep a written list of anything still conditional before signing contracts or committing to premises.
Does your operating footprint fit the formation state?
Start with where people and assets will actually be, then evaluate the state. A familiar formation jurisdiction does not erase obligations elsewhere. Under the SBA guidance on state registration , activity in additional states can require foreign qualification, with obligations in both the formation and qualified states. Each state determines its own test; a customer address alone is not a universal registration rule.
In this context, foreign qualification can describe a US LLC entering another US state. It does not mean that every owner is overseas. An existing overseas company considering US registration should separately compare that route with creating a new US subsidiary. Do not create a second entity merely because a filing portal offers that option.
| Operating fact | Decision to resolve | Authority to check | Keep as evidence |
|---|---|---|---|
| Founders work from one US state | Test that operating state first | State registry and revenue agency | Written jurisdiction rationale |
| People, premises or inventory in several states | Check each additional-state qualification and tax position | Each affected state; tax adviser | State-by-state conclusion with assumptions |
| All management is overseas | Compare candidate states against the actual US footprint | Candidate registries; cross-border advisers | Owner, location and activity summary |
| An entity already exists | New subsidiary or registration of that entity? | Registry and legal/tax advisers | Entity identity and route decision |
Record expected employees, storage, offices and regulated services before comparing filing options. If those facts are unknown, mark the jurisdiction decision provisional and identify who will confirm them. This prevents a cheap or convenient filing choice from silently becoming a second-state compliance project.
For the distinction between legal home and operational presence, see our explanation of a company’s legal home and operating locations . Use it to frame the decision; the relevant state remains the authority on its own registration rules.
Do ownership, management and tax choices agree?
Settle who owns the LLC, who can run it and how money enters or leaves it before finalizing the paperwork. Prepare an operating agreement covering contributions, voting, distributions, signing limits, new members, transfers, exits and deadlocks. The SBA description of operating agreements explains their role in financial and functional decisions. State requirements, timing and default rules vary; a private agreement should be checked against the chosen state’s law.
Ownership and management are different decisions. As a bounded example, Texas formation guidance distinguishes members who own an interest from managers who may or may not be members. Its certificate must specify the management arrangement. That is a Texas illustration of why a generic ownership list is insufficient, not a national requirement to disclose every owner in every filing.
Separately, the IRS federal classification rules generally treat a domestic single-member LLC as disregarded for income tax and a domestic LLC with two or more members as a partnership, unless an applicable election changes that treatment. Employment and certain excise-tax treatment can differ. LLC is a legal form, not a complete tax conclusion. Confirm the intended classification before selecting answers on the EIN application.
An S corporation election also has ownership limits: the IRS S corporation eligibility rules exclude nonresident alien shareholders. Do not assume a formation service’s tax checkbox is suitable for an overseas owner. Ask a qualified adviser to reconcile US filings with the owner’s home-country position before making an election.
Build information reporting into the ownership discussion. A foreign-owned US disregarded entity with reportable transactions generally needs Form 5472 attached to a pro forma Form 1120. The IRS Form 5472 instructions also cover contributions, distributions and certain formation-related transactions. No sales revenue is therefore an insufficient basis for assuming there is nothing to report.
Resolve ownership before the handoffs
Align the management arrangement, intended tax treatment and people authorized to act before applications diverge.
Can the company identity pass from the state to the IRS?
Use one approved set of entity details across the state filing, internal agreement and tax application. Check the state’s legal-name rules, required designator, restricted words and filing instructions. Trademark rights need a separate review: USPTO guidance on federal trademarks explains protection for a brand in connection with particular goods or services. State name acceptance is not a substitute for that review.
Confirm registered-agent eligibility, the required in-state office and any consent requirement with the selected registry. An agent receives legal papers; keep the agent address separate from the business’s actual physical location. In the Texas certificate of formation , for example, the form asks for the agent, governing persons, mailing address and organizer, affirms agent consent, and offers different effectiveness choices. Use another state’s own form when filing there.
Before paying, reconcile the form version, management choice, signatures, addresses and selected effective date. Retain the submitted instrument, payment receipt, official filed copy or certificate, entity number and effective date. A payment confirmation alone should not be treated as proof that an entity is already effective. Resolve a rejected filing through the registry’s stated correction route before proceeding on the assumption that formation is complete.
Route the EIN application using the real operating facts
The IRS EIN application page directs LLC applicants to form with the state first. Its online tool requires a US or US-territory principal place of business and the responsible party’s Social Security number or individual taxpayer identification number. Having a US registered agent does not, by itself, establish those facts. Print or retain the EIN confirmation when issued.
Identify the IRS responsible party who ultimately owns or controls the entity and manages its funds or assets. Except for government entities, this must be an individual. A nominee used only for formation is not the responsible party. Distinguish that person from an authorized third-party designee helping submit the application.
For an international route, follow the current Form SS-4 instructions for telephone, fax or mail eligibility and destination. If the responsible party lacks and is ineligible for an SSN or ITIN, the instructions permit “foreign” or “N/A” on line 7b. A missing US number should prompt this eligibility review, not an invented number or a nominee substitution.
Agree who receives official correspondence and who retains the signed SS-4, EIN notice, state account credentials and recovery details. Keep copies accessible to the owners through a controlled company record system. An adviser’s submission authority should not become the company’s only way to retrieve its identity documents.
What still blocks the first business transaction?
Check the intended transaction against the actual location and activity before trading. Formation, tax registration and permission to perform an activity are separate matters. The SBA licensing guidance distinguishes federal regulated activities from state, county and city requirements. There is no general federal business license that replaces all those checks.
Prepare a short clearance list: state tax registrations relevant to sales or employees; any local business permission; zoning or occupancy conditions for premises; sector or professional licenses; and product or trade approvals where relevant. Confirm the issuing authority, application dependencies and renewal date for each applicable item. Record why an item is inapplicable rather than leaving an unexplained blank.
Bank and payment-provider onboarding should also have its own document and eligibility review. Prepare formation evidence, ownership authority and the EIN information the provider requests. A certificate and tax number do not guarantee account acceptance. Keep business transactions and records organized from the first contribution, including owner-paid expenses and transfers to related parties.
If the unresolved work spans the entity and operating plan, HSJGlobal’s US company registration and LLC formation support describes coordination around formation, EIN and initial compliance planning. Define the requested scope against your open actions and obtain a written engagement before relying on a provider to complete them.
Which changes reopen the compliance plan?
Assign recurring work and review triggers together. Check the formation state and every qualified state for initial reports, periodic reports, taxes, registered-agent continuity and address updates. Put confirmed due dates in a company calendar with a named owner and retained submission evidence. There is no single national LLC annual-report date.
- New employee, warehouse or office: revisit qualification, payroll, tax and premises requirements in the affected location.
- New owner or management arrangement: reconcile the operating agreement, state records and federal tax classification.
- New activity or product: recheck sector, professional and trade permissions before offering it.
- New address or responsible party: update the relevant registries, tax records and correspondence arrangements.
For responsible-party changes, the IRS SS-4 guidance on keeping information current requires notification within 60 days using Form 8822-B. Separately, as checked on October 20, 2026, FinCEN’s current BOI notice states that US-created entities are exempt from federal beneficial ownership information reporting under its final rule effective August 14, 2026. Certain entities formed under foreign-country law and registered in the US remain a separate category. That exemption does not cancel IRS information returns or state duties.
Choose the first unresolved decision
To decide how to form an LLC for your business, identify the earliest unresolved dependency. Unknown operating locations call for jurisdiction analysis. Unsettled control or tax treatment calls for agreement and adviser review. Inconsistent filing data calls for correction before submission. An effective LLC without an EIN needs the appropriate IRS route; an identified company without required permissions still has launch work.
Bring the owners, operating locations, intended activity, management plan and any existing entity documents to the next discussion. Ask for a specific deliverable and responsible person for each open item. This turns a general formation request into a plan that can be checked against evidence.
Turn the open items into next actions
Identify the authority, evidence and responsible person needed to close each remaining part of your LLC setup.
Frequently asked questions
Must every LLC member appear on the state formation document?
No uniform national disclosure rule applies. Read the selected state’s form and governing law; management choices can affect which people must be named. Keep the full ownership record internally even where the filing asks for different information.
Does reserving a name create the LLC?
A name reservation and a formation filing serve different purposes. Confirm whether the selected state offers or requires reservation, and obtain the official formation evidence before presenting the LLC as an existing entity.
Can I use the registered-agent address everywhere?
Check each recipient’s address instructions. Legal service, mailing correspondence and the actual physical business location are different functions. The IRS SS-4 instructions distinguish mailing and physical addresses, including foreign addresses.
Does Form SS-4 make a tax election?
The EIN application records entity information. An intended classification election must follow the relevant IRS election procedure; confirm eligibility and timing instead of relying on a label entered on SS-4.
What should I request when changing formation providers?
Request the filed documents, official notices, account and recovery access, correspondence history, current agreement and a list of pending tasks. Confirm who receives future notices so that changing providers does not leave a filing unanswered.
