Hong Kong local-company filing workflow

How to Register a Company in Hong Kong: Step by Step

Move from an approved company plan to a verified certificate and records handover.

Start by confirming the company form, owners, local secretary, registered office and signing arrangements. For a standard private company limited by shares, the filing endpoint is the issued incorporation and business-registration certificates plus a usable company-record handover. Bank, licence and immigration decisions have separate endpoints.

The Registry normally issues electronic private-company certificates within one hour after the relevant filing, while the overall preparation and coordination can take longer. HSJGlobal’s current planning estimate is roughly 3–10 business days for the scoped setup; complex documents or corrections can extend it.

Key takeaways

  • Confirm the legal route before preparing the standard shares-company documents.
  • Arrange portal users and corporate signing authority before the intended submission day.
  • Track payment, submission, correction and approval as separate evidence states.
  • Close director consent, company records and commencement notifications as part of the post-certificate handover.

Follow the six-stage registration route

For a standard local private company limited by shares, use the following sequence. It starts with the legal route and ends with a documented company handover. Bank onboarding, sector permissions and any immigration approval continue as separate projects where required.

  1. Choose the company form and a registrable name that suits the intended activity.
  2. Approve the ownership, director, secretary, registered-office and share information.
  3. Arrange e-Services access and the authority of each person who must sign.
  4. Prepare NNC1, the articles of association and IRBR1; obtain the required signatures and consents.
  5. Pay the applicable fees, submit and monitor the application for messages or correction requests.
  6. Download or collect the issued certificates, verify the particulars and complete the records and obligation handover.

The Registry registration instructions establish the official stages and certificate outcomes. Treat each stage as complete only when its evidence is available. An approved plan is not a submitted application, and a submitted application is not yet an incorporated company.

Choose the company form and check the proposed name

Confirm that you are creating a new Hong Kong company. Registering an existing overseas company’s Hong Kong place of business, forming a guarantee company or using another legal vehicle requires a different route or forms. Settle this question before buying a standard NNC1 filing service.

Search the Registry’s company-name index through the official e-Services Portal. The name-checking instructions recommend the exact-name search mode using the full proposed name; Chinese names use traditional characters. Review the naming guideline and any sensitive or restricted wording. The authority confirms registrability through processing, so a preliminary search should not be treated as a reservation.

Consider trade-mark rights separately, including the Intellectual Property Department’s register where relevant. A proposed name’s availability in the company index does not settle another party’s intellectual-property rights. Keep alternative names and a clear description of the intended business so a rejection can be addressed through a real naming decision.

The underlying process of registering a company in Hong Kong should match the contracting and ownership plan. If an overseas parent will hold the shares or the activity needs a separate licence, identify that dependency now. Incorporating first can make an unresolved commercial plan more expensive to change.

Confirm the route before preparing forms

Check that a new local private company fits the ownership and intended activity.

Create one approved record of owners, roles and address

Create one approved input sheet with the proposed name, business activity, founder members, initial shares, directors, secretary and Hong Kong registered office. Record exact legal names and consistent identity and address particulars. This sheet should drive every draft instead of allowing different versions to circulate in email.

The director and secretary requirements include at least one natural-person director for an ordinary private company and an eligible local secretary. A director need not be a Hong Kong resident. The sole director cannot also act as that company’s secretary. Record the actual office-holder and authorised address; a provisional supplier name or an overseas office does not complete those inputs.

A provider conducting client due diligence can request identity, ownership and business evidence beyond the form fields. A corporate founder needs a coherent existence and authority file and a traceable ownership structure. Obtain any recipient-specific certification or translation specification before commissioning documents. Do not substitute a marketing brand for an entity’s registered name.

Approve the shares and the amount paid or agreed to be paid, together with any non-standard rights requiring advice. Keep one controlled set of filing facts . If the owners revise their arrangement, update the approval record before changing forms, signatures or other institution applications.

Six stages of a verifiable incorporation file Choose the entity and name, approve roles and inputs, enable signing access, complete documents, submit and correct, then verify and hand over the company file. 1. Choose entity and name 2. Approve people and local arrangements 3. Prepare user access and authority 4. Complete documents and signatures 5. Submit payment and resolve messages 6. Verify certificates and hand over records
Each completed stage produces the input or evidence needed for the next.

Prepare portal access and signing authority

Use the Companies Registry e-Services Portal reached from the official electronic-incorporation FAQ . A person forming a company electronically must register as an Individual User and subscribe to e-Filing Services. Prepare that access before the day the file is meant to be submitted.

For an individual founder, reconcile the founder particulars with the registered user particulars so the correct person can be selected as signatory. For a corporate founder, an authorised natural-person officer signs for it. The FAQ explains the circumstances in which account association with the corporate founder must be established first. A corporate ownership certificate does not, by itself, establish a portal user’s signing authority.

Complete the current registration and identity-verification workflow and retain control of the registered email and account. Confirm each signatory can access the relevant filing service. The Registry’s accepted signing options include the registered password, a digital certificate or linked iAM Smart, as applicable. Choose an available method for the actual user rather than assuming every overseas founder has the same credentials.

If a signatory cannot be found in the portal, check user particulars, subscription and required association against the official FAQ. Correct the underlying access or identity mismatch; repeatedly creating a new company draft will not fix a missing association. Agree who will receive system messages and who is authorised to respond.

Complete the incorporation documents and signatures

For the ordinary shares-company route, prepare Form NNC1, a copy of the articles and Notice to Business Registration Office IRBR1. The incorporation FAQ explains the required documents and particulars. Use the current specified form and the appropriate portal web form for the selected delivery channel.

NNC1 brings together the name, registered-office and officer/member details and the initial share information. Review every section against the controlled input sheet. A blank required field, inconsistent identity record or incorrect company type can make the submission defective. The articles should reflect the intended governance and share arrangements; obtain advice when model terms do not fit.

Have the authorised founder sign the relevant founder statement. Address director consent expressly. Under the Registry’s registration guidance , a founder who is also a director signs the consent in the incorporation form. Other first directors can sign the consent statement or deliver Form NNC3 within 15 days after incorporation. Track any outstanding consent as a dated obligation; it is not an optional post-launch task.

The electronic FAQ permits a plain copy of the articles to be delivered while the company keeps its signed original. Follow the actual signing and record-retention requirements rather than assuming every filed copy needs a witness or certification. The signer must approve the same facts that will be submitted. Preserve the reviewed drafts, approval and record copies.

Resolve the filing dependencies

Identify missing signatory access, local arrangements or document approvals before submission.

Pay, submit and resolve filing messages

Recheck the delivery route and BRC period before paying. At the current official rates, electronic NNC1 incorporation is HKD 1,545. The one-year BRC fee and levy total HKD 2,350 for a local company’s relevant incorporation submission between 1 April 2026 and 31 March 2027, producing HKD 3,895. Paper delivery with that period produces HKD 4,070. Professional work and continuing services are separate unless the signed proposal includes them.

The portal FAQ lists deposit-account payment, supported credit cards, supported digital wallets, PPS Shop&Buy and FPS for ordinary e-incorporation payment, subject to the applicable workflow. Ensure the payer can complete any required authorisation. Save the payment and submission evidence and the application reference. Do not treat a bank debit alone as evidence that the application was accepted.

Filing-state recovery map: these are reader controls, not invented portal status labels.

Observed state Evidence to check Next action
Draft or incomplete signing Current form and pending signatory/access information Resolve the specific missing input before submitting
Payment uncertain Portal submission/payment record and payer transaction Reconcile status before authorising a repeat payment
Application message or correction request Actual authority notice and affected fields/documents Correct the stated defect and retain the revised approval
Approved certificate notification Official message and downloadable or collectible certificates Verify the documents and proceed to the handover

Monitor the portal message box and registered email. The Registry may require further information or reject an unsuitable name or defective application. Preserve the actual notice, correct the specific problem and use the applicable response route. Submission evidence and approval evidence are different records. If the outcome is uncertain, establish the current application state before paying or submitting again.

The current official service guidance normally issues electronic private-company certificates within one hour and paper shares-company certificates within four working days. These are Registry processing references for the relevant filing, not a clock starting with your first enquiry. HSJGlobal’s public estimate of roughly 3–10 business days includes preparation and coordination and remains case-dependent.

Download certificates and finish the company handover

When approved electronically, the Registry sends the certificate-download notification to the delivering user’s message box and registered email. Download both the Certificate of Incorporation and BRC. For paper delivery, follow the notified in-person collection and any written-authorisation requirement. Electronic and paper certificates have the same legal effect under the Registry instructions .

Check the legal name, identifier, incorporation date and BRC period before distributing the documents to banks or customers. The Registry now uses the BRN on newer incorporation certificates; its mapping service connects relevant historic identifiers. Keep a clean company-controlled copy. A useful handover includes checking what each issued certificate proves so a registration document is not mistaken for a licence or tax clearance.

Create and locate the statutory company records, including the membership and officer information required for the company. The official SCR guidance requires applicable companies to identify significant controllers, keep the register in Hong Kong and designate an eligible representative. Record custody, access and responsibility for updates. These arrangements are not replaced by a bank’s ownership review.

Close any outstanding NNC3 consent on time. The incorporation FAQ’s business-particulars guidance also requires newly incorporated local companies to notify the Business Registration Office of business particulars within one month after commencement of business. Do not assume the proposed business nature in NNC1 completes that notification automatically.

Set the first annual-return deadline , BRC expiry and professional-service renewal dates. Assign accounting records from the first transaction and identify any operating licences or bank applications that remain open. The business can then progress through those separate approvals with an internally consistent company file.

Close the Hong Kong registration file only after the evidence agrees

Close the registration work when the approved legal and ownership facts match the issued certificates, payment trail and company records, and every remaining statutory action has a named owner and deadline. The six-stage route should end in evidence that the company can retain and use, rather than only a service-provider completion email.

Prioritise an outstanding consent, a certificate error or missing records before unrelated launch work. Keep any bank, licence or immigration decision on its own open-items list. Where a required fact or authority remains unresolved, repair that dependency before treating the wider business setup as complete.

Complete the registration handover

Reconcile the issued certificates, records and outstanding operational actions.

Frequently asked questions

Can I print a portal web form and file it at the counter?

The electronic-incorporation FAQ says the e-incorporation web form is not accepted as a hard-copy counter filing. Use the appropriate current paper route if changing delivery format.

What if the corporate founder’s officer does not appear as signatory?

Check the officer’s Individual User registration, e-Filing subscription and any required account association against the Registry FAQ before revising the company facts.

Who receives the electronic certificates?

The download notice is sent to the registered user who delivers the application, through the portal message box and registered email. Arrange the company handover with that user.

Does the one-hour reference include preparing my documents?

No. It describes the Registry’s normal electronic certificate processing. Preparation, due diligence, signatures and corrections have their own dependencies.

Should I resubmit immediately after an unclear payment result?

First reconcile the portal application and payment evidence. An unnecessary repeat submission or payment can create another problem instead of resolving the existing one.
